BY: Angel Castellanos, Director of Finance
SUBJECT: DISCUSSION OF TENANT PROPOSED AMENDMENT TO THE EXISTING LEASE

AGREEMENT FOR THE ADELANTO STADIUM & EVENT CENTER BY AND BETWEEN THE CITY OF ADELANTO AND STADIUM MANAGEMENT GROUP, LLC.

STAFF RECOMMENDATION:

That the City Council:

1. Review the attached proposed amendment drafted by the Stadium Management Group, LLC for the Adelanto Stadium Event Center Lease Agreement by and between the City of Adelanto and Stadium Management Group, LLC; and

2. Provide staff with direction as to the next steps pertaining to the Tenant proposed amendment.

BACKGROUND:

The City owns the real property identified as Adelanto Stadium & Event Center (“Stadium”) located at 1200 Stadium Way, Adelanto. On December 8, 2021, the City entered into a Lease Agreement with Stadium Management Group (“Tenant”) to allow Tenant to expand its programming and availability for the public.

The existing Lease Agreement requires Tenant to pay the City a monthly rent amount of $2,000 and allows Tenant to receive credits in lieu of rent for any improvements. All expenditures need to be for capital and/or major improvements to the property and requires the City Manager’s approval.

Tenant is now requesting that the Termination for Convenience Clause of the existing Lease Agreement be amended to state that in the event that the Lease Premises are sold, the City will reimburse Tenant for all up-to-date improvements made which are estimated to be approximately $1 million. Tenant proposes that all other terms remain the same.
73 FISCAL IMPACT:
$1 million general fund debt impact due upon sale of the stadium. No funds have been budgeted for this time and will be budgeted once the sale of the stadium is projected ATTACHMENTS:

Tenant's indemnity is not intended to, nor shall it relieve any insurance carrier of its obligations under policies required to be carried by Tenant pursuant to the provisions of this Lease to the extent such policies cover the results of negligent acts or omissions of Landlord, its employees, agents, contractors, council members, board members and officers or the failure of Landlord to perform any of its obligations under this Lease. In the event Landlord elects not to terminate the Lease, Landlord shall have the right to attempt to re-let the Stadium at such rent and upon such conditions and for such a term and to do all acts necessary to maintain or preserve the Stadium as Landlord deems reasonably and necessary without being deemed to have elected to terminate the Lease, including removal of all persons and property from the Stadium such property may be removed and stored in a public warehouse or elsewhere at the cost of and for the account of Tenant.

As used in (ii) and (iii), the "worth at the time of award" is computed by discounting such amount at the discount date of the U.S. Federal Reserve Bank at the time of award plus one percent (1%).
