SECOND AMENDMENT TO LEASE AGREEMENT
PREMISES: 2315 Central Avenue, Suite 122 Alameda, CA 94501 , consisting of approximately 700 square feet square feet
LANDLORD: CITY OF ALAMEDA, a charter city and municipal corporation TENANT: Park Street Wine Cellars, Inc.
LEASE DATE: October 21, 2019 and executed on or about August 7 , 201 9 (Tenant), October 20, 2019 (Landlord)
This Second Amendment to the Lease Agreement (" Second Amendment"), is dated as of September ___, 2023 for reference purposes only, and is entered into by and between the CITY OF ALAMEDA, a charter city and municipal corporation ("Landlord"), and Park Street Wine Cellars, Inc., a California corporation ("Tenant").
NOW, THEREFORE, in consideration of the foregoing, whic h are incorporated herein by reference, and of their mutual covenants contained herein, the parties hereby agree as follows:
1. Background.
A. Landlord and Tenant entered into that certain Lease Agreement dated October 21, 2019 and amended by a First Ame ndment to Lease Agreement dated October 11, 2022 (“COVID Deferred Rent”), for a certain premise described therein and referred to as 2315 Central A venue, Suite 122 Alameda, CA 94501, consisting of approximately 700 square feet square feet of rentable space (the "Premises").
B. The Expiration Date of the Lease is March 31, 2025.
C. Capitalized
terms used in this Second Amendment without definition shall the same meanin g given to such terms in the Lease. This Second Amendment shall be effective upon the last date set forth below the parties’ signatures.
2. Term. The term of the Lease is hereby amended to terminate on January 30, 2024.
3. Rent Deferral Repayment . Prior to February 1, 2024, Tenant shall repay all Deferred Rent authorized by Section 2(a) of Lease Amendment No. 1 dated October 11, 2022 in the amount of $4,272.19.
4. Extension Option: Tenant may exercise a one (1) month extension until March 1, 2024 if needed to clear the premises of inventory. The extension option may b e exercised in two (2) two-week extensions.
5. New Tenant. City may market the space for a new tenant during the remaining term of this Lease. Tenant will cooperate with City to expedite an earlier termination of Lease, if an earlier termination is necessary to accommodate a new tenant.
City shall provide at least 45 days’ notice to tenant, if a new tenant is identified and City wishes to commence lease with new tenant prior to March 1, 2024.
6. Ratification; Miscellaneous. Except as modified by this Amendment, in all other respects the Lease is hereby ratified and affirmed and remains in full force and effect.
This Second Amendment may be executed in one or more counterparts.
7. Electronic Signature . This Second Amendment may be signed by electronic signature and any such electronic signature shall have the same force and effect as an original signature. Without limitation, “electronic signature” shall include faxed versions of an original signature or electronically scanned and transmitted versions (e.g., via pdf) of an original signature.
