FIRST AMENDMENT OF LISTING AGREEMENT
This First Amendment of the Listing Agreement, entered into this 16# day of_ Oct 2018 between the CITY OF ALAMEDA, a municipal corporation ("City") and CUSHMAN & WAKEFIELD OF CALIFORNIA, a California Corporation ("C&W"), is made with reference to the following:
RECITALS:
A. Effective June 1. 2015, City and C&W entered into a Listing Agreement ("the Agreement") concerning the terms and conditions by which C&W would find buyers and tenants for certain commercial Parcels that the City owns or leases.
The Listing Agreement provides that it will expire on December 31, 2018.
C. City and C&W desire to amend the Listing Agreement on the terms and conditions set forth in the Listing Agreement but extending the termination date to December 31, 2021.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows:
Paragraph 2 of the Listing Agreement is modified to read as follows:
"2. Term. The term of the Listing Agreement, as amended, began on June 1, 2015 and will expire on December 31, 2021 unless either party, with 60 days prior written notice, terminates the Listing Agreement."
Except as expressly modified herein, all other terms and covenants set forth in the Listing Agreement shall remain the same and shall be in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this First Amendment of Listing Agreement to be executed on the day and year first above written.
