SECOND AMENDMENT TO AGREEMENT
Tliis Amendment of tlie Agreement, entered into tliis day of 2024, by and between tl'ie CITY OF ALAMEDA, a municipal corporation (liereinafter "tlie City") and GERARDO CANDELARIO dba ALL 'vVIRE CONNEX a California sole proprietor whose address is 434 McCovey Lane, San Jose CA 95127, (liereinafter "Provider"), is made witli reference to the following:
RECIT ALS:
A. On September 1, 2022, an a@eement was entered into by and between the City and Provider (hereinafter "Agreement") in an amount not to exceed $50,000 during the period of September 1, 2022 tlirough August 31, 2024.
B. On November 8, 2023, the original agreement was amended by and between the City and Provider (hereinafter "First Ainendment") with additional compensation not to exceed $24,000 for services rendered, with a total aggregate compensation not to exceed $74,000.
C. Whereas,theCityCouncilauthorizedtheCityManagertoexecutethisAmendment as amended on
D. The City and Provider desire to modify the Agreement on the terms and conditions set forth herein.
NOW, THEREFORE, it is mutually agreed by and between the rindersigned parties as follows:
1. Paragraph 1, TERM, of the Agreement is modified to read as follows:
The tenn of tliis Agreement shall coinmence on the ISt day of September 2022, and shall terminate on the 31S' day of November 2025, unless terminated earlier as set forth herein.
2. Paragraph 3, COMPENSATION TO PROVIDER, is modified to read as follows:
a. Pricing and accounting of charges are to be according to the fee schedule as set forth in Exhibit A-l and incoi'porated herein by this reference. Extra work must be approved in writing by the City Manager or l'iis/her desigi'iee prior to perfon'nance and shall be paid on a Time and Material basis as set fortli in Exhibit A-1
b. Provider shall be compensated for the services performed in accordance witli the original contract, and the first Amendment, consistent with teri'ns of those agreements.
Compensation for services performed pursuant to the Second Amendment shall not exceed $100,000. Total compensation for tl'ffs agreement sliall not exceed $174,000.
3. Except as expressly modified herein, all other ten'ns and covenants set forth in the Agreement shall remain the same and shall be in full force and effect. 07;14 21
