SECOND AMENDMENT TO AGREEMENT
This Second Amendment of the Agreement, entered into this _____ day of __________ 2024, by and between the CITY OF ALAMEDA, a municipal corporation (hereinafter "the City") and Dudek, a California corporation whose address is 605 3rd Street, Encinitas, CA 92024, (hereinafter "Provider"), is made with reference to the following:
RECITALS:
A. Whereas, the City Council authorized the City Manager to execute this Agreement, as amended on October 4, 2022.
B. Whereas, On October 26, 2022, an agreement was entered into by and between the City and Provider (hereinafter "Agreement") in an amount not to exceed $269,830.29, for consulting services for the development of an Urban Forest Plan.
C. Whereas, On October 30, 2023, the agreement was amended to extend the term of the agreement to October 25, 2024.
D. Whereas, The City and Provider desire to modify the Agreement on the terms and conditions set forth herein.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows:
1. Paragraph 1, TERM, of the Agreement is modified to read as follows:
The term of this Agreement shall commence on the 26th day of October 2022, and shall terminate on the 25th day of October 2025, unless terminated earlier as set forth herein.
2. Except as expressly modified herein, all other terms and covenants set forth in the Agreement shall remain the same and shall be in full force and effect.
