Urban Forest Maintenance Services Citywide AMEND.AGR
FIRST AMENDMENT TO AGREEMENT
This Amendment of the Agreement, entered into this _____ day of April , 2025, by and between the CITY OF ALAMEDA, a municipal corporation (hereinafter " the City") and WEST COAST ARBORISTS, INC, a California corporation, whose address is 2200 E VIA BURTON STREET, ANAHEIM, CALIFORNIA 92806 (hereinafter "Provider"), is made with reference to the following:
RECITALS:
A. On June 21, 2022, an agreement was entered into by and between the City and Provider (hereinafter "Agreement") in an amount not to exceed $13,119,805, for Urban Forest Maintenance Services Citywide.
B. The City and Provider desire to modify the Agreement on the terms and conditions set forth herein.
NOW, THEREFORE, it is mutually agreed by and between the undersigned parties as follows:
1. Paragraph 3, COMPENSATION TO PROVIDER, is modified to read as follows:
b. The total compensation for the original agreement and the first amendment shall not exceed $15,192,875 with the not-to-exceed amounts as listed for the following fiscal years:
Fiscal Year 22-23total compensation shall not exceed $2,471,175 Fiscal Year 23-24 total compensation shall not exceed $2,545,310 Fiscal Year 24-24 total compensation shall not exceed $3,857,470 Fiscal Year 25-26 total compensation shall not exceed $ 3,141,890 Fiscal Year 26-27 total compensation shall not exceed $3,177,030
Use of contingency shall be for items of work outside the original scope and requires prior written authorization by the City.
4. Except as expressly modified herein, all other terms and covenants set forth in the Agreement shall remain the same and shall be in full force and effect.
