FIRST AMENDMENT TO AGREEMENT
This First Amendment of the Agreement, entered into this _____ day of __________, 2026, by and between the CITY OF ALAMEDA, a municipal c orporation (hereinafter "the City") and SPENCON CONSUTRCTION, INC., a California corporation, whose address is 3170 Crow Canyon Place Suite 250, San Ramon CA 94583, (hereinafter "Contractor"), is made with reference to the following:

A. On September 6, 2023, an agreement was entered into by and betwee n City and Contractor (hereinafter "Agreement") in the five-year cumulative total not to exceed amount of $4,555,650 for sidewalk replacement work. Compensation for work done under this Agreement is a
s follows:
FY2023-24 total compensation shall not exceed $1,399,400 FY2024-25 total compensation shall not exceed $750,000
FY2025-26 total compensation shall not exceed $775,000
FY2026-27 total compensation shall not exceed $801,250
FY2027-28 total compensation shall not exceed $830,000
B. City and Contractor desire to further modify the Agreement to increase the contract amount on the terms and conditions set forth herein.
NOW, THEREFORE, it is mutually agreed by and between and unde rsigned parties as follows:
1. Section 3 (“Compensation To Contractor”) of the Agreement is modified to read as follows:
“The total compensation for the work under this First Amendment is shown below. The five year not to exceed total compensation for this Agreement is not to exceed $5,755,650.” FY2023-24 Total compensation shall not exceed $1,399,400 FY2024-25 Total compensation shall not exceed $750,000
FY2025-26 Total compensation shall not exceed $1,175,000 FY2026-27 Total compensation shall not exceed $1,201,250 FY2027-28 Total compensation shall not exceed $1,230,000
2. Except as expressly modified herein, all other terms and covenants set forth in the Agreement shall remain the same and shall be in full force and effect.
