PROTECTIONS WILL NOT APPLY TO THE TRANSACTIONS CONTEMPLATED BY THIS PURCHASE ORDER BECAUSE
PURCHASER IS NOT PURCHASING THE VEHICLES HEREUNDER PRIMARILY FOR PERSONAL, FAMILY OR HOUSEHOLD USE BUT RATHER FOR COMMERCIAL USE.
EXCEPT AS PROVIDED IN THE VEHICLE WARRANTY OR AS OTHERWISE REQUIRED BY STATE LAW, EACH VEHICLE IS PROVIDED “AS IS” AND “WITH ALL FAULTS” AND SUPPLIER DISCLAIMS ALL EXPRESS OR IMPLIED CONDITIONS,
REPRESENTATIONS, AND WARRANTIES OF ANY KIND, INCLUDING WITHOUT LIMITATION ANY IMPLIED
WARRANTY OR CONDITION OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.
FOR VEHICLES SOLD IN CALIFORNIA AND PURSUANT TO CALIFORNIA CIVIL CODE 1792.4: EXCEPT AS PROVIDED IN THE MANUFACTURER’S EXPRESS WARRANTY, SUPPLIER DISCLAIMS ALL EXPRESS OR IMPLIED CONDITIONS,
REPRESENTATIONS, AND WARRANTIES OF ANY KIND, INCLUDING WITHOUT LIMITATION ANY IMPLIED
WARRANTY OR CONDITION OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. EACH VEHICLE IS BEING SOLD ON AN “AS IS” BASIS AND “WITH ALL FAULTS.” THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE VEHICLE IS WITH PURCHASER. SHOULD THE VEHICLE PROVE DEFECTIVE FOLLOWING PURCHASER’S PURCHASE, PURCHASER AND NOT THE MANUFACTURER, DISTRIBUTOR, OR RETAILER ASSUMES THE ENTIRE COST OF ALL NECESSARY SERVICING OR REPAIR.
Purchaser agrees that this Purchase Order is an expression of intent of the parties to transact, and the transaction described herein is not binding until (1) accepted by Supplier, (2) Purchaser completes the purchase of the vehicle(s) by executing the standard Rivian Commercial Vehicle Purchase Agreement for each vehicle (“Agreement”), and 3) final transaction payment details are provided by Supplier (which may include additional/updated tax, license, documentation, and destination fees as applicable).
This Purchase Order shall be subject to cancellation by Supplier unless and until finalization and execution of the Agreement between the parties.
Purchaser accepts and agrees to the terms and conditions of this Purchase Order by signing below.
