FIRST AMENDMENT TO AGREEMENT
This First Amendment of the Agreement, entered into this _ day of _______, 2026, by and between the CITY OF ALAMEDA, a municipal corporation (hereinafter "the City") and LIFTNOW AUTOMOTIVE EQUIPMENT CORP, a New York corporation whose address is 563 CR
OTON AVENUE, CORTLANDT MANOR, NY 10567-6247 (hereinafter "Provider"), is made
with reference to the following:
RECITALS:
A. On June 4, 2025, an agreement was entered into by and between the City and Provider
(hereinafter "Agreement") in an amou nt not to exceed $436,502, for Vehicle lift inst
allation.
B. Whereas the City Council authorized the Interim City Manager to execute this First Amendment to Agreement on __________________.
C
. The City and Provider desire to modify the Agreement to extend the term of the Agreement and remove the Pollution Prevention insurance requirement previously added in error, on the term
s and conditions set forth herein.
NOW, T HEREFORE, it is mutually agr eed by and between the undersigned parties as follows:
1. Paragraph 1, TE RM, is modified to read as follows:
The ter
m of this Agreement shall commence on the 4th day of June 2025, and shall terminate on the
4th day of June 2027, unless terminated earlier as se t forth herein.
2. Paragraph 10, IN SURANCE, section a is modified to read as follows:
On or be
fore the commencement of the terms of this Agreement, Provider shall furnish the City’s Risk Manager with certificates showing the type, amount, class of operations covered, eff
ective dates and dates of expiration of insurance coverage in compliance with Sections 10.b. (1) thr
ough (3).
3. Paragraph 10.b. (4), Pollution Prevention, is hereby removed from the Agreement in its entirety.
4. Except as expressly modified herein, all other terms and covenants set forth in the Agreement shall remain the sa me and shall be in full force and effect.
