However, in no event shall the Developer Indemnified Party or SFBF Indemnified Party be indemnified hereunder for any Claims resulting from such party’s sole negligence or willful misconduct. City agrees to pay all of the Developer Indemnified Party’s and SFBF Indemnified Party’s costs and expenses, including attorneys’ fees, which may be incurred in any effort to enforce any term of this Agreement, including, but not limited to, all such costs and expenses which may be incurred by any Developer Indemnified Party or SFBF Indemnified Party in any legal action or arbitration proceeding brought by HCD or other third party.

5. Schedule of Performance; Progress Reports. The Parties shall comply with the schedule of performance milestone deadlines set forth in the AHSC Documents, for the completion of their respective obligations hereunder (the “Schedule of Performance”). 6. Delegation. Notwithstanding the obligations of each party under this Agreement, each party shall be entitled to enter into sub-agreements with each other or with other parties to provide any assistance or services needed for each party to perform its obligations under this Agreement and the AHSC Documents.

City shall be responsible for paying all costs required for the City Obligations irrespective of whether such costs exceed the portion of the AHSC Grant designated for the City Obligations. SFBF shall be responsible for paying all costs required for the SFBF Obligations irrespective of whether such costs exceed the portion of the AHSC Grant designated for the SFBF Obligations.
8. Disbursement of AHSC Grant Funds. The Parties agree that the AHSC Grants for the City Obligations shall be reimbursed directly to City by HCD, and that the AHSC Grants for the Developer Obligations shall be reimbursed directly to Developer by HCD. . The Parties also agree that the AHSC Grants for the SFBF Obligations shall be reimbursed indirectly to SFBF by HCD through the City, in accordance with the procedures set forth below in subsections (a.1-a.7) and consistent with the AHSC Documents. The parties further agree that all of the AHSC Loan funds shall be disbursed directly to the Partnership. Each Party shall apply any AHSC Grant proceeds received to pay the invoices submitted in connection with the draw request.
(a) Draw Requests by SFBF
(1) Application for Reimbursement. To request reimbursement of AHSC Grant funds for costs associated with the SFBF Obligations, SFBF shall submit a written, itemized draw request to the City in a form reasonably acceptable to the City and Docusign Envelope ID: FD694BA8-BF2D-8CC6-833F-A5C074B95F14
5 22767787.1
consistent with the draw request format required by HCD under the AHSC Documents (each, a “SFBF Draw Request”). SFBF Draw Requests shall be submitted to the City no more frequently than once per calendar month. Each SFBF Draw Request shall be submitted at least thirty (30) business days before the date on which SFBF desires to receive reimbursement, in order to allow the City sufficient time to review the SFBF Draw Request, compile and submit its own draw request to HCD, and forward the funds received from HCD to SFBF. (2) Contents of Draw Request. Each SFBF Draw Request shall include: (i) a description of the work performed, materials supplied, and/or costs incurred for which reimbursement is requested, with reference to the applicable line item(s) in the approved Sources and Uses of Funds for the SFBF Transportation Project; (ii) the total amount incurred or expended for each such line item, less any amounts previously disbursed for that line item; (iii) the percentage of completion of the applicable scope of work to be paid from each requested line item; and (iv) any other information reasonably requested by the City or required by HCD under the AHSC Documents.
(3) Required Documentation. Each SFBF Draw Request shall be accompanied by the following supporting documentation, as applicable: (i) copies of paid invoices and unconditional lien releases for construction costs paid with the proceeds of prior SFBF Draw Requests (except for the first SFBF Draw Request), and conditional lien releases (conditioned upon receipt of payment) for construction costs to be paid with the proceeds of the current SFBF Draw Request; (ii) a copy any approvals, local inspections, or documentation confirming the work completed pertaining to the current SFBF Draw Request; (iii) all lien waivers required by HCD or the City, or evidence that the applicable statutory periods for filing mechanic’s liens and other similar liens have passed; and (iv) copies of any applicable change orders that affect or alter the scope of work for the SFBF Transportation Project. SFBF shall submit such documentation in a form and manner consistent with the requirements of the AHSC Documents.
(4) City Review and Forwarding to HCD. Within fifteen (15) business days after receipt of a complete SFBF Draw Request (i.e., one that includes all items described in subsection (3) above), the City shall review the SFBF Draw Request for completeness and consistency with the AHSC Documents and this Agreement. If the SFBF Draw Request is complete and consistent, the City shall submit a draw request to HCD in accordance with the AHSC Documents. If the City determines that additional information or documentation is required, it shall notify SFBF in writing within five (5) business days of receipt of the SFBF Draw Request, and SFBF shall promptly provide the requested information. (5) Disbursement to SFBF. Upon the City’s receipt of AHSC Grant funds from HCD corresponding to amounts requested in a SFBF Draw Request, the City shall disburse such funds to SFBF within ten (10) business days. The City shall have no obligation to disburse funds to SFBF in advance of or in excess of the amounts actually received from HCD for the SFBF Transportation Project. In the event HCD approves only a portion of any SFBF Draw Request, the City shall disburse the approved portion to SFBF promptly upon receipt and shall notify SFBF in writing of any amount not approved and the reason(s) therefor, consistent with the notification procedures set forth in the AHSC Documents.

6 22767787.1
(6) Disputed Amounts. In the event the City or HCD disputes any portion of a SFBF Draw Request, the City shall disburse to SFBF any undisputed amounts promptly upon receipt from HCD, and shall notify SFBF in writing of the disputed amount and the basis for such dispute. The City and SFBF shall meet and confer in good faith within ten (10) business days of such notice to attempt to resolve the dispute. Disputed amounts shall not be permanently withheld from SFBF but shall remain available for disbursement upon resolution of the dispute.
(7) Conditions Precedent to Final Disbursement. The final disbursement of AHSC Grant funds to SFBF for the SFBF Transportation Project, including any retention of hard construction costs held in accordance with the AHSC Documents, shall be subject to satisfaction of the following conditions: (i) all conditions set forth in subsections (1) through (6) above have been met with respect to all prior SFBF Draw Requests; (ii) SFBF has submitted to the City a notice of completion duly recorded by SFBF; (iii) SFBF has submitted to the City a certificate executed by SFBF and the project architect, either jointly or severally, certifying that the SFBF Transportation Project has been completed in accordance with the approved scope of work and design documents; (iv) SFBF has submitted to the City all lien waivers required by HCD or the City, or evidence that the applicable statutory periods for filing mechanic’s liens and other similar liens have passed; (v) any mechanic’s liens recorded or stop notices delivered in connection with the SFBF Transportation Project have been paid, settled, bonded around, or otherwise extinguished or discharged, and satisfactory evidence of such disposition has been provided to the City; and (vi) HCD has approved the final disbursement of AHSC Grant funds for the SFBF Transportation Project in accordance with the AHSC Documents. The City shall have no obligation to make final disbursement to SFBF until all of the foregoing conditions have been satisfied or waived in writing by the City and, to the extent required, by HCD.
9. Notices. Formal notices, demands, and communications between the parties shall be sufficiently given if, and shall not be deemed given unless, dispatched by registered or certified mail, postage prepaid, return receipt requested, or delivered by express delivery service, return receipt requested, or delivered personally, to the principal office of the parties as follows:
