ORDINANCE NO. 2024-_____
AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF ALISO
VIEJO, CALIFORNIA, AMENDING THE ZONING MAP TO ADD “MIXED USE/RESIDENTIAL OVERLAY” DISTRICT TO THE EXISTING ZONING DESIGNATIONS OF THE FOLLOWING PROPERTIES: 1 COLUMBIA, A PORTION OF ALISO VIEJO TOWN CENTER, 26800-26880 ALISO VIEJO PARKWAY, 35 JOURNEY, 2A LIBERTY, AND 27231 ALISO VIEJO
PARKWAY; AND FINDING THE ACTION TO BE EXEMPT FROM CEQA
UNDER CEQA GUIDELINES SECTIONS 15060 AND 15061
WHEREAS, the City of Aliso Viejo, California (“City”) is a municipal corporation, duly organized under the constitution and laws of the State of California; and WHEREAS, in recent years, the California Legislature has approved, and the Governor has signed into law, several bills that impose new limits on local authority to regulate housing; and
WHEREAS, in 2023, the City Council adopted the 6 th Cycle Housing Element (“HE”), which was forwarded to the California Department of Housing and Community Development (“HCD”) for certification; and
WHEREAS, HCD issued a letter stating that while the adopted HE meets most of the statutory requirements of State Housing Element Law, the Element cannot be found in substantial compliance until the City has completed necessary rezones to address the shortfall of sites to accommodate the Regional Housing Needs Allocation; and WHEREAS, the HE Program 1 requires the City to process amendments to the zoning regulations to rezone eight specific sites (“HE sites”) to accommodate residential developments with densities up to 90 dwelling units per acre; and WHEREAS, this ordinance (“Ordinance”) amends the zoning designations for HE sites by adding Mixed-Use/Residential Overlay (“MU/R”) district to the existing non-residential base zoning designations to ensure compliance with the HE; and WHEREAS, on April 3, 2024, the City Council held a duly noticed public hearing at which time all interested persons had the opportunity to appear and be heard on the matter of amending the zoning designation of the HE sites herein. Following the public hearing, the City Council introduced (i.e., conducted a first reading of) the Ordinance; and WHEREAS, all legal prerequisites to the adoption of this Ordinance have occurred.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF ALISO VIEJO DOES ORDAIN AS FOLLOWS:
13 60367.01100\42144597.4 Page 2 of 4
SECTION 1. Incorporation of Recitals. The recitals above are each incorporated by reference and adopted as findings by the City Council.
SECTION 2. CEQA. Based on the entire record before it, the City Council finds that adoption of this Ordinance is exempt from the California Environmental Quality Act (“CEQA”) because it is an administrative activity that will not result in a direct or reasonably foreseeable indirect physical change to the environment and is thus not a “project” under State CEQA Guidelines section 15378. (See State CEQA Guidelines, § 15060(c)(2) and (3).) Alternatively, even if the adoption of the Ordinance did qualify as a project under CEQA, the City Council finds that the Ordinance is exempt from CEQA under Section 15061(b)(3) of the State CEQA Guidelines, which provides that a project is exempt from CEQA where it can be seen with certainty that there is no possibility that the activity in question may have a significant effect on the environment. Adoption of the Ordinance will not have a significant effect on the environment as it does not authorize any construction or development; it provides clarification to the mixed-use/residential overlay district and provides additional incentives for affordable-housing development in the Aliso Viejo Municipal Code to comply with the adopted Housing Element.
SECTION 3. Zone Changes. This Ordinance applies to the following properties (new text in bold/underline font):
A. 1 Columbia (APN 623-141-01) – Business Park 2 with Mixed-Use/Residential Overlay
B. 26800-26880 Aliso Viejo Parkway (APN 629-451-07, 629-451-08, 629-451-09) – Professional Office with Mixed-Use/Residential Overlay C. 35 Journey (632-134-07) - Business Park 1 with Mixed-Use/Residential Overlay
D. 2A Liberty (632-133-06) - Community Facilities with Mixed-Use/Residential Overlay
E. 27231 Aliso Viejo Parkway (632-122-04) - Community Facilities with Mixed- Use/Residential Overlay
F. Aliso Viejo Town Center (629-321-41, 629-321-42, 629-321-43, 629-321-44, 629-321-48, 629-321-20, 629-321-17, 629-321-45, 629-321-33, 629-321-34, 629-321-26, 629-321-01, 629-321-02, 629-321-03, 629-321-04, 629-321-05, 629-321-06, 629-321-07) – Town Center Commercial with Mixed- Use/Residential Overlay
SECTION 4. Required Findings. In accordance with Section 15.78.040(F) of the Aliso Viejo Municipal Code, the City Council hereby finds as follows:
A. Public Welfare. Approval of the zone change will not create conditions materially detrimental to the public health, safety and general welfare as it will comply with—and is contemplated by—the City’s Sixth Cycle Housing Element, the adoption of which the City Council determined will not create conditions materially detrimental to the public health, safety, and general welfare. 14 60367.01100\42144597.4 Page 3 of 4
B. General Plan. The zone change is consistent with the goals, objectives, and policies of the general plan and any applicable specific plan as it effectuates rezones contemplated by (and committed to in) the City’s Sixth Cycle Housing Element.
C. Land Use Compatibility. The zone change is compatible with the zoning and land use on nearby properties. The HE sites are all strategically located in close proximity to existing residential developments. Most of these sites either abut or are situated across the public right-of-way from existing residential uses, thereby maintaining the character and harmony of the larger area.
D. Property Suitability. The zone change is suitable for the location, access, visual character and topography of the subject property. The location of the HE sites are already developed with well-established access points ensuring ease of transportation and movement. The visual character of the property aligns with the proposed zoning designation as the HE sites are located in close proximity to existing residential developments, maintaining the character of the larger area. The topography of the properties is flat and already developed, ensuring that any development or change will be physically feasible.
SECTION 5 . Effective Date. This Ordinance takes effect 30 days following its adoption.
SECTION 6. Severability. If any provision of this Ordinance or its application to any person or circumstance is held to be invalid by a court of competent jurisdiction, such invalidity has no effect on the other provisions or applications of the Ordinance that can be given effect without the invalid provision or application, and to this extent, the provisions of this Ordinance are severable. The City Council declares that it would adopt this Ordinance irrespective of the invalidity of any portion thereof.
SECTION 7. City Clerk’s Certification. The City Clerk shall certify the adoption of this Ordinance and post or publish this Ordinance as required by law. The Clerk shall also file a Notice of Exemption immediately following adoption of the Ordinance.

SECTION 3. Required Findings. In accordance with Section 15.78.050(E) of the Aliso Viejo Municipal Code, the City Council hereby finds as follows:
A. Public Welfare. AGENDA ITEM
DATE: April 17, 2024
TO: Mayor and City Council
FROM: Ann Eifert, Director of Financial Services
SUBJECT: RESOLUTION APPROVING THE ISSUANCE OF TAX-EXEMPT
OBLIGATIONS AND DIRECTING CERTAIN ACTIONS
Recommended Action:
Adopt a Resolution Approving the Issuance of Qualified 501(c)(3) Bonds for the Purpose of financing and/or refinancing the acquisition, construction, rehabilitation, improvement, and equipping of St. Mary’s School located at 7 Pursuit, Aliso Viejo, CA 92656 (the “Project”).
Fiscal Impact:
The City’s membership in California Municipal Finance Authority (CMFA) bears with it no cost or other financing obligations but serves as a public acknowledgement by the City of the project financing.
The Bonds to be issued by the CMFA for the Project will be the sole responsibility of the Borrower, and the City will have no financial, legal, moral obligation, liability or responsibility for the Project or the repayment of the Bonds for the financing of the Project.
All financing documents with respect to the issuance of the Bonds will contain clear disclaimers that the Bonds are not obligations of the City or the State of California but are to be paid for solely from funds provided by the Borrower.
Costs by the City will include staff and attorney costs to review any documents related to the resolution and will be reimbursed.
Background:
St. Mary's existing campus comprises 91,168 square feet of finished classroom and office area and 15,837 square feet of gymnasium and library located on 6.27 acres in Aliso Viejo. Initial construction of the school occurred in 1996 with renovations in 2000, 2001, 2002, 2006, and 2017.
31
The new project is anticipated to be the final phase of construction of the master plan for the school campus. The project scope includes removing existing modular buildings on the site, and constructing a two-story, 28,400 square foot building. Additional site improvements will include approximately 40,000 square feet of outdoor space for community gatherings and play areas.
Discussion:
St. Mary and All Angels Christian Church (the “Borrower”) which is an organization described in Section 501(c)(3) of the Internal Revenue Code of 1986 (the “Code”) has requested that the California Municipal Finance Authority (the “Authority”) adopt a plan of financing providing for the issuance of qualified 501(c)(3) bonds as defined in Section 145 of the Code in one or more series issued from time to time, including bonds issued to refund such qualified 501(c)(3) bonds in one or more series from time to time, and at no time to exceed $35,000,000 in aggregate principal amount (the “Bonds”), to: (1) finance and/or refinance the acquisition, construction, rehabilitation, improvement, and equipping of St. Mary’s School located at 7 Pursuit, Aliso Viejo, CA 92656 (the “Project”); (2) fund a debt service reserve fund; and (3) pay certain expenses incurred in connection with the issuance of the Bonds.
Solely for purposes of Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”), and Section 4 of the Joint Exercise of Powers Agreement Relating to the California Municipal Finance Authority, dated as of January 1, 2004 (the “Agreement”), among certain local agencies, including the City, and for no other purpose, the City Council has been requested by the Authority to approve the issuance of the Bonds by the Authority because the project is within the territorial limits of the City.
Adoption of the attached resolution by the City Council would satisfy the requirements of Section 147(f) of the Code and Section 4 of the Agreement. The City shall have no obligation whatsoever to pay any principal, interest, fees or any other costs associated with the Authority’s issuance of the Bonds for the financing of the St. Mary’s School Project or for any other purpose.
Furthermore, the adoption of this Resolution shall not obligate the City or any department thereof to (1) provide any financing for the St. Mary’s School Project; (2) approve any application or request for or take any other action in connection with any planning approval, permit or other action necessary for the acquisition, construction, rehabilitation, improvement, and equipping of the St. Mary’s School Project; or (3) make any contribution or advance any funds whatsoever to the Authority.
A telephonic public hearing was held on April 11, 2024, by the CMFA, at 10:00 a.m. in regard to the financing. There were no comments from the public to report. 32
Public Notice:
A public notice was published in the Orange County Register on April 3, 2024, providing notice of the date and time of the public hearing for the proposed issuance held by CMFA.
City Attorney:
The City Attorney’s Office has reviewed the Resolution.

(SEAL)
36 City of Aliso Viejo
AGENDA ITEM
DATE: April 17, 2024
TO: Mayor and City Council
FROM: Lizzy Mendoza, Recreation & Community Services Manager SUBJECT: ALISO VIEJO RANCH FEES
Recommended Actions:
1. Conduct a Public Hearing;
2. Adopt a Resolution approving the Fee Schedule for facility rentals at Aliso Viejo Ranch; and
3. Authorize the City Manager to approve the FY 2024-25 Fee Schedule and to approve the annual fee adjustments in accordance with the Annual Consumer Price Index, All Urban Wage Earners and Clerical Workers, Los Angeles-Long Beach-Anaheim.
Fiscal Impact:
The total annual budget for the Recreation & Community Services Department includes salaries and benefits for all recreation staff, administration, maintenance, and program costs for Aliso Viejo Ranch. Programs currently provided at Aliso Viejo Ranch include contract classes, day camps, and facility rentals.
Staff analyzed annual costs specifically related to operations for the Aliso Viejo Ranch Facility Rental Program, which provides indoor and outdoor space for private events.
These costs include a percentage of full-time and part-time staff salaries and benefits, a percentage of the utilities, technology services, grounds and building maintenance, and debt service, as well as other direct operating costs. Total costs attributed to the Facility Rental Program are estimated at $1,031,869 annually.
The total projected revenue for FY 2023-24 is $450,000 for the facility rental program, resulting in a current cost recovery of approximately 44%.
The projected revenues, should the Council adopt the proposed fee schedule, would increase revenue for the facility rental program to $579,600. This would increase the cost recovery to 56%, while keeping Aliso Viejo Ranch rental fees competitive among comparable venues.
37
The proposed fee schedule would be implemented July 1, 2024, and staff will evaluate the City’s fee structure compared to other facilities in the marketplace every few years.
The fee schedule includes authorization for the City Manager to adjust the fee schedule annually, in accordance with the Annual Consumer Price Index, All Urban Wage Earners and Clerical Workers, Los Angeles-Long Beach- Anaheim. (CPI-W). Any adjustments beyond CPI will be presented to Council for consideration.
Background:
The Aliso Viejo Ranch (AV Ranch) Facility Rental Program fees were approved by the City Council in May of 2020 and the actual rental program was implemented in 2021 when the facility opened. Aliso Viejo Ranch allows the general public, non-profit organizations, and public agencies to use The Barn and surrounding patio spaces for private rental occasions and events. The program has been in operation for three years and has gained popularity and a reputation as a unique wedding and special occasion venue.
Discussion:
In FY 2023-24, the facility is projected to host 112 private rentals producing facility rental revenues of $450,000. Best operating practices recommend that every three years an evaluation of costs and fees should be conducted to ensure the business model is updated and is competitive in the marketplace. Staff conducted a thorough cost analysis, determined fee adjustments, and conducted a market study to ensure the fee adjustments would place the fees appropriately in the marketplace among comparable venues. The facility comparison criteria included a reception hall, ceremony space, a kitchen, 200 guests, and located within a 25-mile radius of AV Ranch.
Staff began the comparison study by reviewing surrounding Cities' community centers. It was determined that the unique characteristics of AV Ranch and the market that was attracted to AV Ranch were typically not the same as multi-purpose community centers.
The surrounding Cities' community center rental rates are less costly compared to AV Ranch; however, the volume of wedding and special occasion rentals at AV Ranch is drastically higher. The market seeking AV Ranch is typically shopping for a unique atmosphere and more private space. Staff refocused the comparison to include facilities that were in our market arena and shared more specific criteria. Five sites were identified, which included public and private facilities, all of which had similar characteristics to Aliso Viejo Ranch. Two of the five required mandatory use of in-house catering, which inflates the cost but were included because the facilities met the criteria of all the other comparisons. Excluding the two facilities, the other three venues’ comparison fee range was between $7,000 and $8,950. The AV Ranch proposed fee schedule would increase the current average rental rate from $5,717 to $7,830. The current cost recovery is 44% and the proposed increases would elevate the cost recovery to 56%. (Note: the cost recovery percentage includes $278,571 toward annual debt service of approximately $650,000). The fee adjustments that are proposed include flat rate adjustments for outdoor patio venues and an approximate 10% increase for the Barn. 38
The proposed fee schedule continues to bifurcate resident and non-resident rates. The proposed fee schedule includes an option package to encourage The Barn and Western Patio rental combinations. A discounted rate of 50% for the Western Patio is provided with the rental of Half Barn, ¾ Barn, or the Full Barn.
The historical rental pattern is that non-residents encompass 80% of the rentals and 20% of the rentals are residents. Resident rates are proposed to remain the same. Non-profit organizations, commercial, and public agency rentals are less than 5% of the rentals.
Non-profit, school district, commercial, and public agency rates are also proposed to remain the same. In FY 2023-24, AV Ranch is projected to host 112 private rental occasions and events and 5 non-profit/public agency events.
The proposed fee schedule, if adopted by the City Council, would be implemented July 1, 2024, and the City Manager would be authorized to approve annual adjustments in accordance with the Annual Consumer Price Index, All Urban Wage Earners and Clerical Workers, Los Angeles-Long Beach-Anaheim (CPI-W). The adjustment to the fees based upon the CPI-W annually will provide balancing of costs, cost recovery and staying current in the marketplace.

City of Aliso Viejo
AGENDA ITEM
DATE: April 17, 2024
TO: Mayor and City Council
FROM: Scott C. Smith, City Attorney
SUBJECT: ACTING CITY MANAGER EMPLOYMENT AGREEMENT
Recommended Actions:
1. Award Acting City Manager Mitzi Ortiz a 6.4% merit-based performance increase to her annual base salary in the position of Director of Government Services (for an increased annual base salary of $205,793.60), effective retroactively to her anniversary date of July 1, 2023, in accordance with City policy on merit increases.
2. Approve the Employment Agreement between the City of Aliso Viejo and Mitzi Ortiz for working out of class with the additional duties of Acting City Manager.
Fiscal Impact:
The salary increase in base compensation would amount to $12,378.56 annually. The out-of-class services Agreement provides for an additional $3,800 lump sum, plus a $3,684 monthly base augment for the time Ms. Ortiz continues in the additional duties of Acting City Manager. All amounts are within the City’s 2023-24 Fiscal Year budget parameters.
Background:
Mitzi Ortiz has served the City of Aliso Viejo as City Clerk since 2014 and as Director of Government Services since 2020. Since the recent separation of the City Manager, Ms.
Ortiz has been appointed as Acting City Manager, in addition to her regular duties, and it is anticipated she will continue to serve in that capacity for the period of time necessary to allow the Council to recruit and select an individual to serve as permanent City Manager or as Interim City Manager for an extended term. Ms. Ortiz has accepted the terms of this position as presented by the Council.
The City Council directed the City Attorney’s office to prepare an employment agreement setting forth the terms for Ms. Ortiz’ temporary employment in the position of Acting City Manager as provided in the attached Acting City Manager Employment Agreement. 55 Discussion:
The Aliso Viejo Municipal Code authorizes the Council to appoint an Acting City Manager, and State open meeting laws allow the City Council to propose terms of employment to unrepresented employees like the Director of Government Services. If those terms are accepted by the employee, the terms must be presented orally in a City Council meeting prior to final action. This agenda item presents that opportunity.
This agenda item provides Ms. Ortiz a merit-based pay increase for her current duties effective on her anniversary date of July 1, 2023, bringing her base compensation to $205,793.60. Additionally, pursuant to Council’s direction on April 3, 2024, upon approval of the proposed Acting City Manager Employment Agreement, Ms. Ortiz would receive a temporary augment to this base salary in the amount of $44,206.40 (for a total $250,000, pro-rated and paid at an hourly rate of $120.19 per hour up to a maximum of 40 hours per week, while serving out of class). This increased compensation would remain in effect for the duration of her assignment as Acting City Manager. The Agreement also provides for a one-time cash payment in the amount of $3,800 in recognition of her ongoing commitment to the City and her willingness to accept this appointment as Acting City Manager.

1. Proposed Acting City Manager Employment Agreement
56 ACTING CITY MANAGER EMPLOYMENT AGREEMENT
BETWEEN CITY OF ALISO VIEJO AND MITZI ORTIZ
This Employment Agreement for the position of Acting City Manager (“Agreement”) is made and entered into this 17th day of April, 2024 (the “Effective Date”), by and between Mitzi Ortiz (“Ortiz”), an individual, and the City of Aliso Viejo, a California municipal organization (“City”), collectively the “Parties.”
RECITALS
A. On March 20, 2024, City provided notice to its City Manager, of its intent to separate his employment effective April 19, 2024, resulting in the immediate need for a temporary successor to maintain the continuity and conduct of City business.
B. On March 20, 2024, the City Council appointed Ortiz to serve in the position of Acting City Manager on a temporary basis in order to meet these needs.
C. The City has commenced efforts to recruit for a permanent City Manager.
D. Ortiz is currently employed as the Director of Government Services at the City as a full-time employee.
E. Ortiz is entitled to receive additional compensation and benefits as consideration for assuming additional duties as the Acting City Manager in addition to her Director of Government Services duties.
F. Ortiz’s role as the Acting City Manager and her performance of the additional duties shall cease upon employment of a new City Manager, and at such time Ortiz shall return to performing the duties of her position as the Director of Government Services exclusively.
G. The Parties now desire to enter into the Agreement in order to set forth and approve the terms for Ortiz’s temporary employment in the position of Acting City Manager as set forth herein.
NOW, THEREFORE, in consideration of the foregoing mutual covenants and conditions, the Parties agree as follows:
1. Scope and Duties as Acting City Manager
A. Appointment and Employment: Subject to the terms and conditions of this Agreement, Ortiz formally accepts the City Council’s appointment and the City agrees to employ Ortiz as the City’s Acting City Manager.
B. Duties: As Acting City Manager, Ortiz shall report to the City Council and shall perform the duties of the City Manager as set forth in Chapter 2.06 of the Aliso Viejo Municipal Code. Ortiz, as Acting City Manager, shall have the authority provided in the Municipal Code and 57 -2-
as otherwise directed by the City Council, including to oversee and appoint subordinate City employees.
2. Term and Termination
A. Term: This Agreement shall take effect as of April 19, 2024, and shall remain in effect until such time as a new City Manager commences employment with the City or this Agreement is otherwise terminated as provided for herein.
B. At-Will Nature of Appointment: Ortiz understands that she has no constitutionally protected property or other interest in her employment as Acting City Manager and has no due process rights associated with this temporary appointment. Ortiz understands and expressly agrees that she serves in the Acting City Manager position on a temporary basis at the will and pleasure of the City Council and her temporary appointment may be rescinded and this Agreement terminated at any time by the City Council, without cause. Ortiz is not eligible for any severance benefits upon termination of this Agreement, regardless of the manner in which the appointment ends. The parties specifically agree that no advance notice is required to end her Acting appointment and specifically acknowledge that Section 2.06.130 of the Municipal Code does not apply to this Agreement or to any decision to end her Acting appointment.
C. Return to Former Position: Upon expiration or termination of this Agreement, Ortiz shall automatically return to her position as Director of Government Services at the corresponding rates of compensation and with all benefits then applicable to that position, without loss of longevity, benefits, or rights.
D. Ability to Resign: Nothing in this Agreement shall prevent, limit, or otherwise interfere with the right of Ortiz to resign at any time from the position of Acting City Manager, upon providing ten (10) days written notice to the City Council, at which time Ortiz shall return to her position as Director of Government Services.
3. Salary and Compensation.
A. Salary: Ortiz’s current annual base salary is $205,793.60 In recognition of Ortiz’s continued service and additional services under this Agreement, Ortiz shall receive:
1. A one-time cash payment of $3,800.00 in recognition of Ortiz’s ongoing commitment to her increased responsibilities and duties with her appointment as Acting City Manager; and
2. Compensation equal to an annual base salary of $250,000.00 per year (an hourly rate of $120.192 for up to 40 hours per week), for the duration of her acting assignment, and subject to applicable deductions and other withholdings while this Agreement remains in effect. As an exempt employee, Ortiz is not entitled to overtime compensation.
Thereafter, Ortiz will resume earning the compensation applicable to her position as Director of Government Services with her current annual salary of $205,793.60. If Ortiz remains in the 58 -3-
Acting position beyond July 1, 2024, her performance will be evaluated and she may receive an increase to her Director of Government Services salary in accordance with City policy.
B. Additional Benefits: The City shall pay to Ortiz the sum of Five Hundred Dollars ($550) per month as an automobile allowance and shall provide Ortiz a City cell phone at City expense. Ortiz will also be provided a City paid FasTrak transponder for toll road travel for City- related business.
4. General Provisions.
A. The terms of this Agreement are intended by the Parties as the final expression of their agreement regarding the Acting City Manager appointment and may not be contradicted by evidence of any prior agreement or contemporaneous oral agreement. The Parties further intend that this Agreement constitutes the complete and exclusive statement of its terms and that no extrinsic evidence whatsoever may be introduced in any judicial or arbitration proceeding, if any, involving this Agreement. Any amendments to this Agreement must be in writing and executed by both Parties.
B. If any term, covenant, condition, or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions shall remain in full force and effect and shall in no way be affected, impaired or invalidated thereby.
C. This Agreement shall be governed by the laws of the State of California. Ortiz and the City agree that venue for any dispute shall be in Orange County, California.
D. The Parties acknowledge that they understand the significance and consequences of this Agreement. The Parties also acknowledge that they have been given full opportunity to review and negotiate this Agreement and execute it only after full reflection and analysis, and that they have had an opportunity to review this document and its application and meaning with their respective attorneys and advisors. This Agreement shall not be interpreted against the party who prepared the initial draft because all Parties participated in the drafting of this Agreement by having ample opportunity to review and submit suggested changes or corrections for incorporation into the final version of this Agreement.
E. Ortiz may not assign this Agreement in whole or in part.
F. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. 59 -4-
IN WITNESS WHEREOF, the Parties have executed this Agreement as of the Effective Date first written above.
