BACKGROUND & ANALYSIS
On August 4, 2020, the Council approved the Napa Airport Corporate Center (Project) Development Agreement (DA) with Napa Airport Corporate Center l, LLC (Ordinance No. 2020-03, Agreement 2020-08). The DA provides the Owner with a 5-year vested right to develop the “Project Approvals” for the following entitlements that accommodate up to 193,741 square feet as follows:

These approvals allowed development of the Property with up to 261,541 square feet of industrial uses (warehouse, distribu*on, and/or E-commerce with accessory retail/office uses), and allowed the relaxa*on of certain lot size, front yard setbacks, and side yard landscaping requirements. The City condi*oned the approval of the Project on the Owner’s agreement to provide public infrastructure and other benefits to the City; and
5. On July 10, 2020, the Owner obtained approvals from the City for modifica*ons of the Condi*onal Use Permit/Design Permit for Building E on Lot 4 and Building G on Lot 5, which increased the area of preserved wetlands on Lot 4 and Lot 5, reduced the square footage and building site coverage of Building E and Building G, adjusted parking and loading consistent with the revised buildings and reduced overall development on the Property from approximately 261,541 square feet to approximately 193,741 square feet. 20 6. NACC Annual Report October 1, 2025
24 October 1, 2025
Mr. Brent Cooper, City Community Development Director
City of American Canyon
4381 Broadway Suite 201
American Canyon, CA 94503
RE: Annual Report for Development Agreement (the “Development Agreement”) by and between the City of American Canyon (the “City”) and Napa Airport Corporate Center I, LLC Dear Mr. Cooper,
G3 submits this letter to the City as the Annual Report required by Section 4.1 of the Development Agreement for the property commonly referred to as the Napa Airport Corporate Center (“Property”), which is described in Exhibit A of the Development Agreement, from Napa Airport Corporate Center I, LLC (“Prior Owner”), for the development of 5 buildings on 5 parcels (“Project”). This letter demonstrates good faith compliance with the terms of the Development Agreement (Gov’t Code § 65865.1).
Development Agreement Section 3.1: Project Summary
On July 31, 2018, the Prior Owner obtained approval from the City for: 1) a Tentative Subdivision Map for subdivision of the Property into five lots, including public road rights-of-way; 2) Conditional Use Permits approving a Conditional Use Permit for Buildings A and B on Lots 1 and 2); 3) Conditional Use Permit and Design Permit for Building E on Lot 4; 4) Conditional Use Permit and Design Permit for Building G on Lot 5. These approvals allowed development of the Property with up to 261,541 square feet of industrial uses (warehouse, distribution, and/or E-commerce with accessory retail/office uses), and allowed the relaxation of certain lot size, front yard setbacks, and side yard landscaping requirements. The City conditioned the approval of the Project on the Prior Owner’s agreement to provide public infrastructure and other benefits to the City.
On July 10, 2020, the Prior Owner obtained approvals from the City for modifications of the Conditional Use Permit/Design Permit for Building E on Lot 4 and Building G on Lot 5, which increased the area of preserved wetlands on Lot 4 and Lot 5, reduced the square footage and building site coverage of Building E and Building G, adjusted parking and loading consistent with the revised buildings and reduced overall development on the Property from approximately 261,541 square feet to approximately 193,741 square feet.
The Prior Owner consented to the inclusion of the Property in the Green Island Road Community Facilities District.
On June 12, 2023, G3 Kelly Devlin LLC (“G3”) acquired the Property.
EXHIBIT A
25 Development Agreement Section 3.2 and Section 3.5: Vested Rights and Subsequent Approvals In addition to the vested rights described in Section 3.2 of the Development Agreement, Prior Owner has obtained one Subsequent Approval from the City: A grading permit to allow for the export of stockpiled soil at the site (permit #DV21-0006, dated 7/13/21). This grading is not in preparation for the development of the Project.
Prior Owner obtained all requisite approvals and permits, related to the on-site wetlands, from the United States Army Corps of Engineers (“USACE”) and the San Francisco Bay Regional Water Quality Control Board (“SFBRWQB”). The SFBRWQB issued its Clean Water Act section 401 Water Quality Certification and Order on February 14, 2022. USACE issued its permit pursuant to section 404 of the Clean Water Act on May 27, 2022.
As a condition of the approvals for the on-site wetlands, G3 will construct wetlands mitigation at the neighboring Napa Logistics Wetland Preserve. In preparation for that construction, there is an Endowment Funding Agreement with DWF IV NLP II, LLC (Napa Logistics) and Golden State Land Conservancy, and 100% of its required funding for that endowment, totaling $200,890.06, was provided in June of 2021. G3 is working with its wetlands consultant and design team to complete the construction documents for the wetlands mitigation.
The Use Permits for Lots 1, 2, 4, and 5 require that G3 reimburse the City for its fair-share of the costs of two offsite projects: 1) sewer and pump station improvements, which are currently nearing completion; and 2) various road improvements at S. Kelly Road, including its intersections with SR-29 and Devlin Road, the design for which has not yet been completed. We understand that the City is in the process of confirming G3’s fair-share percentage of the sewer and pump station improvements.
Development Agreement Section 3.3: Public Benefits
The Project has and will continue to provide substantial public benefits to the City as described in Section 3.3 of the Development Agreement. The following sets forth the status of each required public benefit:
a) G3 will provide to the City: (1) the Irrevocable Offers of Dedication for the right-of-way necessary to accommodate the planned widening of South Kelly Road and the planned improvements to the intersection of South Kelly Road with both Devlin Road and SR 29 as shown on the final approved plans for these improvements; and, (2) the offers for public utility and public access easements, within thirty (30) days of receiving a notice from the City that approval of the final plans for the construction of the improvements associated with the particular requested right-of way and easement has been obtained from Caltrans, the City, and all other necessary governmental agencies and that construction of the improvements will proceed within sixty (60) days of the date of the notice. b) Pursuant to Section 2.10 of the Development Agreement, G3 has agreed to pay applicable City fees at the rates in existence at the time of the applicable application submittal or permit issuance as required by the terms of such fees. Fees applicable to the grading permit described above were paid, and G3 will pay any applicable fees for future submittals and approvals. 26 c) Development of the Project will provide additional substantial financial benefits to the City through increased taxes, sales, jobs, business license fees, and other sources. These financial benefits will accrue once the project is constructed and operational.
G3 is coordinating with the City on the S. Kelly Road widening project to incorporate project-specific improvements for which G3 is responsible, including a recycled water main, service laterals, and a curb return. G3 and the City are also drafting a reimbursement agreement for these improvements. By integrating this project-specific work into the City’s project, these improvements will be delivered to the public sooner, while also avoiding the need to cut into newly paved asphalt once the City’s roadway work is complete.
Minor Modification
On February 19, 2025, City staff approved Minor Modifications PL24-0016, PL24-0017, PL24-0023, and PL24-0024, which included refinements to site layout and parking, modernization of architectural designs, and slight increases to the square footage of Buildings E and G.
Development Agreement Section 3.4: Timing
In light of increased regional industrial vacancy rates, which have risen to over 14 percent, G3 requested a 10-year extension to the Development Agreement to allow additional time to identify qualified tenants and respond to market conditions. On August 5, 2025 the City Council approved a 5-year extension, extending the term of the NACC Development Agreement from September 3, 2025, to September 3, 2030 (File No. PL25-0008). G3 appreciates the City’s support in recognizing the current challenges in the industrial market and remains committed to advancing the project in a responsible, phased manner.
G3 intends to develop the project in phases at a rate driven by market demand for the buildings to be developed. As recognized by Section 3.4 of the Development Agreement, market conditions and demand, interest rates, and competition, among other factors, will impact the timing and completion of construction. Market conditions have significantly changed since the City and the Prior Owner entered into the Development Agreement, with much higher interest rates and a softening wine market and demand for industrial space. G3’s plan is to develop the buildings over time as new users are identified.
Sincerely,
Steve Lay, G3 Property Development Manager

Jason Holley, City Manager
BACKGROUND & ANALYSIS
Congressman Mike Thompson (CA-04) has introduced the Energy Independence and Affordability Act, legisla7on designed to restore cri7cal clean energy tax credits and incen7ves that were rolled back in prior federal legisla7on. These credits directly benefit families, small businesses, and manufacturers by lowering energy costs, s7mula7ng local economic growth, and advancing domestic clean energy innovation.
The Act focuses on:
Lowering costs for families and businesses through residen7al efficiency and renewable energy incentives.
Boos7ng clean energy produc7on by restoring credits for solar, wind, clean hydrogen, and advanced manufacturing.
Driving the automo7ve future with extended credits for electric and clean vehicles, as well as charging and refueling infrastructure.
According to the legisla7ve summary (A-achment 1), these measures collec7vely aim to enhance affordability, create clean energy jobs, strengthen U.S. manufacturing, and ensure America remains competitive in the global clean technology market.
Supporting this legislation aligns with the City’s adopted sustainability and climate action goals by:
Encouraging energy efficiency in homes and businesses.
Supporting renewable energy investment in the region.
Promoting economic resilience and job creation in clean energy sectors. 69 The City of American Canyon has consistently priori7zed sustainability ini7a7ves, including community energy programs, renewable power adop7on, and municipal efficiency upgrades. A le-er of support reinforces the City’s con7nued advocacy for state and federal policies that reduce carbon emissions and promote energy affordability.

1. Legislative Summary - Energy Independence and Affordability Act 70 THE AMERICAN ENERGY INDEPENDENCE AND AFFORDABILITY ACT Restoring Clean Energy Incentives. Lowering Costs for Families. Securing America’s Energy Future.
Congressional Republicans and President Trump have rolled back critical clean energy tax credits that helped families, small businesses, and manufacturers cut costs and innovate. With energy prices climbing and global competition intensifying, these rollbacks threaten American jobs, affordability, our clean energy leadership and add $170 billion to household energy bills.
The American Energy Independence and Affordability Act, led by Congressman Mike Thompson (CA-04), restores the key energy tax credits and incentives that were eliminated in the One Big Ugly Bill. This legislation will lower energy costs, boost U.S. manufacturing, and ensures America leads the clean energy economy.
What the bill does:
Lowers Costs for Families and Businesses
• Ensures households can confidently make their homes more efficient and reliable energy. • Reinstates credits for commercial building efficiency and cost recovery for renewable energy property.
Boosts Clean Energy Production
• Restores full credits for solar, wind, clean hydrogen, and advanced manufacturing. • Reestablishes stronger incentives for sustainable fuels to lower emissions in the hardestto-decarbonize sector.
Drives the Automotive Future
• Extends credits for clean vehicles, including previously owned electric vehicles, commercial clean vehicles, and charging/refueling infrastructure. • Ensures U.S. automakers and workers remain competitive as the global EV market expands.
Why this bill matters:
• Affordability: Families and businesses save money on energy bills with proven efficiency and clean power incentives.
• Jobs & Growth: Supports domestic clean energy manufacturing and construction jobs. • Leadership: Keeps America competitive against China in the clean tech race. • Climate Action: Restores incentives that reduce carbon emissions while strengthening energy security.
