1 BRIDGE A G R E E M E N T
THIS BRIDGE AGREEMENT ("Agreement"), dated for purposes of identification only this _____ day of __________, 2023, is made and entered into by and between the:
CITY OF ANAHEIM, a municipal corporation, hereinafter referred to as "ANAHEIM",

VALIANT GLOBAL DEFENSE SERVICES, INC., a California corporation, hereinafter referred to as "VALIANT."
ANAHEIM and VALIANT are sometimes individually referred to herein as "Party" and collectively as "Parties."
W I T N E S S E T H:
WHEREAS, ANAHEIM is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of the City of Anaheim; and WHEREAS, ANAHEIM has an existing Agreement with VALIANT, with a monetary limit, that is expected to terminate for lack of funds in April 2023, prior to the time a new service provider or new contract can be secured, due to the procurement process; and WHEREAS, ANAHEIM issued a Request for Proposals (“RFP”) on March 9, 2023, to procure a Senior Intelligence Analyst Supervisor, a Senior-level Intelligence Analyst, two (2) Mid- level Intelligence Analysts, four (4) Junior-level Intelligence Analysts, a Health Care Liaison Officer Program Coordinator, and a Cyber Intelligence Analyst for intelligence work to be performed at the Orange County Intelligence Assessment Center ("OCIAC"); and WHEREAS, responses to the RFP are due on April 6, 2023, after which ANAHEIM will enter into an agreement with the successful bidder; and WHEREAS, in the interim period until a new agreement is in place, ANAHEIM desires to retain VALIANT to provide intelligence analysis and technical services to assist the Anaheim 2 Police Department, through OCIAC, in its efforts to protect residents, visitors and critical infrastructure from acts of terrorism.
NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL
PROMISES, COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES AGREE AS FOLLOWS:
1. SERVICES TO BE PROVIDED BY VALIANT
In compliance with all of the terms and conditions of the Agreement between ANAHEIM and VALIANT d ated March 1, 2020, as amended (A GR ##s 11970 and 11970.1) copies of which are attached hereto as Exhibit 1 and incorporated herein by this reference (the Agreement”), VALIANT shall provide a Senior Intelligence Analyst Supervisor, a Senior -level Intelligence Analyst, two (2) Mid -level Intelligence Analysts, four (4) Junior -level Intelligence Analysts, a Health Care Liaison Officer Program Coordinator, and a Cyber Intelligence Analyst . who are qualified and security clearance eligible to perform the services set forth in the Agreement. for the term set forth in paragraph 2 below. Except as modified herein, all of the terms, conditions and obligations in the Agreement shall remain in full force and effect during the term of this Bridge Agreement.
2. TERM
The term of this Agreement shall commence on April 20, 2023 and shall terminate July 20, 2023, unless terminated earlier as set forth in Section 19 of the Agreement.
3. COMPENSATION
ANAHEIM shall pay VALIANT for the services rendered pursuant to this Bridge Agreement with the Pricing Proposal attached hereto as Exhibit 2. In no event shall the maximum compensation paid to VALIANT during the term of this Bridge Agreement exceed the sum of Three hundred Fifty Thousand Dollars ($350,000.00).
4. SECURITY
VALIANT shall comply with FAR Clause 52.204 -2 (Security) during the term of this Bridge Agreement.. VALIANT’s Unique Entity Identifier (UEI) Number is FEJJGETNAP31
5. EFFECTIVE DATE
This Bridge Agreement shall be effective on April 20, 2023 (“Effective Date”).
