THIS SECOND AMENDMENT TO AGREEMENT, dated for purposes of
identification only this day of , 2023 is made and entered into

hereinafter referred to as "ANAHEIM,"

BACKDRAFT OPCO LLC, DBA EMERGENCY REPORTING, a
Washington corporation, hereinafter referred to as "CONSULTANT."
W I T N E S S E T H:
WHEREAS, the parties have previously entered into a written agreement d ated August 2 , 2018 and a First A mendment to Agreement dated May 28, 2019, for the purchase, implementation and maintenance of a Fire Records Management System (together hereinafter, the “Agreement”); and
WHEREAS, the parties wish to amend the Agreement to extend the Agreement by an additional one (1) year.
NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE
MUTUAL PRO MISES, COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES HERETO AGREE AS FOLLOWS:
1. Section III. A. entitled, “Term; Time of P erformance; Authorization to Proceed; Implementation Process,” is hereby amended in its entirety to read as follows:
A. The Term of this Agreement shall commence on the Effective Date and shall continue for an initial Term of Three Years, unless terminated earlier as set forth in Section XI herein. The Parties may extend this Agreement for up to three (3) additional one (1) year Terms.
2 The Fire Chief of designee is authorized to extend the Term of this Agreement on behalf of Anaheim.”
2. Except as expressly amended hereby, al l the remaining provisions of the Agreement, as amended, shall remain in full force and effect.
3. CONSULTANT and CONSULTANT's signators represent that the signators hold the positions set forth below their signatures and that the signators are authorized to execute this Second Amendment to Agreement on behalf of CONSULTANT and to bind CONSULTANT hereto.
4. This Second Amendment to the Agreement shall be effective on the date on which this Agreement is executed by ANAHEIM.
