AMENDMENT NO. 1 TO MASTER AGREEMENT PURCHASE ORDER
This Amendment No. 1 to the Master Agreement Purchase Order (this “Amendment”) is entered into as of the dated last executed below (the “Effective Date”), by and between, City of Anaheim, having its principal place of business at 100 Anaheim Blvd., Anaheim, CA 92805- 3820 (“City”) and CalAmp Wireless Networks Corporation, a Delaware corporation, with its headquarters located at 15635 Alton Parkway, Suite 250, Irvine, CA 92618 (“CalAmp” or “Seller”) (“City,” “CalAmp,” and “Seller” and are referred to collectively herein as, the “Parties”, and each, a “Party”).
WHEREAS, the Parties entered into Master Agreement Purchase Order , dated May 19, 2021 (“Agreement’); and
WHEREAS, the Parties hereto desire to enter into this Amendment for the purpose of amending the Agreement as provided herein.
NOW, THEREFORE , in consideration of the mutual covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
1. The term of the Agreement shall be extended from June 1, 2023 to May 31, 2024 unless otherwise terminated pursuant to the provisions of the Agreement (“Renewal Term”). Pursuant to the Renewal Term, the City will have four (4) additional one (1) year renewal options in accordance with the terms of the Agreement.
2. During the Renewal Term or any additional one (1) year renewal options provided hereunder, the City shall pay CalAmp the fees set forth in the attached Exhibit A , Sales Quote dated May 2021, attached hereto.
3. Except as expressly provided in this Amendment, all of the terms and provisions of the Agreement are and will remain in full force and effect and are hereby ratified and confirmed by the Parties. Without limiting the generality of the foregoing, the amendments contained herein will not be construed as an amendment to or waiver of any other provision of the Agreement or as a waiver of or consent to any further or future action on the part of either Party that would require the waiver or consent of the other Party.
4. Entire Agreement. All preliminary and contemporaneous negotiations are merged into and incorporated in this Amendment. The Agreement, together with this Amendment, contains the entire agreement between the Parties and shall not be modified or amended in any manner except by an instrument in writing executed by the Parties hereto.
5. Headings. The headings in this Amendment are for reference only and do not affect the interpretation of the Amendment.
6. Counterparts. This Amendment may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
