2024-01 AMENDMENT
This 2024-01 Amendment, effective the date last signed below ("Effective Date"), by and between Insurity LLC, successor in interest to Systema Software LLC, ("Insurity") and City of Anaheim ("Customer," and together with Insurity, the "Parties") (this "Amendment") amends that certain Master Software and Professional Services Agreement dated August 30, 2016, as amended, by and between Insurity and Customer (the "Agreement").
WHEREAS, Parties amended the Agreement and extended the term by one (1) year via that certain 2023- 01 Amendment;
WHEREAS, Parties wish to again extend the term by one (1) year and for the fees stated herein; NOW THEREFORE, the Parties agree as follows:
1. Commencing on September 1, 2024, Appendix A, as amended, is hereby amended by deleting the following:
"1-Year Term License (Sept. 1, 2023 —Aug. 31, 2024) $74,717/year" and replacing with:
"1-Year Term License (Sept. 1, 2024 — Aug. 31, 2025) $115,000/year"
2. Commencing on the September 1, 2024, Appendix A, as amended, is hereby amended by deleting "Payment Terms" and the corresponding paragraphs thereunder and replacing with:
"Licensee shall pay $115,000.00, due in full, Net 30, upon receipt of invoice."
3. The terms and conditions contained in this Amendment are valid until August 31, 2024. In the event this Amendment is not accepted or executed within such period, it shall be deemed to be null and void and of no further effect.
Except as provided in this Amendment, all other terms and conditions of the Agreement shall remain in full force and effect. In the event there are any conflicts among the terms of this Amendment and the Agreement, this Amendment shall control. Any capitalized term used but not so defined in this Amendment shall have the meanings assigned to such terms in the Agreement. This Amendment may be executed in one or more counterparts, by facsimile or otherwise, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. <signature page follows>
