Re: Development Agreement No. 2016-00001 Annual Review Dear Ms. Thienprasiddhi and Mr. White:

This letter is submitted in order to initiate the City's annual review of Development Agreement No. 2016 00001—(-the-Development—Agreement"), which relates to a AAA—F-our—Diamond—Hotel—project ("Project") to be developed by Good Hope International ("GHI").

On January 14, 2020, the Council approved Ordinance No. 6476, extending the term of the Development Agreement to 10 years. As previously confirmed by the City, the term of the Development Agreement was thereafter extended an additional 180 days, pursuant to the agreement's force majeure clause, as a result of events related to the COVID-19 pandemic. Subsequently, on October 04, 2022, City Council approved to extend the term of the Development Agreement an additional 2 years and 180 days, to June 12, 2031.

The Development Agreement has undergone five prior annual reviews, during which GI-II was determined to be in compliance with the Development Agreement.

Section 6.6 of the Development Agreement required GHI to make a $100,000 cash payment to the City upon the earlier of "(a) the issuance of a demolition or grading permit for the Project, whichever occurs first, or (b) the first anniversary of the Effective Date of the Authorizing Ordinance." (DA § 6.6.) GHI made such payment in October 2019, well before it was due. GHI does not have any other current obligations under the Development Agreement, and is thus in full compliance with the Development Agreement.

Sincerely,
