10.2 Each insurance policy required by this Agreement shall contain the following clause or shall otherwise provide for the following conditions: “This insurance shall not be cancelled, or limited in scope or coverage, until after thirty (30) days prior writ ten notice has been given to the City Clerk, City of Anaheim, 200 S. Anaheim Blvd., Anaheim, CA 92805, 6 except in the event of cancellation for non -payment of premium which shall provide for not less than ten (10) days' notice.”

10.3 Each insurance policy required by this Agreement, excepting policies for Professional Liability and Workers’ Compensation, shall contain the following clauses or shall otherwise provide for the following conditions:
.01 “It is agreed that any insurance maintained by CONTRACTOR, pursuant to this Agreement, shall be primary to, and not contribute with, any insurance or self - insurance maintained by the City of Anaheim.”

Insurance required hereunder shall be placed with insurers (i) admitted to write insurance in California, (ii) possessing an A. M. Best’s rating of A VII or higher, or (iii) otherwise acceptable to ANAHEIM, with prior written permission from ANAHEIM. In the event that a claim or other legal action is filed against ANAHEIM, and if ANAHEIM, in its good faith opinion, believes it may have coverage under any of the insurance required herein, then ANAHEIM has the right to demand, and to r eceive within a reasonable time period, copies of the insurance policies related to such required insurance; provided, however, that this provision shall not apply if the parties agree that CONTRACTOR shall fully defend, hold harmless, and indemnify ANAHEIM against any such claim or other legal action.

10.5 In addition to other remedies ANAHEIM may have if CONTRACTOR fails to provide or maintain any insurance policies or policy endorsements to the extent and within the time herein required, ANAHEIM may, at its sole option:
.01 Order CONTRACTOR to stop work under this Agreement and/or withhold any payment(s) which become due to CONTRACTOR hereunder until CONTRACTOR demonstrates compliance with the requirements hereof; or .02 Terminate this Agreement.
7 Exercise of any of the above remedies, however, is an alternative to other remedies ANAHEIM may have and is not the exclusive remedy for CONTRACTOR’s failure to maintain insurance or secure appropriate endorsements.

10.6 Nothing herein contained shall be construed as limiting in any way the extent to which CONTRACTOR may be held responsible for payments of damages to persons or property resulting from CONTRACTOR’s, (or CONTRACTOR’s contractors/subcontractor, if any) performance of the work covered under this Agreement.

10.7 In the event CONTRACTOR hires other persons or firms to perform some of the work related to this Agreement, CONTRACTOR shall ensure, and certify to ANAHEIM in writing that: (i) the acts or omissions of such persons or firms are covered under the above - referenced liability insurance; or (ii) such firms maintain insurance equal to or better than, and subject to the same limits, terms and conditions as, the insurance required of CONTRACTOR under this Agreement (except for firms which are not performing professional services-such firms shall not be required to carry the above -referenced professional liability insurance); and in either instance, CONTRACTOR shall provide, or cause to be provided, evidence of such insurance coverage, reasonably acceptable to ANAHEIM.

10.8 ANAHEIM’s Risk Manager is hereby authorized to amend the requirements set forth herein in the event he determines that such amendment is in ANAHEIM’s best interest.

11. INDEMNIFICATION

11.1 As respects acts, errors or omissions in the performance of professional services, CONTRACTOR agrees to indemnify and hold harmless ANAHEIM, its officials, officers, and employees from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature, directly arising out of the negligent acts, errors or omissions of the CONTRACTOR or any SUB -AGENT in the performance of professional services under this Agreement.

12. PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS
The Parties recognize that a substantial inducement to ANAHEIM for entering into this Agreement is the professional reputation, experience and competence of CONTRACTOR.

Neither the whole nor any interest in, nor any of the rights or privileges granted under this Agreement shall be assigned, transferred or encumbered in any way without the prior written consent of ANAHEIM. Any such purported assignment, transfer, encumbrance, pledge, subuse, or permission given without such consent shall be void as to ANAHEIM. If ANAHEIM approves an assignment or transfer, this Agreement and the covenants and conditions contained herein shall be binding upon and inure to the benefit of and shall apply to the permitted successors and assigns of CONTRACTOR.

13. SUBCONTRACTING
CONTRACTOR shall not subcontract any portion of the work to be performed under this Agreement without the prior written authorization of ANAHEIM. CONTRACTOR shall be fully responsible to ANAHEIM for all acts and omissions of any approved subcontractor.

Nothing in this Agreement shall create any contractual relationship between ANAHEIM and subcontractor nor shall it create any obligation on the part of ANAHEIM to pay or to see to the payment of any monies due to any such subcontractor other than as otherwi se required by law.

ANAHEIM is an intended beneficiary of any work performed by any subcontractor for purposes of establishing a duty of care between the subcontractor and ANAHEIM pursuant to this Agreement.

14. CONFIDENTIALITY
All documents, including employee information or data and reports or communications that result from the Services provided under this Agreement, shall be kept confidential by CONTRACTOR unless ANAHEIM authorizes, in writing, the release of said information.

15. RECORDS
CONTRACTOR shall keep records and invoices in connection with the work to be performed under this Agreement. CONTRACTOR shall maintain complete and accurate records with respect to the costs incurred under this Agreement and any services, expenditures and disbursements charged to ANAHEIM, for a minimum period of three (3) years, or for any longer period required by law, from the date of final payment to CONTRACTOR under this Agreement. 9 All such records and invoices shall be clearly identifiable. SCOPE OF SERVICES

The vendor will provide short-term counseling for employees of the Police and Fire Departments and/or the employee’s immediate family members who live within the family residence, with a signed consent form. During short-term counseling, additional unrelated trauma, concerns, or issues may occur. The vendor should be able to evaluate if this is a separate major issue which should be addressed warranting additional sessions.

The vendor recognizes with shift work, personnel get held over or mandated to work, sometimes within twelve (12) hours of an appointment. When a late notice cancellation occurs and it is because the Anaheim Police Department or Anaheim Fire Department mandates an employee to be held over or to work, the vendor should not hold this against the employee monetarily or as a loss of counseling sessions.

The vendor will provide peer support services for the Police and Fire Departments, including consultation with supervisors regarding such services, and orientation training for all employees and new employees, as needed.

At minimum, the vendor will conduct an overview of services once a year and provide multiple sessions to ensure all employees have an opportunity to attend. The locations will vary.

The vendor agrees to perform psychotherapy, clinical evaluations and other psychological services as required by the Police Department and Fire Department.

At the request of the Chief of Police, Fire Chief or their designee, the vendor will conduct interviews of Police Department or Fire Department employees who are involved in critical incidents for the purpose of assisting the employee in the processing of the incident.

• The vendor must be able to have personnel available to respond to critical incidents and designated location within one to two hours.

• The vendor will meet with an employee no more than three (3) times for any given critical incident without approval from the Chief of Police or designee for additional sessions. This constraint is based upon each critical incident.

• At the conclusion of such debriefing session(s), the vendor will advise the Chief of Police or Fire Chief if, in the vendor’s opinion, the employee cannot continue his or her full normal and customary duties and if the employee needs to be referred for a Fitness for Duty evaluation. Where the critical incident was an officer involved shooting, once the vendor finds the officer is psychologically fit to return to his or her full normal and customary duties, the vendor will provide a letter to the Chief releasing the employee to full duty.

The vendor will be available, at the request of the Chief of Police, Fire Chief or their designee, for emergency call outs beyond normal business hours for interviews of Police Department or Fire Department employees who are involved in critical incidents.

The vendor must have personnel available 24 hours a day, 7 days a week, including holidays, to respond to emergency call outs within two (2) hours.

When requested by the Chief of Police, the vendor will perform services in connection with psychological evaluations for final entry level candidates for police officer, police dispatcher, detention officer, and police reserve officer, to assess their psychological fitness for the job. The vendor will accommodate requests for such appointees within ten (10) working days and will submit full reports with recommendations of fitness for duty within five (5) days after testing and interviews have been completed. If requested, the vendor shall consult with the Police Department concerning the testing program.

The vendor agrees that services to be performed at the City of Anaheim’s request pursuant to this RFP are on a non-exclusive basis.

The Police Department conducts quarterly peer support training. The Fire Department also performs training at various times. It is important the vendor can attend the quarterly sessions and provide training as requested by the Peer Support team.

Both Departments recognize the importance of providing training and information to all employees, which includes providing them information and training regarding topics which will assist them, and their families. It is important our personnel understand topics such suicide prevention, mental health and wellness, stress management, sleep and resiliency. At times, the Departments provide training in these areas or provide a location free of charge to the presenter. When Anaheim hosts courses, the vendor will provide two (2) free spots to Anaheim with a minimum of 20 students.

The Police Department ’s Tactical Response Group (TRG) is requested to respond to tactical incidents which exceed the training and capabilities of patrol or other on-duty personnel.
