AGREEMENT
THIS AGREEMENT, dated for purposes of identification only this day of , 2025, is made and entered into by and between the
CITY OF ANAHEIM, a municipal corporation,
hereinafter referred to as "ANAHEIM,"
A
WOODARD & CURRAN, INC., a Maine corporation,
hereinafter referred to as "CONSULTANT."
ANAHEIM and CONSULTANT are sometimes individually referred to herein as "Party" and collectively as "Parties."
WITNES SETH:
WHEREAS, ANAHEIM is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of the City of Anaheim; and
WHEREAS, ANAHEIM desires to obtain the services of CONSULTANT for civil engineering services related to the Citywide Sanitary Sewer Improvement Program (the "Project"); and
WHEREAS, CONSULTANT possesses the skill, experience, ability, background, certification and knowledge to provide the services for the Project as described in this Agreement; and
WHEREAS, ANAHEIM has solicited and received a proposal from CONSULTANT, has reviewed the previous experience and evaluated the expertise of CONSULTANT, and desires to retain CONSULTANT to render professional services under the terms and conditions set forth in this Agreement.
NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL
PROMISES, COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES HERETO AGREE AS FOLLOWS:
1 1. SERVICES TO BE PROVIDED BY CONSULTANT
In compliance with all of the terms and conditions of this Agreement, CONSULTANT shall provide to ANAHEIM all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply the professional consulting services necessary for the Project ("Services"). The Services include, but are not limited to the following: (1) Cost effective sanitary sewer design to complete the Project. (2) Flow monitoring, and all tasks listed in the updated Proposal, incorporation of best management practices and Preliminary Design Report (PDR); (3) QA/QC plan; (4) management data files in a form usable by the City of Anaheim; (5) hard copies of the report that meet the City requirements; and (6) on-going support as needed by City staff and are more particularly described in the CONSULTANT' s Proposal with the revised date of December 5 th, 2024 ("Proposal"), attached hereto as Exhibit "A" and incorporated herein and in the Request for Proposal ("RFP") issued by ANAHEIM, a copy of which is available in the Depai tment of Public Works upon request and are both incorporated herein by this reference ("Scope of Services"). ANAHEIM reserves the right to modify the Scope of Services in its sole discretion.
In the event of conflicting provisions, the provisions shall govern in the following order: (1) this Agreement, (2) the updated Proposal and (3) the RFP. ANAHEIM may elect to delete certain tasks from the Scope of Services in its sole discretion.
2. TERM
The term of this Agreement shall commence on the Effective Date of this Agreement as set forth in Section 38 herein, and shall terminate upon the completion of the Services described herein, unless terminated earlier as set forth in Section 25 herein ("Term").
3. TIME OF PERFORMANCE
3.1 ANAHEIM and CONSULTANT recognize that time is of the essence as to this Agreement and that ANAHEIM may suffer damages which are difficult to determine and accurately specify, such as lost grant funds, additional contract administration expenses, if the Services are not completed within the time specified in the Project Schedule attached hereto as Exhibit "A." CONSULTANT and ANAHEIM agree to liquidate damages with respect to CONSULTANT's failure to achieve completion of the Services within the times provided in the Project Schedule. CONSULTANT acknowledges and agrees that the liquidated damages are intended to compensate ANAHEIM solely for CONSULTANTSs failure to meet the deadline for completion and shall not excuse CONSULTANT from liability from any other breach, including any failure of any of the work to conform to any requirements provided by local, state or federal laws, rules and regulations.
In the event that CONSULTANT fails to achieve completion of the work within the time frame designated in the Project Schedule, CONSULTANT agrees to pay ANAHEIM the following:
(a) $ 150 per day for each calendar day that completion of the work is delayed.
CONSULTANT acknowledges and agrees that the foregoing liquidated damages have been set based on an evaluation by ANAHEIM of damages that it will incur in the event of 2 the late completion of the work per the Project Schedule and Scope of Services. CONSULTANT and ANAHEIIVI agree that because of the nature of the Project it would be impractical or extremely difficult to fix the amount of actual damages incurred by ANAHEIM due to a delay in completion of the work. Accordingly, ANAHEIM and CONSULTANT have agreed to such liquidated damages to fix CONSULTANT' s costs and to avoid later disputes. It is understood and agreed by CONSULTANT that any liquidated damages payable pursuant to this Agreement are not a penalty and represent a fair and reasonable estimate of compensation for losses to be incurred under the circumstances existing as of the effective date of this Agreement.
It is further mutually agreed that ANAHEIM shall have the right to deduct liquidated damages against progress payments or retainage. In the event the remaining unpaid Contract Amount is insufficient to cover the full amount of liquidated damages, CONSULTANT shall pay the difference to ANAHEIM.
Permitting or requiring CONSULTANT to continue and finish the Services or work, or any part thereof, after the deadline for completion shall not act as a waiver of ANAHEIM' s right to receive liquidated damages hereunder or any rights or remedies otherwise available to ANAHEIM.
3.2 The time period(s) specified for performance of the Services rendered pursuant to this Agreement shall be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of CONSULTANT, including, but not restricted to, acts of God or of the public enemy, unusually severe weather, fires, earthquakes, floods, pestilence, and other natural catastrophes, epidemics, quarantine restrictions, riots, strikes, freight embargoes, wars, litigation, civil disturbance or disobedience, sabotage, restraint by court order or public authority and action or non-action by or inability to obtain the necessary authorization or approvals from any governmental agency or authority, and/or acts of any governmental agency, including ANAHEIM, which by the exercise of due diligence such Party could not reasonably have been expected to avoid and which by exercise of due diligence has been unable to overcome, if CONSULTANT shall within ten (10) days of the commencement of such delay notify the Project Administrator in writing of the causes of the delay. The Project Administrator shall ascertain the facts and the extent of delay, and may extend the time for performing the Services for the period of the enforced delay if, in the judgment of the Project Administrator, such delay is justified. The Project Administrator's determination shall be final and conclusive upon the Parties to this Agreement. In the event of delay, however caused, CONSULTANT's sole remedy shall be an extension of this Agreement pursuant to this Section and CONSULTANT shall not be entitled to recover damages against ANAHEIM.
4. COMPENSATION
4.1 ANAHEIM shall pay CONSULTANT for the Services rendered, pursuant to this Agreement, in the amount of Eight Hundred and Sixty-Nine Thousand, Two Hundred Seventy-Five Dollars and No/100 Cents ($869,275.00) pursuant to the fee proposal set forth in Exhibit A and incorporated herein by reference ("Schedule of Compensation"). CONSULTANT and ANAHEIM agree that no changes to the fee proposal set forth in Exhibit A shall be made during the term of this Agreement without the prior written approval of ANAHEIM. 3 4.2 Extra Work. The Director of Public Works is authorized to approve additional expenditures to be paid to CONSULTANT, pursuant to this Agreement, for Extra Work not included in the Scope of Services, in the amount of Eighty-Six Thousand, Nine Hundred and Twenty-Seven Dollars and 50/100 Cents ($86,927.50) if the Director of Public Works determines, in his or her sole discretion, that the additional Extra Work is necessary for the successful completion of the Services.
.01 In no event shall CONSULTANT render Extra Work beyond the scope of this Agreement without the written authorization of the Director of Public Works. .02 All Extra Work approved in writing by the Director of Public Works shall be billed at either the rates set forth in the Schedule of Compensation or at a fixed price, at ANAHEIM' s sole discretion. If billed at a fixed price, CONSULTANT shall provide ANAHEIM with general description of the Extra Work to be performed with a proposed price. At such time as the Director of Public Works has approved the Extra Work, has agreed to a fixed price for the services, and has notified CONSULTANT of such approval and agreement in writing, CONSULTANT shall perform the Extra Work.
.03 Except as specifically provided herein, no additional Services or Extra Work beyond the scope of this Agreement shall be rendered by CONSULTANT unless previously authorized in writing by the City Manager.
.04 As used herein, "Extra Work" means any work that is determined by ANAHEIM to be necessary for the proper completion of the Services, but which is not included within the Scope of Services and which the Parties did not reasonably anticipate would be necessary at the execution of this Agreement.
4.3 It is understood by and agreed between the Parties to this Agreement that full and complete payment for all Services provided in accordance with this Agreement, including, but not limited to, all Extra Work, reimbursable expenses and subconsultant fees, if any, shall not exceed Nine Hundred and Fifty-Six Thousand, Two Hundred Three Dollars and No/100 Cents ($956,203.00).
4.4. CONSULTANT shall submit monthly invoices to ANAHEIM describing the work performed the preceding month. CONSULTANT' s bills shall include the name of the person who performed the work, a brief description of the Services performed and/or the specific task in the Scope of Services to which it relates, the date the Services were performed, the number of hours spent on all work billed on an hourly basis, and a description of any reimbursable expenditures. ANAHEIM shall pay CONSULTANT no later than thirty (30) days after approval of the monthly invoice by ANAHEIM staff.
4.5 All Parties recognize that the continuation of this Agreement after the close of any fiscal year of ANAHEIM, which fiscal year ends on June 30 of each year, shall be subject to budget approval providing for or covering such contract items as an expenditure in said budget.
ANAHEIM does not represent that said budget item will be actually adopted, said determination being the determination of the City Council at the time of the adoption of the budget herein. No penalty shall accrue to ANAHEIM in the event this provision shall be exercised. Should termination be accomplished in accordance with this Section, a settlement shall be negotiated by 4 the Parties based on items delivered, services provided, monies paid and monies due.
5. PROJECT MANAGER
5.1 CONSULTANT shall designate a Project Manager, who shall coordinate the Services. This Project Manager shall be available to ANAHEIM at all reasonable times during the Term of this Agreement. CONSULTANT has designated Mirko Maher to be its Project Manager. It is expressly understood that the experience, knowledge, capability and reputation of the foregoing Project Manager is a substantial inducement for ANAHEIM to enter into this Agreement. Therefore, the foregoing Project Manager shall be responsible during the Term of this Agreement for directing all activities of CONSULTANT and devoting sufficient time to personally supervise the provision of Services hereunder. The foregoing Project Manager may not be changed by CONSULTANT and no other personnel may be assigned to supervise the Services to be provided hereunder without the express written consent of ANAHEIM.
5.2 Any personnel or subconsultant, if any, who fail or refuse to perform the Services in a manner acceptable to ANAHEIM, or who are determined by ANAHEIM, in its sole discretion, to be uncooperative, incompetent, a threat to the adequate or timely completion of the Project, or a threat to the safety of persons or property, shall be promptly removed from the Project by CONSULTANT at the request of ANAHEIM. CONSULTANT warrants that it will continuously furnish the necessary personnel to complete the Services on a timely basis as contemplated by this Agreement.
6. ADMINISTRATION
This Agreement will be administered by the Public Works Department. The employees of the Public Works Department shall be authorized to take the following actions pursuant to this Agreement:
(i) The Director of Public works is authorized to take any and all actions on behalf of ANAHEIM as set forth herein and to terminate services in accordance with Section 25 of this Agreement.
(ii) The Project Administrator is authorized to take those specific actions set forth herein and review and approve all Services performed by CONSULTANT under this Agreement. The Project Administrator shall not be authorized to approve Extra Work, change billing rates or terminate Services under this Agreement.
7. STANDARD OF CARE
7.1 CONSULTANT shall perform all Services under this Agreement in a skillful and competent manner, consistent with the standards generally recognized as being employed by professionals in the same discipline in the State of California. CONSULTANT represents and maintains that it is skilled in the professional calling necessary to perform the Services. CONSULTANT warrants that all employees and subconsultants, if any, shall have sufficient skill and experience to perform the Services assigned to them. By delivery of completed work, CONSULTANT certifies that the work conforms to the requirements of this Agreement; all applicable federal, state and local laws; and the professional standard of care. 5 7.2 CONSULTANT represents and warrants to ANAHEIM that it has, shall obtain, and shall keep in full force in effect during the term hereof, at its sole cost and expense, all licenses, permits, qualifications, insurance and approvals of whatsoever nature that is legally required of CONSULTANT to practice its profession. CONSULTANT shall maintain a City of Anaheim business license during the term of this Agreement.
8. FAMILIARITY WITH WORK
By executing this Agreement, CONSULTANT represents and warrants that CONSULTANT: (i) has thoroughly investigated and considered the Services to be performed; (ii) has carefully considered how the Services should be provided; and (iii) fully understands the facilities, difficulties and restrictions attending the provision of the Services under this Agreement.
Should CONSULTANT discover any latent or unknown conditions materially differing from those inherent in the provision of such Services or as represented by ANAHEIM, CONSULTANT shall immediately inform ANAHEIM of such fact and shall not proceed except at CONSULTANT's risk until written instructions are received from ANAHEIM.
9. INDEPENDENT CONTRACTOR
9.1 Neither ANAHEIM nor any of its employees shall have any control over the manner, mode or means by which CONSULTANT, its agents or employees, perform the services required herein, except as otherwise set forth herein. Except as expressly provided herein, ANAHEIM shall have no voice in the selection, discharge, supervision or control of CONSULTANT's employees, servants, representatives or agents, or in fixing their number, compensation or hours of service. CONSULTANT shall perform all services required herein as an independent contractor of ANAHEIM and shall remain at all times as to ANAHEIM a wholly independent contractor with only such obligations as are consistent with that role. CONSULTANT shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of ANAHEIM. ANAHEIM shall not in any way or for any purpose become or be deemed to be a partner of CONSULTANT in its business or otherwise or a joint venture or a member of any joint enterprise with CONSULTANT.
9.2 In consideration for the compensation paid to CONSULTANT by ANAHEIM, CONSULTANT agrees that ANAHEIM shall not be liable or responsible for any benefits, including, but not limited to, worker's compensation, disability, retirement, life, unemployment, health or any other benefits and CONSULTANT agrees that it shall not sue or file a claim, petition or application therefore against ANAHEIM or any of its officers, employees, agents, representatives or sureties.
10. INSURANCE
Without limiting ANAHEIM'S right to indemnification, it is agreed that CONSULTANT shall secure, prior to commencing any activities under this Agreement, and maintain, during the term of this Agreement, insurance coverage as follows:
Workers' Compensation Insurance as required by California law and Employers Liability Insurance in an amount not less than $1,000,000 per occurrence/accident/illness/injury. 6 Commercial General Liability Insurance, including coverage for Premises and Operations, Contractual Liability, Personal Injury Liability, Products/Completed Operations Liability, as well as Independent CONSULTANT'S Liability where appropriate, in an amount not less than $2,000,000 per occurrence, $4,000,000 annual aggregate, written on an occurrence form.
Such insurance shall be written on a primary basis but may include a deductible or self-insured retention of more than $10,000 per occurrence, provided that such deductible or self-insured retention is disclosed to ANAHEIM, in writing, at the inception of this Agreement.
Commercial Automobile Liability Coverage including—as applicable—owned, non-owned, and hired autos, in an amount not less than $2,000,000 per occurrence, combined single limit, as required by California law.
Professional Liability Insurance, inclusive of Cyber Liability Insurance where required, in an amount not less than $2,000,000 per occurrence or per claim. Such insurance shall be written on a primary basis, but may include a deductible or self-insured retention of more than $10,000 per occurrence, provided that such deductible or self-insured retention is disclosed to ANAHEIM, in writing, at the inception of this Agreement. Any required coverage written with primary and excess layers to satisfy the minimum requirements of this Agreement must be submitted for approval by ANAHEIM' s Risk Manager prior to the inception of the final Agreement.
CONSULTANT agrees that this insurance shall not be voluntarily cancelled by CONSULTANT or limited in scope or coverage by CONSULTANT until after thirty (30) days prior written notice has been given to the City Clerk, City of Anaheim, 200 S. Anaheim Blvd., Anaheim, CA 92805. This does not apply to cancellation for non-payment of premium, which requires notice of not less than ten (10) days.
Each insurance policy required by this Agreement shall contain the following clause or shall otherwise provide for the following conditions:
Each insurance policy required by this Agreement, except policies for Professional Liability and Workers' Compensation, shall contain the following clauses or shall otherwise provide for the following conditions:
"It is agreed that any insurance maintained by CONSULTANT pursuant to this Agreement shall be primary to, and not contribute with, any insurance or self- insurance maintained by the City of Anaheim."
"The City of Anaheim, its officers, agents, employees, representatives and ANAHEIM- designated volunteers are added as additional insured as respects the acts, omissions, operations and activities of, or on behalf of, the named insured, in regard to products supplied to, or work or services performed for, or related to, the City of Anaheim." Prior to commencing any work under this Agreement, CONSULTANT shall deliver to ANAHEIM insurance certificates confirming the existence of the insurance required under this Agreement, and including the applicable clauses referenced above. Also, within thirty (30) days of the execution date of this Agreement, CONSULTANT shall provide ANAHEIM (i) endorsements to the insurance policies that add to these policies the applicable clauses referenced above, or (ii) in lieu of said endorsements, documentation acceptable to ANAHEIM evidencing 7 that the coverage, terms, and conditions set forth in the above-referenced clauses are otherwise included in said insurance policies. Insurance required hereunder shall be placed with insurers (i) admitted to write insurance in California, (ii) possessing an A. M. Best's rating of A VII or higher, or (iii) otherwise acceptable to ANAHEIM, with prior written permission from ANAHEIM. In the event that a claim or other legal action is filed against ANAHEIM, and if ANAHEIM, in its good faith opinion, believes it may have coverage under any of the insurance required herein, then ANAHEIM has the right to demand, and to receive within a reasonable time period, copies of the insurance policies related to such required insurance; provided, however, that this provision shall not apply if the parties agree that CONSULTANT shall fully defend, hold harmless, and indemnify ANAHEIM against any such claim or other legal action.
In addition to other remedies ANAHEIM may have if CONSULTANT fails to provide or maintain any insurance policies or policy endorsements to the extent and within the time herein required, ANAHEIM may, at its sole option:
Order CONSULTANT to stop work under this Agreement and/or withhold any payment(s) that become due to CONSULTANT hereunder until CONSULTANT demonstrates compliance with the requirements hereof;
Terminate this Agreement.
Exercise of any of the above remedies, however, is an alternative to other remedies ANAHEIM may have and is not the exclusive remedy for CONSULTANT'S failure to maintain insurance or secure appropriate endorsements.
Nothing herein contained shall be construed in any way as limiting the extent that an CONSULTANT may be held responsible for payments of damages to persons or property resulting from CONSULTANT'S, (or CONSULTANT'S AGENT or SUB-AGENT, if any) performance of the work covered under this Agreement.
In the event CONSULTANT hires other persons or firms to perform some of the work related to this Agreement, CONSULTANT shall ensure (i) that the acts or omissions of such persons or firms are covered under the above-referenced liability insurance, or (ii) that such firms maintain insurance equal to or better than, and subject to the same limits, terms and conditions as, the insurance required of CONSULTANT under this Agreement (except for firms that are not performing professional services—such firms shall not be required to carry the above-referenced professional liability insurance); and in either instance, CONSULTANT shall provide, or cause to be provided, evidence of such insurance coverage, reasonably acceptable to ANAHEIM.
ANAHEIM'S Risk Manager is hereby authorized to amend the requirements set forth herein in the event that such reduction is in ANAHEIM'S best interest.
11. INDEMNIFICATION
As respects acts, errors or omissions in the performance of professional services, CONSULTANT agrees to indemnify and hold harmless ANAHEIM, its officials, officers, and employees from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature, to the extent directly arising out of the negligent acts, errors or omissions of the 8 CONSULTANT or any SUB-AGENT in the performance of professional services under this Agreement.
As respects all acts, errors or omissions that do not arise directly out of the performance of professional services, including but not limited to those acts, errors or omissions typically covered by general and automobile liability insurance, CONSULTANT agrees to indemnify, defend (at ANAHEIM'S option), and hold harmless ANAHEIM, its officials, officers, employees, agents, and representatives from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature (collectively referred to hereinafter as "Claims"), arising out of or in connection with CONSULTANT'S (or CONSULTANT'S AGENT or SUB- AGENT, if any) acts, errors, omissions, or work, relative to this Agreement; except for those Claims that arise out of the sole negligence or willful misconduct of ANAHEIM.
The obligations set forth in this indemnification provision (i) shall be in effect without regard to whether or not ANAHEIM, CONSULTANT, or any other person maintains, or fails to maintain, insurance coverage, or a self-insurance program, for any such Claims; and (ii) shall survive the termination of this Agreement.
12. PREVAILING WAGES
Where required pursuant to the provisions of the State of California Labor Code or the Davis Bacon Act, not less than the general prevailing rate of per diem wages including legal holidays, and overtime work for each craft or type of workman needed to execute the work contemplated under this Agreement, shall be paid to all workmen employed on the work to be done according to this contract by CONSULTANT or any approved Subcontractor, and shall be deemed to include employer payments for health and welfare, pension, vacation and similar purposes. If both the Davis-Bacon Act and State of California prevailing wage laws apply and the federal and state prevailing rate of per diem wages differ, CONSULTANT and Subcontractor, if any, shall pay the higher of the two rates. Said prevailing rate of per diem wages are on file at the City of Anaheim, Office of the City Clerk, 200 South Anaheim Boulevard, Anaheim, California 92805, and are available to any interested party on request.
13. PROGRESS
CONSULTANT is responsible for keeping the Project Administrator and/or his/her duly authorized designee informed on a regular basis regarding the status and progress of the Services, activities performed and planned, and any meetings that have been scheduled or are desired.
14. PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS
The Parties recognize that a substantial inducement to ANAHEIM for entering into this Agreement is the professional reputation, experience and competence of CONSULTANT.
Neither the whole nor any interest in, nor any of the rights or privileges granted under this Agreement shall be assigned, transferred or encumbered in any way without the prior written consent of ANAHEIM. Any such purported assignment, transfer, encumbrance, pledge, subuse, or permission given without such consent shall be void as to ANAHEIM. If ANAHEIM approves an assignment or transfer, this Agreement and the covenants and conditions contained herein shall 9 be binding upon and inure to the benefit of and shall apply to the permitted successors and assigns of CONSULTANT.
15. SUBCONTRACTING
Except for those subcontractors set forth in the Scope of Services, if any, CONSULTANT shall not subcontract any portion of the work to be performed under this Agreement without the prior written authorization of ANAHEIM. CONSULTANT shall be fully responsible to ANAHEIM for all acts and omissions of any approved subcontractor. Nothing in this Agreement shall create any contractual relationship between ANAHEIM and subcontractor nor shall it create any obligation on the part of ANAHEIM to pay or to see to the payment of any monies due to any such subcontractor other than as otherwise required by law. ANAHEIM is an intended beneficiary of any work performed by any subcontractor for purposes of establishing a duty of care between the subcontractor and ANAHEIM pursuant to this Agreement.
16. USE AND OWNERSHIP OF DOCUMENTS AND DATA
16.1 ANAHEIM shall furnish to CONSULTANT such documents and materials as may be relevant and pertinent to the provision of services hereunder as ANAHEIM may possess or acquire.
16.2 All documents and materials furnished by ANAHEIM to CONSULTANT pursuant to Section 16.1 shall remain the property of ANAHEIM and shall be returned to ANAHEIM upon termination of this Agreement, for any reason. All documents or material prepared or caused to be prepared by CONSULTANT, its officers, employees, agents and subcontractors, in the course of implementing this Agreement, shall become the exclusive property of ANAHEIM, and ANAHEIM shall have the sole right to use such materials in its discretion without further compensation to CONSULTANT or any other party. CONSULTANT shall, at CONSULTANT's sole cost and expense, provide such documents and material to ANAHEIM upon prior written request.
Documents and material prepared by CONSULTANT pursuant to this Agreement are not intended or represented to be suitable for reuse by ANAHEIM or others on any other project. Any use of completed documents for other projects and any use of incomplete documents without specific written authorization from CONSULTANT will be at ANAHEIM's sole risk and without liability to CONSULTANT. Further, any and all liability arising out of changes made to CONSULTANT's deliverables under this Agreement by ANAHEIM or persons other than CONSULTANT, is waived against CONSULTANT and ANAHEIM assumes full responsibility for such changes unless ANAHEIM has given CONSULTANT prior notice and has received from CONSULTANT written consent for such changes.
17. CONFIDENTIALITY
All documents, including drafts, preliminary drawings or plans, notes, ideas and communications that result from the Services provided under this Agreement, shall be kept confidential by CONSULTANT unless ANAHEIM authorizes, in writing, the release of said information.
10 18. INTELLECTUAL PROPERTY INDEMNITY
CONSULTANT shall defend and indemnify ANAHEIM, its agents, officers, representatives and employees against any and all liability, including costs, for infringement of any United States' letters patent, trademark, or copyright infringement, including costs, contained in the work product or documents provided by CONSULTANT to ANAHEIM pursuant to this Agreement.
19. RECORDS
CONSULTANT shall keep records and invoices in connection with the work to be performed under this Agreement. CONSULTANT shall maintain complete and accurate records with respect to the costs incurred under this Agreement and any services, expenditures and disbursements charged to ANAHEIM, for a minimum period of three (3) years, or for any longer period required by law, from the date of final payment to CONSULTANT under this Agreement.
All such records and invoices shall be clearly identifiable. CONSULTANT shall allow a representative of ANAHEIM to examine, audit and make transcripts or copies of such records and any other documents created pursuant to this Agreement during regular business hours.
CONSULTANT shall allow inspection of all work, data, Documents, proceedings and activities related to this Agreement for a period of three (3) years from the date of final payment to CONSULTANT under this Agreement.
20. WITHHOLDINGS
ANAHEIM may withhold payment to CONSULTANT of any disputed sums until satisfaction of the dispute with respect to such payment. Such withholding shall not be deemed to constitute a failure to pay according to the terms of this Agreement. CONSULTANT shall not discontinue work as a result of such withholding. CONSULTANT shall have an immediate right to appeal to the City Manager or his Designee with respect to such disputed sums and his/her decision shall be final. CONSULTANT shall be entitled to receive interest on any withheld sums at the rate of return that ANAHEIM earned on its investments during the time period, from the date of withholding of any amounts found to have been improperly withheld.
21. ERRORS AND OMISSIONS
In the event of errors or omissions that are due to the negligence or professional inexperience of CONSULTANT which result in expense to ANAHEIM greater than what would have resulted if there were not errors or omissions in the work accomplished by CONSULTANT, the additional cost and expense shall be borne by CONSULTANT. Nothing in this paragraph is intended to limit ANAHEIM's rights under the law or any other sections of this Agreement.
22. ANAHEIM'S RIGHT TO EMPLOY OTHER CONSULTANTS
CONSULTANT acknowledges and agrees that this Agreement and the provision of services hereunder are nonexclusive and that ANAHEIM may enter into similar agreements with other entities for the provision of similar services. 11 23. CONFLICTS OF INTEREST
CONSULTANT or its employees may be subject to the provisions of the California Political Reform Act of 1974 (the "Act"), which: (1) requires such persons to disclose any financial interest that may foreseeably be materially affected by the work performed under this Agreement; and (2) prohibits such persons from making, or participating in making, decisions that will foreseeably financially affect such interest.
If subject to the Act, CONSULTANT shall conform to all requirements of the Act.
Failure to do so constitutes a material breach and is grounds for immediate termination of this Agreement by ANAHEIM. CONSULTANT shall indemnify and hold harmless ANAHEIM for any and all claims for damages resulting from CONSULTANT's violation of this Section.
24. NOTICES
All notices, demands or other writings to be made, given or sent hereunder, or which may be so given or made or sent by either ANAHEIM or CONSULTANT to the other shall be deemed to have been given when in writing and personally delivered or if mailed on the third (3rd) day after being deposited in the United States mail, certified or registered, postage prepaid, and addressed to the respective Parties at the following addresses:

.01 For purposes of this Section 25, the word "Default" shall mean the failure of CONSULTANT to perform any of CONSULTANT's duties or obligations or the breach by CONSULTANT of any of the terms and conditions set forth in this Agreement. In addition, CONSULTANT shall be deemed to be in Default upon CONSULTANT's (i) application for, 12 consent to, or suffering of, the appointment of a receiver, trustee or liquidator for all or a substantial portion of its assets; (ii) making a general assignment for the benefit of creditors; (iii) being adjudged bankrupt; (iv) filing a voluntary petition or suffering an involuntary petition under any bankruptcy, arrangement, reorganization or insolvency law (unless in the case of an involuntary petition, the same is dismissed within thirty (30) days of such filing); or (v) suffering or permitting to continue unstayed and in effect for fifteen (15) consecutive days any attachment, levy, execution or seizure of all or a substantial portion of CONSULTANT's assets or of CONSULTANT's interests hereunder.
.02 ANAHEIM shall not be deemed to be in Default in the performance of any obligation required to be performed by ANAHEIM hereunder unless and until ANAHEIM has failed to perform such obligation for a period of thirty (30) days after receipt of written notice from CONSULTANT specifying in reasonable detail the nature and extent of any such failure; provided, however, that if the nature of ANAHEIM's obligation is such that more than thirty (30) days are required for its performance, then ANAHEIM shall not be deemed to be in Default if ANAHEIM shall commence to cure such performance within such thirty (30) day period and thereafter diligently prosecute the same to completion.
25.2 Immediate Termination for CONSULTANT's Default. CONSULTANT shall not be deemed to be in Default in the performance of any obligation required to be performed by CONSULTANT hereunder unless and until CONSULTANT has failed to perform such obligation for a period of thirty (30) days after receipt of written notice from ANAHEIM specifying in reasonable detail the nature and extent of any such failure; provided, however, that if the nature of CONSULTANT's obligation is such that more than thirty (30) days are required for its performance, then CONSULTANT shall not be deemed to be in Default if CONSULTANT shall commence to cure such performance within such thirty (30) day period and thereafter diligently prosecute the same to completion.
25.3 Termination without Cause. ANAHEIM may terminate this Agreement at any time without the necessity of cause or Default by giving thirty (30) days' notice in writing to CONSULTANT. In such event, the Parties shall have no further rights hereunder, except that CONSULTANT shall be paid for all services adequately rendered prior to such termination and shall receive payment in full for equipment and equipment that has been ordered that cannot be canceled. CONSULTANT may not terminate this Agreement except for cause.
26. COMPLIANCE WITH ALL LAWS
CONSULTANT shall at its own cost and expense comply with all statutes, ordinances, regulations and requirements of all governmental entities, including federal, state, county or municipal, whether now in force or hereinafter enacted. In addition, all work prepared by CONSULTANT shall conform to applicable local, county, state and federal laws, rules, regulations and permit requirements and be subject to approval of the Project Administrator.
27. WAIVER
A waiver by either Party of any breach, of any term, covenant or condition contained herein shall not be deemed to be a waiver of any subsequent breach of the same or any other term, covenant or condition contained herein, whether of the same or a different character. 13 28. INTEGRATED CONTRACT
This Agreement and the exhibits hereto contain the entire agreement of ANAHEIM and CONSULTANT with respect to the matters covered hereby, and no agreement, statement or promise made by either ANAHEIM or CONSULTANT which is not contained herein, shall be valid or binding. No prior agreement, understanding or representation pertaining to any such matter shall be effective for any purpose.
29. CONFLICTS OR INCONSISTENCIES

C TECHNICAL APPROACH
Project Understanding and Technical Approach
When the Orange County Flood Control District constructed the 78-inch storm drain on Broadway the existing sewers (Archer St, Empire St, Agate St, and Broadview St) were lowered to avoid the storm drain creating sewer siphons. These siphons collect floatables (grease, plastic, etc.) and create a high risk of sewer overflows and frequent maintenance requirements. As the storm drain has settled, the added weight may have broken the siphons adding to the need for sewer maintenance. In addition, increased sewer flows in the area have created sewer capacity deficiencies.
When completed, the sewer system in the Crescent, Broadview, and Victoria Area will accomplish the following:
—> Eliminate existing sewer siphons reducing the risk of overflows and reduce future O&M efforts. —> Address capacity sewer deficiencies in the area
—> Address maintenance and capacity issues caused by the discharge of industries on Crescent Way and Muller Street (GBS Linens and Summit Interconnect).
In many respects, this project is a continuation of the Brookhurst and Crescent Sanitary Sewer Improvements Project that Woodard & Curran is currently performing for the City. Implementation of these Projects will improve overall performance, reduce maintenance costs, ensure capacity for future develop- ments, and maintain the reliability of the sewer system.
Our approach to the Project was developed to be collaborative and includes a through alternatives analy- sis to address three project objectives:
O Develop an innovative, technically sound project to meet long-term goals; O Consideration of a cost-effective project, and
O Provide effective communication and meet expectations of City Staff. o Develop an Innovative, Technically Sound Project to Meet Long-Term Goals
The Woodard & Curran team will evaluate three alternatives to address maintenance issues and capacity deficiencies in the area. The goal is to identify and recommend the alternative that will restore reliable, easy to maintain service for O&M staff, thus minimizing risk and impacts to the community and stakehold- ers. Our approach to the Project is as follows:
Research Existing Conditions
We will meet with City staff to gather input on the system and understanding of the specific O&M challenges within the system. We will also review record drawings and perform a field visit. One project specific task for this project will be to research whether a public utility easement exists at the west end of Victoria Avenue. If a PUE exists, it will make it easier to install a sewer from Victoria Ave to Brookhurst Street. We will also gather utility information to determine the location of existing utilities. 6 The key feature of Alternative 2 is a new sewer in Broadway located north of the existing storm drain.
This new sewer would convey flow west to Brookhurst Ave which would allow the existing siphons to be abandoned. This alignment would be located close to the curb which is often the location of many existing utilities such as electrical, street lighting, telephone, and fiber optic conduits.
Uternative 3 includes a new sewer in Broadway located south of the existing storm drain. The new sewer would be deeper than the existing sewer in Broadway which would allow new sewers in Archer St, Empire St, Agate St, and Broadview St to be installed below the existing storm drain allowing the existing siphons to be abandoned. The biggest challenge with this alternative will be to determine where it can connect to the existing sewer system downstream. Because the new sewer is deeper than the existing sewer, the connection point might be west on Broadway to "catch the grade" of the existing sewer.
Listed below are the proposed evaluation criteria:
—> Community/Social Impact
—> Risk to Schedule due to Permitting, Easement, Utility Relocations —> Environmental impacts
—> Operations & Maintenance
Constructability
—> Construction Cost

C I Technical approach
Revised to exclude sewer in Victoria (Alternative 1) per City meeting on 11/19/2024 Select the Best Overall Alignment That Provides the Maximum Flexibility The alternatives we will evaluate have a new sewer on Penhall Way, Crescent Way, Muller St, and Broadview Street on the northern part of the project. The southern part of the project is where the three alternatives vary as shown in the figure on the next page. Alternative 1 conveys the flow on Victoria Ave and crosses the end of the cul-de-sac to Brookhurst Ave. As shown in the figure below, this crossing will impact private landscaping and a fence. The landscaping and fence on the south half of the cul-de-sac is more extensive than the landscaping and fence on the north half. Woodard & Curran will confirm whether crossing
north of the existing water main
is feasible. Due to the likely
lack of horizontal separation
from the existing water main, a
separation exception will need
to be obtained from the City of
Anaheim Water-Division and
from the State Water Resources
Control Board's Division of
Drinking Water. Woodard &
Curran has experience obtaining
these exceptions for other
projects where the new sewer
is within the prohibited zone
of 10-foot separation. Special
permission is required, or special
pipe materials are required for
the new sewer line. Special pipe
materials include extra strength VCP with compression fittings or simply PVC pipe with rubber ring joints.
Alternative 1 would install new sewers in Archer St, Empire St, Agate St, and Broadview St that flow north to Victoria Ave which would allow the existing siphons to be abandoned. 7 Woodard &Curran

We will examine various installation methods including open cut, tunneling, and pipe bursting. Woodard & Curran has significant expe- rience with each construction method. Jen Glynn, one of our leading sewer designers in California, teaches a class on pipe bursting offered through the North American Society of Trenchless Technologies.
Reduce Long-Term O&M Costs
Keeping construction costs low is important, but even more important is reducing long-term O&M costs.
These costs not only add up year after year, but due to the high traffic in this area, reducing sewer mainte- nance increases safety. Inverted siphons require more maintenance compared to crossings without siphons.

C I Technical approach
Consideration of a Cost-Effective Project
The alternative selection and preliminary design are important and set the foundation for future phases of the project. The Woodard & Curran Team understands this, and therefore our approach is to "leave no stone unturned" so that there are no surprises in design or construction. Developing a cost-effective project and minimizing the potential for change orders during construction is a key success factor for the Project. We understand that the City has a limited budget. The following are key considerations that will be included in the analysis of the alternatives and development of the preliminary design to reduce capital costs and minimize change orders associated with buried utilities and subsurface conditions.
Perform Initial Cost Estimates Early in the Project
Woodard & Curran understands the value of having a construction cost estimate early in the project.
This will allow for robust comparison of the alternatives and provide budget updates for the City throughout the development of the project. To that end, we will prepare cost estimates throughout the Project, starting at the alternative's development phase and further into evaluation.
The cost estimate will be broken down into individual bid items.
Cost Estimates Will Be Prepared by Senior Personnel
A project with solid funding can still run into financial issues if the construction cost estimate is inaccu- rate. Our proposed Project Manager, Mirko Maher, with over 20 years of pipeline design experience, will prepare the construction cost estimates for this project. Recently for OC SAN's Taft Avenue Branch Trunk Sewer Project (10,000 If of 18" & 21" sewer) his construction cost estimate was $21.8M. When the bids were opened, his estimate was between the 1st and 2nd bidders, less than 7% above the low bidder.
Provide Effective Communication and Meet Expectations
of City Staff
Our proposed Woodard & Curran project manager, Mirka Maher, P.E. and project engineer, Justin Kraetsch, P.E, have the right combination of technical expertise and project experience in design and engineering support of small to !arge-scale sewer projects. Our team has successfully completed sewer projects for the City of Anaheim. We have proven we can effectively plan, manage, and execute the preliminary design and design through a proactive approach that anticipates challenges and potential pitfalls and sets a course to navigate through the issues that often emerge through implementation of this type of project.
We understand that clients have differing expectations for preliminary design reports. To achieve a successful project, we will work with you from the outset to identify your preferences, expectations, and standards so that we provide a quality report that meets your expectations and can be moved into the design phase easily. Woodard & Curran has prepared preliminary design and design documents for the City of Anaheim and understands the City's requirements. Our process, outlined in our scope of work, identifies the tasks necessary to complete a design report that provides flexibility to meet future phasing and can move into the design phase smoothly.

Our capabilities include evaluating pipeline alignment alternatives, innovative design, and identifying cost-saving strategies for sewer construction in congested suburban and urban areas. We have a strong reputation for producing high-quality plans, designs, and specifications, as well as delivering accurate cost estimates.
Presented below are detailed descriptions of projects completed within the last five years, along with client references.
Brookhurst and Crescent Sanitary Sewer Improvements I City of Anaheim
Woodard & Curran is evaluating alternative solutions that address issues occur- ring with a sewer siphon at the intersection of Brookhurst St. and Crescent Ave.
When the OCFCD constructed the Carbon Creek Channel box culvert through the intersection of Brookhurst St. and Crescent Ave., the existing sewer was lowered under the box culvert, creating a sewer siphon which impacts upstream flow con- ditions. Our team will provide an alternative study and preliminary design report (PDR) with the goal of addressing capacity deficiencies in the area upstream of the siphon and address maintenance issues.
The Woodard & Curran team evaluated six alternatives, which include upsizing and lowering the existing sewer to eliminate the siphon. The goal of this project is to identify and recommend an alternative that will provide reliable service to the community which includes residential and commercial industrial properties.
Additional goals will be to provide an easy to maintain facility for O&M staff, while minimizing risk and impacts to the community and stakeholders.
Project Features:
—> PDR will address capacity deficiencies and maintenance issues —> Evaluation of alternatives, including upsizing and lowering the sewer to eliminate the siphon —> Flow monitoring program

Irvine Ranch Sewer Siphon Improvements Phase I and II I Irvine Ranch Water District
Woodard & Curran was retained to design improvements to eleven critical and high-priority sewer siphons as part of Phase I and Phase II Projects. The sewer siphon barrels ranged in diameter from 8 to 42 inches and ranged in length from 70 to 450 feet. The preliminary design for both phases included hydraulic evaluation and condition assessment of the siphons. The design encompassed approximately $13 million dollars of improvements to facilitate site access, siphon inlet/outlet structure top slab and maintenances access replacement, internal structural repairs, flow controls to passively distribute flow across each of the siphon barrels to improve self-cleaning, siphon barrel cleaning and cured-in-place pipe (CIPP) lining rehabilitation, odor mitigation through chemical dosing and air treatment vents, level monitoring, and addition of grit traps upstream of the siphons. Both phases of the project also required easement and permitting coordination. Phase I project was completed in February 2022 and Phase II construction began in 2024.

Woodard & Curran prepared the preliminary and final design of 11,000 feet of 18-to 21-inch gravity pipeline, including traffic control plans, geotechnical, and project specific CEQA IS/MND. This project was necessary to address capacity issues during a peak wet-weather event along the pipeline. Woodard & Curran evaluated seven alternative alignments including flow-shedding, one of which included a trenchless crossing under Hwy 55 and coordinated with the City of Orange for transfer of pipe ownership for a preferred new alignment. A key design aspect is the flow control approach to utilize the existing sewer to maintain flows as much as possible to limit bypass pumping required and implement gravity flow-through plugs. Woodard & Curran coordinated permit requirements and utility information from multiple agencies. Project features included: alternatives evaluation, hydraulic modeling, congested traffic areas, utility investigations, CEQA, and permit acqui- sition with Caltrans and City of Orange. Woodard & Curran is currently providing engineering services during construction.
Project Features:
-> Preliminary and final design of 11,000 feet of gravity pipeline -> Utilize the existing sewer to maintain flow and limit bypass pumping -> Capacity flow analysis
-> Alternatives review and safe O&M

Knollwood Circle Sewer Improvement Project I City of Anaheim Woodard & Curran was selected to provide design services for the installation of approximately 2,000 linear feet of new 12-inch diameter sewer. Woodard & Curran developed and evaluated alignment alternatives and developed a preliminary design for the recommended alignment. The collection system is in public right- of-way and within easements crossing industrial and commercial properties.
Woodard & Curran developed and evaluated alignment alternatives based on easement/right-of-way acquisition requirements, constructability, hydraulics, and public/private disruptions. Trenchless construction methods, including pilot-tube guided auger boring, will be utilized for crossing of private properties and busy roadways. The critical components of the design include utility coordination, easement requirements, and trenchless installation.
The recommended alignment crosses a 69-inch diameter storm drain, two private properties, and a busy roadway. Woodard & Curran's goals were to provide a sewer design that improves collection system hydraulics, reduces project and future O&M costs, and minimizes disturbances to private properties and traffic. Project is moving into construction.
Project Features:
-> Design of upgrades of 2,000 linear feet of sewer
-> Trenchless technologies and installation
-> Hydraulic analysis and right-of-way acquisitions

E QUALITY ASSURANCE
Quality Assurance/Quality Control (QA/QC) Program
Woodard & Curran has an established company-wide
quality assurance/quality control program. Our projects are subject to the QA/QC Program, and Woodard &
Curran holds project managers accountable for project
quality under the program. At project start, the project manager completes a QA/QC Plan. The Plan identifies
technical issues that would require extraordinary
quality control reviews, establishes the quality control budget, outlines project deliverables and schedule,
and assigns quality control review responsibilities.
QA/QC Program features include the following:
Senior Technical and Approach Review (STAR)
Workshops. Woodard & Curran conducts STAR
workshops early in project development to assure that
the team is taking an appropriate approach towards the
technical work. Experienced senior engineers comprise
the STAR committee to provide input on the technical
issues and overall project approach.
Project Audits. Operations managers and the Woodard & Curran QA Committee are responsible for auditing projects to ensure timely and efficient project execution. Audits can result in identifying additional resource needs and resolving project management issues, including extra work, budget shortfalls, and schedule slippage.
Quality Control & City Plan Check Comment Reviews. Project work products undergo senior review prior to client submittal. The QA/QC Plan identifies qualified, senior-level reviewers for major deliverables and the project manager is responsible for seeing that these reviews are undertaken and appropriate. The project team initiates follow up actions to address QC comments and circles back to the QC Reviewer to discuss comment resolution prior to submitting the documents to the City. Calculations, design criteria, equipment selection, drawings, specifications are subject to review in our process. This process includes review of City comments to ensure that they are appropriately addressed and incorporated into the project plans prior to the next submittal. Comment logs are utilized to record comments and resolutions, or to track items that require additional discussion prior to resubmittal. These comment logs are reviewed alongside the subsequent resubmittal to verify that all comments have been resolved, and comment/ response logs can be provided to the city for easy reference.
Management Tools. Woodard & Curran uses several management tools to ensure that high quality deliverables are submitted on time and within budget. One of the key approaches we employ on a project to ensure that both budget and schedule targets are met is earned value analysis, also called Integrated Schedule and Budget Management. We also employ a monthly "look ahead" analysis to assess upcoming work and predict changes to the schedule that might occur as we move forward in completion of the plan. 13 Proposal for Crescent, Broadview, & Victoria Sanitary Sewer Improvements Section Two

--> Meeting summaries & Baseline Schedule and Monthly invoices and progress workshop PowerPoint presen- monthly updates (pdf via reports (pdf via email) tations (for meetings above) email) -) QA/QC Sign-off sheet (pdf via email)
PHASE 2- BACKGROUND RESEARCH AND DATA GATHERING
Task 2.1 - Data Collection and Review
Woodard and Curran will collect data that encompasses the project limits based on Exhibit A of the REP.
Our project manager and key design staff will walk the area, as sending the design team to the field allows them to record the location of surface features that could impact design; understand the existing location and condition of pavement, sidewalks, and trees; identify potential environmental concerns; and understand the nature of the community that may be impacted by construction. Existing as-built plans and master plans will be collected and reviewed. Additionally, Woodard & Curran will review the topographic survey provided by the City.
Woodard & Curran has partnered with Civil Grid, who will contact Underground Service Alert (USA) to obtain a list of potential utility owners in the project areas and provide associated mapping by contact with utility companies in the project area. A tracking log will be used to keep record of requests and responses.
The data gathered from utility owners will be incorporated into the topographic survey base mapping.
Woodard &Curran 15
2 I Project Management
Task 2.2 - Utility Locating and Conflict Investigation (30 Potholes) Woodard & Curran will prepare a pothole plan, necessary for the evaluation of project alternatives. Our subconsultant, 12, will perform vacuum excavation for up to 59 locations to expose and positively locate existing utilities at each location identified. Since potholing is required to determine feasibility of project, we recommend to perform portions of pothole investigations and acquire data as part of 50% design final PDR submittal package (after the recommended project has been confirmed). This will streamline design efforts so as to not make portions of design dependent on portions of field work activities and necessary permitting associated with it. Digital photographs will be taken of each pothole, and these will not only assist in data management processes and quality reviews, but also allow the City to review exactly what was discovered in the field. Necessary encroachment permits, USA notification, coordination with utility owners, and the maintenance of traffic will be completed in compliance with local policies and standards.
Task 2.3 - CCTV Pipeline Inspection (Review CCTV)
Woodard & Curran will review pipeline inspection and CCTV reports provided by the City. Woodard & Curran will generate a report that summarizes the review of the CCTV and generate a condition report.
This task assumes 40 hours of time for one engineer to review CCTV and generate a report. It also assumes that quality of CCTV inspections are adequate enough to identify defects and assess the pipe.
Task 2.4 - Geotechnical Investigation and Report
Woodard & Curran and subconsultant Ninyo & Moore will provide a geotechnical investigation and Report of the recommended project as outlined in item 20 of the scope of work provided in the RFP. It is assumed eight (8) small diameter borings to 20-foot depth will be provided. No chemical testing is included in the scope and fee. Traffic control plans are included as necessary for permitting.
Task 2.5 - Topographic Survey
Not included in scope of work. City to provide the topographic survey.
Phase 2 Deliverables:
-4 Potholing report (included with -4 Geotechnical report. Topographic survey PDR) -4 Utility mapping
PHASE 3 - ALTERNATIVE DEVELOPMENT AND EVALUATION
Task 3.1 - Alternative Development Per 11/19/2024 meeting with City Based on direction provided by the City on 11/19/2024, Woodard & Curran will develop Alignment Alternatives 2 and 3 in Broadway only and confirm feasibility. Cross sections will be developed to deter- mine acceptable utility corridors and proposed depths. It is assumed that alternatives will be provided in exhibit form and provided as similar efforts with previous Anaheim project (Broadway Crescent Project).
Vertical profiles of sewer will be provided for recommended project.
Task 3.2 - Sewer Hydraulic Modeling (Alternative Model Runs) As part of the alternative development and analysis, and per item 7b on page 11 of the REP scope of work, Woodard & Curran will develop a G1S-based network of sanitary sewer pipes and manholes with their own attributes (pipe size, slope, length, in and out invert elevations, top of manhole elevations and other pertinent information), convert and adjust plan datum to agree with the City's survey benchmark NAVD 88 elevations, and provide an estimate of the number of manhole locations that need to be field verified to ensure the accuracy of the datum adjustments, including services necessary to field verify these locations. The goal of the model is to confirm proposed project scope necessary to address capacity-deficient areas and confirm hydraulic conditions of proposed improvements.
Task 3.3 - Alternative Evaluation Criteria and Recommendations Woodard & Curran will work with the City to provide up to five screening criteria. We will use the screen- ing criteria to evaluate, and score developed Alternatives. The criteria may include but are not limited to the following: cost, community impacts, operations and maintenance, permitting and easement require- ments, environmental impacts, constructability, etc. These criteria will be discussed and confirmed with the City in a workshop.
Woodard &Curran
16 2 I Project Management
Criteria will be used to evaluate and rank each Alternative and recommend a preliminary alignment and Project. The Alternatives will be presented in a workshop where evaluation of the alternatives will be shared, and a scoring and ranking matrix will be presented. Weighting of the criteria may also be estab- lished prior to the meeting or discussed in the evaluation review workshop. The scoring and ranking will be confirmed in the Alternative Evaluation Review workshop with the City with the objective to adopt prior to development of the recommended alignment alternative plan view drawings and preliminary design report.
Phase 3 Assumptions
—> Efforts of Task 3 will be captured in the draft and final preliminary design reports, and relevant work- shop meeting minutes.
Phase 3 Deliverable.
—> Evaluation Criteria and Screening Matrix will be provided under Preliminary Design Report tasks and shared at specific workshops and meetings for discussion prior to inclusion in the PDR. —> Hydraulic modeling results will be shared in relevant meetings and workshops and will be included in the Draft and Final PDR
PHASE 4- PRELIMINARY DESIGN REPORT (PDR) DEVELOPMENT
Task 4.1 - Draft Preliminary Design Report
Efforts and evaluations completed in Phases 2 and 3 will be captured and documented in a comprehen- sive preliminary design report per item 7 on page 11 of the RFP. It is assumed that the 50% plan and profile drawings will be developed after a recommendation of the project has been confirmed through the alternative evaluation process with the City. The draft report will be provided in accordance with the scope outlined in the RFP and a 50% workshop after City review period will be provided per item 13 in the RFP scope of work.
Task 4.2 - Final Preliminary Design Report
Following the 50% workshop, a final Preliminary design report will be provided per item 14 of the RFP scope of work. Scope excludes R/W Services per 11/19/2024 meeting Task 4.3 - Permittin~-ef-Way/Stakeholder Requirements

PHASE 5- DESIGN & CONSTRUCTION SUPPORT
Based on previous experience and our review of CCTV with the Brookhurst Crescent Preliminary Design Project, Muller St. is not under capacity and will not require improvements, and this is also the case for upstream portions from Summit Interconnect on Crescent Way and Penhall Way. Therefore, It is assumed that up to 8,000 feet of sewer improvements would be necessary, which would be based on evaluation of 15,000 feet in preliminary design. Final design assumes a total of 24 design construction sheets (six (6) general and details sheets with eighteen (18) plan and profiles at 20 scale) will be provided as part of design submittals for 50%(plan and profile only), 90% and 100% percent submittals.
It is also assumed that traffic control will not be required as part of design package and will be responsibility of the Contractor.

RE: Crescent, Broadview, & Victoria Sanitary Sewer Improvement Project

ADDENDUM NO.1
The following are changes to the contract documents and special provisions for the above referenced project:
THE PROPOSAL DUE DATE IS THURSDAY, October 24 th, 2024 AT 2:00 P.M.
1. RFP: Proposal due date on RFP page 2
• Proposal due date on RFP page 2 has been modified to reflect the accurate due date of October 24th, 2024, at 2:00pm.
2. RFP: Language modified
• Page 17 of the RFP clarifies which forms should be included and excluded from the 20-page limit of the proposal.
3. Q&A:
• Received 09/26/2024: Will the City or the GC be awarding the geotechnical engineering, testing and inspections potion of this project?
• RESPONSE: The City will not be awarding a portion of
this project. The City's intent is to contract the entire project to a single firm as stated in the RFP language for this project under PROPOSAL TERMS AND
CONDITIONS Section II.D. "The City intends to contract 200 S. Anaheim Blvd., Suite 276 Anaheim, CA 92805
Tel: (714) 765-5176
Fax: (714) 765-5225
with a single firm PER EACH PROJECT and not with
multiple firms doing business as a joint venture."
• Received 09/28/2024: Can we submit a proposal for ONLY the geotechnical engineering portion of the scope of work? (Our firm is pre-qualified with the City of Anaheim to provide these services).
• RESPONSE: No. Per language in this RFP under PROPOSAL TERMS AND CONDITIONS Section II.D. "The City intends to contract with a single firm PER EACH PROJECT and not with multiple firms doing business as a joint venture.", therefore a bid of only a portion of this project does not fit the City's intent.
• Received 10/04/2024: Could you please confirm the due date for the fee proposal? The RFP shows a due date of 10/31, but PlanetBids shows a due date of 10/24. Thank you.
• RESPONSE: The proposal due date is October 24, 2024 @ 2:00pm as stated on Page 1 of this RFP. A forthcoming addendum will address the discrepancy noted on page 2 of this RFP.
• Received 10/08/2024: We are requesting the As-Builts for the project area. Can those be made available?
• RESPONSE: Submit and Official Records Request with Anaheim Public Works and Anaheim Public Utilities.
• Received 10/09/2024: Will Anaheim utilize any state or federal funds for the project?
• RESPONSE: No state or federal funds will be utilized by the City for this project.
• Received 10/10/2024: There is a discrepancy between the RFP and the contract regarding liquidated damages provisions for the Consultant. Can you provide clarification on the discrepancy?
• RESPONSE: The liquidated damages ($150/day) in the RFP applies to the Design Consultant to ensure that the schedules are met. The
liquidated damages in the Exhibits states "Contractor shall pay to the City, or have withheld from monies due it, the sum of $1,000." is for the Contractor (construction) and so this does not apply to the Design Consultant. The Exhibit aims to guide the Design Consultant on the necessary level of effort during the project's design phase, hence the title "Instructions for Spec Preparer." The guidelines in this exhibit will assist the Design Consultant in accurately recalculating the liquidated damages to be included in the contract documents.
• Received 10/10/2024: Does the City anticipate the project would require NEPA or Mitigated Negative Declaration (MND) per Section V, Item 16, or would it likely be sufficiently covered by a Categorical Exemption (Cat Ex) with supporting technical analyses?
• RESPONSE: The City is funding this project with city funds, so CEQA, not NEPA applies. Additionally, the City believes it will be considered a categorical exemption, therefore eliminating the need for any technical analysis.
• Received 10/10/2024: How recent are the City CCTV videos indicated in Section V, Item 8,? Do the CCTV videos also include Broadway Street and Brookhurst Street sewers?
• RESPONSE: The CCTV is from May 2020. The CCTV does include Brookhurst street sewers, but not Broadway Street.
• Received 10/11/2024:
1. Can you please confirm the following dates and information related to this pursuit:
'Deadline for Requests for Information: Thursday, October 17th, 2024 @2:00 PM.
'Proposal Due Date: Thursday, October 24, 2024 @ 2:00 PM via PlanetBids.
.Fee Proposal: No later than 2:00 PM (PST) October 31st, 2024 via mail, hand delivery, or sent by courier.
2. Is CCTV available for the segments shown in exhibit A?
3. Page 18 of the RFP mentions that the cover letter must be wet signed.
Can you confirm that the cover letter needs to be wet signed even with the format of submittal being electronic?
4. The RFP mentions that the "Designation of Sub-Contractors Form" is excluded from the max 20 page count. Are all forms excluded from the page count requirements (e.g., Exhibits E, F and I)?
• RESPONSE: The proposal due date is October 24, 2024 @ 2:00pm as stated on Page 1 of this RFP.
1. Deadline for Requests for Information: Thursday, October 17th, 2024 @ 2:00 PM.
2. Fee proposal shall ONLY be sent via mail, hand delivered, or sent by courier no later than 2:00 PM (PST) October 24th, 2024
3. CCTV is not available for all segments, only portions of the segments shown Exhibit A.
4. All other exhibits (if not listed as included) are excluded from the 20 pages maximum.
• Received 10/15/2024: Is construction part of the 18-month schedule for this project? Or does the 18-month schedule end at completion of the bid documents? • RESPONSE: The 18-month schedule is solely for completing the design phase and does not include the bid period. All submittal reviews at various milestones, as well as all design-related tasks, must be allocated within this 18-month schedule. Given the urgency, a shorter schedule would be beneficial, provided that quality and safety are not compromised. This addendum has addressed the discrepancies noted in the RFP.
THE PROPOSAL DUE DATE IS THURSDAY, October 24 th, 2024 AT 2:00 P.M.
Sincerely,
7&,,9„tot,g, psae.2.-oi.zwt,"2.
