1 AGREEMENT
THIS AGREEMENT, dated for purposes of identification only this day of

, 2025, is made and entered into by and between the

CITY OF ANAHEIM, a municipal corporation,
hereinafter referred to as "ANAHEIM,"
A
N
D
HARRIS AND ASSOCIATES, a California corporation,
hereinafter referred to as "CONSULTANT."
ANAHEIM and CONSULTANT are sometimes individually referred to herein as "Party" and collectively as "Parties."
W I T N E S S E T H:

WHEREAS, ANAHEIM is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of the City of Anaheim; and
WHEREAS, ANAHEIM desires to obtain the services of CONSULTANT for civil engineering services related to the Citywide Sanitary Sewer Improvement Program (the "Project"); and
WHEREAS, CONSULTANT possesses the skill, experience, ability, background, certification and knowledge to provide the services for the Project as described in this Agreement; and
WHEREAS, ANAHEIM has solicited and received a proposal from CONSULTANT, has reviewed the previous experience and evaluated the expertise of CONSULTANT, and desires to retain CONSULTANT to render professional services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL

PROMISES, COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES HERETO AGREE AS FOLLOWS:
2 1. SERVICES TO BE PROVIDED BY CONSULTANT
In compliance with all of the terms and conditions of this Agreement, CONSULTANT shall provide to ANAHEIM all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply the professional consulting services necessary for the Project (“Services"). The Services include, but are not limited to the following: (1) Cost effective sanitary sewer design to complete the Project. (2) Potholing and all tasks listed in the updated Proposal, incorporation of best management practices; (3) QA/QC plan; (4) management data files in a form usable by the City of Anaheim; (5) geotechnical report that meet the City requirements; and (6) on-going support as needed by City staff and are more particularly described in the CONSULTANT's Proposal with the date of June 12, 2025 (“Proposal”), attached hereto as Exhibit “A” and incorporated herein and in the Request for Proposal (“RFP”) issued by ANAHEIM, a copy of which is available in the Department of Public Works upon request and are both incorporated herein by this reference ("Scope of Services").

ANAHEIM reserves the right to modify the Scope of Services in its sole discretion.

In the event of conflicting provisions, the provisions shall govern in the following order: (1) this Agreement, (2) the updated Proposal and (3) the RFP. ANAHEIM may elect to delete certain tasks from the Scope of Services in its sole discretion.

2. TERM
The term of this Agreement shall commence on the Effective Date of this Agreement as set forth in Section 38 herein, and shall terminate upon the completion of the Services described herein, unless terminated earlier as set forth in Section 25 herein ("Term").

3. TIME OF PERFORMANCE

3.1 ANAHEIM and CONSULTANT recognize that time is of the essence as to this Agreement and that ANAHEIM may suffer damages which are difficult to determine and accurately specify, such as lost grant funds, additional contract administration expenses, if the Services are not completed within the time specified in the Project Schedule attached hereto as Exhibit “A.” CONSULTANT and ANAHEIM agree to liquidate damages with respect to CONSULTANT's failure to achieve completion of the Services within the times provided in the Project Schedule. CONSULTANT acknowledges and agrees that the liquidated damages are intended to compensate ANAHEIM solely for CONSLTANT’s failure to meet the deadline for completion and shall not excuse CONSULTANT from liability from any other breach, including any failure of any of the work to conform to any requirements provided by local, state or federal laws, rules and regulations.

In the event that CONSULTANT fails to achieve completion of the work within the time frame designated in the Project Schedule, CONSULTANT agrees to pay ANAHEIM the following:
(a) $ 150 per day for each calendar day that completion of the work is delayed.

CONSULTANT acknowledges and agrees that the foregoing liquidated damages have been set based on an evaluation by ANAHEIM of damages that it will incur in the event of 3 the late completion of the work per the Project Schedule and Scope of Services. CONSULTANT and ANAHEIM agree that because of the nature of the Project it would be impractical or extremely difficult to fix the amount of actual damages incurred by ANAHEIM due to a delay in completion of the work. Accordingly, ANAHEIM and CONSULTANT have agreed to such liquidated damages to fix CONSULTANT's costs and to avoid later disputes. It is understood and agreed by CONSULTANT that any liquidated damages payable pursuant to this Agreement are not a penalty and represent a fair and reasonable estimate of compensation for losses to be incurred under the circumstances existing as of the effective date of this Agreement.

It is further mutually agreed that ANAHEIM shall have the right to deduct liquidated damages against progress payments or retainage. In the event the remaining unpaid Contract Amount is insufficient to cover the full amount of liquidated damages, CONSULTANT shall pay the difference to ANAHEIM.

Permitting or requiring CONSULTANT to continue and finish the Services or work, or any part thereof, after the deadline for completion shall not act as a waiver of ANAHEIM's right to receive liquidated damages hereunder or any rights or remedies otherwise available to ANAHEIM.

3.2 The time period(s) specified for performance of the Services rendered pursuant to this Agreement shall be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of CONSULTANT, including, but not restricted to, acts of God or of the public enemy, unusually severe weather, fires, earthquakes, floods, pestilence, and other natural catastrophes, epidemics, quarantine restrictions, riots, strikes, freight embargoes, wars, litigation, civil disturbance or disobedience, sabotage, restraint by court order or public authority and action or non-action by or inability to obtain the necessary authorization or approvals from any governmental agency or authority, and/or acts of any governmental agency, including ANAHEIM, which by the exercise of due diligence such Party could not reasonably have been expected to avoid and which by exercise of due diligence has been unable to overcome, if CONSULTANT shall within ten (10) days of the commencement of such delay notify the Project Administrator in writing of the causes of the delay. The Project Administrator shall ascertain the facts and the extent of delay, and may extend the time for performing the Services for the period of the enforced delay if, in the judgment of the Project Administrator, such delay is justified. The Project Administrator's determination shall be final and conclusive upon the Parties to this Agreement. In the event of delay, however caused, CONSULTANT's sole remedy shall be an extension of this Agreement pursuant to this Section and CONSULTANT shall not be entitled to recover damages against ANAHEIM.

4. COMPENSATION

4.1 ANAHEIM shall pay CONSULTANT for the Services rendered, pursuant to this Agreement, in the amount of Five Hundred Fourteen Thousand Seven Hundred Seventy-Six Dollars and No/100 Cents ($514,776.00) pursuant to the fee proposal set forth in Exhibit A and incorporated herein by reference (“Schedule of Compensation"). CONSULTANT and ANAHEIM agree that no changes to the fee proposal set forth in Exhibit A shall be made during the term of this Agreement without the prior written approval of ANAHEIM. 4 4.2 Extra Work. The Director of Public Works is authorized to approve additional expenditures to be paid to CONSULTANT, pursuant to this Agreement, for Extra Work not included in the Scope of Services, in the amount of Fifty-One Thousand, Four Hundred and Seventy-Seven Dollars and 60/100 Cents ($51,477.60) if the Director of Public Works determines, in his or her sole discretion, that the additional Extra Work is necessary for the successful completion of the Services.
.01 In no event shall CONSULTANT render Extra Work beyond the scope of this Agreement without the written authorization of the Director of Public Works. .02 All Extra Work approved in writing by the Director of Public Works shall be billed at either the rates set forth in the Schedule of Compensation or at a fixed price, at ANAHEIM's sole discretion. If billed at a fixed price, CONSULTANT shall provide ANAHEIM with general description of the Extra Work to be performed with a proposed price. At such time as the Director of Public Works has approved the Extra Work, has agreed to a fixed price for the services, and has notified CONSULTANT of such approval and agreement in writing, CONSULTANT shall perform the Extra Work.
.03 Except as specifically provided herein, no additional Services or Extra Work beyond the scope of this Agreement shall be rendered by CONSULTANT unless previously authorized in writing by the City Manager.
.04 As used herein, “Extra Work” means any work that is determined by ANAHEIM to be necessary for the proper completion of the Services, but which is not included within the Scope of Services and which the Parties did not reasonably anticipate would be necessary at the execution of this Agreement.

4.3 It is understood by and agreed between the Parties to this Agreement that full and complete payment for all Services provided in accordance with this Agreement, including, but not limited to, all Extra Work, reimbursable expenses and subconsultant fees, if any, shall not exceed Five Hundred Sixty-Six Thousand, Two Hundred Fifty-Three Dollars and 60/100 Cents ($566,253.60).

4.4. CONSULTANT shall submit monthly invoices to ANAHEIM describing the work performed the preceding month. CONSULTANT's bills shall include the name of the person who performed the work, a brief description of the Services performed and/or the specific task in the Scope of Services to which it relates, the date the Services were performed, the number of hours spent on all work billed on an hourly basis, and a description of any reimbursable expenditures. ANAHEIM shall pay CONSULTANT no later than thirty (30) days after approval of the monthly invoice by ANAHEIM staff.

4.5 All Parties recognize that the continuation of this Agreement after the close of any fiscal year of ANAHEIM, which fiscal year ends on June 30 of each year, shall be subject to budget approval providing for or covering such contract items as an expenditure in said budget.

ANAHEIM does not represent that said budget item will be actually adopted, said determination being the determination of the City Council at the time of the adoption of the budget herein. No penalty shall accrue to ANAHEIM in the event this provision shall be exercised. Should termination be accomplished in accordance with this Section, a settlement shall be negotiated by 5 the Parties based on items delivered, services provided, monies paid and monies due.

5. PROJECT MANAGER

5.1 CONSULTANT shall designate a Project Manager, who shall coordinate the Services. This Project Manager shall be available to ANAHEIM at all reasonable times during the Term of this Agreement. CONSULTANT has designated Elizabeth Reyes to be its Project Manager. It is expressly understood that the experience, knowledge, capability and reputation of the foregoing Project Manager is a substantial inducement for ANAHEIM to enter into this Agreement. Therefore, the foregoing Project Manager shall be responsible during the Term of this Agreement for directing all activities of CONSULTANT and devoting sufficient time to personally supervise the provision of Services hereunder. The foregoing Project Manager may not be changed by CONSULTANT and no other personnel may be assigned to supervise the Services to be provided hereunder without the express written consent of ANAHEIM.

5.2 Any personnel or subconsultant, if any, who fail or refuse to perform the Services in a manner acceptable to ANAHEIM, or who are determined by ANAHEIM, in its sole discretion, to be uncooperative, incompetent, a threat to the adequate or timely completion of the Project, or a threat to the safety of persons or property, shall be promptly removed from the Project by CONSULTANT at the request of ANAHEIM. CONSULTANT warrants that it will continuously furnish the necessary personnel to complete the Services on a timely basis as contemplated by this Agreement.

6. ADMINISTRATION
This Agreement will be administered by the Public Works Department. The employees of the Public Works Department shall be authorized to take the following actions pursuant to this Agreement:
(i) The Director of Public works is authorized to take any and all actions on behalf of ANAHEIM as set forth herein and to terminate services in accordance with Section 25 of this Agreement.
(ii) The Project Administrator is authorized to take those specific actions set forth herein and review and approve all Services performed by CONSULTANT under this Agreement. The Project Administrator shall not be authorized to approve Extra Work, change billing rates or terminate Services under this Agreement.

7. STANDARD OF CARE

7.1 CONSULTANT shall perform all Services under this Agreement in a skillful and competent manner, consistent with the standards generally recognized as being employed by professionals in the same discipline in the State of California. CONSULTANT represents and maintains that it is skilled in the professional calling necessary to perform the Services. CONSULTANT warrants that all employees and subconsultants, if any, shall have sufficient skill and experience to perform the Services assigned to them. By delivery of completed work, CONSULTANT certifies that the work conforms to the requirements of this Agreement; all applicable federal, state and local laws; and the professional standard of care. 6 7.2 CONSULTANT represents and warrants to ANAHEIM that it has, shall obtain, and shall keep in full force in effect during the term hereof, at its sole cost and expense, all licenses, permits, qualifications, insurance and approvals of whatsoever nature that is legally required of CONSULTANT to practice its profession. CONSULTANT shall maintain a City of Anaheim business license during the term of this Agreement.

8. FAMILIARITY WITH WORK
By executing this Agreement, CONSULTANT represents and warrants that CONSULTANT: (i) has thoroughly investigated and considered the Services to be performed; (ii) has carefully considered how the Services should be provided; and (iii) fully understands the facilities, difficulties and restrictions attending the provision of the Services under this Agreement.

Should CONSULTANT discover any latent or unknown conditions materially differing from those inherent in the provision of such Services or as represented by ANAHEIM, CONSULTANT shall immediately inform ANAHEIM of such fact and shall not proceed except at CONSULTANT's risk until written instructions are received from ANAHEIM.

9. INDEPENDENT CONTRACTOR

9.1 Neither ANAHEIM nor any of its employees shall have any control over the manner, mode or means by which CONSULTANT, its agents or employees, perform the services required herein, except as otherwise set forth herein. Except as expressly provided herein, ANAHEIM shall have no voice in the selection, discharge, supervision or control of CONSULTANT's employees, servants, representatives or agents, or in fixing their number, compensation or hours of service. CONSULTANT shall perform all services required herein as an independent contractor of ANAHEIM and shall remain at all times as to ANAHEIM a wholly independent contractor with only such obligations as are consistent with that role. CONSULTANT shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of ANAHEIM. ANAHEIM shall not in any way or for any purpose become or be deemed to be a partner of CONSULTANT in its business or otherwise or a joint venture or a member of any joint enterprise with CONSULTANT.

9.2 In consideration for the compensation paid to CONSULTANT by ANAHEIM, CONSULTANT agrees that ANAHEIM shall not be liable or responsible for any benefits, including, but not limited to, worker's compensation, disability, retirement, life, unemployment, health or any other benefits and CONSULTANT agrees that it shall not sue or file a claim, petition or application therefore against ANAHEIM or any of its officers, employees, agents, representatives or sureties.

10. INSURANCE
Without limiting ANAHEIM’S right to indemnification, it is agreed that CONSULTANT shall secure, prior to commencing any activities under this Agreement, and maintain, during the term of this Agreement, minimum limits of insurance coverage as follows:

Workers’ Compensation Insurance as required by California law and Employers Liability Insurance in an amount not less than $1,000,000.

7 Commercial General Liability Insurance, including coverage for Premises and Operations, Contractual Liability, Personal Injury Liability, Products/Completed Operations Liability, as well as Independent CONSULTANT’S Liability where appropriate, in an amount not less than $2,000,000 per occurrence, $4,000,000 annual aggregate. Such insurance shall be written on a primary basis but may include a deductible or self-insured retention of more than $10,000 per occurrence, provided that such deductible or self -insured retention is disclosed to ANAHEIM, in writing, prior to the inception of this Agreement.

Commercial Automobile Liability Coverage as required by California law, including—as applicable —owned, non -owned, and hired autos, in an amount not less than $2,000,000 per occurrence, combined single limit.

Professional Liability Insurance, inclusive of Cyber Liability Insurance, in an amount not less than $2,000,000. Such insurance shall be written on a primary basis but may include a deductible or self -insured retention of more than $10,000 per occurrence, provided that such deductible or self -insured retention is disclosed to ANAHEIM, in writing, at the inception of this Agreement.

Any required coverage written with primary and excess layers to satisfy the minimum requirements of this Agreement must be submitted for approval by ANAHEIM’s Risk Manager prior to the inception of the final Agreement.

CONSULTANT agrees that this insurance shall not be voluntarily cancelled by CONSULTANT or limited in scope or coverage by CONSULTANT until after thirty (30) days prior written notice has been given to the City Clerk, City of Anaheim, 200 S. Anaheim Blvd., Anaheim, CA 92805. This does not apply to cancellation for non -payment of premium, which requires notice of not less than ten (10) days.

Each insurance policy required by this Agreement shall contain the following clause or shall otherwise provide for the following conditions:

Each insurance policy required by this Agreement, except policies for Professional Liability and Workers’ Compensation, shall contain the following clauses or shall otherwise provide for the following conditions:
“It is agreed that any insurance maintained by CONSULTANT pursuant to this Agreement shall be primary to, and not contribute with, any insurance or self - insurance maintained by the City of Anaheim.”
“The City of Anaheim, its officers, agents, employees, representatives and volunteers are included as additional insured with respect to the scope of work, operations, 8 and/or activities of or performed on behalf of or at the direction of the Named Insured, performed under this Agreement with the City of Anaheim.” Prior to commencing any work under this Agreement, CONSULTANT shall deliver to ANAHEIM insurance certificates confirming the existence of the insurance required under this Agreement, and including the applicable clauses referenced above. Also, within t hirty (30) days of the execution date of this Agreement, CONSULTANT shall provide ANAHEIM (i) endorsements to the insurance policies that add to these policies the applicable clauses referenced above, or (ii) in lieu of said endorsements, docume ntation acceptable to ANAHEIM evidencing that the coverage, terms, and conditions set forth in the above -referenced clauses are otherwise included in said insurance policies. Insurance required hereunder shall be placed with insurers (i) admitted to writ e insurance in California, (ii) possessing an A. M. Best’s rating of A VII or higher, or (iii) otherwise acceptable to ANAHEIM, with prior written permission from ANAHEIM. In the event that a claim or other legal action is filed against ANAHEIM, and if ANAHEIM, in its good faith opinion, believes it may have coverage under any of the insurance required herein, then ANAHEIM has the right to demand, and to receive within a reasonable time period, copies of the insurance policies related to such required insurance; provided, however, that this provision shall not apply if the parties agree that CONSULTANT shall fully defend, hold harmless, and indemnify ANAHEIM against any such claim or other legal action.

In addition to other remedies ANAHEIM may have if CONSULTANT fails to provide or maintain any insurance policies or policy endorsements to the extent and within the time required, ANAHEIM may, at its sole option:

Order CONSULTANT to stop work under this Agreement and/or withhold any payment(s) that become due to CONSULTANT hereunder until CONSULTANT demonstrates compliance with the requirements hereof.

Terminate this Agreement.

Exercise of any of the above remedies, however, is an alternative to other remedies ANAHEIM may have and is not the exclu sive remedy for CONSULTANT’S failure to maintain insurance or secure appropriate endorsements.

Nothing herein contained shall be construed in any way as limiting the extent that an CONSULTANT may be held responsible for payments of damages to persons or property resulting from CONSULTANT’S, (or CONSULTANT’S AGENT or SUB -AGENT, if any) performance of the work covered under this Agreement.

9 In the event CONSULTANT hires other persons or firms to perform some of the work related to this Agreement, CONSULTANT shall ensure (i) that the acts or omissions of such persons or firms are covered under the above-referenced liability insurance, or (ii) that such firms maintain insurance equal to or better than, and subject to the same limits, terms and conditions as, the insurance required of CONSULTANT under this Agreement (except for firms that are not performing professional services—such firms shall not be required to carry the above -referenced professional liability insurance); and in either instance, CONSULTANT shall provide, or cause to be provided, evidence of such insurance coverage, reasonably acceptable to ANAHEIM.

ANAHEIM’S Risk Manager is hereby authorized to amend or reduce the requirements set forth herein in the event that such customer generated amendment or reduction request is in ANAHEIM’S best interest.

11. INDEMNIFICATION
As respects acts, errors or omissions in the performance of professional services, CONSULTANT agrees to indemnify and hold harmless ANAHEIM, its officials, officers, and employees from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature, directly arising out of the negligent acts, errors or omissions of the CONSULTANT or any SUB-AGENT in the performance of professional services under this Agreement.

As respects all acts, errors or omissions that do not arise directly out of the performance of professional services, including but not limited to those acts, errors or omissions typically covered by general and automobile liability insurance, CONSULTANT agrees to indemnify, defend (at ANAHEIM'S option), and hold harmless ANAHEIM, its officials, officers, employees, agents, and representatives from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature (collectively referred to hereinafter as “Claims”), arising out of or in connection with CONSULTANT’S (or CONSULTANT'S AGENT or SUB-AGENT, if any) acts, errors, omissions, or work, relative to this Agreement; e xcept for those Claims that arise out of the sole negligence or willful misconduct of ANAHEIM.

The obligations set forth in this indemnification provision (i) shall be in effect without regard to whether or not ANAHEIM, CONSULTANT, or any other person maintains, or fails to maintain, insurance coverage, or a self -insurance program, for any such Claims; and (ii) shall survive the termination of this Agreement.

12. PREVAILING WAGES
Where required pursuant to the provisions of the State of California Labor Code or the Davis Bacon Act, not less than the general prevailing rate of per diem wages including legal holidays, and overtime work for each craft or type of workman needed to execute the work contemplated under this Agreement, shall be paid to all workmen employed on the work to be done according to this contract by CONSULTANT or any approved Subcontractor, and shall be deemed to include employer payments for health and welfare, pension, vacation and similar purposes. If both the Davis-Bacon Act and State of California prevailing wage laws apply and the federal and state prevailing rate of per diem wages differ, CONSULTANT and Subcontractor, if any, shall pay the higher of the two rates. Said prevailing rate of per diem wages are on file at the City of Anaheim, Office of the City Clerk, 200 South Anaheim Boulevard, Anaheim, California 92805, and are available to any interested party on request. 10 13. PROGRESS
CONSULTANT is responsible for keeping the Project Administrator and/or his/her duly authorized designee informed on a regular basis regarding the status and progress of the Services, activities performed and planned, and any meetings that have been scheduled or are desired.

14. PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS
The Parties recognize that a substantial inducement to ANAHEIM for entering into this Agreement is the professional reputation, experience and competence of CONSULTANT.

Neither the whole nor any interest in, nor any of the rights or privileges granted under this Agreement shall be assigned, transferred or encumbered in any way without the prior written consent of ANAHEIM. Any such purported assignment, transfer, encumbrance, pledge, subuse, or permission given without such consent shall be void as to ANAHEIM. If ANAHEIM approves an assignment or transfer, this Agreement and the covenants and conditions contained herein shall be binding upon and inure to the benefit of and shall apply to the permitted successors and assigns of CONSULTANT.

15. SUBCONTRACTING
Except for those subcontractors set forth in the Scope of Services, if any, CONSULTANT shall not subcontract any portion of the work to be performed under this Agreement without the prior written authorization of ANAHEIM. CONSULTANT shall be fully responsible to ANAHEIM for all acts and omissions of any approved subcontractor. Nothing in this Agreement shall create any contractual relationship between ANAHEIM and subcontractor nor shall it create any obligation on the part of ANAHEIM to pay or to see to the payment of any monies due to any such subcontractor other than as otherwise required by law. ANAHEIM is an intended beneficiary of any work performed by any subcontractor for purposes of establishing a duty of care between the subcontractor and ANAHEIM pursuant to this Agreement.

16. USE AND OWNERSHIP OF DOCUMENTS AND DATA

16.1 ANAHEIM shall furnish to CONSULTANT such documents and materials as may be relevant and pertinent to the provision of services hereunder as ANAHEIM may possess or acquire.

16.2 All documents and materials furnished by ANAHEIM to CONSULTANT pursuant to Section 16.1 shall remain the property of ANAHEIM and shall be returned to ANAHEIM upon termination of this Agreement, for any reason. All documents or material prepared or caused to be prepared by CONSULTANT, its officers, employees, agents and subcontractors, in the course of implementing this Agreement, shall become the exclusive property of ANAHEIM, and ANAHEIM shall have the sole right to use such materials in its discretion without further compensation to CONSULTANT or any other party. CONSULTANT shall, at CONSULTANT's sole cost and expense, provide such documents and material to ANAHEIM upon prior written request.

Documents and material prepared by CONSULTANT pursuant to this Agreement are not intended or represented to be suitable for reuse by ANAHEIM or others on any other project. Any use of completed documents for other projects and any use of incomplete documents without specific written authorization from CONSULTANT will be at ANAHEIM's sole risk and 11 without liability to CONSULTANT. Further, any and all liability arising out of changes made to CONSULTANT's deliverables under this Agreement by ANAHEIM or persons other than CONSULTANT, is waived against CONSULTANT and ANAHEIM assumes full responsibility for such changes unless ANAHEIM has given CONSULTANT prior notice and has received from CONSULTANT written consent for such changes.

17. CONFIDENTIALITY
All documents, including drafts, preliminary drawings or plans, notes, ideas and communications that result from the Services provided under this Agreement, shall be kept confidential by CONSULTANT unless ANAHEIM authorizes, in writing, the release of said information.

18. INTELLECTUAL PROPERTY INDEMNITY
CONSULTANT shall defend and indemnify ANAHEIM, its agents, officers, representatives and employees against any and all liability, including costs, for infringement of any United States' letters patent, trademark, or copyright infringement, including costs, contained in the work product or documents provided by CONSULTANT to ANAHEIM pursuant to this Agreement.

19. RECORDS
CONSULTANT shall keep records and invoices in connection with the work to be performed under this Agreement. CONSULTANT shall maintain complete and accurate records with respect to the costs incurred under this Agreement and any services, expenditures and disbursements charged to ANAHEIM, for a minimum period of three (3) years, or for any longer period required by law, from the date of final payment to CONSULTANT under this Agreement.

All such records and invoices shall be clearly identifiable. CONSULTANT shall allow a representative of ANAHEIM to examine, audit and make transcripts or copies of such records and any other documents created pursuant to this Agreement during regular business hours.

CONSULTANT shall allow inspection of all work, data, Documents, proceedings and activities related to this Agreement for a period of three (3) years from the date of final payment to CONSULTANT under this Agreement.

20. WITHHOLDINGS
ANAHEIM may withhold payment to CONSULTANT of any disputed sums until satisfaction of the dispute with respect to such payment. Such withholding shall not be deemed to constitute a failure to pay according to the terms of this Agreement. CONSULTANT shall not discontinue work as a result of such withholding. CONSULTANT shall have an immediate right to appeal to the City Manager or his Designee with respect to such disputed sums and his/her decision shall be fina1. CONSULTANT shall be entitled to receive interest on any withheld sums at the rate of return that ANAHEIM earned on its investments during the time period, from the date of withholding of any amounts found to have been improperly withheld.

21. ERRORS AND OMISSIONS
In the event of errors or omissions that are due to the negligence or professional inexperience of CONSULTANT which result in expense to ANAHEIM greater than what would have resulted if there were not errors or omissions in the work accomplished by CONSULTANT, 12 the additional cost and expense shall be borne by CONSULTANT. Nothing in this paragraph is intended to limit ANAHEIM's rights under the law or any other sections of this Agreement.

22. ANAHEIM'S RIGHT TO EMPLOY OTHER CONSULTANTS
CONSULTANT acknowledges and agrees that this Agreement and the provision of services hereunder are nonexclusive and that ANAHEIM may enter into similar agreements with other entities for the provision of similar services.

23. CONFLICTS OF INTEREST

CONSULTANT or its employees may be subject to the provisions of the California Political Reform Act of 1974 (the “Act”), which (1) requires such persons to disclose any financial interest that may foreseeably be materially affected by the Services performed under this Agreement and (2) prohibits such persons from making, or participating in making, decisions that will foreseeably financially affect such interest. If subject to the Act, CONSULTANT shall conform to all other requirements of the Act that may be applicable.

Failure to do so constitutes a material breach and is grounds for immediate termination of this Agreement by ANAHEIM.

CONSULTANT’s Services under this Agreement may now or in the future involve participation in governmental decision-making processes such that ANAHEIM deems it necessary to designate one or more of CONSULTANT’s employees a filer of a Statement of Economic Interests (“ Form 700 Filer ”) under the Act. ANAHEIM shall make such designations based on the nature and scope of the Services and requirements of the Act. If CONSULTANT’s employee(s) is designated a Form 700 Filer, such employee(s) shall file under Disclosure Category 1, unless otherwise directed by ANAHEIM, and shall periodically complete ethics training as required by ANAHEIM. CONSULTANT shall at its own cost and expense ensure such employee’s compliance with these filing and ethics-training requirements.

CONSULTANT shall indemnify and hold harmless ANAHEIM for any and all claims for damages resulting from CONSULTANT’s violation of this Section.

24. NOTICES
All notices, demands or other writings to be made, given or sent hereunder, or which may be so given or made or sent by either ANAHEIM or CONSULTANT to the other shall be deemed to have been given when in writing and personally delivered or if mailed on the third (3rd) day after being deposited in the United States mail, certified or registered, postage prepaid, and addressed to the respective Parties at the following addresses:

25.1 Events of Default.
.01 For purposes of this Section 25, the word "Default" shall mean the failure of CONSULTANT to perform any of CONSULTANT's duties or obligations or the breach by CONSULTANT of any of the terms and conditions set forth in this Agreement. In addition, CONSULTANT shall be deemed to be in Default upon CONSULTANT's (i) application for, consent to, or suffering of, the appointment of a receiver, trustee or liquidator for all or a substantial portion of its assets; (ii) making a general assignment for the benefit of creditors; (iii) being adjudged bankrupt; (iv) filing a voluntary petition or suffering an involuntary petition under any bankruptcy, arrangement, reorganization or insolvency law (unless in the case of an involuntary petition, the same is dismissed within thirty (30) days of such filing); or (v) suffering or permitting to continue unstayed and in effect for fifteen(15) consecutive days any attachment, levy, execution or seizure of all or a substantial portion of CONSULTANT's assets or of CONSULTANT's interests hereunder.
.02 ANAHEIM shall not be deemed to be in Default in the performance of any obligation required to be performed by ANAHEIM hereunder unless and until ANAHEIM has failed to perform such obligation for a period of thirty (30) days after receipt of written notice from CONSULTANT specifying in reasonable detail the nature and extent of any such failure; provided, however, that if the nature of ANAHEIM's obligation is such that more than thirty (30) days are required for its performance, then ANAHEIM shall not be deemed to be in Default if ANAHEIM shall commence to cure such performance within such thirty (30) day period and thereafter diligently prosecute the same to completion.

25.2 Immediate Termination for CONSULTANT's Default. CONSULTANT shall not be deemed to be in Default in the performance of any obligation required to be performed by CONSULTANT hereunder unless and until CONSULTANT has failed to perform such obligation for a period of thirty (30) days after receipt of written notice from ANAHEIM specifying in reasonable detail the nature and extent of any such failure; provided, however, that if the nature of CONSULTANT's obligation is such that more than thirty (30) days are required for its performance, then CONSULTANT shall not be deemed to be in Default if CONSULTANT shall commence to cure such performance within such thirty (30) day period and thereafter diligently prosecute the same to completion.
14 25.3 Termination without Cause. ANAHEIM may terminate this Agreement at any time without the necessity of cause or Default by giving thirty (30) days' notice in writing to CONSULTANT. In such event, the Parties shall have no further rights hereunder, except that CONSULTANT shall be paid for all services adequately rendered prior to such termination and shall receive payment in full for equipment and equipment that has been ordered that cannot be canceled. CONSULTANT may not terminate this Agreement except for cause.

Vermont Street Alleys Sanitary Sewer Improvements RCP No. 2023- 21227
Dear Mr. Vargas:

Harris & Associates (Harris) is pleased to submit our proposal to provide professional engineering design services for the Vermont Street Alleys Sanitary Sewer Improvement project. We have carefully reviewed the RFP, evaluated the project site, and understand that this effort is a critical component of the City’s ongoing commitment to maintaining a reliable and resilient wastewater system.

Our team is uniquely qualified to support the City of Anaheim (City) in delivering this important infrastructure project. We offer the following advantages:

A Dedicated and Proven Project Manager. Having worked with the City on more than 240 projects over the past five years, we know that responsiveness, attention to detail, and stakeholder coordination are critical to successful project delivery.

Elizabeth Reyes, PE, PMP, QSD will serve as your Project Manager and primary contact. With more than 23 years of experience in sewer design and project delivery, Elizabeth is well-versed in the complexities of alleyway projects and has recently led the City’s West Street/Broadway Alley Sewer and Cypress, Resh and Citron Sewer Improvement projects. Her understanding of alignment selection, utility coordination, and school adjacency constraints directly aligns with the needs of this project.

Deep Knowledge of Anaheim Standards and Preferences. Harris staff assigned to this project have successfully completed many similar sewer projects for the City.

This includes the recent Cypress, Resh, and Citron Sanitary Sewer Improvements project which included coordination with Anaheim Hills High School. As a trusted advisor to the City, we have developed strong relationships with staff and are familiar with the City’s preferences, permits, design standards, CADD preferences, specifications, estimate formats, and invoicing procedures. This knowledge will greatly reduce the time and effort required by City staff in managing this project.

Innovated Leaders in the Trenchless Industry. The proximity of the existing pipe to existing structures may require replacement via trenchless methods. Harris has been a leader in trenchless technology pipeline design since the early 1990s.

We are one of the earliest members of the Northern California Pipe User’s Group, which studies and discusses current trenchless rehabilitation means and methods.

Our staff has performed design and construction management services for over 100—update no-dig projects.

Demonstrated Record of Success
On the Lincoln Avenue Sanitary Sewer and Street
Improvements project for the City of Anaheim, the
Harris team successfully completed design revisions
within a short timeframe, avoiding delays to the
project. Bill Grigsby, PE, Principal Engineer of Design Services in the City’s Public Works Department,
noted the team’s success:
“Great job Elizabeth and Harris as a whole. Coming
from construction services, I must say this level of
responsiveness and assistance is the model for
design’s role in construction and I really appreciate
your efforts. It’s impressive to have completed design
revisions, including AutoCAD, provided within six
days of an RFI submittal, especially when that RFI
was submitted towards the end of the business day
on Friday!”
The project also utilized an innovative new parallel
alignment for the replacement sewer, which reduced
costs for sewer bypassing operations, eliminated
expensive utility relocations, and reduced traffic
control costs. Resumes

c. Understanding of Need
Project Goals and Implementation
The City of Anaheim developed master planning documents for its central sewer area known as the Central Anaheim Master Plan of Sanitary Sewers (CAMPSS) in December 2017. The City is implementing improvements to mitigate existing deficiencies identified in these documents and is seeking a qualified consultant to provide design services for sewer improvements within several alleys between high density apartment residential streets adjacent to Olive Elementary School. The approximate extent of the improvements and the estimated upsizing required from the CAMPSS document is summarized in the following Table 1: Proposed Sewer Improvement Summary and Exhibit 1: Proposed Sewer Overview Improvement.

Project Understanding
The CAMPSS identified eleven (11) pipe segments
within the limits specified in Table 1. It is important to note that the CAMPSS is a master planning tool that
identifies system deficiencies and presents preliminary recommendations for upsizing improvements. However,
the CAMPSS is in a format that only allows for a
general recommendation for upsizing deficiencies
that are identified. Therefore, this project level study allows for alternatives to be evaluated in greater
detail to find more cost effective and constructible
solutions. As a part of this project, the Harris team will evaluate alternatives for upsizing the existing pipelines, including trenchless methods, conventional open cut,
alternative parallel alignments, and other methods. The recommended alternative will then be developed into a
biddable set of PS&E construction documents.

The alleys where the sewer improvements are
proposed serve as access to garages to the high-
density residential area and will need to be closely
coordinated with residents for temporary closures
during construction. It was also noted during our field visit, trash pickup occurs on Wednesdays and trash
pickup operations will need to be addressed during
construction. The intent of the project is to replace the existing alley pavement with PCC pavement.

Harris & Associates, Inc. 1. Statement of Qualifications  6 Exhibit 2: Potential Sewer Diversion of Southerly Sewer Main in Alley West of Olive Street Exhibit 3: Existing Utilities along Vermont Avenue
Among other potential alternatives, Harris will also
consider the diversion of the southerly line along
the alley just west of Olive street to avoid open
trench excavation and working around utilities along
Vermont Blvd (see Exhibit 2 and Exhibit 3).

Project Management and Communication
Harris’ Project Manager Elizabeth (Liz) Reyes,
PE, PMP, QSD will meet with the City project
representatives regularly and remain in constant
communication to deliver a successful and timely
project. Liz’s project management approach is
to develop a team of experts that she trusts and
has worked with on similar projects, give them
the resources to perform their tasks successfully,
communicate the client’s goals and expectations clearly among the entire team, and create an environment to
communicate the project status, issues and solutions.

She will maintain an open line of communication
between the design team and the City, so the City
is constantly aware of the project status and is
participating in all key design decisions. This will be accomplished through regular meetings, workshops,
and weekly telephone calls and emails. Meeting
minutes will be distributed within two working days of
the meeting identifying action items, assignments and
due dates.

Schedule Control
It is important for the project that we start construction immediately after the end of the school year. The
key to effective schedule control is to measure actual
progress and compare it to planned progress on
a regular basis and to take necessary corrective
action immediately. Harris utilizes an “Earned Value”
spreadsheet to track these metrics. We propose to
closely track each major task in the project schedule
to identify where each individual component stands
in relation to the overall progress of the project. The tools that Harris will use will also help improve the
City’s project manager’s reporting, help identify issues and critical path items that could cause delays, and
provide the opportunity for revising the schedule, when deemed necessary.

Harris & Associates, Inc. 1. Statement of Qualifications  7 d. Relevant Project Experience
La Reina and Lincoln Avenue Sanitary Sewer
Improvements
Client: City of Anaheim
Description: Harris provided survey and civil
engineering design services for this project, which
addressed the sanitary sewer capacity deficiencies
for both existing and build-out conditions of two sewer pipeline segments. The Harris team performed CCTV
inspections of the existing sewer and compiled a log
for each existing sewer pipe that included locations
of existing lateral connections. A constructability
analysis confirmed that removal and replacement of
the sewer along the existing alignment on the project
would impact several utilities and cross multiple travel lanes, thus making the traffic control more impactful.

An innovative new parallel alignment for the
replacement sewer was utilized, which reduced
costs for sewer bypassing operations, eliminated
expensive utility relocations, and reduced traffic
control costs.

Harris’ QA/QC manager Randall (Randy) Berry, PE
will oversee the quality management process. Harris
recognizes that a successful project must start with a
clear understanding of the project and knowledge of the City’s standards and requirements. Quality control is
embedded within our employees and is most effective
when practiced continuously throughout the concept
development, design, and construction processes. This
is a characteristic that is valued and rewarded within our team and will provide the City with a properly designed and constructed project.

The Project Quality Control Plan used for design
consists of the following:
• Project Concept Review: Review the basic concepts
for feasibility and conformance with project criteria.

Develop and vet innovative concepts and alternatives.
• Discipline Review: Verify the work for each of the
technical disciplines including sub-consultants.
• Project Manager Review: Confirm that project
deliverables conform to the scope of work and that
documents supplied by others (City, sub-consultants,
etc.) are properly incorporated.
• Value Engineering and Constructability Review:

Harris' extensive bench of construction managers
will review the design, construction plans, and
specifications from a value engineering and
constructability perspective to deliver a cost-effective design and avoid potential issues or problems during
the construction of the project.
• Client Comment Review: All client comments will
be addressed along with a written response to each
comment.
• QA/QC Review: Independent review to verify
the accuracy, completeness, and coordination of
drawings, specifications, and cost estimates.

2. SCOPE OF SERVICES & SCHEDULE
Scope of Services
Harris has reviewed the City’s proposed scope of
work, starting on page 9 of the RFWOP dated May
15, 2025, Addendum 1 (Dated May 16, 2025), and
Addendum 2 (Dated June 4, 2025). We will follow
this scope as written. However, the following task
items include some exclusions, clarifications, and
assumptions used for budgeting purposes. In addition
to the tasks below, the scope and fee will also include a project management task to maintain project
budgets and schedules, prepare status reports, and
maintain the project team.

Task 1: Existing Sewer System Verification,
Cleaning & CCTV Services — No Exceptions,
just clarification that Harris’ existing sewer cleaning and CCTV inspection sub-consultant, Downstream
Services will provide traffic control per MUTCD/
WATCH Manual and would obtain a no-fee permit
from the City. CCTV of the existing 6-inch sewers
will be performed to confirm lateral location and
connection angle to the mainline.

Harris & Associates, Inc. 2. Scope of Services & Schedule  9 Task 2: Utility Research: No Exceptions, just
clarification that the Harris team will perform a search of available public records, prepare utility letters (to be sent out by City) for request from utility companies to acquire atlas maps of their existing facilities within the project limits and compile the data based on the
records received. Potholing services will be performed
as part of Task 4.

Task 3: Preliminary Evaluation of Alternatives
and Preliminary Design Report (PDR) — No
exceptions, just clarification that Harris will analyze up to three (3) alternative alignments and perform
hydraulic analysis of the proposed sewer alternatives
using existing and build-out flows as provided in
the City’s CAMPSS. Clarifications include Harris’
“Decision Matrix” form that compares all the various
elements affecting each alternative, such as costs,
constructability, maintenance, environmental factors,
etc. and applies value ranking for each item such that
an objective preferred alternative can be determined.

A preliminary design report with our findings will be
submitted to the City for review and feedback.

Task 4: Pothole Services — No Exceptions, just
clarification that Harris’ potholing sub-consultant,
T2UE will obtain ten (10) potholes as part of the base
project and adhere to the City Requirements as stated
in Item G of the General Information section VIII, Page

16. Regarding the five (5) days of additional potholing called for in the RFP, we estimate that approximately
25 to 30 potholes can be obtained depending on the
location. Up to two (2) traffic control plan sheets are included as part of the permit processing effort and
TU2E would obtain a no-fee permit from the City.

Harris will coordinate with the City for the survey of all potholes performed.

Tasks 5 & 6: 50% PS&E Submittal and
Workshop — Some exceptions and clarifications
are as follows. The anticipated plan sheets would
be as follows: One (1) Title Sheet, One (1) General
Notes, Legend, Abbreviations & Master List of
Construction Notes Sheet, approximately six (6)
Sewer Improvement Plan and Profile Sheets, six
(6) Alley PCC Paving Improvement Plan and Profile
Sheets, one (1) Sewer Detail Sheets, two (2) curb
ramp and alley approach detail sheets, four (4) alley
cross sections and one (1) Replacement Striping
Plan Sheet, for a total of approximately twenty two
(22) plan sheets. Although no utility relocations are
anticipated, the design of utility relocation is not
included as it is assumed that the utility owners
would provide said designs. It is assumed the project
specifications will require the City’s contractor to
prepare the SWPPP for temporary construction
BMP’s and the scope for permanent water quality
BMPs are not included in the project scope.

Task 7: Permitting and Outside Coordination
— No Exceptions and clarifications as follows:

The Harris team, with the assistance of the City,
will coordinate a total of two (2) meetings with
Olive Street Elementary and Thomas Jefferson
Elementary School officials to confirm their concerns
are understood and incorporated (within reasonable
scope) into the bid documents. The Harris team, with
the assistance of the City will coordinate permits,
if needed, from Orange County Transportation
Authority (OCTA) (bus stop impacts) and Union
Pacific Railroad (UPRR) for traffic control across
the grade crossing along Olive. Although it is not
anticipated a permit from Union Pacific Railroad
(UPRR) will be needed, the specifications will clearly
state the Contractor’s operations and traffic control
measures should not impact and/or encroach into
the railroad right of way for the tracks along Olive
Street and the tracks just east of South Dakota
Street. Anaheim’s Transportation Network line travels
along Vermont Blvd between Harbor Blvd and East
Street and will be taken into consideration when
preparing the Construction Documents. Harris does
not anticipate permits will be needed from State of
California Department of Transportation (Caltrans),
Union Pacific Railroad (UPRR), or County of Orange.

Permit fees are not included.

Task 8: Environmental Documents — Some
exceptions and clarifications are as follows: The
design of utility relocation is not included as it is
assumed that the utility owners would provide said
designs. Based on our understanding of the project,
it will qualify for a statutory exemption per Article 18 of the CEQA Guidelines and PRC Section 21080.21.

Harris will prepare a Notice of Exemption for the
project for the City to file with the County Clerk and
the State Clearinghouse.

Task 9: Geotechnical Investigation — No
Exceptions, just clarifications that Harris’ sub-
consultant, LOR Geotechnical (LOR) will perform six
(6) borings. All borings are assumed to be backfilled
with soil cuttings after the tests are complete and
patched with “Keystone reinstatement”. No hazardous
substances analysis is included in the scope. Up to
two (2) traffic control plan sheets are included as part of the permit processing effort and LOR will obtain a
no-fee permit from the City.

Harris & Associates, Inc. 2. Scope of Services & Schedule  10 Task 10: Traffic Control Methods and Plans
— Some exceptions and clarifications as follows:

In the case that coordination with UPRR is needed,
Two Traffic Control Plan Sheets (for work along
Vermont Avenue) will be prepared. Per UPRR’s UP
Public Project Manual, Section 4.6 Temporary Traffic
Control in Proximity to Highway-Rail Grade Crossing,
it is the responsibility of the Public Road Authority to determine if Temporary Traffic Control Plans have the
potential to modify traffic across the Grade Crossing.

This will be determined once a final alignment is
selected. The work within the Alley and along the
crossing at Valencia is assumed to be addressed
by traffic control requirements established in the
specifications and that there is no significant striping replacement work in these areas. Traffic Control for
existing sewer verification, potholing, and CCTV is
included in Tasks 1, 4 and 9.

Tasks 11 & 12: Pavement and Pedestrian
Improvement Plans and File Submittal —
No exceptions and clarifications as follows: Plans
showing the limits of trench, street pavement, alley
pavement and PCC sidewalk, curb, curb & gutter
alley approach, alley cross sections, construction
details along the limits of the sewer improvement
plans are included in the 50%, 90% and 100%
submittals (see Task 5 for the list of proposed
Construction Plans).

Tasks 13, 14, & 15: 100% PS&E Submittal and
Design Review Meeting — No exceptions.

Task 16: Complete Neighborhood Partnership
— The Harris team will assist in the effort of
incorporating the City’s other departments’ project
plans as one Final bid document.

Task 17: Public Outreach — Harris anticipates
participation in up to two (2) meetings with affected
stakeholders upon request of the City. Harris will
provide technical information to the City for the
meeting and will work with the City to identify venues
and develop a meeting format that meets objectives
for obtaining the needed information and coordination
for the meeting.

Task 18: Schedule — See proposed schedule
within proposal showing the completion of the
design by May 4, 2026. Harris’ project manager at a
minimum will set a bi-weekly virtual check-in meeting
for continuous communication between the Design
team and the City to verify that the schedule of work
is adhered to.

Tasks 19 & 20: Bidding & Construction
Support — No exceptions, just clarifications that
Harris’ effort will be limited to the hours shown in the Resource Hour Allocation Table / Fee Breakdown
Chart. Fee Breakdown assumes up to five (5) RFI’s,
eight (8) material submittals, four (4) change orders
and preparation of As-Built drawings. The level of
construction effort is limited to the budget allotted in the fee schedule.

Task A: Meetings — No exceptions, just
clarifications that a total of twenty-three (23) meetings (one kick-off meeting, one conceptual feedback
meeting, one 50% workshop meeting, two community
meetings, two meetings with school officials,
and sixteen (16) bi-weekly virtual City progress/
coordination meetings between other meetings) are
included in the scope.

Task B: Public Outreach — No Exceptions, just
clarification that Harris anticipates participation in up to two (2) meetings, with scheduling, noticing, and
compilation of information for distribution to the public being performed with the close assistance of City
staff.

Task C: Records Research and Verification

RELEVANT EXPERIENCE
• City of Anaheim, La Reina and Lincoln Ave
(w/o Magnolia Ave) Sanitary Sewer Improvement
Project. Project Manager. Harris prepared PS&E
construction documents to address deficiencies and
add needed capacity to the system for future built-
out conditions. This project included an innovative
parallel alignment for the replacement sewer that
will reduce costs for sewer bypassing operations,
eliminate expensive utility relocations, and reduce
traffic control costs. A constructability analysis
confirmed that removal and replacement of the
sewer along the existing alignment would impact
several utilities and cross multiple travel lanes,
thus making the traffic control more impactful. The
new parallel alignment avoids utilities and remains
in a single travel lane. Elizabeth provided the
flexibility to address late-coming additions
of roadway improvement plans to the PS&E
package in short order. This benefited the City
by fast-tracking the street improvements into
the project and allowing one contractor to
perform both projects in a timely manner.
• City of Anaheim, West St and Broadway Alley
Sanitary Sewer Improvement Project. Project
Manager. Harris prepared PS&E construction
documents to address deficiencies and add
needed capacity to the system for future build-out
conditions. The project included study alternatives
that would divert flows to a different/deeper
downstream sewer in Santa Ana Street, allowing
for the upsized sewer mains to have a steeper pipe
slope that would result in self-cleaning velocities.

Elizabeth showed her continued ability to pivot to
consider new alternatives when it was determined
that a simple upsizing of the sewers in West Street
and Broadway Alley would not result in self-cleaning
velocities, which could
present future unwanted
maintenance issues.

Harris’ flexibility
to pivot to new
alternatives benefits
the City by maximizing
outcomes and delivering high-quality results.
• Valley Sanitary District, Collection System
Infrastructure Project. Project Manager. The Harris
team is currently delivering program, design, and
engineering services as a program and design
manager (PADM) for a 12-year collection system
infrastructure project. The collection system
infrastructure program is expected to be completed
in four phases, with a total approximate construction
value of $70 million. Harris also acts as a liaison
with the Valley Sanitary District, cities, utilities,
community programs, state, county, and other
development-related entities. Our team partners
with the District in building internal capabilities
with industry best practices and systems,
as well as knowledge transfer and staff
development, with the objective of building in-
house expertise and knowledge. The scope of
services includes development of capital program
scope and budget, providing program and project
management, development of a quality assurance/
quality control process, environmental engineering
and water resources engineering, engineering
design for collection system rehabilitation and new
installations, and constructability reviews and value
engineering on alternatives and design concepts.

Elizabeth is responsible for the preparation of PS&E
documents for the sewer improvements.

Pipeline Rehabilitation

RELEVANT EXPERIENCE
• City of San Mateo, El Cerrito Sanitary Sewer Relief
Line with Siphon. Project Director/QA/QC Manager.

This $15 million sewer rehabilitation project included
two miles of 21- to 30-inch sanitary sewer pipeline.

Vern utilized trenchless technology, including
jack-and-bore, pilot tube guided boring, horizontal
directional drilling, and rehabilitation of vitrified clay pipe (VCP) sewers with high density polyethylene
(HDPE) by pipe bursting to minimize impacts to the
community. A challenge on this project was crossing
the San Mateo Creek within a relatively shallow
cover. Open cutting through the creek would have
created numerous environmental challenges and
potentially delayed the project. Therefore, Harris
decided to use an inverted siphon to tunnel
beneath the creek. Harris carefully evaluated
various methods and determined pilot tube guided
auger boring (PTGAB) was not only less expensive
but would also significantly minimize the risk of frac- out (the escape of drilling mud into the environment)
and produce a shorter siphoned pipe.
• Santa Cruz County Sanitation District, Aptos-
Esplanade Pump Station and Force Main Relocation.

Project Director. The force main pipeline was
collapsing and needed immediate rehabilitation.

Harris was selected to study alternatives for the repair and long term performance of the pipeline. Ultimately,
it was recommended to remove the pipeline and a
pump station from the beach and reroute the farce
main to public right-of-way in a frontage road. Vern
was in charge of the study and alignment alternatives
analysis, technical quality control, and oversight of all deliverables including project cost and schedule. The
$11M project utilized horizontal directional drilling
(HDD) as part of the 3.5 mile realignment. A dual-
pipe force main of 18- and 20-inch diameters
was directionally drilled to get the pipeline
under a major creek at Aptos and down a steep
embankment.
• City of Santa Monica,
Main Street Sewer
Rehabilitation Project.

Technical Advisor and
QA/QC. This project rehabilitated 5,600 linear feet
(LF) of 36- to 48-inch deteriorated reinforced concrete pipe using trenchless technology methods. The
City had retained a consultant to do the design and
construction management but needed a trenchless
expert to oversee the project team. Vern provided
his skills as technical advisor and QA/QC lead
for the team in charge of the selection of the
best trenchless method for the rehabilitation
and oversight of all design deliverables. He also
oversaw the construction inspection for the trenchless
methods and off-site preparation of the liner materials. • City of Piedmont, Sanitary Sewer Rehabilitation.

Project Director. The City of Piedmont was under
a cease-and-desist order from the State Water
Quality Control Board to reduce their sanitary
sewer overflows and groundwater infiltration into
their collection system. Harris took earlier master
plan studies and developed a prioritization of the
most deteriorated subbasins for rehabilitation.

Trenchless technology was used extensively for the
project. Pipebursting, horizontal directional drilling, and lining technology were employed to avoid
many of the impacts to traffic and the residents for
this $16M, six-year sanitary sewer rehabilitation
program. The work included not only the
rehabilitation of more than 200,000 feet of deficient
sewer main and laterals to reduce inflow and
infiltration, but Harris staff processed all paperwork
for a State Revolving Fund loan including
coordinating the environmental requirements and
right-of-way clearances. Vern was in charge of
processing the SRF loan, quality control of all
deliverables and trenchless technology technical
oversight.

RE: Vermont Street Alleys Sanitary Sewer Improvements
RCP#2023-21227

Account Nos. 592-412-I813-7809

ADDENDUM NO. 1

The following are changes to the contract documents and special provisions for the above referenced project:

1. BIDDING: Request for Proposal

• Page 2 of the RFP has been updated to state the Cit y of Anaheim is requesting services from consulting firms for the following Sanitary Sewer Improvement Project. It previously stated the City is requesting services from its on-call engineering consults. This was in error and any consultant is able to submit a proposal for this job.
• Page 14 of the RFP has been updated to exclude resumes, schedule, and the resource allocation table from t he 10 page proposal count.

2. Q &A:

• Received 5/15/2025: A maximum of 10 pages for a ful l RFP response seems very limited and may not provide enough space for a complete response that includes the requested cover letter, resumes, understanding of need, project experience, scope of work, schedule, and resource allocation table. Woul d the City consider increasing the page limit and possibly excluding resumes from the page limit to allow for a more thorough proposal that provides all of the requested information?

RESPONSE: The maximum 10 page count for the proposal will remain, however, resumes, schedule, and resource al location table will not count toward the 10 page limit.

• Received 5/15/2025: The designation of subcontractors document provided in the "proposal contents and criteria" section is blank. Can you please provide a new copy of this form or specify what information is needed for each subconsultant?

RESPONSE: Yes, the designation of subcontractors document will be uploaded.

• Received 5/15/2025: In the "proposal contents and criteria" section there does not appear to be a location to u pload the proposal document. Could the City update the response form to indicate where the file should be uploaded?

Response: A new location to upload documents has been added to the response section.

• Received 5/16/2025: The RFP for this project states that the City is requesting proposals from its on-call engineering firms for this work. MNS is not aware that we are on the City’s current on-call list. We were not aware of this opportunity prior to its release and as a result, are not well positioned for the work. We are excited about the prospect of working for the City in the future. Is MNS eligible to submit on this opportunity and future on-call opportunities?

Response: The RFP has been updated and the language stating on-call engineering firms has been removed.

THE BID DATE REMAINS THURSDAY, JUNE 12, 2025 AT 2:00 P.M.

ADDENDUM NO. 2

1. Q &A:

• Received 6/3/2025: Will the City provide the existing topography prior to the RFP deadline to determine if, and where,
supplemental topo will be needed?

RESPONSE: Yes, the topo has been uploaded to OpenGov.

• Received 6/3/2025: One section of the scope states: “50-foot cross sections (paced) from existing right-of-way t o existing right-of-way.” Given that the alleys are 20 feet wi de, this would imply a 10-foot half-width. However, another section states:
“This program will also include improvements to the existing driveway approaches, sidewalks, curbs, curb & gutter, street, ADA access ramps, etc.” Can you please confirm the intended topo limits for the alleyways? Should we survey just the 10-foot half-width, or extend to the face of garages, fences, and other improvements?

RESPONSE: Topo limits of alleys typically include up to edge of gutter. If additional survey is needed, include those limits in the proposal.
