1 AGREEMENT
THIS AGREEMENT, dated for purposes of identification only this day of
, 2025, is made and entered into by and between the
CITY OF ANAHEIM, a municipal corporation,
hereinafter referred to as "ANAHEIM,"
A
N
D
WOODARD & CURRAN INC, a Maine corporation,
hereinafter referred to as "CONSULTANT."
ANAHEIM and CONSULTANT are sometimes individually referred to herein as "Party" and collectively as "Parties."
W I T N E S S E T H:
WHEREAS, ANAHEIM is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of the City of Anaheim; and
WHEREAS, ANAHEIM desires to obtain the services of CONSULTANT for civil engineering services related to the Resort Area Sanitary Sewer and Roadway Widening Improvement Project (the "Project"); and
WHEREAS, CONSULTANT possesses the skill, experience, ability, background, certification and knowledge to provide the services for the Project as described in this Agreement; and
WHEREAS, ANAHEIM has solicited and received a proposal from CONSULTANT, has reviewed the previous experience and evaluated the expertise of CONSULTANT, and desires to retain CONSULTANT to render professional services under the terms and conditions set forth in this Agreement.
NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL
PROMISES, COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES HERETO AGREE AS FOLLOWS:
2 1. SERVICES TO BE PROVIDED BY CONSULTANT
In compliance with all of the terms and conditions of this Agreement, CONSULTANT shall provide to ANAHEIM all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply the professional consulting services necessary for the Project (“Services"). The Services include, but are not limited to the following: (1) Cost effective sanitary sewer and road widening design to complete the Project. (2) Potholing and all tasks listed in the updated Proposal, incorporation of best management practices; (3) QA/QC plan; (4) management data files in a form usable by the City of Anaheim; (5) conducting public outreach and stake holder meetings; and (6) on-going support as needed by City staff and are more particularly described in the CONSULTANT's revised Proposal with the date of July 21, 2025 (“Proposal”), attached hereto as Exhibit “A” and incorporated herein and in the Request for Proposal (“RFP”) issued by ANAHEIM, a copy of which is available in the Department of Public Works upon request and are both incorporated herein by this reference ("Scope of Services"). ANAHEIM reserves the right to modify the Scope of Services in its sole discretion.
In the event of conflicting provisions, the provisions shall govern in the following order: (1) this Agreement, (2) the updated Proposal and (3) the RFP. ANAHEIM may elect to delete certain tasks from the Scope of Services in its sole discretion.
2. TERM
The term of this Agreement shall commence on the Effective Date of this Agreement as set forth in Section 39 herein, and shall terminate upon the completion of the Services described herein, unless terminated earlier as set forth in Section 26 herein ("Term").
3. TIME OF PERFORMANCE
3.1 ANAHEIM and CONSULTANT recognize that time is of the essence as to this Agreement and that ANAHEIM may suffer damages which are difficult to determine and accurately specify, such as lost grant funds, additional contract administration expenses, if the Services are not completed within the time specified in the Project Schedule attached hereto as Exhibit “A.” CONSULTANT and ANAHEIM agree to liquidate damages with respect to CONSULTANT's failure to achieve completion of the Services within the times provided in the Project Schedule. CONSULTANT acknowledges and agrees that the liquidated damages are intended to compensate ANAHEIM solely for CONSULTANT’s failure to meet the deadline for completion and shall not excuse CONSULTANT from liability from any other breach, including any failure of any of the work to conform to any requirements provided by local, state or federal laws, rules and regulations.
In the event that CONSULTANT fails to achieve completion of the work within the time frame designated in the Project Schedule, CONSULTANT agrees to pay ANAHEIM the following:
(a) $ 150 per day for each calendar day that completion of the work is delayed.
CONSULTANT acknowledges and agrees that the foregoing liquidated damages have been set based on an evaluation by ANAHEIM of damages that it will incur in the event of 3 the late completion of the work per the Project Schedule and Scope of Services. CONSULTANT and ANAHEIM agree that because of the nature of the Project it would be impractical or extremely difficult to fix the amount of actual damages incurred by ANAHEIM due to a delay in completion of the work. Accordingly, ANAHEIM and CONSULTANT have agreed to such liquidated damages to fix CONSULTANT's costs and to avoid later disputes. It is understood and agreed by CONSULTANT that any liquidated damages payable pursuant to this Agreement are not a penalty and represent a fair and reasonable estimate of compensation for losses to be incurred under the circumstances existing as of the effective date of this Agreement.
It is further mutually agreed that ANAHEIM shall have the right to deduct liquidated damages against progress payments or retainage. In the event the remaining unpaid Contract Amount is insufficient to cover the full amount of liquidated damages, CONSULTANT shall pay the difference to ANAHEIM.
Permitting or requiring CONSULTANT to continue and finish the Services or work, or any part thereof, after the deadline for completion shall not act as a waiver of ANAHEIM's right to receive liquidated damages hereunder or any rights or remedies otherwise available to ANAHEIM.
3.2 The time period(s) specified for performance of the Services rendered pursuant to this Agreement shall be extended because of any delays due to unforeseeable causes beyond the control and without the fault or negligence of CONSULTANT, including, but not restricted to, acts of God or of the public enemy, unusually severe weather, fires, earthquakes, floods, pestilence, and other natural catastrophes, epidemics, quarantine restrictions, riots, strikes, freight embargoes, wars, litigation, civil disturbance or disobedience, sabotage, restraint by court order or public authority and action or non-action by or inability to obtain the necessary authorization or approvals from any governmental agency or authority, and/or acts of any governmental agency, including ANAHEIM, which by the exercise of due diligence such Party could not reasonably have been expected to avoid and which by exercise of due diligence has been unable to overcome, if CONSULTANT shall within ten (10) days of the commencement of such delay notify the Project Administrator in writing of the causes of the delay. The Project Administrator shall ascertain the facts and the extent of delay, and may extend the time for performing the Services for the period of the enforced delay if, in the judgment of the Project Administrator, such delay is justified. The Project Administrator's determination shall be final and conclusive upon the Parties to this Agreement. In the event of delay, however caused, CONSULTANT's sole remedy shall be an extension of this Agreement pursuant to this Section and CONSULTANT shall not be entitled to recover damages against ANAHEIM.
4. COMPENSATION
4.1 ANAHEIM shall pay CONSULTANT for the Services rendered, pursuant to this Agreement, in the amount of One Million, Three Hundred Twenty -Eight Thousand, Eight Hundred Thirty -Seven Dollars and No/100 Cents ($1,328,837.00) pursuant to the fee proposal set forth in Exhibit A and incorporated herein by reference (“Schedule of Compensation"). CONSULTANT and ANAHEIM agree that no changes to the fee proposal set forth in Exhibit A shall be made during the term of this Agreement without the prior written approval of ANAHEIM.
4 4.2 Extra Work. The Director of Public Works is authorized to approve additional expenditures to be paid to CONSULTANT, pursuant to this Agreement, for Extra Work not included in the Scope of Services, in the amount of One Hundred Thirty-Two Thousand, Eight Hundred Eighty-Three Dollars and 70/100 Cents ($132,883.70), if the Director of Public Works determines, in his or her sole discretion, that the additional Extra Work is necessary for the successful completion of the Services.
.01 In no event shall CONSULTANT render Extra Work beyond the scope of this Agreement without the written authorization of the Director of Public Works. .02 All Extra Work approved in writing by the Director of Public Works shall be billed at either the rates set forth in the Schedule of Compensation or at a fixed price, at ANAHEIM's sole discretion. If billed at a fixed price, CONSULTANT shall provide ANAHEIM with general description of the Extra Work to be performed with a proposed price. At such time as the Director of Public Works has approved the Extra Work, has agreed to a fixed price for the services, and has notified CONSULTANT of such approval and agreement in writing, CONSULTANT shall perform the Extra Work.
.03 Except as specifically provided herein, no additional Services or Extra Work beyond the scope of this Agreement shall be rendered by CONSULTANT unless previously authorized in writing by the City Manager.
.04 As used herein, “Extra Work” means any work that is determined by ANAHEIM to be necessary for the proper completion of the Services, but which is not included within the Scope of Services and which the Parties did not reasonably anticipate would be necessary at the execution of this Agreement.
4.3 It is understood by and agreed between the Parties to this Agreement that full and complete payment for all Services provided in accordance with this Agreement, including, but not limited to, all Extra Work, reimbursable expenses and subconsultant fees, if any, shall not exceed One Million, Four Hundred Sixty-One Thousand, Seven Hundred Twenty Dollars and 70/100 Cents ($1,461,720.70).
4.4. CONSULTANT shall submit monthly invoices to ANAHEIM describing the work performed the preceding month. CONSULTANT's bills shall include the name of the person who performed the work, a brief description of the Services performed and/or the specific task in the Scope of Services to which it relates, the date the Services were performed, the number of hours spent on all work billed on an hourly basis, and a description of any reimbursable expenditures. ANAHEIM shall pay CONSULTANT no later than thirty (30) days after approval of the monthly invoice by ANAHEIM staff.
4.5 All Parties recognize that the continuation of this Agreement after the close of any fiscal year of ANAHEIM, which fiscal year ends on June 30 of each year, shall be subject to budget approval providing for or covering such contract items as an expenditure in said budget.
ANAHEIM does not represent that said budget item will be actually adopted, said determination being the determination of the City Council at the time of the adoption of the budget herein. No penalty shall accrue to ANAHEIM in the event this provision shall be exercised. Should termination be accomplished in accordance with this Section, a settlement shall be negotiated by 5 the Parties based on items delivered, services provided, monies paid and monies due.
5. PROJECT MANAGER
5.1 CONSULTANT shall designate a Project Manager, who shall coordinate the Services. This Project Manager shall be available to ANAHEIM at all reasonable times during the Term of this Agreement. CONSULTANT has designated Kraig Erickson to be its Project Manager. It is expressly understood that the experience, knowledge, capability and reputation of the foregoing Project Manager is a substantial inducement for ANAHEIM to enter into this Agreement. Therefore, the foregoing Project Manager shall be responsible during the Term of this Agreement for directing all activities of CONSULTANT and devoting sufficient time to personally supervise the provision of Services hereunder. The foregoing Project Manager may not be changed by CONSULTANT and no other personnel may be assigned to supervise the Services to be provided hereunder without the express written consent of ANAHEIM.
5.2 Any personnel or subconsultant, if any, who fail or refuse to perform the Services in a manner acceptable to ANAHEIM, or who are determined by ANAHEIM, in its sole discretion, to be uncooperative, incompetent, a threat to the adequate or timely completion of the Project, or a threat to the safety of persons or property, shall be promptly removed from the Project by CONSULTANT at the request of ANAHEIM. CONSULTANT warrants that it will continuously furnish the necessary personnel to complete the Services on a timely basis as contemplated by this Agreement.
6. ADMINISTRATION
This Agreement will be administered by the Public Works Department. The employees of the Public Works Department shall be authorized to take the following actions pursuant to this Agreement:
(i) The Director of Public works is authorized to take any and all actions on behalf of ANAHEIM as set forth herein and to terminate services in accordance with Section 25 of this Agreement.
(ii) The Project Administrator is authorized to take those specific actions set forth herein and review and approve all Services performed by CONSULTANT under this Agreement. The Project Administrator shall not be authorized to approve Extra Work, change billing rates or terminate Services under this Agreement.
7. STANDARD OF CARE
7.1 CONSULTANT shall perform all Services under this Agreement in a skillful and competent manner, consistent with the standards generally recognized as being employed by professionals in the same discipline in the State of California. CONSULTANT represents and maintains that it is skilled in the professional calling necessary to perform the Services. CONSULTANT warrants that all employees and subconsultants, if any, shall have sufficient skill and experience to perform the Services assigned to them. By delivery of completed work, CONSULTANT certifies that the work conforms to the requirements of this Agreement; all applicable federal, state and local laws; and the professional standard of care. 6 7.2 CONSULTANT represents and warrants to ANAHEIM that it has, shall obtain, and shall keep in full force in effect during the term hereof, at its sole cost and expense, all licenses, permits, qualifications, insurance and approvals of whatsoever nature that is legally required of CONSULTANT to practice its profession. CONSULTANT shall maintain a City of Anaheim business license during the term of this Agreement.
8. FAMILIARITY WITH WORK
By executing this Agreement, CONSULTANT represents and warrants that CONSULTANT: (i) has thoroughly investigated and considered the Services to be performed; (ii) has carefully considered how the Services should be provided; and (iii) fully understands the facilities, difficulties and restrictions attending the provision of the Services under this Agreement.
Should CONSULTANT discover any latent or unknown conditions materially differing from those inherent in the provision of such Services or as represented by ANAHEIM, CONSULTANT shall immediately inform ANAHEIM of such fact and shall not proceed except at CONSULTANT's risk until written instructions are received from ANAHEIM.
9. INDEPENDENT CONTRACTOR
9.1 Neither ANAHEIM nor any of its employees shall have any control over the manner, mode or means by which CONSULTANT, its agents or employees, perform the services required herein, except as otherwise set forth herein. Except as expressly provided herein, ANAHEIM shall have no voice in the selection, discharge, supervision or control of CONSULTANT's employees, servants, representatives or agents, or in fixing their number, compensation or hours of service. CONSULTANT shall perform all services required herein as an independent contractor of ANAHEIM and shall remain at all times as to ANAHEIM a wholly independent contractor with only such obligations as are consistent with that role. CONSULTANT shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of ANAHEIM. ANAHEIM shall not in any way or for any purpose become or be deemed to be a partner of CONSULTANT in its business or otherwise or a joint venture or a member of any joint enterprise with CONSULTANT.
9.2 In consideration for the compensation paid to CONSULTANT by ANAHEIM, CONSULTANT agrees that ANAHEIM shall not be liable or responsible for any benefits, including, but not limited to, worker's compensation, disability, retirement, life, unemployment, health or any other benefits and CONSULTANT agrees that it shall not sue or file a claim, petition or application therefore against ANAHEIM or any of its officers, employees, agents, representatives or sureties.
10. INSURANCE
Without limiting ANAHEIM’S right to indemnification, it is agreed that CONSULTANT shall secure, prior to commencing any activities under this Agreement, and maintain, during the term of this Agreement, minimum limits of insurance coverage as follows:
Workers’ Compensation Insurance as required by California law and Employers Liability Insurance in an amount not less than $1,000,000.
7 Commercial General Liability Insurance, including coverage for Premises and Operations, Contractual Liability, Personal Injury Liability, Products/Completed Operations Liability, as well as Independent CONSULTANT’S Liability where appropriate, in an amount not less than $2,000,000 per occurrence, $4,000,000 annual aggregate. Such insurance shall be written on a primary basis but may include a deductible or self-insured retention of more than $10,000 per occurrence, provided that such deductible or self -insured retention is disclosed to ANAHEIM, in writing, prior to the inception of this Agreement.

Such insurance shall be written on a primary basis but may include a deductible or self -insured retention of more t han $10,000 per claim, provided that such deductible or self-insured retention is disclosed to ANAHEIM, in writing, at the inception of this Agreement.
Any required coverage written with primary and excess layers to satisfy the minimum requirements of this Agreement must be submitted for approval by ANAHEIM’s Risk Manager prior to the inception of the final Agreement.
CONSULTANT agrees that this insurance shall not be voluntarily cancelled by CONSULTANT or limited in scope or coverage by CONSULTANT until after thirty (30) days prior written notice has been given to the City Clerk, City of Anaheim, 200 S. Anaheim Blvd., Anaheim, CA 92805. This does not apply to cancellation for non -payment of premium, which requires notice of not less than ten (10) days.
Each insurance policy required by this Agreement, except policies for Professional Liability and Workers’ Compensation, shall contain the following clauses or shall otherwise provide for the following conditions:
“It is agreed that any insurance maintained by CONSULTANT pursuant to this Agreement shall be primary to, and not contribute with, any insurance or self - insurance maintained by the City of Anaheim.”
“The City of Anaheim, its officers, agents, employees, representatives and volunteers are included as additional insured with respect to the scope of work, operations, and/or activities of or performed on behalf of or at the direction of the Named Insured, performed under this Agreement with the City of Anaheim.” 8 Prior to co mmencing any work under this Agreement, CONSULTANT shall deliver to ANAHEIM insurance certificates confirming the existence of the insurance required under this Agreement, and including the applicable clauses referenced above. Also, within thirty (30) days of the execution date of this Agreement, CONSULTANT shall provide ANAHEIM (i) endorsements to the insurance policies that add to these policies the applicable clauses referenced above, or (ii) in lieu of said endorsements, documentation acce ptable to ANAHEIM evidencing that the coverage, terms, and conditions set forth in the above -referenced clauses are otherwise included in said insurance policies. In the event that a claim or other legal action is filed against ANAHEIM, and if ANAHEIM, in its good faith opinion, believes it may have coverage under any of the insurance required herein, then ANAHEIM has the right to demand, and to receive within a reasonable time period, copies of the insurance policies related to such required ins urance; provided, however, that this provision shall not apply if the parties agree that CONSULTANT shall fully defend, hold harmless, and indemnify ANAHEIM against any such claim or other legal action.
In addition to other remedies ANAHEIM may have if CON SULTANT fails to provide or maintain any insurance policies or policy endorsements to the extent and within the time required, ANAHEIM may, at its sole option:
Order CONSULTANT to stop work under this Agreement and/or withhold any payment(s) that become du e to CONSULTANT hereunder until CONSULTANT demonstrates compliance with the requirements hereof.
Terminate this Agreement.
Exercise of any of the above remedies, however, is an alternative to other remedies ANAHEIM may have and is not the exclusive remedy for CONSULTANT’S failure to maintain insurance or secure appropriate endorsements.
Nothing herein contained shall be construed in any way as limiting the extent that an CONSULTANT may be held responsible for payments of damages to persons or property resulting from CONSULTANT’S, (or CONSULTANT’S AGENT or SUB -AGENT, if any) performance of the work covered under this Agreement.
In the event CONSULTANT hires other persons or firms to perform some of the work related to this Agreement, CONSULTANT shall ensure (i) that the acts or omissions of such persons or firms are covered under the above-referenced liability insurance, or (ii) that such firms maintain insurance equal to or better than, and subject to the same limits, terms and conditions as, the insurance required of CONSULTANT under this Agreement (except for firms that are not performing professional services—such firms shall not be required to carry the above -referenced professional liability insurance); and in either instance, CONSULTANT shall provide, or cause to 9 be provided, evidence of such insurance coverage, reasonably acceptable to ANAHEIM.
ANAHEIM’S Risk Manager is hereby authorized to amend or reduce the requirements set forth herein in the event that such customer generated amendment or reduction request is in ANAHEIM’S best interest.
11. INDEMNIFICATION
As respects acts, errors or omissions in the performance of professional services, CONSULTANT agrees to indemnify and hold harmless ANAHEIM, its officials, officers, and employees from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature, to the extent directly arising out of the negligent acts, errors or omissions of the CONSULTANT or any SUB -AGENT in the performance of professional services under this Agreement.
As respects all acts, errors or omissions that do not arise directly out of the performance of professional services, including but not limited to those acts, errors or omissions typically covered by general and automobile liability insurance, CONSULTANT agrees to indemnify, defen d (at ANAHEIM'S option), and hold harmless ANAHEIM, its officials, officers, employees, agents, and representatives from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature (collectively referred to hereinafter as “Claims”), arising out of or in connection with CONSULTANT’S (or CONSULTANT'S AGENT or SUB-AGENT, if any) acts, errors, omissions, or work, relative to this Agreement; except for those Claims that arise out of the sole negligence or willful misconduct of ANAHEIM.
The obligations set forth in this indemnification provision (i) shall be in effect without regard to whether or not ANAHEIM, CONSULTANT, or any other person maintains, or fails to maintain, insurance coverage, or a self -insurance program, for any such Claims; and (ii) shall survive the termination of this Agreement.
12. EXCLUDED DAMAGES
Unless otherwise expressly stated herein, each Party’s maximum liability (and sole remedy against the other) for any loss or damage arising from performance or non-performance under this Agreement shall be limited to proven direct, actual damages. Neither Party shall be liable to the other for any indirect, punitive, incidental, reliance, special, or consequential damages, whether or not such Party had been advised of the possibility of such damages.
13. PREVAILING WAGES

If both the Davis-Bacon Act and State of California prevailing wage laws apply and the federal and state prevailing rate of per diem wages differ, CONSULTANT and Subcontractor, if any, shall pay the higher of the two rates. Said prevailing rate of per diem wages are on file at the 10 City of Anaheim, Office of the City Clerk, 200 South Anaheim Boulevard, Anaheim, California 92805, and are available to any interested party on request.
14. PROGRESS

15. PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS
The Parties recognize that a substantial inducement to ANAHEIM for entering into this Agreement is the professional reputation, experience and competence of CONSULTANT.
Neither the whole nor any interest in, nor any of the rights or privileges granted under this Agreement shall be assigned, transferred or encumbered in any way without the prior written consent of ANAHEIM. Any such purported assignment, transfer, encumbrance, pledge, subuse, or permission given without such consent shall be void as to ANAHEIM. If ANAHEIM approves an assignment or transfer, this Agreement and the covenants and conditions contained herein shall be binding upon and inure to the benefit of and shall apply to the permitted successors and assigns of CONSULTANT.
16. SUBCONTRACTING
Except for those subcontractors set forth in the Scope of Services, if any, CONSULTANT shall not subcontract any portion of the work to be performed under this Agreement without the prior written authorization of ANAHEIM. CONSULTANT shall be fully responsible to ANAHEIM for all acts and omissions of any approved subcontractor. Nothing in this Agreement shall create any contractual relationship between ANAHEIM and subcontractor nor shall it create any obligation on the part of ANAHEIM to pay or to see to the payment of any monies due to any such subcontractor other than as otherwise required by law. ANAHEIM is an intended beneficiary of any work performed by any subcontractor for purposes of establishing a duty of care between the subcontractor and ANAHEIM pursuant to this Agreement.

All documents or material prepared or caused to be prepared by CONSULTANT, its officers, employees, agents and subcontractors, in the course of implementing this Agreement, shall become the exclusive property of ANAHEIM, and ANAHEIM shall have the sole right to use such materials in its discretion without further compensation to CONSULTANT or any other party. CONSULTANT shall, at CONSULTANT's sole cost and expense, provide such documents and material to ANAHEIM upon prior written request.
Documents and material prepared by CONSULTANT pursuant to this Agreement 11 are not intended or represented to be suitable for reuse by ANAHEIM or others on any other project. Any use of completed documents for other projects and any use of incomplete documents without specific written authorization from CONSULTANT will be at ANAHEIM's sole risk and without liability to CONSULTANT. Further, any and all liability arising out of changes made to CONSULTANT's deliverables under this Agreement by ANAHEIM or persons other than CONSULTANT, is waived against CONSULTANT and ANAHEIM assumes full responsibility for such changes unless ANAHEIM has given CONSULTANT prior notice and has received from CONSULTANT written consent for such changes.
18. CONFIDENTIALITY
All documents, including drafts, preliminary drawings or plans, notes, ideas and communications that result from the Services provided under this Agreement, shall be kept confidential by CONSULTANT unless ANAHEIM authorizes, in writing, the release of said information.

20. RECORDS
CONSULTANT shall keep records and invoices in connection with the work to be performed under this Agreement. CONSULTANT shall maintain complete and accurate records with respect to the costs incurred under this Agreement and any services, expenditures and disbursements charged to ANAHEIM, for a minimum period of three (3) years, or for any longer period required by law, from the date of final payment to CONSULTANT under this Agreement.
All such records and invoices shall be clearly identifiable. CONSULTANT shall allow a representative of ANAHEIM to examine, audit and make transcripts or copies of such records and any other documents created pursuant to this Agreement during regular business hours.
CONSULTANT shall allow inspection of all work, data, Documents, proceedings and activities related to this Agreement for a period of three (3) years from the date of final payment to CONSULTANT under this Agreement.
21. WITHHOLDINGS
ANAHEIM may withhold payment to CONSULTANT of any disputed sums until satisfaction of the dispute with respect to such payment. Such withholding shall not be deemed to constitute a failure to pay according to the terms of this Agreement. CONSULTANT shall not discontinue work as a result of such withholding. CONSULTANT shall have an immediate right to appeal to the City Manager or his Designee with respect to such disputed sums and his/her decision shall be fina1. CONSULTANT shall be entitled to receive interest on any withheld sums at the rate of return that ANAHEIM earned on its investments during the time period, from the date of withholding of any amounts found to have been improperly withheld.
12 22. ERRORS AND OMISSIONS
In the event of errors or omissions that are due to the negligence or professional inexperience of CONSULTANT which result in expense to ANAHEIM greater than what would have resulted if there were not errors or omissions in the work accomplished by CONSULTANT, the additional cost and expense shall be borne by CONSULTANT. Nothing in this paragraph is intended to limit ANAHEIM's rights under the law or any other sections of this Agreement.
23. ANAHEIM'S RIGHT TO EMPLOY OTHER CONSULTANTS
CONSULTANT acknowledges and agrees that this Agreement and the provision of services hereunder are nonexclusive and that ANAHEIM may enter into similar agreements with other entities for the provision of similar services.

Failure to do so constitutes a material breach and is grounds for immediate termination of this Agreement by ANAHEIM.
CONSULTANT’s Services under this Agreement may now or in the future involve participation in governmental decision-making processes such that ANAHEIM deems it necessary to designate one or more of CONSULTANT’s employees a filer of a Statement of Economic Interest s (“ Form 700 Filer ”) under the Act. ANAHEIM shall make such designations based on the nature and scope of the Services and requirements of the Act. If CONSULTANT’s employee(s) is designated a Form 700 Filer, such employee(s) shall file under Disclosure Category 1, unless otherwise directed by ANAHEIM, and shall periodically complete ethics training as required by ANAHEIM. CONSULTANT shall at its own cost and expense ensure such employee’s compliance with these filing and ethics-training requirements.

In addition, CONSULTANT shall be deemed to be in Default upon CONSULTANT's (i) application for, consent to, or suffering of, the appointment of a receiver, trustee or liquidator for all or a substantial portion of its assets; (ii) making a general assignment for the benefit of creditors; (iii) being adjudged bankrupt; (iv) filing a voluntary petition or suffering an involuntary petition under any bankruptcy, arrangement, reorganization or insolvency law (unless in the case of an involuntary petition, the same is dismissed within thirty (30) days of such filing); or (v) suffering or permitting to continue unstayed and in effect for fifteen(15) consecutive days any attachment, levy, execution or seizure of all or a substantial portion of CONSULTANT's assets or of CONSULTANT's interests hereunder.

15 26.3 Termination without Cause. ANAHEIM may terminate this Agreement at any time without the necessity of cause or Default by giving thirty (30) days' notice in writing to CONSULTANT. In such event, the Parties shall have no further rights hereunder, except that CONSULTANT shall be paid for all services adequately rendered prior to such termination and shall receive payment in full for equipment and equipment that has been ordered that cannot be canceled. CONSULTANT may not terminate this Agreement except for cause.

Anaheim Public Works Department | Resort Area Sanitary Sewer And Roadway Widening Improvement Project
7 Understanding of Need
The Woodard & Curran team has an unmatched understanding of the City’s Resort Area Sanitary Sewer and Roadway Widening Improvements Project challenges and concerns, having recently completed PDR in May 2025. This understanding will enable us to complete the design of the project in an expedited timeline and get the project in construction immediately.
The goal of the project is to design and prepare bid documents for the recommended sewer project improvements identified in the May 2025 PDR, which involves the following:
J Upsize approximately 5,300 feet of the existing northern Katella Ave. sewer. The upsize for the northern Katella sewer will range from 30 to 36-inches.
J Construct approximately 2,600 feet a new 21-inch parallel sewer on the south side of Katella Ave..
J The recommended Cerritos sewer work in the PDR will be completed as a separate contract for this project.
In addition to the recommendation of the May 2025 PDR for sewer improvements, the City has included a street widening component to this project on the north side of Katella Ave. to create a fourth lane for the westbound travel lanes. The section of Katella Ave. roadway to be widened is approximately 1,800 feet long and extends east from Disneyland Drive to approximately 800 feet west of Harbor Blvd. This widening component will improve traffic circulation to meet public needs prior to the 2028 Olympics and is part of a larger City street improvement plan for the Resort Area. The proposed widened section of approximately 1,800 feet will not require any property acquisition and should be accomplished within the existing City right-of-way. Figure 1 shows the proposed project location and components.
Goals and Objectives:
The project goals and objectives for the successful completion of this project on schedule and budget based on thorough under- standing of the project and extensive discussions with the City consist of the following:
J Complete the Design Phase in an expedited Schedule to begin construction as soon as possible.
J Prepare A Design Approach to Minimize Community Impacts, especially on Disneyland & the Convention Center.
J Assist the City in Public Outreach During the Design Phase to Minimize Conflicts and Complaints During Construction.
J Minimize Costly Bypass Pumping by Utilizing Sewer Diversion to Existing Sewers.
J Obtain Necessary Permits Early to Deliver Project on Schedule.
Figure 1. Project Location and Components
1 | Statement of Qualifications
Anaheim Public Works Department | Resort Area Sanitary Sewer And Roadway Widening Improvement Project
8 Our proposed approach addresses the key tasks necessary for successful completion of the project and identifies areas of concerns that the City should be made aware that are critical for meeting the District’s goals and objectives for the project.
Our approach discussed below focuses on the following key topics:
J Additional Utility Locating Plan to Minimize Conflicts J Street Widening and Sewer Improvements Construction Phasing J Remove/Replace Existing Sewer and Minimize Bypass Requirements J Additional City Survey for Street Widening Project
J Plan to Deliver Project on Schedule
Additional Utility Locating Plan To Minimize Conflicts
Woodard & Curran previously conducted an extensive utility locating effort along Katella Ave. in Q2 of 2025 as part of the preliminary design contract. This effort included several potholes along the recommended alignment to assess an available corridor between existing utilities to establish a preliminary horizontal alignment for a new 21-inch sewer on the south side of Katella Ave.. The preliminary design effort revealed that Katella Ave. is a heavily crowded utility corridor with many subsurface assets operated by a variety of both public and private agencies. Significant existing utilities located under the roadway include an 8-inch jet fuel line, a 43-inch MWD transmission pipeline, multiple City storm drainage pipes and box culverts, and multiple electrical duct banks ranging from 12kV to 69kV. Thus, it is critical to identify and locate these existing utilities when designing the proposed improvements, so that proposed alignments can be more confidently confirmed with reduced risk of encountering utility conflicts during construction to reduce the potential for project delays and significant changes orders.
An additional utility locating effort will be performed early on the design phase to investigate and document existing utilities in proximity to the proposed sewer improvement and roadway widening areas, using a combination of vacuum extraction potholing and advance geophysics detection methods such as ground penetrating radar (GPR). Potholing will be used to provide precise horizontal and vertical locations of existing utilities where it necessary to confirm clearances from proposed improvements, and advanced geophysics detection will provide a minimally invasive method to locate utilities without having to excavate the roadway and minimize traffic control needed during this investigation.
We believe with the previous potholing effort completed in the preliminary design phase, the additional potholing effort and GPR investigations included in the design phase will benefit the City in minimizing and possibly eliminating any potential utility conflicts during construction.
Street Widening and Sewer Improvements Construction Phasing Our team understands the City’s goal is to complete all Project construction before the 2028 Olympics. The proposed construction work must be sequenced in a manner that will allow the City and its contractor to construct the street widening and sewer improvements within the allowable timeline. Reducing impacts to traffic and to the surrounding properties will also be important factors that tie into the construction sequencing. The street widening and existing northern Katella sewer removal and replacement improvements will impact the westbound travel lanes on Katella Ave. and the new 21-inch parallel sewer construction will impact the eastbound travel lanes on Katella Ave. The proposed location of these proposed sewer improvements along with known existing utilities are depicted in a cross section of Katella Ave. between Disneyland Drive and Harbor Boluvard shown in Figure 2 on the following page.
1 | Statement of Qualifications
Anaheim Public Works Department | Resort Area Sanitary Sewer And Roadway Widening Improvement Project
9 The street widening work along the side should be completed before starting the northern Katella sewer removal and replacement work to utilize the newly created fourth westbound travel lane, which will help reduce traffic impacts during the sewer replacement.
Additionally, the new 21-inch parallel sewer should be constructed and operational before replacing the existing northern Katella sewer to utilize the additional system capacity.
Street widening work and new 21-inch parallel sewer work could be completed simultaneously to reduce the overall construction schedule. Their respective work areas will be confined to the northern and southern ends of Katella Ave. and will not exacerbate traffic impacts surrounding business compared to a sequential construction approach. The removal and replacement of the existing northern Katella sewer would begin in this area after the newly created fourth westbound travel lane has been opened and the new parallel sewer has been placed into operation. Woodard & Curran will further evaluate and optimize the construction phasing approach during the final design phase in collaboration with City team to meet the City’s goals and deliver a successful project for all stakeholders.
Remove/Replace Existing Sewer and Minimize Bypass Requirements Temporary sewer bypassing will be required to maintain flows during the removal and replacement of the existing northern Katella sewer. Temporary bypass methods will primarily include utilizing flow diversions and installing and operating bypass pumping systems where sewer diversions can’t be used. Construction should be sequenced in a manner that utilizes the existing flow diver- sions between the northern and southern Katella sewers as much as possible to significantly reduce bypass pumping requirements and costs.
The new 21-inch parallel sewer on Katella Ave. between West Street and Harbor Boluvard should be constructed and put into operation before starting the removal and replacement of the existing northern Katella sewer. The new parallel sewer will receive and convey flow from existing sewers that currently discharge into the existing southern Katella sewer, which include the 18/21-inch south Harbor sewer and seven 8 to 15 inches laterals that serve the properties located along the south side of Katella Ave.. Once the new parallel sewer is in operation, the total flow entering the existing southern Katella sewer will be significantly reduced. The existing southern Katella sewer will have additional capacity to relieve the northern Katella sewer by utilizing the existing flow diversions located in the Katella Ave. and Harbor Boluvard intersection.
During the development of this proposal, we utilized the hydraulic model from May 2025 PDR to preliminary evaluate whether the northern Katella sewer can be fully isolated from all incoming flows by diverting those flows into the southern Katella sewer using the 24” SS

10 existing diversion structures. Current peak dry weather flows were evaluated in the model to represent the flows that may be encountered during construction. The modeling results showed that these existing flow diversion structures in the Katella Ave. and the Harbor Boluvard intersection can be utilized to fully bypass the northern Katella sewer without surcharging the existing sewers.
Therefore, no temporary bypass pumping systems would be required in this busy intersection. Figure 3 shows a preliminary sche- matic of the proposed flow diversion approach and the flow depths (measured as d/D) in the existing sewers during current peak flows with the diversions in place.
As shown in Figure 3, the incoming flow from the eastern 15-inch Harbor sewer would be diverted to the southern Katella sewer at manhole SW087319, the incoming flow from the western 18-inch Harbor sewer would be diverted to the southern Katella sewer at MH SW076431 using the 8-inch cross connection, and the incoming flow from the southern 18-inch Harbor sewer would be diverted to the new parallel sewer. Woodard & Curran will utilize our in-depth knowledge of the City’s existing sewer system and hydraulic model to minimize the bypass pumping requirements and costs on this busy street during construction.
Additional City Survey for Street Widening Project
The City previously furnished topographic survey data of the Project area in Q3-Q4 of 2024 as part of the preliminary design study, which contained right-of-way boundaries, elevation and location data of roadway and surface features along Katella Ave., and relevant subsurface features such as pipe and manhole data (invert elevation, pipe size, flow direction, etc.). This survey data is sufficient for the design development of the sewer improvements elements of the Project. However, additional survey is needed for the new road widening element of the project.
Woodard & Curran will coordinate with the City early in the design for additional field topography survey necessary for the road widening project along the north side of Katella Ave. shown in Figure 4 on the following page. Previous City survey data for Katella Ave. covered between the back of the southern sidewalk and the back of the northern sidewalk only. Behind the northern sidewalk along Katella Ave. is a parkway strip containing landscaping, utility appurtenances, and an additional row of large palm trees.

11 Multiple private properties also contain landscaping, structures, and other features adjacent to the sidewalk. Obtaining additional survey for this area behind the northern sidewalk will be critical for the design of an additional westbound traffic lane and for understanding impacts to existing features that will be affected by roadway widening and right-of-way acquisition.
Plan to Deliver Project on Schedule
If we are selected by the City for this project, and since the schedule is of the essence for this project, our team would be happy to work with the City even before contract is executed for the design phase to identify the additional survey needed from the City, so the City can obtain this data as quickly as possible and provide Woodard & Curran upon Notice-to-Proceed (NTP) or shortly after.
Schedule is perhaps the biggest driver for this project. There is a critical milestone for substantial construction completion in January 2028 ahead of the start of the 2028 Olympics. Maintaining and delivering the aggressive design schedule of 10 months is critical to meeting that milestone. Woodard & Curran is the best consultant to deliver this project schedule with the vast direct knowledge and experience our team has with this project.
To accomplish this, Woodard & Curran is bringing on additional resources and expertise to lead and support this important project for the City. This project will be managed by Kraig Erickson, PE, an experienced senior project manager from our Irvine Office with over 20 years of experience delivering complex projects in Orange County. Kraig has directly managed complicated large diameter sewer projects in Orange County with this same team with great success most recently on the OC San Taft Trunk Sewer Rehabilitation and Replacement Project where he worked with our proposed design team and many of our subconsultants.
To meet the aggressive but achievable 10-month design summary presented in Figure 5 on the following page. A detailed preliminary design schedule is presented at the end of the scope of work discussion below. The design team need to hit the ground running with an understanding of the project scope, needs and obstacles that must be resolved in the first month of the design phase. A key obstacle discussed above involves the roadway widening element that must be surveyed and design approach agreed to with the City.
We discussed above our willingness to work with the City ahead of design contract execution to get the City started on the needed survey as quickly as possible. This will enable our team to start the 50% design submittal for the road widening element early in the design.

Anaheim Public Works Department | Resort Area Sanitary Sewer And Roadway Widening Improvement Project
12 To deliver the proposed expedited design schedule, Woodard & Curran suggests to the City for consideration removing RFP Scope Item #15 for the Technical Memorandum (TM). The intent of this TM is to validate the PDR design assumptions, review additional utility investigation work and document the pavement recommendation for Katella Ave. widening. Woodard & Curran stands by the PDR and will provide a standalone utility investigation report that will be integrated into the 50% design submittal. The street-wid- ening element can be addressed through couple of workshops with the City with key decisions documented not requiring a TM and extended review period that will impact the schedule. Our goal is to not have the TM hold-up progressing the final design efforts.
By committing the same technical Project team that completed the PDR in May 2025 with added and committed additional experi- enced resources to the design phase, our team will complete the project on schedule.
Relevant Project Experience
Woodard & Curran has extensive experience with sewer rehabilitation and replacement experience with City of Anaheim, Orange County Sanitation District, Irvine Ranch Water District, and throughout southern California. Over the last several years, our teams have been working with the City on many of these similar projects.
The key benefits we bring to the District having recently completed the PDR for this Resort Area project give us significant insights and head start to get the design phase completed in an expediated schedule. We are very familiar with all the issues and concerns that need to be resolved quickly early in the design phase to ensure the project is a success for all stakeholders. We believe we are the right team for the City to assist the City in implementing this project.
Presented below are detailed descriptions of projects completed within the last five years that will demonstrate our vast experience in sewer replacement and rehabilitation projects in Orange County, along with required client references.
Anaheim Disneyland Resort Area Sewer Improvements Preiminary Design Study| City of Anaheim
The Anaheim Resort Area Sanitary Sewer Study Project proposes capacity and operational improvements to the existing sewer collection system within the Resort Area, which is owned and operated by the City of Anaheim Public Works Department. This collection system consists of approximately nine miles of 8- through 27-inch vitrified clay pipe (VCP) sewers located in the City streets that convey wastewater into two OC San trunk sewers on Euclid Street and one OC San trunk sewer on Ninth Street. A significant amount of the wastewater generated within and upstream of the Resort Area is conveyed through two existing parallel sewers on Katella Ave.. There is concern regarding available capacity in the existing City sewer system to accommodate the increased build-out wastewater flows Phase

13 from the future Resort Area developments, which includes the Disneyland Forward developments, and the planned redevelopments in the properties located east of the Resort Area that were identified in the draft version of the City’s 2024 General Plan Update (GPU).
The goals of the Project are to address the following for the existing sewer collection system within the Project area:
J Identify and address sewer deficiency areas in the collection system within the Project area under the projected peak build-out flow conditions.
J Identify improvements to the existing City sewer system to convey the projected peak build out wastewater flows within the Project area.
J Identify improvements that maximize efficient use of the existing sewer system, add redundancy, and provide flexibility to accommodate flows across different loading locations.
J Reduce future operation and maintenance efforts required for the City sewer system, including siphons, within the Project area.
The PDR evaluated potential improvements that provide additional capacity for the Resort Area sewer system to accommodate increased wastewater discharge from future redevelopments and mitigate increases in future sewer maintenance activities that impact traffic and commercial activity within this area.
Brookhurst and Crescent Sanitary Sewer Improvements Preliminary Design Study | City of Anaheim
Woodard & Curran is evaluating alternative solutions that address issues occurring with a sewer siphon at the intersection of Brookhurst St. and Crescent Ave. When the OCFCD constructed the Carbon Creek Channel box culvert through the intersection of Brookhurst St. and Crescent Ave., the existing sewer was lowered under the box culvert, creating a sewer siphon which impacts upstream flow conditions. Our team will provide an alternative study and PDR with the goal of addressing capacity deficiencies in the area upstream of the siphon and address maintenance issues.
The Woodard & Curran team evaluated six alternatives, which include upsizing and lowering the existing sewer to eliminate the siphon. The goal of this project is to identify and recommend an alternative that will provide reliable service to the community which includes residential and commercial industrial properties. Additional goals will be to provide an easy to maintain facility for O&M staff, while minimizing risk and impacts to the community and stakeholders.

14 Magnolia and Broadway Sewer Improvements Project | City of Anaheim The goals of the Magnolia and Broadway Sanitary Sewer Improvements Project were to repair or eliminate the partially obstructed siphon, improve capacity and reliability of the collection system, and reduce maintenance costs. The City owns and operates the existing gravity sewer collection system along Broadway between Magnolia Ave and Gilbert Street, located within West Anaheim. The collection system consists of approximately 4,000 linear feet of 8-inch and 10-inch diameter VCP in public right-of-way that conveys sewage from predominantly residential properties to the OC San 39-inch VCP trunk sewer located within Magnolia Ave. Two 8-inch VCP inverted sewer siphons were constructed on Broadway in 1964 to convey sewage underneath a 93-inch reinforced concrete pipe storm drain. Woodard & Curran provided design services to address the maintenance issue of the siphon by redesigning the sewer to eliminate the need for the siphon, improving capacity, and reducing maintenance issues.
Knollwood Circle Sewer Improvement Project | City of Anaheim Woodard & Curran was selected to provide design services for the installation of approxi- mately 2,000 linear feet of new 12-inch diameter sewer. Woodard & Curran developed and evaluated alignment alternatives and developed a preliminary design for the recommended alignment. The collection system is in public right-of-way and within easements crossing industrial and commercial properties. Woodard & Curran developed and evaluated alignment alternatives based on easement/right-of-way acquisition requirements, constructability, hydraulics, and public/private disruptions. Trenchless construction methods, including pilot-tube guided auger boring, will be utilized for crossing of private properties and busy roadways. The critical components of the design include utility coordination, easement requirements, and trenchless installation. The recommended alignment crosses a 69-inch diameter storm drain, two private properties, and a busy roadway. Woodard & Curran’s goals were to provide a sewer design that improves collection system hydraulics, reduces project and future O&M costs, and minimizes disturbances to private properties and traffic. Project is moving into construction.
Project Features:
J Evaluated sewer improvement alternatives consisting of repairing the partially obstructed siphon or eliminating the siphon with a new gravity sewer main

15 Irvine Ranch Sewer Siphon Improvements Phase I and II | Irvine Ranch Water District
Woodard & Curran was retained to design improvements to eleven critical and high-pri- ority sewer siphons as part of Phase I and Phase II Projects. The sewer siphon barrels ranged in diameter from 8 to 42 inches and ranged in length from 70 to 450 feet. The preliminary design for both phases included hydraulic evaluation and condition assess- ment of the siphons. The design encompassed approximately $13M dollars of improve- ments to facilitate site access, siphon inlet/outlet structure top slab and maintenances access replacement, internal structural repairs, flow controls to passively distribute flow across each of the siphon barrels to improve self-cleaning, siphon barrel cleaning and cured-in-place pipe (CIPP) lining rehabilitation, odor mitigation through chemical dosing and air treatment vents, level monitoring, and addition of grit traps upstream of the siphons. Both phases of the project also required easement and permitting coordination.
2-49 Taft Ave. Trunk Sewer Improvements | Orange County Sanitation District
Woodard & Curran prepared the preliminary and final design of 11,000 feet of 18 - to 21-inch gravity pipeline, including traffic control plans, geotechnical, and project specific CEQA IS/MND. This project was necessary to address capacity issues during a peak wet-weather event along the pipeline. Woodard & Curran evaluated seven alternative alignments including flow-shedding, one of which included a trenchless crossing under Hwy 55 and coordinated with the City of Orange for transfer of pipe ownership for a preferred new alignment. A key design aspect is the flow control approach to utilize the existing sewer to maintain flows as much as possible to limit bypass pumping required and implement gravity flow-through plugs. Woodard & Curran coordinated permit requirements and utility information from multiple agencies. Project features included: alternatives evaluation, hydraulic modeling, congested traffic areas, utility investigations, CEQA, and permit acquisition with Caltrans and City of Orange. 1 | Statement of Qualifications
Anaheim Public Works Department | Resort Area Sanitary Sewer And Roadway Widening Improvement Project
16 Woodard & Curran has an established company-wide quality assurance/quality control (QA/QC) program. Our projects are subject to the QA/QC Program, and Woodard & Curran holds project managers accountable for project quality under the program. At project start, the project manager completes a QA/QC Plan. The Plan identifies technical issues that would require extraordinary quality control reviews, establishes the quality control budget, outlines project deliverables and schedule, and assigns quality control review responsibilities.
QA/QC Program features include the following:
Senior Technical and Approach Review (STAR) Workshops.
Woodard & Curran conducts STAR workshops early in project devel- opment to assure that the team is taking an appropriate approach towards the technical work. Experienced senior engineers comprise the STAR committee to provide input on the technical issues and overall project approach.
Project Audits. Operations managers and the Woodard & Curran QA Committee are responsible for auditing projects to ensure timely and efficient project execution. Audits can result in identifying additional resource needs and resolving project management issues, including extra work, budget shortfalls, and schedule slippage.
Quality Control & City Plan Check Comment Reviews. Project work products undergo senior review prior to client submittal.
The QA/QC Plan identifies qualified, senior-level reviewers for major deliverables and the project manager is responsible for seeing that these reviews are undertaken and appropriate. The project team initiates follow up actions to address QC comments and circles back to the QC Reviewer to discuss comment resolution prior to submitting the documents to the City. Calculations, design criteria, equipment selection, drawings, specifications are subject to review in our process. This process includes review of City comments to ensure that they are appropriately addressed and incorporated into the project plans prior to the next submittal. Comment logs are utilized to record comments and resolutions, or to track items that require additional discussion prior to resubmittal. These comment logs are reviewed alongside the subsequent resubmittal to verify that all comments have been resolved, and comment/response logs can be provided to the city for easy reference.
Management Tools. Woodard & Curran uses several management tools to ensure that high quality deliverables are submitted on time and within budget. One of the key approaches we employ on a project to ensure that both budget and schedule targets are met is earned value analysis, also called Integrated Schedule and Budget Management. We also employ a monthly “look ahead” analysis to assess upcoming work and predict changes to the schedule that might occur as we move forward in completion of the plan.

Woodard & Curran will prepare a Project Description suitable for CEQA based on the PDR and street widening recommendation with input from the City and project team. Prepare an Initial Study (IS) Checklist in compliance with Appendix G of the CEQA Guidelines that identifies the potential environmental impacts of the Project, including supplemental comments which clearly and concisely describe those impacts. The supplemental comments will identify mitigation measures if needed to reduce potential environmental impacts to less than significant levels. The IS Checklist will be organized by CEQA resource category and impacts will be described for each Project component.
Prepare a brief biological resources assessment. Conduct a literature/database review (CNDDB)(BIOS)(CNPS)(USFWS). Based on the results of the literature/ database research and field survey, consider and summarize the potential impacts to biological resources from project implementation.
Prepare a brief cultural resources assessment. Complete a records search (CHRIS), then consider and summarize the potential archeological and tribal resources in the vicinity of the project site. AB52 requires agency-to-agency consultation with interested Native American tribes on all public projects. Is assumed the City will prepare draft consultation letters for all tribes identified by the Native American Heritage Commission.
Prepare a brief noise impact assessment. Complete a noise impact study that documents results of the noise and vibration analysis from the ongoing operations and the proposed project. Evaluate existing noise environment and obtain 6 long-term (approximately 24-hour) noise measurements in the vicinity of nearby sensitive receptors, in order to determine the ambient baseline noise condi- tions at nearby noise-sensitive land uses.
CEQA Finding: Notice of Exemption (NOE) or Negative Declaration (ND) – Given results of the IS Checklist and direction from the City, identify the appropriate level of CEQA documentation.
J If the IS Checklist determines that no significant environmental impacts would result from the Project, Woodard & Curran will prepare Notice of Exemption (NOE) as CEQA Categorical Exemption with using the Initial Study (including biological and cultural surveys) to support that decision.
J Provide draft NOE to the City; this proposal assumes that the City will post the NOE with the County Clerk and State Clearinghouse.
If the IS Checklist identifies there are potentially significant environmental impacts, Woodard & Curran will prepare a ND or Mitigated Negative Declaration (MND) finding. Prepare a complete ND/MND package to release for public review, including the Initial Study and a mitigation monitoring and reporting plan (MMRP) if necessary. Provide draft Notice of Intent (NOI) for adoption of the ND/MND to City; this proposal assumes that the City will mail, post, or circulate the NOI. Following the 30-day public review period, review all comments received and recommend proposed changes to the IS Checklist and MMRP if necessary to respond to comments.
Provide draft Notice of Determination (NOD) for adoption of the ND/MND to the City Council; this proposal assumes that the City will post the NOD with the County Clerk and State Clearinghouse. 2 | Scope of Services & Schedule
