2. General Maintenance – Trouble Calls
a. If Contractor does not respond to trouble calls in the time frames listed under General Maintenance, ACC and Contractor agree that ACC will suffer, as a result of Contractor’s failure to timely respond to each trouble call, damages that are extremely difficult and impracticable to ascertain at the time of execution of this Contract. Therefore, ACC and Contractor agree that, in addition to all other damages to which ACC may be entitled, in the event Contractor fails to timely respond to each trouble call by the trouble call deadline, Contractor will give to ACC as liquidated damages, and not as a penalty but as a reasonable estimate of the amount of damages ACC will suffer.
b. To ensure that Contractor performs all of the required work and by the time required per Specifications and since City cannot accurately determine the exact amount of a given deficiency, City will assess liquidated damages (below) for all work performance deficiencies and billing will be done in full hour intervals.
The following is the breakdown per occurrence:
1. In the event a Resident Mechanic is not on site: Entrapment: Responder > 30 minutes on site. $300/HR
2. In the event a Resident Mechanic is not on site: Emergency: Imminent danger Initial responder > 60 minutes on site. $300/HR
3. In the event a Resident Mechanic is not on site: Urgent: Equipment malfunction during or prior to event. Critical > 40 minutes on site $300/HR
4. Routine response: > 3 working days. $150 per occurrence
5. Defective material replacements: > 5 working days. $250 per occurrence
6. Required work: missed or late (other than above). $250 per occurrence
7. Safety violation: $500 per occurrence
8. Damages violation: $500 per occurrence
c. Liquidated damages are cumulative and may be in addition to other remunerations stated elsewhere in the specifications. Failure to respond in the required time or the incurrence of a violation will result in liquidated damages.
Hourly liquidated damages are not prorated are charged beginning the 1st minute past of the violation.
d. Notwithstanding the foregoing, ACC and Contractor agree that this liquidated damage provision shall only apply to damages caused by Contractor’s failure to timely respond to each trouble call by the trouble call deadline, and shall not apply to or limit any other type of damages suffered by ACC under either this Contract or any services agreement.

e. City will notify Contractor both verbally and in writing each time service requirements are unsatisfactory and corrective action is necessary. Should Contractor fail to correct any deficiencies as per these specifications, City may exercise the following measures:
1) Deduct from Contractor’s payment the amount of damages as per above.
2) Utilize City forces or an alternate source, to correct the deficiency and deduct the cost of the work from Contractor’s payment.
f. City has the sole right whether to waive any liquidated damages without regards to any and all past precedent.
g. After second recurring violation contractor shall meet with City Management representative to discuss deficiency issues and a subsequent correction notice will be issued; additional liquidated damages (above) may apply.
h. After third recurring violation contractor shall meet with City Management and City of Anaheim Purchasing to discuss violations and remedies including additional liquidated damages (above), suspension or termination of contract for failure to meet contract obligations.
C. PERFORMANCE GUARANTEED
1. Contractor shall maintain an adequate stock of replacement parts to ensure prompt repair of any malfunction of the elevator/escalator equipment and its prompt return to service. If any elevator/escalator equipment is out of service for a non-scheduled repair for longer than two (2) consecutive calendar days and Contractor fails to repair same by the end of such two (2) calendar day period (the “non-scheduled repair deadline”), ACC and Contractor agree that ACC will suffer, as a result of Contractor’s failure to timely respond to each trouble call, damages that are extremely difficult and impracticable to ascertain at the time of execution of this agreement. Therefore, ACC and Contractor agree that, in addition to all other damages to which ACC may be entitled, in the event Contractor fails to timely repair by the non-scheduled repair deadline, Contractor will give to ACC as liquidated damages, and not as a penalty but as a reasonable estimate of the amount of damages ACC will suffer, a credit equal to the monthly maintenance cost of that unit against the next month billing as a form of liquidated damages. Notwithstanding the foregoing, ACC and Contractor agree that this liquidated damage provision shall only apply to damages caused by Contractor’s failure to timely repair a unit by the non-scheduled repair deadline, and shall not apply to or limit any other type of damages suffered by ACC under either this agreement. For purposes of this subsection, a “scheduled repair” consists of repairs required as part of routine preventative maintenance such as replacing hoist ropes, cylinder head packing and so forth, but not a repair that is caused by the lack of preventative maintenance. All repairs shall be pre-scheduled in writing.
2. If a unit is out of service for more than three three (3) consecutive days, the monthly maintenance cost of that unit will be credited to the next monthly billing as liquidated damages.
