7. SEVERANCE.
A. Except as provided in subparagraph B below, in the event this Agreement is terminated pursuant to Section 6(A) or (B) hereof, CID shall be entitled to a minimum terminating cash payment equal to twelve (12) months of CID’s Monthly Base Salary, Longevity, and POST pay. At CID’s option, such terminating cash payment shall be paid in a lump sum or disbursed throughout the applicable severance period, resulting in continuation of medical and dental only, based on active enrollment at the date of termination. Continuation of 6 these benefits shall not include other fringe benefits , including but not limited to, vacation, sick leave or retirement accruals, car allowance and life insurance, generally provided to executive managers.

Within ten (10) days of such notice, CID may request an opportunity to respond to the reasons and factual basis provided by the City Manager. If such a request to respond is made, the City Manager shall hold a meeting, which may be informal in nature. At the meeting, CID may be represented by an attorney of his choice and present evidence or information relevant to the reasons and factual basis for the denial of severance set forth in the notice. The meeting shall be limited to the issue of whether grounds for the denial of severance as set forth in Section 7(B) exist, and the decision of the City Manager on this issue shall be final and binding as between the parties to this Agreement.
7 8. INDEMNIFICATION.
A. ANAHEIM shall defend, hold harmless and indemnify CID against any tort, professional liability claim or demand or other legal action, whether groundless or otherwise, arising out of any alleged act or omission occurring in the performance of CID’s duties or resulting from the exercise of judgment or discretion in connection with the performance of duties or responsibilities, unless (1) the act or omission of CID involved willful misconduct and/or illegal activity, or ( 2) the legal action is brought by CID against ANAHEIM or by ANAHEIM against CID. In those instances in which ANAHEIM is obligated to defend CID under this paragraph, CID may request and ANAHEIM shall not unreasonably refuse to provide CID independent legal representation at ANAHEIM’s expense.
Legal representation provided by ANAHEIM for CID shall continue until there is a final resolution of the legal action, including any appeals. ANAHEIM shall indemnify CID against any and all losses, damages, judgments, interest, settlements, fines, court costs, attorneys' fees, and other reasonable costs and expenses of legal proceedings, and any other liabilities incurred by, imposed upon, or suffered by CID in connection with or resulting from any claim, action, suit, or proceeding, actual or threatened, arising out of or in connection with the performance of CID’s duties, unless (1) such claims or actions arose out of the willful misconduct and/or illegal acts of CID, or ( 2) such claims or losses resulted from legal action brought by CID against ANAHEIM or by ANAHEIM against CID. Settlement of any claim must be made with prior approval of ANAHEIM in order for indemnification, as provided for in this Section, to be available.
