N
D

CONTEMPORARY SERVICES CORPORATION, a California corporation, hereinafter referred to as "CONTRACTOR."

ANAHEIM and CONTRACTOR are sometimes individually referred to herein as "Party" and collectively as "Parties."
W I T N E S S E T H:

WHEREAS, ANAHEIM is a municipal corporation duly organized and validly existing under the laws of the State of California with the power to carry on its business as it is now being conducted under the statutes of the State of California and the Charter of the City of Anaheim; and
WHEREAS, ANAHEIM desires to engage CONTRACTOR to provide crowd management/event security services for events at the Anaheim Convention Center; and WHEREAS, CONTRACTOR possesses the skill, experience, ability, background, certification and knowledge to provide crowd management/event security services as described in this Agreement; and
WHEREAS, ANAHEIM received a proposal from CONTRACTOR dated October 29, 2025, (the "Proposal"), has reviewed the previous experience and evaluated the expertise of CONTRACTOR, and desires to retain CONTRACTOR to render crowd management/event security services under the terms and conditions set forth in this Agreement.

NOW, THEREFORE, FOR AND IN CONSIDERATION OF THE MUTUAL

PROMISES, COVENANTS AND CONDITIONS HEREIN CONTAINED, THE PARTIES HERETO AGREE AS FOLLOWS:
2 1. SERVICES TO BE PROVIDED BY CONTRACTOR
In compliance with all of the terms and conditions of this Agreem ent, CONTRACTOR shall provide to ANAHEIM all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply the services (“Services”) necessary and as are more particularly described in Exhibit "A" attached hereto and incorporated herein by this reference ("Scope of Services"). ANAHEIM may elect to delete certain tasks of the Scope of Services at its sole discretion.

2. TERM
The term of this Agreement shall commence on the Effective Date of this Agreement and shall terminate three (3) years thereafter, unless sooner terminated as provided herein ("Initial Term"). The Executive Director of Convention, Sports & Entertainment (“Director”) is hereby authorized to renew this Agreement upon the same terms and conditions for no more than two (2) additional one (1) year terms after the Initial Term ("Renewal Term"), unless CONTRACTOR provides written notice of termination no less than thirty (30) days prior to completion of the term in progress (hereinafter the phrases “Initial Term” and “Renewal Term,” if any, shall be collectively referred to as the “Term").

All parties recognize that the continuation of this Agreement after the close of any fiscal year of ANAHEIM, which fiscal year ends on June 30 of each year, shall be subject to budget approval providing for or covering such contract items as an expenditure in said budget.

ANAHEIM does not represent that said budget item will be actually adopted, said determination being the determination of the City Council at the time of the adoption of the budget herein. No penalty shall accrue to ANAHEIM in the event this provision shall be exercised. Should termination be accomplished in accordance with this Section, a settlement shall be negotiated by the parties based on items delivered, services provided, monies paid and monies due.

3. TIME OF PERFORMANCE

3.1 ANAHEIM and CONTRACTOR recognize that time is of the essence as to this Agreement and that ANAHEIM may suffer damages which are difficult to determine and accurately specify, such as additional contract administration expenses, if the Services are not provided as requested. CONTRACTOR and ANAHEIM agree to liquidated damages as reflected in Exhibit “ C”. CON TRACTOR acknowledges and agrees that the liquidated damages are intended to compensate ANAHEIM solely for CON TRACTOR’S failure and shall not excuse CONTRACTOR from liability from any other breach, including any failure of any of the work to conform to any requirements provided by local, state or federal laws, rules and regulations.

CONTRACTOR acknowledges and agrees that the foregoing liquidated damages have been set based o n an evaluation by ANAHEIM of damages that it will incur in the event of the late completion of the work per the Scope of Services. CON TRACTOR and ANAHEIM agree that 3 because of the nature of the Services it would be impractical or extremely difficult to f ix the amount of actual damages incurred by ANAHEIM due to a delay in completion of the work.

Accordingly, ANAHEIM and CON TRACTOR have agreed to such liquidated damages to fix CONTRACTOR’s costs and to avoid later disputes. It is understood and agreed by CONTRACTOR that any liquidated damages payable pursuant to this Agreement are not a penalty and represent a fair and reasonable estimate of compensation for losses to be incurred under the circumstances existing as of the effective date of this Agreement.

It is further mutually agreed that ANAHEIM shall have the right to deduct liquidated damages against progress payments or retainage. In the event the remaining unpaid Contract Amount is insufficient to cover the full amount of liquidated damages, CON TRACTOR shall pay the difference to ANAHEIM.

Permitting or requiring CONTRACTOR to continue and finish the Services or work, or any part thereof, after the deadline for completion shall not act as a waiver of ANAHEIM’s right to receive liquidated damages hereunder or any rights or remedies otherwise available to ANAHEIM.

3.2 The time period(s) specified for performance of the Services rendered, pursuant to this Agreement, shall be extended because of any delays due to unforeseeable causes beyond the control a nd without the fault or negligence of CONTRACTOR, including, but not restricted to, acts of God or of the public enemy, unusually severe weather, fires, earthquakes, floods, pestilence, and other natural catastrophes, epidemics, quarantine restrictions, riots, strikes, freight embargoes, wars, litigation, civil disturbance or disobedience, labor dispute, labor or material shortage, sabotage, government priorities, restraint by court order or public authority and action or non -action by or inability to obtai n the necessary authorization or approvals from any governmental agency or authority, and/or acts of any governmental agency, including ANAHEIM, which by the exercise of due diligence such Party could not reasonably have been expected to avoid and which by exercise of due diligence has been unable to overcome, if CONTRACTOR shall within ten (10) days of the commencement of such delay notify the Contract Administrator in writing of the causes of the delay. The Contract Administrator shall ascertain the facts and the extent of delay, and may extend the time for performing the Services for the period of the enforced delay if, in the judgment of the Contract Administrator, such delay is justified. The Contract Administrator’s determination shall be final and conclusive upon the Parties to this Agreement. In the event of delay, however caused, CONTRACTOR’s sole remedy shall be an extension of the Agreement, pursuant to this Section, and CONTRACTOR shall not be entitled to recover damages against ANAHEIM.

4. COMPENSATION

4.1 ANAHEIM shall pay CONTRACTOR for the Services render ed, pursuant to this Agreement, in accordance with the costs set forth in attached Exhibit " B,” incorporated herein by this reference ("Fee Structure"). CONTRACTOR and ANAHEIM agree that no changes 4 to the hourly rates and charges set forth in the Fee Structure shall be made during the term of this Agreement without the prior written approval of ANAHEIM.

4.2 It is understood by and ag reed between the Parties to this Agreement that full and complete payment for all Services provided in accordance with this Agreement shall not exceed Three Hundred Fifty Thousand Dollars and No/100 Cents ($350,000.00) per year of the Term of the Agreement and a total amount to exceed of One Million, Fifty Thousand Dollars ($1,050,000.000) for the Initial Term of the Agreement (“Contract Amount”).

4.3 The Executive Director of the Convention Sports & Entertainment Department (“Director”) or designee is authorized to approve additional ex penditures not to exceed twenty percent (20%) of the Contract Amount for Extra Work not included in the Scope of Work, if the Director or designee determines, in their sole discretion, (i) additional product or services of a like nature that were not foreseen by the using department at the time of bid are required by the CITY; (ii) budget appropriations are available; and (iii) in the professional opinion of the Director or designee, it is in the City's best interest to do so. .01 In no event shall CONTRACTOR render Extra Work beyond the scope of this Agreement without the authorization of the Director or designee. .02 All Extra Work approved in writing by the Director or designee shall be billed at the rates set forth in Exhibit B
.03 Except for the authority granted the Director or designee, as specifically provided in Section 4.3 hereof, no additional Services or Extra Work beyond the scope of this Agreement shall be rendered by CONTRACTOR unless the Extra Work is first approved by written amendment of this Agreement.
.04 As used herein, "Extra Work" means additional hours of work that is determined by ANAHEIM to be necessary for the proper completion of the Services.

4.4 Upon the first anniversary of the Effective Date, as defined herein, and upon each anniversary of the Effective Date thereafter, CON TRACTOR may submit a request for adjustment of rates for the City’s approval, as set forth in the Fee Structure, and shall be adjusted in proportion to changes in the Consumer Price Index. Such adjustment shall b e made by multiplying CONTRACTOR ’s hourly rates set forth in the Fee Structure by a fraction, the numerator of which is the value of the Consumer Price Index for the calendar month three (3) months preceding the calendar month for which such adjustment is to be made and the denominator of which is the value of the Consumer Price Index for the same calendar month immediately prior to the Effective Date. For example, if the adjustment is to occur effective June 1, 2026, the index to be used for the numerator is the index for the month of March 2026 and the index to be used for the denominator is the index for the month of March of the year preceding the Effective Date. The "Consumer Price Index" to be used in such calculation is the Consumer Price Index, All Urban 5 Consumers (All Items), for the Los Angeles Anaheim Riverside Metropolitan Area, published by the United States Department of Lab or, Bureau of Labor Statistics (1982 84 = 100). If both an official index and one or more unofficial indices are published, the official index shall be used. If said Consumer Price Index is no longer published at the adjustment date, it shall be constructed by conversion tables included in such new index.

4.5 CONTRACTOR shall submit monthly invoices to ANAHEIM describing the work performed the preceding month. CONTRACTOR's bills shall include the name and title of the person who performed the work, a b rief description of the Services performed and/or the specific task in the Scope of Services to which it relates, the date the Services were performed, the number of hours spent on all work billed on an hourly basis, and a description of any reimbursable expenditures. ANAHEIM shall pay CONTRACTOR no later than thirty (30) days after approval of the monthly invoice by ANAHEIM staff.

4.6 All Parties recognize that the continuation of this Agreement after the close of any fiscal year of ANAHEIM, which fiscal year ends on June 30 of each year, shall be subject to budget approval providing for or covering such contract items as an expenditure in said budget.

ANAHEIM does not represent that said budget item will be actually adopted, said determination being the determination of the City Council at the time of the adoption of the budget herein. No penalty shall accrue to ANAHEIM in the event this provision shall be exercised. Should termination be accomplished in accordance with this Section, a settlement sha ll be negotiated by the Parties based on items delivered, services provided, monies paid and monies due.

Except as expressly provided herein, ANAHEIM shall have no voice in the selection, discharge, supervision or control of CONTRACTOR’s employees, servants, representatives or agents, or in fixing their number, compensation or hours of service. CONTRACTOR shall perform all services required herein as an independent contractor of ANAHEIM and shall remain at all times, as to ANAHEIM, a wholly independent contractor with only such obligations as are consistent with that role. CONTRACTOR shall not at any time or in any manner represent that it or any of its agents or employees are agents or employees of ANAHEIM. 10. INSURANCE
Without limiting ANAHEIM’S right to indemnification, it is agreed that CONTRACTOR shall secure, prior to commencing any activities under this Agreement, and maintain, during the term of this Agreement, minimum limits of insurance coverage as follows:

Workers’ Compensation Insurance as required by California law and Employers Liability Insurance in an amount not less than $1,000,000.

CONTRACTOR is responsible for the satisfaction of any deductible or self-insured retention obligation.

CONTRACTOR agrees that this insurance shall not be voluntarily cancelled by CONTRACTOR or limited in scope or coverage by CONTRACTOR until after thirty (30) days prior written notice has been given to the City Clerk, City of Anaheim, 200 S. Anaheim Blvd., Anaheim, CA 92805. This does not apply to cancellation for non-payment of premium, which requires notice of not less than ten (10) days.

Each insurance policy required by this Agreement shall contain the following clause or shall otherwise provide for the following conditions:

Each insurance policy required by this Agreement, except policies for Professional Liability and Workers’ Compensation, shall contain the following clauses or shall otherwise provide for the following conditions:

In addition to other remedies ANAHEIM may have if CONTRACTOR fails to provide or maintain any insurance policies or policy endorsements to the extent and within the time required, ANAHEIM may, at its sole option:

Order CONTRACTOR to stop work under this Agreement and/or withhold any payment(s) that become due to CONTRACTOR hereunder until CONTRACTOR demonstrates compliance with the requirements hereof.

Terminate this Agreement.

Exercise of any of the above remedies, however, is an alternative to other remedies ANAHEIM may have and is not the exclusive remedy for CONTRACTOR’S failure to maintain insurance or secure appropriate endorsements.

Nothing herein contained shall be construed in any way as limiting the extent that an CONTRACTOR may be held responsible for payments of damages to persons or property resulting from CONTRACTOR’S, (or CONTRACTOR’S AGENT or SUB-AGENT, if any) performance of the work covered under this Agreement.

In the event CONTRACTOR hires other persons or firms to perform some of the work related to this Agreement, CONTRACTOR shall ensure (i) that the acts or omissions of such persons or firms are covered under the above-referenced liability insurance, or (ii) that such firms maintain insurance equal to or better than, and subject to the same limits, terms and conditions as, the insurance required of CONTRACTOR under this Agreement (except for firms that are not performing professional services—such firms shall not be required to carry the above-referenced professional liability insurance); and in either instance, CONTRACTOR shall provide, or cause to be provided, evidence of such insurance coverage, reasonably acceptable to ANAHEIM.

ANAHEIM’S Risk Manager is hereby authorized to amend or reduce the requirements set forth herein if such customer-generated requested amendment or reduction request is in ANAHEIM’S best interest.
10 11. INDEMNIFICATION
As respects acts, errors or omissions in the performance of professional services, CONTRACTOR agrees to indemnify and hold harmless ANAHEIM, its officials, officers, and employees from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature, directly arising out of the negligent acts, errors or omissions of the CONTRACTOR or any SUB-AGENT in the performance of professional services under this Agreement.

As respects all acts, errors or omissions that do not arise directly out of the performance of professional services, including but not limited to those acts, errors or omissions typically covered by general and automobile liability insurance, CONTRACTOR agrees to indemnify, defend (at ANAHEIM'S option), and hold harmless ANAHEIM, its officials, officers, employees, agents, and representatives from and against any and all claims, losses, damages, defense costs, or liability, of any kind or nature (collectively referred to hereinafter as “Claims”), arising out of or in connection with CONTRACTOR’S (or CONTRACTOR'S AGENT or SUB- AGENT, if any) acts, errors, omissions, or work, relative to this Agreement, except for those Claims that arise out of the sole negligence or willful misconduct of ANAHEIM.

The obligations set forth in this indemnification provision (i) shall be in effect without regard to whether or not ANAHEIM, CONTRACTOR or any other person or entity maintains or fails to maintain insurance coverage or a self-insurance program, for any such Claim(s); and (ii) shall survive the termination of this Agreement.

13. PROHIBITION AGAINST ASSIGNMENTS AND TRANSFERS
The Parties recognize that a substantial inducement to ANAHEIM for entering into this Agreement is the professional reputation, experience and competence of CONTRACTOR.

Neither the whole nor any interest in, nor any of the rights or privileges granted under this Agreement shall be assigned, transferred or encumbered in any way without the prior written consent of ANAHEIM. Any such purported assignment, transfer, encumbrance, pledge, subuse, or permission given without such consent shall be void as to ANAHEIM. CONTRACTOR shall be entitled to receive interest on any withheld sums at the rate of return that ANAHEIM earned on its investments during the time period, from the date of withholding of any amounts found to have been improperly withheld.

20. ERRORS AND OMISSIONS
In the event of errors or omissions that are due to the negligence or professional inexperience of CONTRACTOR which result in expense to ANAHEIM greater than what would have resulted if there were not errors or omissions in the work accomplished by CONTRACTOR, 13 the additional cost and expense shall be borne by CONTRACTOR.
