Re: A-Town Project – Good Faith Compliance Letter and Request for Amendment to the Amended and Restated Development Agreement No. 2005-00008
Dear Ms. Allen:

As you know, we represent PT Metro, LLC (“Lennar”), the owner and developer of the A-Town Project (“Project”) in the City of Anaheim (“City”). This letter is to provide a summary of Lennar’s attempts to fully comply in good faith with the requirements of Amended and Restated Development Agreement No. 2005-00008 (“DA”), and to request that the City Council consider an amendment to the DA, as discussed below:

To provide a brief recap of the good faith attempts to achieve full compliance with the DA, Lennar has completed the following improvements within the Project’s Master Plan:
 Completion and dedication of Gene Autry Way, Market Street, Westside Drive, Union Street, and Park Street;
 Completion of all Phase I & Phase II Public Facilities and Infrastructure;  Completion of the highly utilized Aloe Greens Public Park;  Completion of the highly utilized Aloe Promenade Public Park;  Completion of Development Area A, which includes 400 multifamily rental apartments;  Completion of Development Area G, which includes 154 for-sale townhomes; September 10, 2026
Ms. Heather Allen, Director of Planning & Building Department City of Anaheim

 Completion of Development Area H, which includes 83 for-sale townhomes; and  Completion of Development Area F, which includes 73 for-sale townhomes.

In addition, the following improvements are currently in progress within the Master Plan:
 Commenced construction of Development Area E, which includes 257 multifamily rental apartments, which is on schedule to complete construction in the first quarter of 2027.

With significant progress made to date, Lennar has been working with City Staff to discuss the implementation of remaining Development Areas B, C, and D in the Project.

However, due to certain circumstances, including the COVID-19 pandemic and current market conditions, Lennar has been unable to fully meet the final Development Milestone in Exhibit G of the DA1, thereby necessitating an amendment to the DA (“Amendment”) in order to allow for the completion of the Project.

Based on the foregoing, Lennar is formally requesting an Amendment to the DA in order to allow for completion of the Project under the DA, as amended. We look forward to working with the City to come to an agreement and thereby allow the Project to continue to be constructed until completion in accordance with the DA, as amended. If you have any questions or would like to discuss, please do not hesitate to contact me.

Sincerely,
Gregory P. Powers, Esq.,
