I SUBJECT
Settlement Agreement and Release with Jeremey and Karen Greenslit and FM Freedom Properties, LLC

I RECOMMENDATION
The City Attorney recommends that the City Council:

1. Receive a staff report

2. Receive public comments

3. Approve Settlement Agreement and Release with Jeremey and Karen Greenslit and FM Freedom Properties, LLC, and authorize the City Manager to sign.

I FISCAL IMPACT
The city will be assigned a note and deed of trust for the property located at 4987 Barney Road in Anderson for the amount of $99,626.67 with 5% interest between now and June 2026. If the city does not agree to the agreement, it is uncertain when, if ever, the City would be paid on the lien.

ITEM 8.2 PAGE1 10/07/2025
I DISCUSSION and BACKGROUND
In The City has adopted Chapter 17.67 of the Anderson Municipal Code which regulates the cultivation of marijuana within the City's jurisdiction. Violations of Chapter 17.67 impose a penalty of up to $1,000.00 per plant, consistent with the California Government Code.

On April 7, 2025, the City performed an inspection of the real property located 4987 Barney Road, Anderson, California, which was owned at that time by Jeramey and Karen Greenslit.

During the inspection, City code enforcement discovered two-thousand, one-hundred fifteen (2,115) marijuana plants cultivated inside the subject property in direct violation of Chapter

17.67. Appellants were issued an administrative citation for two-million, one-hundred fifteen thousand dollars ($2,115,000.00) for the violation, which was followed by an appeal; and
On May 15, 2025, a code enforcement administrative hearing was held at the City of Anderson City Hall. Testimony was provided at the hearing from Greenslits, as well as the City's code enforcement officer, and representatives from both the Anderson Fire Protection District and the Anderson Police Department. On May 15, 2025, the Administrative Hearing Officer issued a decision, reducing the overall fine to two-hundred eleven th9usand, fivehundred dollars ($211,500.00).

Following issuance of the Hearing Officer decision, the City recorded a lien on the property owned by the Greenslit, which is permitted under the Anderson Municipal Code. However, after the lien was recorded, the City discovered that the Greenslits had sold the property to FM Freedom Properties, LLC. The sale was owner carry, secured by a promissory note and deed of trust. After the sale and recording of the lien, FM Freedom Properties, LLC has requested the removal of the lien since they had no involvement in the code enforcement matter.

Following numerous discussions, the parties have reached a resolution regarding the amount owed by the Greenslits and removal of the lien. FM Freedom Properties still owes the Greenslits $99,626.67 under the note and deed of trust, with 5% interest. There are monthly payments of$790.00, with the final payoff in June 2026. The Greenslits have agreed to assign all interest in the note and deed of trust to the City, in exchange for the City releasing the lien on the property and releasing the Greenslits from any liability in connection with the code enforcement matter.

RECITALS

1. The City has adopted Chapter 17 .67 of the Anderson Municipal Code which regulates the cultivation of marijuana within the City's jurisdiction. Violations of Chapter 17.67 impose a penalty of up to $1,000.00 per plant, consistent with the California Government Code; and

2. On or around April 7, 2025, the City performed an inspection of the real property located 4987 Barney Road, Anderson, California ("subject property"), which is owned by the Greenslits.

3. On or around May 15, 2025, a code enforcement administrative hearing was held at the City of Anderson City Hall. Testimony was provided at the hearing from Greenslits, as well as the City's code enforcement officer, and representatives from both the Anderson Fire Protection District and the Anderson Police Department; and

4. On or around May 15, 2025, the Administrative Hearing Officer issued a decision, reducing the overall fine to two-hundred eleven thousand, five-hundred dollars ($211,500.00); and

5. On or around June 5, 2025, the Greenslits sold the subject property to FM. The sale was an owner carry, secured by a promissory note and a deed of trust on the subject property. The remaining amount owed under the promissory note at the time of execution of this Agreement is ninety-nine thousand, six-hundred twenty-six dollars and sixty-seven cents ($99,626.67). True and correct copies of the promissory note and deed of trust are attached hereto as Exhibit "A."

6. Following the sale of the subject property, the City recorded a lien on the subject property in connection with the Action for the amount of $210,500.00. The Greenslits and FM dispute the validity of the lien and the hearing officer decision (the citation, the code enforcement appeal hearing, and the lien will hereinafter be referred to as the "Action."); and

7. The parties would like resolve all disputes as outlined below.

AGREEMENT
NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, and in further consideration of the promises exchanged herein, the Parties agree as follows:

1. Recitals. The Recitals are incorporated into and made a material part of the terms and representations of this Agreement.

Greenslit v. City of Anderson
Settlement & Release Agreement Page 1 of4

2. Settlement Payment. The Parties agree to resolve the dispute as follows:
a. The Greenslits agree to assign any and all interest in the promissory note and deed of trust to the City, which includes but is not limited to, the remaining amount owed of $99,626.67 and any interest owed. FM is in agreement and consents to the assignment of the promissory note and deed of trust (the "Assignment"). This Assignment and the payment set forth in section 2.b. constitute full and final satisfaction of ALL fines, penalties, costs, and claims arising out of the Action, with no further liability of the Greenslits. b. The Greenslits also agree to pay an additional seven-hwtdred ninety dollars and zero cents ($790.00) to the City reflecting the single payment made by FM to the Greenslits pursuant to the promissory note and deed of trust (the "Payment").
c. The City will release the code enforcement lien recorded on the subject property (the "Lien Release.")
d. The Parties will open escrow through Brooke Fitzgerald at First American Title, located at 1900 Chum Creek Road, Ste. 101, Redding, California 96002.

Escrow will close ten (10) days following execution of this Agreement. The Assignment, the Payment, and the Lien Release will all be submitted to escrow, prior to'the close date. Upon close of escrow, assignment of the deed of trust and the Lien Release will be recorded simultaneously, and the Payment will be issued to the City. The costs and fees for First American Title's services will be split equally between the City, the Greenslits, and FM, and will include title fees, escrow costs, recording fee, transfer tax, eRecording fee, notary cost, and an endorsement of the existing policy
e. The Parties will take any and all steps necessary to record/execute the Assignment and Lien Release, which includes execution of any additional documents needed by First American Title.

3. Release. Except as set forth herein, the Parties, including their predecessors, successors, assigns, representatives, shareholders, officers, directors, partners, employees, and agents, will forever discharge and release each other party, including predecessors, successors, assigns, representatives, shareholders, officers, directors, partners, employees, and agents, from any and all claims, demands, actions, obligations, damages, liabilities and causes of action of any nature under the laws of the State of California and any other state of the United States, whether or not now known, anticipated, suspected or claimed, including claims for indemnity, whether contractual or equitable, arising out of, or in any way connected the Action (the "Released Claims"). This applies only to the Action, and does not release the Greenslits or FM from any other code enforcement or City related matters. For purposes of clarification this carve-out only applies to NEW, unrelated violations, not the April 7, 2025 inspection or its consequences.

It is understood that this Agreement is in full compromise of a disputed claim as the cause ofliability and as to the nature and extent of damages asserted in the Released Claims. The Parties recognize that they may not now fully know the number and magnitude of all claims they now Greenslit v. City of Anderson
Settlement & Release Agreement Page 2 of 4
have or in the future may have against the other Parties, but nevertheless, intend to assume the risk that they are releasing such unknown claims that arise out of the Released Claims. For purposes of clarity, these releases do not excuse any obligations of the borrower or lender under the assigned note and deed of trust.

4. Attorneys' Fees and Costs. The Parties agree that each Party shall bear its own attorneys' fees and costs. For clarification, the City cannot later seek attorneys' fees or costs related to the Action under any ordinance or statute. However, should any party breach or violate the terms of this Agreement, the prevailing party in an action in connection with that breach shall be entitled to costs and attorney's fees.

5. Authority. Each person executing this Agreement represents and warrants that they are duly authorized to execute this Agreement on behalf of the Party they purport to represent.

6. Entire Agreement. All agreements, covenants, representations and warranties, express or implied, oral or written of the Parties hereto concerning the subject matter hereof are contained herein. All prior and contemporaneous conversations, negotiations, possible and alleged agreements, representations, covenants and warranties between the Parties concerning the subject matter hereof are merged herein.

7. Agreement Entered Into Voluntarily. This Agreement is entered into freely and voluntarily. Each Party hereto has executed this Agreement with full knowledge of its significance and with the express intention of affecting its legal consequence. None of the Parties hereto have relied upon any representation of any other Party in signing this Agreement. Each Party has had the opportunity to retain legal counsel to review and approve this Agreement.

8. Binding on Successors. This Agreement shall bind the heirs, personal representatives, successors and assigns of the Parties and inure to the benefit of each Party, its agents, directors, officers, partners, employees, servants, insurers, successors and assigns.

9. Governing Law. This Agreement shall be deemed to have been entered into and shall be construed and enforced in accordance with the laws of the State of California. Venue shall be proper in Shasta County.

10. Severability. In the event that, at any time after the execution of this Agreement, any portion or provision of it is found to be illegal, invalid, unenforceable, non-binding, or otherwise without legal force or effect, the remaining portion(s) will remain in force and be fully binding.

11. Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original. Honorable Mayor and Members of the Anderson City Council Joey Forseth-Deshais, City Manager
Date: October 7, 2025
!SUBJECT
CDBG-DR-MHP Funding Allocation Amendment

I RECOMMENDATION

1. Receive a staff report

2. Receive public comments

3. Adopt a Resolution Amending the Original Allocation of CDBG-DR-MHP funds to Shasta County

I FISCAL IMPACT
In 2021, the City of Anderson allocated $745,684 of CDBG-DR-MHP funding to Shasta County through Resolution No. 21-47. In May of 2025, an additional $10,837,586 has been allocated for a project not to exceed $11,583,270.

I DISCUSSION AND BACKGROUND
The California Department of Housing and Community Development (HCD) announced the availability of approximately $250 million, as appropriated under Public Laws 115-254 and 116-20, for the Disaster Recovery Multifamily Housing Program ("DR-MHP") to provide funding for the rehabilitation, reconstruction, and/or new construction of affordable multifamily housing in designated areas impacted by the wildfires in July - September and November of 2018 (DR 4382 and DR 4407). The original amount of funds ITEM 8.3 PAGE1 10/7/2025
available to the City of Anderson for project costs, including activity delivery costs was $745,684
On July 20, 2021 staff provided this information to Council. As was noted at the Council meeting, the allocation of $745,684 to the City is not sufficient funding to complete a project. The following alternatives were provided to Council for use of the allocation:

1. The City can do nothing and the funds will revert back to the State to be disbursed for other funding.

2. The City can accept the allocation and proceed with developing a RFP in an attempt to find a developer to construct an affordable multi-housing project. An affordable project must meet CDBG guidelines for 80% or less of median income or approximately $53,000 for a family for 4.

3. The City could choose to partner with the County and allow the allocation to be used in conjunction with the County's allocation of $4.2 million.

The Council unanimously directed staff to work with the County to allow them to use Anderson's allocation.

In October 2023 the county selected Rural Communities Housing Development Corporation's (RCHDC) 'Sunrise Cottages" project for low-income senior housing to be awarded the CDBG-DR-MHP funding. Due to multiple factors RCHDC has encountered challenges in securing the additional necessary funding to bring the project to fruition.

HCD performed an Unmet Needs Assessment that covered the areas affected by DR4382 and DR4407, and included data from FEMA, CAL FIRE, SBA and California Department of Insurance (CDI). Recognizing the requirement included in Federal Register Notice 83 FR 5851, published February 9, 2018, and 83 FR 40314, published August 14, 2018, to address housing needs first and based on the results of the needs assessment, HCD expanded the Disaster Recovery Multifamily Housing Program (DR-MHP) from 2017 disasters to meet the needs of the 2018 disasters, thus making additional funding available.

Due to a shortage of tax credits, the City of Anderson's CDBG-DR-MHP multifamily housing project was at risk of award expiration. The Housing and Community Action Agency provided strong advocacy for the project to HCD. Which in May of 2025 resulted in HCD increasing the City of Anderson allocation by $10,837,586 for an amount not to exceed $11,583,270 for the Sunrise Cottages Housing Project
With the additional allocation of funds, it is necessary to update Resolution 21-47 to reflect the new funding awarded by HCD.
