Seller the Buyer Objection Notice shall be deemed to constitute Buyer’s approval of the Title Report. Seller shall have a period of five (5) business days after receipt of the Buyer Objection Notice in which to deliver written notice to Buyer of Seller’s election to either: (i) agree to remove, at Seller’s sole cost and expense, the objectionable items prior to Closing; or (ii) decline to remove the objectionable items (the “Seller Response Notice”). Seller’s failure to timely deliver to Buyer the Seller Response Notice shall be deemed to constitute Seller’s election not to remove the objectionable items. If Seller elects to remove the objectionable items and, thereafter, fails to do so prior to Closing, then Seller shall be deemed in default under this Agreement. If Seller elects (or is deemed to have elected) not to remove the objectionable items, then Buyer shall have the right, by written notice to Seller (the “Buyer Election Notice”) delivered within seven (7) business days after Buyer’s receipt of the Seller Response Notice (or, if Seller has failed to timely deliver to Buyer the Seller Response Notice, within seven (7) business days after the expiration of said five (5) business day period), to either: (i) immediately terminate this Agreement, in which event this Agreement and all of the rights and obligations of Buyer and Seller shall terminate, except that Buyer and Seller shall share equally the expenses of canceling Escrow; or (ii) waive its objection to the title exceptions in question. Buyer’s failure to timely deliver to Seller the Buyer Election Notice shall be deemed to constitute Buyer’s waiver of its objections to the title exceptions in question.
(d) Title Policy. At Closing, the Escrow Agent shall issue to Buyer a standard California Land Title Association (“CLTA”) policy of title insurance, with such endorsements as Buyer may reasonably request, in the amount of the Purchase Price, showing title to the Property vested in Buyer, and containing no exceptions to title other than the Permitted Exceptions (the “Title Policy”).
6. Operations. From the Effective Date through Closing or termination of this Agreement, whichever occurs earlier, Seller shall: (a) maintain the Property in the same condition as presently exists, with the exception of reasonable wear and tear or changes attributable to Buyer; (b) not, without Buyer’s prior written consent (which may be withheld in Buyer’s sole discretion), terminate, amend, extend or renew any lease or other contract affecting the Property or enter into any contract or commitment or incur any expenditure or obligation affecting the Property or the title thereto, which would extend beyond the Closing; (c) pay promptly when due all taxes, assessments, utility charges, indebtedness secured by deed of trust or other liens, and, generally, all expenses (including repairs and replacements) incurred by Seller in the operation of the Property; and (d) not, without Buyer’s prior written consent (which may be withheld in Buyer’s sole discretion), take or consent to any action which could modify the status of title to the Property, present zoning of, access to, licenses, permits or entitlements to, or assessed valuations of, the Property or cut or permit the cutting of any trees on the Property. Seller shall promptly notify Buyer, in writing, of any failure by Seller to comply with its obligations under this Section 6.

7. Conditions Precedent to Closing. The following conditions must be met in order for Closing to occur (the “Conditions Precedent”): (a) the Property must be in substantially the same condition at Closing as on the Effective Date, reasonable wear and tear and any damages or changes attributable to Buyer excepted; (b) all deeds of trust, liens and other charges against the Property not assumed by Buyer must be paid and cancelled by Seller prior to, or with funds made available at, Closing; (c) except those attributable to Buyer, no uncured material, adverse change to the title to the Property shall have occurred since the Effective Date; (d) neither Seller nor the Property shall be subject to any court judgment or decree or to any litigation or administrative proceeding which would adversely affect the Property in any material respect or which would be binding upon Buyer or its assigns; (e) Seller shall have complied with and otherwise performed, in all material respects, each of its obligations set forth in this Agreement (including, but not limited to, the obligations of Section (6) and each of Seller’s representations and warranties set out in this Agreement shall remain true in all material respects and, as to those representations limited to Seller’s knowledge, the specific fact or condition that was the subject of the representation must also be true.
If any of the Conditions Precedent is not met prior to the Closing deadline, Buyer shall, in its sole discretion, notify Seller of such in writing, and take one of the following actions: (i) extend the Closing deadline as long as necessary for Seller to satisfy the applicable Conditions Precedent, (ii) waive the Conditions Precedent and proceed with Closing; or (iii) terminate this Agreement, in which event Seller shall be responsible for all expenses of cancelling Escrow. The election of (i) above shall not prohibit a subsequent election of (ii) or (iii) above.
8. Prorations and Adjustments.
(a) Closing Costs. The following costs related to Closing shall be prorated as follows: (i) Buyer and Seller shall split the fees and charges of the Escrow Agent; (ii) Buyer and Seller shall split all documentary and other transfer taxes and shall each bear half the cost of the Title Policy (standard CLTA coverage); and (iii) Buyer and Seller shall each pay for their own respective legal, accounting and other consultant fees, charges and costs incurred related to this Agreement. Seller will furnish all documents, releases and cancellations as necessary in order to discharge all existing liens and encumbrances of record against the Property. Buyer and Seller to split all associated recording costs.
(b) Property Taxes. All current ad valorem taxes and all current general and special taxes and assessments on the Property shall be prorated through Escrow between Buyer and Seller as of the Closing date based upon the latest available tax information and the portion of the taxable year each party has possession of the Property, without regard to any reassessments or subsequent changes. All supplemental taxes (regardless of whether a bill for such taxes is received after the Closing by Buyer or Seller) and future assessments or encumbrances levied by any DocuSign Envelope ID: DDC08C64-4B27-49FB-BE99-93A86BFF48EA {CW114639.1} PURCHASE AND SALE AGREEMENT
assessment, maintenance, school district or like entity, attributable to the Property or this sale, shall be prorated on the same basis, as shall special taxes and any assessments under Mello-Roos Community Facilities District and the like now encumbering the Property or proposed to encumber the Property.
9. Possession. At Closing, the right to possession of the Property shall transfer to Buyer. At Closing, Seller shall deliver to Buyer exclusive possession of the Property, free and clear of occupancy by all persons, firms or corporations, whether or not under claim of right or color of title.
10. Representations and Warranties.
(a) Brokers. The Seller has contacted or entered into any agreement with a real estate broker, agent, finder, or any other party in connection with this transaction (“Broker”), and has an agreement that would result in Broker’s or other fees or commissions being due or payable with respect to this transaction. If a Broker brings a claim for a commission or fee related to the Property, the Party through whom the Broker makes the claim shall be solely liable and responsible for any amount owed to Broker and any expenses incurred by the other Party in defending against the same. The provisions of this paragraph shall survive Closing. (b) Seller’s Representations. Seller makes the following representations and warrantees:
(i) Seller has the right, power, and authority to enter into this Agreement and sell the Property in accordance with these terms; each of the persons executing this Agreement on behalf of Seller is authorized to do so; and this Agreement constitutes a valid and legally binding obligation of the Seller, enforceable in accordance with its terms. (ii) Seller has good and marketable, fee simple title to the Property, free and clear of any and all liens, encumbrances or other restrictions, whether existing of record or otherwise, other than the Permitted Exceptions. Seller has no actual knowledge of any unrecorded or undisclosed legal or equitable interest in the Property owned or claimed by anyone other than Seller.
(iii) The current use and operation of the Property is authorized by and in compliance with all existing zoning, land-use, building, fire, health, labor and safety laws, ordinances, rules and regulations applicable to the Property, and there is no litigation, action, or other legal or administrative proceedings related to the current use and operation of the Property. (iv) There are no pending or, to Seller’s knowledge, threatened condemnation or other legal proceedings against, or affecting title to, any part of the Property.

(v) No contracts, agreements, or options (other than those which have already expired) have been granted to others to purchase or to lease any interest in the Property or any part thereof or which will survive Closing or otherwise impose an obligation on Buyer, and Seller otherwise has the exclusive right of possession to the Property. (vi) Seller has not filed, or been the subject of any filing of, any petition under the Federal Bankruptcy Law or any other bankruptcy or insolvency laws. (vii) Seller has no knowledge of any violation of governmental laws, regulations or orders relating to the Property.

Seller shall not, prior to Closing, bring or permit any Hazardous Materials to be brought onto the Property. The term “Hazardous Materials” shall mean, without limitation, any material or substance which is defined as a “hazardous waste”, “hazardous substance”, or the like under the laws or regulations of the State of California or United States (collectively, “Environmental Laws”) including any material or substance that is: (a) petroleum, oil, gas, or any direct or derivative product or byproduct thereof; (b) defined or listed as a hazardous waste, extremely hazardous waste or restricted hazardous waste under the Hazardous Waste Control Law (Cal.

(xi) The representations and warranties of Seller set forth in this Agreement and the materials delivered by Seller to Buyer do not contain any untrue statements of material fact. Seller has not omitted any material fact that would thereby cause its representations and warranties to be misleading.
EXCEPT FOR THE WARRANTIES SET OUT ABOVE AND THE WARRANTIES OF
TITLE MADE IN THE DEED, SELLER MAKES NO OTHER WARRANTIES, EXPRESS
OR IMPLIED, WITH RESPECT TO THE CONDITION, TITLE, OR USE OF THE PROPERTY. THE PARTIES ACKNOWLEDGE THAT SELLER HAS NOT
UNDERTAKEN ANY INDEPENDENT INVESTIGATION IN ORDER TO OBTAIN ANY
KNOWLEDGE FOR PURPOSES OF MAKING THE WARRANTIES AND
REPRESENTATIONS MADE BY IT IN THIS AGREEMENT.
Buyer: Seller:
(c) Buyer’s Representations. Buyer makes the following representations and warrantees:
DocuSign Envelope ID: DDC08C64-4B27-49FB-BE99-93A86BFF48EA {CW114639.1} PURCHASE AND SALE AGREEMENT
(i) Buyer has the right, power and authority to enter into this Agreement and to purchase the Property in accordance with the expressed terms and conditions hereof. (ii) Each of the persons executing this Agreement on behalf of Buyer is authorized to do so.
(iii) This Agreement constitutes a valid and legally binding obligation of Buyer, enforceable in accordance with its terms.
The above representations and warranties are made by each Party with the knowledge and expectation that the other Party is placing complete reliance thereon, and such warranties shall survive Closing. Each Party shall not cause or permit any action to be taken which will cause any of its representations or warranties to be untrue in any material respects upon Closing. None of the representations and warranties shall be deemed merged into or superseded by the execution or delivery of any documents or agreements in connection with this Agreement. Each Party agrees to indemnify, defend, and hold the other Party harmless from all liabilities, claims, losses, damages, costs and expenses (including reasonable attorneys’ fees and costs) in connection with a breach of these representations and warranties. This indemnification obligation shall survive the Closing.
11. Risk of Loss. Seller bears all risk of loss prior to the Closing. If, prior to Closing, any portion of the Property is materially damaged by any casualty (other than those attributable to Buyer) and such damage is not repaired by Seller or arrangements for the escrow of funds sufficient to pay for necessary repairs are not made prior to Closing, then Buyer will have the option to terminate this Agreement by providing written notice to Seller. If Buyer does not elect to terminate this Agreement, it will remain in full force and effect and Buyer shall purchase the Property “as is.”
12. Eminent Domain. If, prior to Closing, condemnation proceedings are commenced or concluded by any entity other than Buyer and, in Buyer’s reasonable opinion, such proceedings will or have materially and adversely affected the Property, Buyer will have the option to terminate this Agreement by providing written notice to Seller. If Buyer does not elect to terminate this Agreement, it will remain in full force and effect and, at Closing, Seller shall be deemed to have assigned to Buyer all of Seller’s right, title and interest in any awards that have been made or may be made for the taking. Any such condemnation proceeds received by Seller prior to Closing shall be credited against the Purchase Price otherwise due at Closing from Buyer.
13. Memorandum of Agreement. The Parties agree that this instrument shall not be recorded; however, at the request of either Party, the other Party shall execute and deliver a Memorandum of Agreement, in recordable form, stating that the Property is under contract to Buyer and the duration of this Agreement.
DocuSign Envelope ID: DDC08C64-4B27-49FB-BE99-93A86BFF48EA {CW114639.1} PURCHASE AND SALE AGREEMENT
14. Default and Remedies. If, prior to Closing, either Party is in default of its covenants or obligations under this Agreement, and such defaulting Party fails to cure such default within ten (10) business days after receipt of written notice thereof, the non-defaulting Party may elect to terminate this Agreement by sending written notice of termination to the defaulting party.
If Seller is the defaulting Party, Buyer may seek specific performance of Seller’s obligations, provided that any action for specific performance must be filed within sixty (60) business days of Seller’s alleged default. If, however, the specific performance remedy is not available to Buyer because of Seller’s acts after the Effective Date, then Buyer shall have the right to recover its direct out-of-pocket expenses reasonably incurred in connection with this Agreement. The Parties agree that no liquidated damages shall be imposed or paid in connection with this Agreement. If the Agreement is terminated due to default, the defaulting Party shall be liable for all direct Escrow costs. With respect to breach of any of the Survival Obligations (defined below), the nondefaulting Party shall be entitled to the remedies provided by this Agreement, law, statute, ordinance, and otherwise. The use of any one of these remedies by a non-defaulting Party with respect to a breach of any of the Survival Obligations shall not preclude such Party’s right to use any and all other remedies.
15. Survival. Any obligations, representations and warranties that are expressly provided to survive termination of the Agreement and, if Closing occurs, any provision which by its nature and effect is required to be performed after Closing (collectively, the “Survival Obligations”) shall survive the Closing and remain binding and for the benefit of the Parties until fully performed. Upon termination, neither Party shall have any further obligations under the Agreement except for the Survival Obligations.
16. Notices. Except where such other form of notice is expressly permitted by this Agreement, any notice required or permitted to be given in connection with this Agreement must be in writing and will be deemed to have been given: (a) when hand delivered (deemed received on receipt or refusal of delivery); (b) when delivered by a nationally recognized overnight express delivery service (deemed received the next business day); or (c) when deposited in the United States Mail, registered or certified mail, postage prepaid, return receipt requested (deemed received the third business day after posting). Notices may be executed and sent by the other Party’s legal counsel.

RE: ACCEPT RECOMMENDATION AND AWARD AN IT SERVICES CONTRACT TO CONETH SOLUTIONS FOR A PERIOD FROM AUGUST 2, 2022, THROUGH
RECOMMENDATION
Accept the recommendation to select Coneth Solutions to provide IT Services to the City of Angels and approve a contract for August 3, 2022, through June 30, 2025.
BACKGROUND
The City of Angels has utilized an on-call contract for IT services for many years. This was in place to only assist when an issue or immediate need arose. Due to the changing environment, the explicit technology needs of staff, the actual conditions of the City’s IT infrastructure (or lack thereof), and to protect the City’s resources and data, it is recommended to move to a full-service regular IT Services contract that encompasses all facets of technology needs for the City today and ongoing.
DISCUSSION
Based on historical information, the City has spent very little annually on technology or IT Services.
The 2022-23 fiscal year budget contemplated a significant increase in IT services for $32,000 annually.
An RFP was published on June 9, 2022, and proposals were required to be submitted by June 30, 2022.
The City received 13 responses and over 40 questions to clarify for respondents throughout the IT Services
2015-16 4,871
2016-17 3,443
2017-18 5,877
2018-19 12,365

CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 response period. Additionally, the City had two onsite sessions for respondents to attend to ask questions and tour City Hall and the Police Department to understand the current infrastructure that the City has and what will need to be changed.
An initial review of responses was made to identify those responses that were not considered responsive. A total of 6 were approved to be reviewed by City staff. Based on the overall needs and complexities that the City has, it was determined that Coneth Solutions best met the needs of the City based on technical requirements and a budgetary basis.
The City requires regular assistance with:
• End-of-life applications and file server replacements • End-of-life network equipment replacements
• End-of-life staff equipment replacements
• Network security and setup
• Virus protection selection, installs and monitoring
• Equipment inventory and monitoring
• Backup solutions
Cyber threats are, unfortunately, a common issue that will happen to everyone; the question is whether we are as protected as we can be when that time comes. Investments into the overall technological infrastructure are no different than investing in our water, sewer, police, and fire. Planning for the threat is part of day to day business of all agencies, as it isn’t IF it will happen, but WHEN it will happen.
This change in IT coverage strategy aims to ensure the City and its employees are completely protected against these threats and mitigate as much risk as possible while offering an effective and stable technological environment conducive to staff not struggling to get their work done, as many currently are.
This package has two parts: the annual costs of having an outsourced IT Department. The first part is a full-service approach to ensure that staff gets the attention they need, and downtown is minimized. A full-time IT staff person would cost anywhere from $115,000 to $132,000 per year with pay and benefits. The City’s staffing levels are insufficient to warrant that, and neither is our budget.
The second part is a large-scale investment in replacing aging IT infrastructure. The budget contemplated $35,000 toward network overhaul. However, additional issues have been identified that cannot be ignored. The initial estimate to start getting the City appropriately protected for the City Hall and Police Departments is $100,000. Close to $70,000 is for power equipment, host servers, domain controllers, setting up a new Active Directory, new application servers, new file servers, and backup
CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 protocols. The additional $30,000 is for any additional cabling, computers, tablets, and appliances that are needed but currently unknown.
Understandably, going from spending an average of $8600 per year to accepting an annual expenditure of $69,744 per year is shocking. In addition, spending close to nothing for the last ten years on IT equipment to requesting a budget of $100,000 in one year can seem outrageous. These investments aren’t “wants.” They are needs. Should the City be disturbed by ransomware or hacked in any way, the costs associated will cost more than this, and no insurance will pay for ransomware. Additionally, the staff time associated with downtown due to connectivity issues, loss of data, programs not responding, computers not connecting to the network, not having a network, etc., all equate to a loss in productivity that ends up costing the City in different ways.
An ongoing evaluation of actual devices needed, building redundant systems in case of emergencies, and looking ahead to solutions that better utilize our infrastructure will all lead to a more streamlined infrastructure and better workplace environment.
FINANCIAL IMPACT
Increase to IT Services of $37,744. The total expense will be paid out of the General Fund with the allocation of costs across all departments to determine the non-general fund recovery to be brought forward at a future date as a budget adjustment.
Increase to Computer/Software of $65,000. The total expense will be paid out of the General Fund.
A portion will be allocated out, similar to the IT Services. However, most equipment is for City Hall and the Police Department.

General Vendor Information
Coneth Solutions was founded over 21 years ago by Chris Doyle when he saw a need for a high-quality IT professional services company in the California’s Central Valley. We began as a consulting organization primarily focusing on planning and deployment services for Microsoft server infrastructures in local government and finance organizations.
Coneth Solutions was founded on the belief that our success can only be achieved through providing the highest quality expertise and services and by building lasting customer relationships. A core component of the Coneth business model is a focus on the delivery of exceptional service and a deep commitment to client satisfaction.
As our business matured and we became a trusted advisor for our client base they began to look to us for support and maintenance services to maintain the systems we built through their entire lifecycle. As the IT industry moved into a managed services model so did we.
We made the investments in technology and staff and today we have a strong, committed team and a compelling IT services offering.
We currently have 30 clients on monthly recurring support contracts across Northern California ranging from 10 to 100 endpoints. We have approximately 15 public sector clients which are a mix of both services contracts and consulting contracts including public utilities and local government entities at both the City and County levels.
Currently, we have four dedicated resources to IT support and implementation with an additional two open positions. All staff work out of the main office in Manteca, CA, although some staff live closer in proximity to the City of Angels and are dispatched from home in the event of emergencies.
Refer to the “Staff Qualification” section for key team member backgrounds.
City of Angels – Proposal for IT Support Services 3
Services Approach
The following section discusses our services approach and response time commitments.
We offer IT helpdesk support as part of all of our IT managed services contracts. Support is available Monday through Friday 8a to 5p.
We offer a 24x7 retainer to cover support outside of those hours which we have included in our proposal to cover the 7a requirement and emergency services for the Police Department.
Response time for helpdesk tickets is 1 hour for tickets submitted to [email protected] or through the support extension. Typically, we answer 80% of calls live using a qualified technician - not a dispatcher. Voice mail tickets are typically returned within 20 minutes.
We have been able to maintain that statistic for over 10 years.
Tickets submitted via email follow the same service level unless the user requested a call back or work be performed at a later date and time.
Onsite response for IT emergencies, which we define as 50% or more of the users at a work site are impacted, is within 2 hours.
Support services are charged on a fixed fee basis and billed monthly based on the number of devices and locations we are supporting.
In the attached proposal under “Service Levels, Hourly Rates and Scope” Item 7 defines a sample of items considered out of scope. These items are charged Time and Materials on an hourly basis at a rate of $150/hr. and are billed monthly itemized on a separate invoice.
Our goal is to provide a one call resolution for services tickets. Sometimes that is not possible and in that case the ticket is escalated to a more senior staff member or a staff member who is well versed in a particular application or technology.
For emergencies, a live transfer is attempted if the proper resource is available. In the event the transfer is not possible or the issue is not an emergency an expectation for a call back time is set with the user.
A more senior staff member then retrieves the ticket based on the expectation set with the user and will either complete and close the ticket or take further action escalating to the appropriate vendor or scheduling an onsite visit.
Unresolved issues are rare and most often arise from incorrect expectations, software limitations, undersized equipment or poor design practices. Through collaboration with the customer and vendor partners a solution or viable workaround can be achieved.
We work across many industries including local governments and utilities. We are comfortable working with the associated applications in each department such as RIMS, Springbrook, and SCADA systems etc.

Cost of Services
The proposals are attached to our response. Notes on each proposal are listed below. Refer to the attachments for costs and fees.
Total IT Secure 2022
This is the proposal for monthly IT support, cybersecurity and backup services.
A few items to note:
1. We drafted the proposal based on the estimate of 40 desktops and laptops. We charge per device so the number of desktops and laptops on service effects the monthly cost. Due to supply chain issues we may be supporting the network in its current state for quite some time.
2. We included two 2TB backup devices. One is for City Hall and the other for the Police Department. It’s possible we may be able to use a single appliance or may need larger appliances based on the data footprint of the City and Police Department. The number and size of the appliances required will impact the monthly cost.
3. We included our Managed Device Security package which is Optional but highly recommended. This includes Security overwatch services, Email filtering, Office 365 backup services and end-user cybersecurity training and phish testing.
4. We included 16 hours of consulting time in the One-Time Setup costs for network mapping, documenting and identification of equipment to be decommissioned from the network. There are a significant number of “unknowns” in the Police Department network and we need to develop a thorough understanding of the interconnections and equipment installed.
Network Replacement Proposal
This is the proposal for the full network overhaul and server replacement items in the Addendum to the RFP for IT Services.
A few items to note:
1. We proposed 3 physical servers. Two to be installed at City Hall and one at the Police Department. The quantity could change based on developing requirements after working with the City. A fixed bid for the installation is included.
2. The project includes unifying all of the City locations with a VPN. A fixed bid for the installation is included.
3. We drafted the proposal based on the estimate of converting 40 desktops and laptops to a new Active Directory. Each desktop conversion takes approximately 2 hours so the number of desktops and laptops impact the overall project cost. Costs were presented on a per desktop laptop basis.
4. Application conversion costs for moving 3rd party applications to the new infrastructure and assistance with the Electronic Storage are presented hourly due to the undetermined scope of work.

I. Approve Resolution No. 22-49 and Side Letter with the City of Angels Police Officers Association to Include Changes in Canine Officer Compensation and Addition of Incentive and Retention Pay, Rebecca Callen, City Administrator
___________________________________________________________________
CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 DATE: August 2, 2022

FROM: Rebecca Callen, City Administrator
RE: APPROVAL OF SIDE LETTER WITH THE CITY OF ANGELS POLICE OFFICERS ASSOCIATION
TO INCLUDE CHANGES IN CANINE OFFICER COMPENSATION AND ADDITION OF
INCENTIVE AND RETENTION PAY
RECOMMENDATION
Approve the side letter to the City of Angels Police Association to include changes to the Canine Officer compensation and add a section for Incentive and Retention Pay.
BACKGROUND
A review of the City of Angels Police Officers Association MOU identified two changes that were needed after the approval of the MOU in June 2021.
DISCUSSION
The City Administrator began discussions with the OE3 Senior Business Representative to ensure an understanding and intent of these changes. Mr. Eggener and the City Administrator met and conferred to agree on language, which was further discussed with Council for negotiation purposes.
The two items that were included in those discussions:
1) Canine Officer Compensation in the original MOU made it difficult for staff to carry out. To assist in ensuring that the Canine Officer was adequately compensated and the City could implement that language, changes we recommended. Section 7.06: Canine Officer was changed to:
It is the intent of the Parties to compensate officers assigned as Canine Officers for off-duty canine care, which is a necessary and integral part of their principal activities as law enforcement officers, and thus constitutes compensable time under the FLSA. Compensable off-duty canine care as defined by the DOL includes activities such as bathing, brushing, exercising, feeding, grooming, cleaning the dog's kennel or transport vehicle, training, administering drugs or medicine for illness, and/or transporting the dog to and from veterinary care and similar activities, when performed for the benefit of the City.
CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 The Parties recognize that time spent in canine care will vary from day to day based on a host of factors and cannot be precisely determined. Accordingly, based on historical practice in the Department and practices in similar jurisdictions and other authorities, the Parties agree that three and a half (3.5) hours per week represents a reasonable estimate of time spent in canine care. The Parties further agree that canine officers will receive five percent (5%) of their base rate, calculated using the regular hours worked, including vacation, comp time used, and sick pay per pay period, as reasonable compensation for all canine care duties. It is agreed that this extra payment shall constitute full compensation at the appropriate rate in accord with the requirements of the FLSA for all hours of offduty work spent in canine care. Compensation will be reported as special compensation for purposes of reporting to CalPERS. This additional compensation will be terminated immediately upon the officer no longer being assigned as a canine officer.
2) Difficulty in incentivizing recruits and retaining those recruits to the City of Angels Police Department has been an issue for some time. The recommendation was to add incentive and retention language. Again, Mr. Eggener and the City Administrator met and conferred to add the following to the MOU:
New Hire: $2,500 bonus upon successful hiring to be paid at the next pay period following hire with a second $2,500 to be paid in the pay period following the twelve months and a performance evaluation demonstrating the employee “Meets Standards.” New Hire is a candidate that has minimal prior police office experience.
Lateral Hire: $2,500 upon appointment into position to be paid at the next pay period following hire, with a second $2,500 to be paid in the pay period following the twelve months and a performance evaluation that demonstrates the employee “Meets Standards,” and a bonus of $5,000 after the end of the twenty-fourth month and a performance evaluation of “Meets Standards.” A lateral hire is hiring an experienced officer with internal or external experience in a position of similar standing in law enforcement.
Union membership has agreed to the language changes and additions above, and all parties agree to the proposed language.
FINANCIAL IMPACT
The additional costs of the potential $5,000 in hiring bonuses for two open positions can be absorbed in the Police budget due to salary savings. The Canine Officer Compensation was already included in the 2022-23 Fiscal Year Budget.

August 2, 2022
WHEREAS, THE City of Angels (“City”) and the City of Angels Police Association (“Association”), hereinafter collectively the “Parties,” have met and conferred in good faith regarding wages, hours, and other terms and conditions of employment; and
WHEREAS, the prior Memorandum of Understanding (“MOU”) between the Parties, which sets forth the wages, hours, and other terms and conditions of employment for police officers unit employees, was effective July 1, 2021, and remains in effect beyond the ending date of June 30, 2024, until a successor MOU is negotiated; and
WHEREAS, the parties agree that all terms and conditions of the prior Memorandum of Understanding shall remain in full force and effect, except as modified by this Side Letter.
TERMS AND CONDITIONS OF THIS SIDE LETTER
SECTION 7.06: CANINE OFFICER: The Parties agree to replace the entire section of the MOU with the following:
“It is the intent of the Parties to compensate officers assigned as Canine Officers for off-duty canine care, which is a necessary and integral part of their principal activities as law enforcement officers, and thus constitutes compensable time under the FLSA.

Compensation will be reported as special compensation for purposes of reporting to CalPERS. This additional compensation will be terminated immediately upon the officer no longer being assigned as a canine officer.”
SECTION 7.12: POLICE OFFICER INCENTIVE AND RETENTION PAY: The Parties agree to add this new section to the MOU and include the following language:
“New Hire: $2,500 bonus upon successful hiring to be paid at the next pay period following hire with a second $2,500 to be paid in the pay period following the twelve months and a performance evaluation demonstrating the employee “Meets Standards.” New Hire is a candidate that has minimal prior police office experience.

The parties agree that other than the section listed above, the remaining provisions of the MOU shall remain in full force and effect unless they conflict with the terms of this Side Letter, in which case this Side Letter will control.

J. Approve Budget Amendment for a City Speed Survey for $89.418 Using SB1 (RMRA) Funds, Rebecca Callen, City Administrator
___________________________________________________________________
CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 DATE: August 2, 2022
TO: City Council
FROM: Rebecca Callen, City Administrator
RE: APPROVE BUDGET AMENDMENT FOR A CITY SPEED SURVEY FOR $89,418 USING SB1 (RMRA) FUNDS
RECOMMENDATION
Approve a budget adjustment to recognize RMRA (Road Maintenance and Rehabilitation Allocation) grant funds to fund the remaining City Speed Survey for $89,415.
BACKGROUND
City Council approved Resolution 22-35 on July 5, 2022. The second piece to approve is amending the Fiscal Year 2022-23 Budget to include the grant funding and the project costs.
DISCUSSION
City Council was given a presentation and staff report recommending approval to move forward with the City of Angels Speed Survey by Rebecca Neilon on November 2, 2021. At that time, funding was unavailable to complete the survey and its implementation, and it was voted to table the item until funding became available.
The City has a pole-mounted unit to monitor speed that could conduct about 80% of the work needed to complete a speed survey at one location. The previous Engineering Technician used it to determine the enforceable speed limits on the non-residential street. At that time, the Council decided not to adopt the recommended speeds because there was concern that the speed might increase over and above what they currently are. To this date, the City staff have mainly installed 25 mph speed limits at locations where residents complained, but they are not enforceable by law enforcement. If the speed survey is completed, many new signs will need to be installed (see sign project).
While it is accurate that some speeds will go up, some may go down, and all will be enforceable by our Police, which currently is not the case. The adoption of the speed survey recommendation will help ensure the safety of our residents related to vehicle passage within our City limits which is a big complaint by residents.

• Most people drive the speed that feels
appropriate.
• So why post speed limits?
Allows for fair enforcement
Provides feedback to drivers
Alerts drivers to unsafe conditions
3 To change me, go to “View” > “Slide Master” and see the top layout June 24, 2022 Setting Speed Limits
By default:
undivided 2-lane roads = 55 mph
UNLESS
1. Lowered with an Engineering and Traffic Survey (ET&S)
2. Prima Facie Speed Limit Statute
• 25 mph in Residential District
CVC section 515: 16 homes within ¼ mile or 13 if just one side • 15 mph in alley, at grade rail crossing, blind uncontrolled intersection • Enforceable without posted signs
4 To change me, go to “View” > “Slide Master” and see the top layout June 24, 2022 Setting Speed Limits in CA
• Limits are set at the speed 85%
of drivers naturally travel.
• Uniform Policy avoids:
• influence from political pressure
• emotional perceptions
• Statewide, speed limits are
predictable
5 To change me, go to “View” > “Slide Master” and see the top layout June 24, 2022 Angels Camp Speed Limits
Only Caltrans
roadways have
enforceable speed
limit signs.
The few signs that
do exist on City
Streets are 25 mph
(except Vallecito).
Existing signs are
generally not at the
locations needed for
enforcement.

7 To change me, go to “View” > “Slide Master” and see the top layout June 24, 2022 Establishing Enforceable Speed Limits
1. Hire a specialist to conduct a City-Wide Speed Survey
2. Hire a contractor to purchase and install Speed Limit Signs at enforceable locations
3. Utilize City staff to:
• Procure and manage contracts,
• Identify proposed sign locations,
• Identify locations where roadway alignments may merit speed reductions, • Create a map of enforceable speed limits for the Police Department and City Hall
4. Fiscal Impact $100,000
9 To change me, go to “View” > “Slide Master” and see the top layout June 24, 2022 Council Options:
1. Prioritize speed surveys and signage in next years budget
2. Hold off until roadway funds become available
3. Purchase a speed feedback sign for quick response to resident concerns.

TO: City Council
FROM: Rebecca Callen, City Administrator
RE: APPROVE BUDGET AMENDMENT FOR A ROADSIDE SAFETY SIGN AUDIT AND INSTALL, RELOCATE, AND REMOVE ROADWAY SIGNS FOR $122,475
RECOMMENDATION
Approve a budget adjustment to recognize HSIP (Highway Safety Improvement Program) grant funding and the offsetting proposed project for roadway signs.
BACKGROUND
The City had a Sign project approved using HSIP funds in the 2020/21 Fiscal Year. The original project was slated to be completed on 2/1/22. To date, only the Plans, Specifications, and Estimates (PS&E) were completed, totaling $38,476.78, leaving $122,475 for construction and labor costs.
DISCUSSION
Engineering prepared a Project Authorization to request a Project End Date change of 12/31/23, which was submitted to the Office of Local Assistance.
The budget needs to be increased to accommodate the construction work. Currently, no grant revenue or expenditures are included in the budget for this project.
FINANCIAL IMPACT
Increase grant revenue $122,475
Increase expenses $122,475

AUGUST 2, 2022 REGULAR: 6L
L. Approval of a Grant Agreement Between Calaveras Public Power Agency (CPPA) and the City of Angels for an Amount up to $30,000, Rebecca Callen, City Administrator
___________________________________________________________________
CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 DATE: August 2, 2022
TO: City Council
FROM: Rebecca Callen, City Administrator
RE: APPROVAL OF A GRANT AGREEMENT BETWEEN CPPA AND THE CITY OF ANGELS FOR AN AMOUNT UP TO $30,000
RECOMMENDATION
Approve the grant agreement between CPPA and the City of Angels for an amount up to $30,000
BACKGROUND
The CPPA Board met on July 20, 2022, and approved the Energy Efficiency Grant application to the City of Angels Museum and the Murphys Fire Protection District.
DISCUSSION
On July 1, 2022, Martin Huberty and Jessica Johnson submitted a grant for insulation and LED lighting for energy efficiency with the assistance of Emily Dondero from Freedom Energy Corporation. They performed an energy assessment of the Angels Museum buildings. During that assessment, the performance of the buildings and utility using equipment were evaluated. The following measures were identified as energy-saving opportunities:
• Insulation
• Lighting to LED
The total cost of the improvements was $33,971, with an anticipated annual energy savings of 15,509 kWh or $2,326.32. The Museum will contribute the $3,971.00 overage from sales.
Note that PG&E has changed from energy used per month to base charges on the highest peak per month. This will have a significant impact on every agency’s energy costs and will further drive the need for the utilization of more energy-efficient lighting, equipment, and alternative energy utilization. Until CPPA gets the first bill, they will not know to what extent this change will be.
Beyond that, PG&E has also made a request to CPUC to increase rates in 2023 and subsequent years to pay for the electric reliability projects they have currently in place and to also provide more options for customers to control their energy bills using demand response programs and incentive programs during
CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 peak periods. This is estimated to be an additional 1.1%-1.7% increase across the entire customer base should the CPUC approve the request.
FINANCIAL IMPACT
Annual savings of Museum utility costs of $2,326.32

BACKGROUND
On August 22, 2020, a Major Disaster Declaration was issued for the state of California, making federal funding available.
DISCUSSION
When a Federal Declaration occurs, public entities have an opportunity to apply for Hazard Mitigation Grants. Staff applied for the City of Angels All Hazard Planning Code Update Project. After working with CalOES and FEMA, the staff was notified that the grant was approved.
The Federal portion of the grant is $60,000 with a $20,000 local match for the project with an additional $3,825 for management costs from FEMA.
The total approved obligation is $63,825. The basis of the project is to draft ordinance code revisions and prepare implementation guidelines for:
1. Review existing City of Angels Ordinance Codes to identify all existing standards scattered throughout the code relative to fire protection, erosion control, grading, stormwater runoff, and flooding, including enforcement provisions for each
2. Review state law and the City 2020 General Plan programs identifying necessary new codes, codes to be updated, and codes to be deleted and tailoring these regulations to the City's planning process
3. Review and input from Steering Committee

RE: ACCEPTANCE OF PROPOSAL FOR GROUNDWATER MONITORING FNA REGULATORY
REPORTING WITH CONDOR AND APPROVAL OF THE PROFESSIONAL SERVICE
AGREEMENT
RECOMMENDATION
Approve the Professional Services Agreement with Condor for an amount not the exceed $51,743.00
BACKGROUND
Condor has been contracted by the City for Semiannual Groundwater Monitoring and Reporting as a requirement of our wastewater program.
DISCUSSION
Discussions with Condor occurred regarding the continuation of their services. An RFP or RFQ was not done due to the localized knowledge, value, and responsiveness of their work. The proposal was also reviewed by staff and Dewberry Engineering, and it was also determined a change in consultants was not in the best interest at this time.
The contract is for three (3) years. The Wastewater budget included $10,000 for this service. A budget adjustment will be required for $6,741 and will be contemplated at the contracted rate in the future.
To lower ongoing costs of the services they perform the City staff will comply with the second SemiAnnual 2013 Groundwater Monitoring Report parameter recommendation – which is less cumbersome and we will also be reviewing and paying the laboratory costs for FGL ourselves instead of passing through Condor.

RE: Proposal for Groundwater Monitoring and Regulatory Reporting, City of Angels, Calaveras County
Dear Ms. Callen:
Thank you for considering the Condor Earth (Condor) team to provide a proposal to continue semiannual groundwater monitoring and reporting services at the City of Angels (City) Wastewater Treatment (WWTP) located at 3000 Centennial Road, Angels Camp, Calaveras County. Condor has provided groundwater monitoring and reporting services to the City for the WWTP since monitoring wells were installed in 2011.
We have scoped the work described in this Proposal based on The City’s Longterm Groundwater Monitoring Program, dated December 2011 and Order No. 98-110, Waste Discharge Requirements for the City of Angels issued by the California Regional Water Quality Control Board, Central Valley Region (Regional Board). All work performed by Condor will be completed under the direction and supervision of a professional registered with the State of California. Condor is pleased to continue serving the City with groundwater monitoring and regulatory reporting services required at the City’s WWTP.
PROPOSED SCOPE OF WORK: Semiannual Groundwater Monitoring and Reporting Task 1: Field Work
Condor will perform monitoring and collect water samples from the two groundwater monitoring wells, four springs, and Re-Reg Pond on the spray field property in June and December (semi-annually). The sampling will occur in accordance with Section 2 of the Long-term Groundwater Monitoring Program. All water samples will be collected following strict quality assurance/quality control procedures and all field observations and chain-of-custody procedures will meet or exceed those described in Section 2 of the Longterm Groundwater Monitoring Program. The estimated cost to perform these services is $6,096 for Second Semi Annual 2022 and First Semi Annual 2023.
Task 2: Laboratory Analysis
All water samples will be analyzed for the reduced list of constituents shown in Table 2-1 of the Long-term Groundwater Monitoring Program (Attachment A). Monitoring well and spring samples will be analyzed for dissolved metal concentrations. The sample from the Re-Reg Pond will be analyzed for total metal concentrations. The analysis of all water samples will include the stable isotopes 2 H/1H of hydrogen and
18O/16O of oxygen. The estimated cost to perform these services is $5,573 for Second Semi Annual 2022 Exhibit A
Proposal for Groundwater Monitoring and Regulatory Reporting City of Angels WWTP
and First Semi Annual 2023. We can guarantee these prices through 2SA2022 and 1SA2023 but reserve the right to increase these costs if the laboratory increases their costs in the future.
Task 3: Reporting
Each report will include a brief section on discharger information, project description, and environmental setting, a summary of the effluent and groundwater quality, and copies of field forms and laboratory analyses. Condor will compile groundwater quality data in Microsoft Excel for graphic display and analyses for review and comment by the City. Condor will submit the final reports by the respective deadline (August 1 and February 1) per Regional Board requirements. The estimated cost to perform these services is $5,072 for Second Semi Annual 2022 and First Semi Annual 2023.
SUMMARY OF COST BREAKDOWN
• Condor’s cost estimate to complete the scope of work described herein for a period of one year (Second Semi Annual 2022 and First Semi Annual 2023) is $16,741. • Two-year contract (Second Semi Annual 2023 and First Semi Annual 2024) is $17,243. • Three-year contract (Second Semi Annual 2024 and First Semi Annual 2025) is $17,760.
A 3.0% annual adjustment was included for the cost. The total cost for the three-year contract is $51,743.
Our Schedule of Fees for professional services and Exhibit B Field Equipment Rates are enclosed in Attachment B for your reference. The total estimated cost for sampling services does not include additional field and reporting services requested by the City during the contract period. Additional services such as attending meetings shall be provided on a time-and-materials basis in accordance with the terms and conditions of the agreed upon contract.
Proposal for Groundwater Monitoring and Regulatory Reporting City of Angels WWTP
CLOSURE
The Long-term Monitoring Program allows for a reduction in the parameters at WWTP sampling locations.
Condor recommended eliminating a number of laboratory parameters proposed in the Second Semi-Annual 2013 Groundwater Monitoring Report without comment from the Regional Board. Implementation of the recommendations may reduce laboratory cost at least 50 percent while still providing adequate detection monitoring for degradation related to the discharges. The long-term savings may be significant.
If you have any questions or comments regarding the content of this Proposal, please contact Luke Castle at 209.536.7379. This Proposal is valid for 120 days and includes our most recent fee schedule.
Sincerely,
CONDOR EARTH

Consultant shall not perform, nor be compensated for, Extra Work without written authorization from City.
6. Termination. This Agreement may be terminated by the City immediately for cause or by either party without cause upon fifteen days’ written notice of termination. Upon termination, Consultant shall be entitled to compensation for services performed up to the effective date of termination.
7. Ownership of Documents. All plans, studies, documents and other writings prepared by and for Consultant, its officers, employees and agents and subcontractors in the course of implementing this Agreement, except working notes and internal documents, shall become the property of the City upon payment to Consultant for such work, and the City shall have the sole right to use such materials in its discretion without further compensation to Consultant or to any other party. Consultant shall, at Consultant's expense, provide such reports, plans, studies, documents and other writings to City upon written request by City. Consultant shall not be responsible for any unauthorized modification or use of such information for other than its intended purpose.
8. Consultant's Books and Records.
a. Consultant shall maintain any and all ledgers, books of account, invoices, vouchers, canceled checks, and other records or documents evidencing or relating to charges for services, or expenditures and disbursements charged to City for a minimum period of three (3) years, or for any longer period required by law, from the date of final payment to Consultant to this Agreement.
b. Consultant shall maintain all documents and records which demonstrate performance under this Agreement for a minimum period of three (3) years, or for any longer period required by law, from the date of termination or completion of this Agreement.
c. Any records or documents required to be maintained pursuant to this Agreement shall be made available for inspection or audit, at any time during regular business hours, upon written request by the City Administrator, City Attorney, City Auditor, or a designated representative of these officers. Copies of such documents shall be provided to the City for inspection at City Hall when it is practical to do so. Otherwise, unless an alternative is mutually agreed upon, the records shall be available at Consultant's address indicated for receipt of notices in this Agreement.
d. Where City has reason to believe that such records or documents may be lost or discarded due to dissolution, disbandment or termination of Consultant's business, City may, by written request by any of the above named officers, require that custody of the records be given to the City and that the records and documents be maintained in City Hall. Access to such records and documents shall be granted to any party authorized by Consultant, Consultant's representatives, or Consultant's successor-in-interest.
9. Independent Contractor. It is understood that Consultant, in the performance of the work and services agreed to be performed, shall act as and be an independent contractor and shall not act as an agent or employee of the City.
Consultant shall obtain no rights to retirement benefits or other benefits which accrue to City's employees, and Consultant hereby expressly waives any claim it may have to any such rights.
10. Interest of Consultant. Consultant (including principals, associates and professional employees) covenants and represents that it does not now have any investment or interest in real property and shall not acquire any interest, direct or indirect, in the area covered by this Agreement or any other source of income, interest in real property or investment which would be affected in any manner or degree by the performance of Consultant's services hereunder. Consultant further covenants and represents that in the performance of its duties hereunder no person having any such interest shall perform any services under this Agreement.
Consultant is not a designated employee within the meaning of the Political Reform Act because Consultant:
a. will conduct research and arrive at conclusions with respect to his/her rendition of information, advice, recommendation or counsel independent of the control and direction of the City or of any City official, other than normal agreement monitoring; and
b. possesses no authority with respect to any City decision beyond rendition of information, advice, recommendation or counsel. (FPPC Reg. 18700(a)(2).)
11. Professional Ability of Consultant. City has relied upon the professional training and ability of Consultant to perform the services hereunder as a material inducement to enter into this Agreement. Consultant shall therefore provide properly skilled professional and technical personnel to perform all services under this Agreement. All work performed by Consultant under this Agreement shall be in accordance with applicable legal requirements and shall meet the standard of quality ordinarily to be expected of competent professionals in Consultant's field of expertise.
12. Compliance with Laws. Consultant shall use the standard of care in its profession to comply with all applicable federal, state and local laws, codes, ordinances and regulations.
13. Licenses. Consultant represents and warrants to City that it has all licenses, permits, qualifications, insurance and approvals of whatsoever nature which are legally required of Consultant to practice its profession. Consultant represents and warrants to City that Consultant shall, at its sole cost and expense, keep in effect or obtain at all times during the term of this Agreement, any licenses, permits, insurance and approvals which are legally required of Consultant to practice its profession.
14. Indemnity, Consultant shall indemnify and hold harmless City, its elected and appointed officials, officers, employees, and volunteers (collectively, “City”) from losses, costs, liabilities and expenses for any damage, injury or death (collectively, “Liability”) arising directly or indirectly from or connected with the services provided under this Agreement to the extent that such Liability is caused by the negligence or willful misconduct of Consultant, its officers, employees, agents, contractors, subcontractors, consultants, or any person under its direction or control and shall make good to and reimburse City for any expenditures, including reasonable attorneys’ fees, the City may incur by reason of such matters. Consultant’s obligations under this Section shall exist regardless of concurrent negligence or willful misconduct on the part of the City or any other person; provided, however, that Consultant shall not be required to indemnify City for the proportion of Liability a court determines is attributable to the negligence or willful misconduct of the City. The City acknowledges that this indemnity does not require the Consultant to provide an up-front legal defense to the City. This indemnification clause shall survive the termination or expiration of this Agreement.
Consultant further agrees to provide, at Consultant’s expense, reasonable assistance to the City in responding to third party claims to the extent such claims implicate the quality of the Consultant’s performance under this Agreement, which assistance shall include selection, management, and compensation of expert witnesses as necessary to substantiate or defend the quality of the Consultant’s performance under this Agreement, as well as making Consultant’s employees and project work product available as reasonably necessary to assist in the defense of such claims. This shall not preclude the City from recovering its reasonable attorneys’ fees and defense costs in responding to third party claims to the extent such claims are found to have been caused by the Consultant’s negligence or willful misconduct.
15. Insurance Requirements.
a. Commercial General Liability
i. Vendor shall maintain commercial general liability insurance with coverage at least as broad as Insurance Services Office form CG 00 01, in an amount not less than two million dollars ($2,000,000) per occurrence for bodily injury, personal injury, and property damage, including without limitation, blanket contractual liability. If a general aggregate limit applies, either the general aggregate limit shall apply separately to this project/location or the general aggregate limit shall be twice the required occurrence limit. Vendor’s general liability policies shall be primary and shall not seek contribution from the City’s coverage, and be endorsed using Insurance Services Office form CG 20 10 (or equivalent) to provide that City and its officers, officials, employees, and agents shall be additional insureds under such policies. For construction projects, an endorsement providing completed operations coverage for the additional insured, ISO form CG 20 37 (or equivalent), is also required.
ii. Any failure to comply with reporting provisions of the policies by Vendor shall not affect coverage provided the City.
iii. Coverage shall state that Vendor insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer’s liability. iv. Coverage shall contain a waiver of subrogation in favor of the City. b. Business Automobile Liability
i. Vendor shall provide auto liability coverage for owned, non-owned, and hired autos using ISO Business Auto Coverage form CA 00 01 (or equivalent) with a limit of no less than two million dollars ($2,000,000) per accident.
c. Workers’ Compensation and Employers’ Liability
ii. Vendor shall maintain Workers’ Compensation Insurance and Employer’s Liability Insurance with limits of at least one million dollars ($1,000,000). Vendor shall submit to City, along with the certificate of insurance, a waiver of subrogation endorsement in favor of City, its officers, agents, employees, and volunteers.
d. All Coverages
i. Each insurance policy required by the agreement shall be endorsed to state that coverage shall not be suspended, voided, cancelled, or reduced in limits except after thirty (30) days' prior written notice has been given to the City, except that ten (10) days’ prior written notice shall apply in the event of cancellation for nonpayment of premium.
ii. All self-insurance, self-insured retentions, and deductibles must be declared and approved by the City.
iii. Evidence of Insurance - Prior to commencement of work, the Vendor shall furnish the City with certificates, additional insured endorsements, and waivers of subrogation evidencing compliance with the insurance requirements above. The Vendor must agree to provide complete, certified copies of all required insurance policies if requested by the City. iv. Acceptability of Insurers - Insurance shall be placed with insurers admitted in the State of California and with an AM Best rating of A- VII or higher.
16. Notices. Any notice required to be given under this Agreement shall be in writing and either served personally or sent prepaid, first class mail. Any such notice shall be addressed to the other party at the address set forth below.
Notice shall be deemed communicated within 48 hours from the time of mailing if mailed as provided in this section.

18. Amendments. This Agreement may be modified or amended only by a written document executed by both Consultant and City and approved as to form by the City special counsel.
19. Assignment and Subcontracting. The parties recognize that a substantial inducement to City for entering into this Agreement is the professional reputation, experience and competence of Consultant. Assignments of any or all rights, duties or obligations of the Consultant under this Agreement will be permitted only with the express consent of the City. Consultant shall not subcontract any portion of the work to be performed under this Agreement without the written authorization of the City. If City consents to such subcontract, Consultant shall be fully responsible to City for all acts or omissions of the subcontractor. Nothing in this Agreement shall create any contractual relationship between City and subcontractor nor shall it create any obligation on the part of the City to pay or to see to the payment of any monies due to any such subcontractor other than as otherwise is required by law.
20. Waiver. Waiver of a breach or default under this Agreement shall not constitute a continuing waiver of a subsequent breach of the same or any other provision under this Agreement.

23. Mediation. The parties agree to make a good faith attempt to resolve any disputes arising out of this Agreement through mediation prior to commencing litigation. The parties shall mutually agree upon the mediator and shall divide the costs of mediation equally. If the parties are unable to agree upon a mediator, the dispute shall be submitted to JAMS/ENDISPUTE ("JAMS") or its successor in interest. JAMS shall provide the parties with the names of five qualified mediators. Each party shall have the option to strike two of the five mediators selected by JAMS and thereafter the mediator remaining shall hear the dispute. If the dispute remains unresolved after mediation, either party may commence litigation.
24. Execution. This Agreement may be executed in several counterparts, each of which shall constitute one and the same instrument and shall become binding upon the parties when at least one copy hereof shall have been signed by both parties hereto. In approving this Agreement, it shall not be necessary to produce or account for more than one such counterpart.
25. Authority to Enter Agreement. Consultant has all requisite power and authority to conduct its business and to execute, deliver, and perform the Agreement. Each party warrants that the individuals who have signed this Agreement have the legal power, right, and authority to make this Agreement and to bind each respective party.
26. Prohibited Interests. Consultant maintains and warrants that it has not employed nor retained any company or person, other than a bona fide employee working solely for Consultant, to solicit or secure this Agreement.
Further, Consultant warrants that it has not paid nor has it agreed to pay any company or person, other than a bona fide employee working solely for Consultant, any fee, commission, percentage, brokerage fee, gift or other consideration contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, City shall have the right to rescind this Agreement without liability. For the term of this Agreement, no member, officer or employee of City, during the term of his or her service with City, shall have any direct interest in this Agreement, or obtain any present or anticipated material benefit arising therefrom.
27. Equal Opportunity Employment. Consultant represents that it is an equal opportunity employer and it shall not discriminate against any subcontractor, employee or applicant for employment because of race, religion, color, national origin, handicap, ancestry, sex or age. Such non-discrimination shall include, but not be limited to, all activities related to initial employment, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff or termination. Consultant shall also comply with all relevant provisions of City's Minority Business Enterprise program, Affirmative Action Plan or other related programs or guidelines currently in effect or hereinafter enacted.
IN WITNESS HEREOF, the parties have caused this Agreement to be executed on the date first written above.

FROM: Rebecca Callen, City Administrator
RE: DISCUSSION AND APPROVAL OF A VARIANCE TO THE NO FEE WAIVER POLICY FOR BRET HARTE UNION HIGH SCHOOL FOR HOMECOMING 2022
RECOMMENDATION
Approve the requested fee waiver and approve a variance to the no fee waiver policy, and direct staff to bring back a budget amendment to cover the fees that will be waived for associated costs after costs are incurred
BACKGROUND
Bret Harte High School had a long tradition before 2018 of having a Homecoming parade and downtown rally to celebrate the students of Bret Harte High School.
DISCUSSION
Bret Harte Activities Director Tyra Dragomanovich has requested the City to waive all fees associated with having the Homecoming and downtown rally in September. Fees for the event that is being planned are as follows:
• Estimated cost of City Staff is $840
• Encroachment fee of $359.47
• Banner installation of $525.38
The total cost of $1,724.85
Several things have changed since 2018 that Ms. Dragomanovich is pointing to:
1) CalTrans is very strict on encroaching on the highways. The encroachment is for BOTH the event and the Banner hanging.
a. CalTrans will not waive fees for anyone other than another State Agency, which they did for the Fair.
b. Due to the encroachment required to hang the banner and the associated liability of the banner, the City would be required to have the banner hung by an approved contractor
CITY HALL
CITY OF ANGELS PO Box 667, 200 Monte Verda St. Suite B, Angels Camp, CA 95222 P: (209) 736-2181 2) City staff are required to ensure that all road closures and security are being handled to ensure the safety of the participants in the event as well as the residents of the City. While it may have been acceptable to defer security and signage to non-City staff prior, liability exposure requires the City to be involved and follow the required protocols. We certainly appreciate additional help but the responsibility lies with City staff.
3) The staff time is an estimate. If the event is a total of 40 minutes, it is unlikely that $840 would be the actual cost of City staff.
Ms. Dragomanovich has suggested offering students to “work” at various jobs to supplement city staff.
We certainly have needs in the City, and Human Resources and the City Administrator have been discussing the possibility of creating an Intern program that High School students might find very rewarding. As such, this is certainly a possibility in the future. Due to labor laws, these positions cannot be unpaid, and the option of in-kind trading value would not be an option for the City.
I certainly support the request being brought forward and look forward to seeing the students and residents of our community coming out to support them.
FINANCIAL IMPACT
An amount up to $1,724.85 to come from allowable sources. Budget adjustment to be brought forward at a future date to increase Community Support contributions.

City Council:
I am writing this letter on behalf of the Bret Harte High School Associated Student Body with special regard from Bret Harte High School District leadership class.
In regard to the fees in order to have our Homecoming parade and banners, we are not looking for a free ride by any means and especially since we are both tax except administrations. However, we do our best to provide all needed staff already paid by the district and privately pay to hang the banners with PG&E bucket trucks.
In our return from 2018 after a 20-year hiatus for the Homecoming parade and downtown rally, we did a trade for services while the City Council meetings were held in our Bret Harte theater. However, I was personally disappointed that staff we paid for sat the entire time with the CHP and teachers and Bret Harte staff had our own cones, flags, and hi-vis attire directing traffic. Granted this was new after 20 years and I am sure the staff did not know what was expected. In 2019 our own School Resource officer assigned city staff and was personally vested in the cost of the parade, so the hired help and street closures was much more organized and cost effective on the side of the City.
We are not asking for the City to go into debt either for our requests. We as an Associated Student Body would merely like to continue this tradition at the most cost-effective terms to all parties involved. If this means only paying for the actual costs to the City or trading services by having students “work” at jobs that would normally have to be paid to City employees; IE blow the streets in the mornings, pick up trash, work a staff lunchean, etc….we can get creative as I’m sure you can also…. We are willing to do so.
Fees as follows:
Parade & Event Fee – Actual Cost to the City (for Police/Public Works, etc. Approximately $800.00.) + 5% Admin fee. A deposit of $571.55 is required. We are willing to provide Bret Harte staff, our SRO, and needed staff to run the parade which normally runs under 40 minutes total.
Again, I am not sure where 800$ goes in 40 minutes when we work the streets ourselves and it should not take more than 20 minutes to put the street signs up beforehand. Parade & Event Encroachment Fee - $359.47. The CHP and Cal Trans did not charge for this in 2018 or 2019, so I am not sure where these fees gets paid to? Banner Installation Fee - $525.38. We are willing to hang and take down our own banners and the permit is free.
Thank you for your consideration in this matter and special thanks to Ms. Alecia Smith and Ms. Rebecca Cullen for their patience and willing to help me get this on the agenda for the City Council.

Administration Update
I was part of a review panel for the IT Service RFP. Attended the CCOG TAC meeting. We participated in a demo for building department software and attended the HDL seminar on how to use ARPA funds to increase shop local movement in our community. —attended Collaborator meetings with engineering and planning. Let them know CCOG will create a schedule for the Call for Projects, and we will need to get the project lists together soon to align with funding sources. We were working with LevelOne on the website. We have a draft and have been going through it to make some changes. It looks great so far. We posted the Calaverasready.com website on our Facebook to offer the residents the opportunity to take the survey. I got confirmation that the City has been awarded the $80,000 Planning Grant. Signed the project authorization for the HSIP funds for the Sign Project. Accepted a refund of insurance to apply toward current year costs through CSJVRMA. I Confirmed the City is getting the second allocation of ARAP funds next week. Submitted the Initial Compliance reporting for CalRecycle for SB 1383. We were finishing up the m365 project. We should be going forward with installs over the next several weeks. On the bad news side, CalPERS released their preliminary investment return for the year ending 6/30/22. It was -6.1%. This will impact employer contributions rates in the 2024-25 fiscal year.

We are down half of our operations staff this week due to Covid. Operations and maintenance continue at treatment plants and spray fields, but not much else. The June wastewater report has been completed, and Lucas Wiebe has received his Grade 1 wastewater license! Building Update
Building and Planning continued transitioning from its contracted Building Official Interwest to CSG. Staff attended a presentation by CSG on GreenVue, an alternative program for processing building and planning permits and, potentially, code enforcement. Staff will be comparing that software, proprietary to CSG, with at least two additional programs and make a recommendation to City Council. The software would allow the public to make applications and track those applications online reducing, paperwork and facilitating user/City communications.
Planning and Engineering Staff will hold an August 5th pop-up event at the Farmer's Market.
Planning will be gathering community input for the children's playground design. Engineering Staff will be taking information on the Council of Government's City/County Evacuation and Access Needs and Preparedness Plan and encourage community members to provide input using the online surveys. Staff finalized coordination for purchasing the parcel adjacent to NAPA auto for additional parking and park ingress/egress. The Phase 1 Site Assessment was completed (the City's only contingency), and no hazardous materials were identified. The City is clear to proceed with closing escrow. Staff also coordinated with the City Attorney and MACT to move forward on selling City property at 200 Monte Verda to MACT. Lastly, Staff made a contact with the NAPA parcel landowners asking that they notify the City should they consider selling in the future as it provides a possible expansion opportunity for Utica Park. Staff received further correspondence from the state regarding the potential Utica Park expansion grant application. Staff informed the state that the adjacent parcel owner remains a willing seller and the City is commencing the appraisal process to ensure that the seller remains a willing seller until the state's Rural Recreation and Tourism Grants are announced. The end of August is the most up-to-date projection for grant announcements. Staff coordinated with Engineering Staff to respond to the second round of questions from CAL OES regarding the City's FEMA grant application to assist with funding the Phase 1 Booster/Vallecito Sewer Line and Vallecito/49 Waterline. Staff completed an environmental document for the water line and will begin preparing a Caltrans encroachment permit for the waterline crossing over Angels Creek at the SR 49 Bridge to avoid potential project delays. Staff anticipates an architectural assessment (the bridge is eligible for the National Register of Historic Places), and biology.
Caltrans will require biological evaluation received word that the FEMA Grant prepared by the Planning Department to help implement the City's Hazard Mitigation Plan was awarded to the City. The grant will update old and establish new emergency-based codes and standards,

Ongoing continuation with Calaveras COG and the Sierra Business Council on the City's Climate Action Plan (aka Energy and Transportation Efficiency Plan).
Finance Update
Helped review RFP for IT Services. I am working on reviewing year-end invoices. I identified a gap in capital asset tracking. Currently, it the being done via spreadsheets. I will reach out to Springbrook to look at the Fixed Asset module. Scheduled discussions with local banks that could better meet the City’s needs. Looking for lower fees and better customer service and working on calculating the GANN Limit now that the needed information is available.
Museum Update
I got confirmation that the Museum has been awarded a grant for the inventory system.
