Town Council Agenda Report
Date: May 9, 2023
To: Honorable Mayor and Town Council
Subject: APPROVE PURCHASE OF MOWER, AERIFIER AND SPREADER

From: Douglas Robertson, Town Manager
Submitted by: Guy Eisenbrey, Director of Municipal Services Public Works
Budgeted Item: Yes No N/A

RECOMMENDED ACTION
Approve purchase of a Toro Groundsmaster 4500 Mower, Toro ProCore 1298 Aerifier and Lely Seed/Fertilizer Spreader from Turf Star Western in the amount of $159,355.18 and approve budget amendment.

BACKGROUND
The Town currently has the following:
 A Toro Groundsmaster 5900 purchased in 2014. This mower is beyond its useful life and is in need of constant repair. The 5900 is also a fixed deck that does not contour to undulations in the surface which does not allow for mowing at short heights which is necessary for turf health. The Town also has two compact eXmark zero turn mowers which are useful in smaller park areas but not over large sports fields such as James Woody and Brewster Parks;
 A Lely Seed/Fertilizer Spreader that was not properly cared for. It is currently inoperable and irreparably rusted out; and
 An AgriMetal tow behind aerifier. This aerifier is still in use today but it frequently leaves plugs behind on the surface as well as pulling good grass out that should be kept. These conditions are not conducive to the intended use of our fields and does not allow for the amount of aerification needed to help the Town’s turf to thrive.

Page 28 of 82 ends

ANALYSIS
The Town received a Sourcewell quote from Turf Star Western in the amount of $159,355.18. The equipment included in this quote is an excellent start to ensuring our turf program produces desired results for our user groups well into the future. Acquiring these pieces of equipment will allow the Town to establish a sound turfgrass operation going forward.
 The striping mower not only provides the well known and beautiful stripes in the turf on sports fields, but it also smooths undulations and imperfections in the subsurface.

This allows us to mow at the lower heights needed for optimal play and improve nutrient penetration into the turf canopy.
 The aerifier will enable Parks Crews to give the soil the much needed air, water, and food it needs to produce turfgrass coverage throughout the Town’s parks.  The spreader will enable Parks Crews to more effectively and efficiently spread seed and fertilizer throughout the Town’s parks.

FISCAL IMPACT
Funding for purchasing these pieces of equipment has been appropriated in the adopted FY 2022-23 budget under Grounds Maintenance account code 1001-6190- 9120-0000. The remaining funding will be appropriated from Grounds Maintenance account code 1001-6190-9300-0000, pending approval of an additional budget amendment, attached hereto.

THIS CONTRACT is made this 9th day of May, 2023, in San Bernardino County, State of California, by and between the Town of Apple Valley, hereinafter called Town, and Bonadiman Water, Inc., hereinafter called Contractor. Town and Contractor agree, for valuable consideration, as follows:

ARTICLE 1. SCOPE OF WORK. The Contractor shall perform all Work and provide all labor, materials, equipment, tools, utility services, and transportation to complete all of the Work required in strict compliance with the Contract Documents (specified in Article 5 below) for the public work of improvement titled:

Error! Use the Home tab to apply Project Name to the text that you want to appear here.

The Contractor and its surety shall be liable to the Town for any damages arising as a result of the Contractor’s failure to comply with this obligation.

ARTICLE 2. CONTRACT TIME. Time is of the essence in the performance of the Work. The Work shall be commenced on the date stated in the Town’s Notice to Proceed. The Contractor shall complete all Work required by the Contract Documents within 30 Working Days from the commencement date stated in the Notice to Proceed, hereafter the Contract Time. Payment shall be made as set forth in the General Conditions.

ARTICLE 4. LIQUIDATED DAMAGES. Contractor acknowledges that Town will sustain actual damages for each and every Working Day completion of the Project is delayed beyond the Contract Time. Because of the nature of the Project, it would be impracticable or extremely difficult to determine the Town’s actual damages. Accordingly, as provided in Government Code section 53069.85, it is agreed that the Contractor will pay the Town the sum of $750.00 for each and every Working Day of delay in completing the Work beyond the Contract Time, as Liquidated Damages and not as a penalty or forfeiture. In the event the Liquidated Damages are not paid, Town may deduct that amount from any money due or that may become due the Contractor under the Contract. This Article does not affect the Town’s rights to other damages or remedies specified in the Contract Documents or allowed by law.

Should Contractor be inexcusably delayed in the performance of the Work, Town may deduct liquidated damages based on its estimate of when Contractor will achieve Final Completion or other Milestones. Town need not wait until Final Completion to withhold liquidated damages from Contractor.

Liquidated damages are not a penalty but an agreed estimate of the actual damages that would be sustained by the Town for delay, including but not limited to loss of revenue, inconvenience to the Town and the public, and increased Project administration expenses such as extra inspection, construction management, staff time, and architectural and engineering expenses. Liquidated

Town Council Agenda Report
Date: May 9, 2023
To: Honorable Mayor and Town Council
Subject: THIRD AMENDMENT TO EMPLOYMENT AGREEMENT BETWEEN THE TOWN OF APPLE AND DOUGLAS B. ROBERTSON, TOWN

MANAGER

From: Douglas Robertson, Town Manager
Submitted by: Thomas A. Rice, Town Attorney
Budgeted Item: Yes No N/A

RECOMMENDED ACTION
Approval of the Third Amendment to the Employment Agreement between the Town of Apple Valley and Douglas Robertson.

BACKGROUND
On November 28, 2017, the Town Council unanimously approved the Employment Agreement with Douglas Robertson under which he has served as Town Manager since January 2, 2018. On July 13, 2021, the Town Council approved the First Amendment to the Agreement, providing the Town Manager with an additional 80 hours of administrative leave time to be used on or before June 30, 2022. On October 11, 2022, the Town Council approved the Second Amendment to the Agreement, providing the Town Manager with a five percent merit increase effective July 1, 2022. Since beginning his tenure as Town Manager in January 2018, the Town Manager has received just two cost-of-living adjustments to his pay collectively totaling a little over five percent and the single five percent merit increase noted above. Local consumer price indexes reflect far higher costof-living increases over the same period.

The present Employment Agreement, as amended, provided for a term of five years (i.e., through January 2, 2023) with automatic one-year extensions if twelve months’ notice is not provided. At present, the Agreement runs through January 2, 2025. However, the Town Manager presently intends to retire at the end of 2023.

DISCUSSION
The proposed Third Amendment follows a positive performance evaluation by the Town Council and would provide the Town Manager with a ten percent (10%) merit increase to

Page 70 of 82 ends

his monthly base pay, increasing the base pay from $22,663 to $24,929 per month effective July 1, 2023. In addition to the merit increase, the proposed Third Amendment extends the term of the Agreement. While the Town Manager had planned to retire at the end of 2023, the proposed Third Amendment would extend the Agreement through December 30, 2025 and the Town Manager has indicated a willingness to serve out this term.

FISCAL IMPACT
The Third Amendment would increase the monthly salary of the Town Manager from $22,663 to $24,929 per month. This increase will take effect July 1, 2023.
