CITY OF ARVIN
Staff Report
Meeting Date: June 14, 2022
TO: Arvin City Council
FROM: Christine Viterelli, Grant Writer
Jeff Jones, City Manager / Finance Director
SUBJECT: Approval of the City Council of the City of Arvin Awarding a Professional Services Agreement to V-Max Electric for Electric Charging Station Installation, Integration and Technical Support Services
BACKGROUND:

The City of Arvin was awarded funds from the Kern Council of Governments (Kern COG) as a subcontractor of a grant administered by the California Energy Commissions under the project title Electric Vehicle (EV) Ready Communities Phase II – Blueprint Implementation. The City of Arvin is under a Memorandum of Understanding dated June 6, 2021 with Kern COG to install and commission a charging station with 1 DC Fast Charger and 3 Level 2 chargers for public electric vehicle usage at the Park and Ride. As a subcontractor of Kern COG, the City of Arvin is awarded funds of up to $132,000.00 for the completion of this project to include Electric Vehicle Supply Equipment (EVSE), installation, utility, labor and technical support expenses.

Additionally, the City has available funds from the San Joaquin Air Pollution Control District from their Charge Up program under an awarded voucher for up to $40,000. This voucher was executed on April 21, 2020 and is redeemable for the purchase and installation of EV chargers at the Park and Ride.

The City of Arvin published a notice inviting bids titled Electric Vehicle Charging Stations and Installation with Integration in the Bakersfield Californian on March 20, 2022 and bids were due to the City on April 25, 2022. A total of 5 bids were received ranging from $76,834.00 to $138,915.00. The apparent low bidder was V-Max Electric Inc. V-Max Electric Inc. meets the various qualifications as described in their bid and the bid received from V-Max Electric Inc. was determined to be complete and responsive.

The City Received 5 bids as follows:

Contra Costa Electric $ 138,915.00
MJK Construction $ 101,514.00
National Car Charging $ 88,234.08
Jeff Periera Home Energy $ 85,360.00
VMax Electric $ 78,835.00

4.D.1
Attachment: Staff Report Awarding PSA to Vmax Electric 06.02.22 (Approval of A PSA to VMax Electric for Installation & Integration of Electric Staff determined that it would be appropriate to award an agreement to V-Max Electric Inc. for its bid of $ 78,835 (with total costs not to exceed $140,000.00). The justification for the not to exceed amount is because the City discovered (post-bid) that the project will require a transformer upgrade to power the DC Fast charger, requires a larger concrete pad, and technical professional assistance with the transformer upgrade to include communications and permitting upgrades with PG&E. The not to exceed amount reflects the need for additional services, including additional transformer electrical upgrades, concrete pad installation, and technical support with PG&E as needed. The project has grant funds secured in the amount of $ 140,000 to cover the project costs.

STAFF RECOMMENDATION:

Staff recommends approval and award of a professional services contract to V-Max Electric.

FINANCIAL IMPACT:

No fiscal impact, the project is fully funded by two grants.

CITY OF ARVIN
Staff Report
Meeting Date: June 14, 2022
TO: Arvin City Council
FROM: Christine Viterelli, Grant Writer
Jeff Jones, City Manager
SUBJECT: Approval of an Agreement between Civic Well and the City of Arvin for Hosting a 2022-2023 Civic Spark Fellow; and Authorizing the City Manager to Execute the Agreement.

BACKGROUND:

In March of 2022, the City of Arvin applied to Civic Well for the partial funding of a Civic Spark fellow for 2022-2023 and an 11-month contract wherein the Civic Spark fellow will be required to work 1300 hours during the service term. The City of Arvin has had remarkable success utilizing the Civic Spark program, which provides a methodology to augment City Staff capacity for a limited-term assignment. We have been notified that our application has been awarded for 50% of the costs. As such, Civic Well requires an agreement to be authorized by the City Council of Arvin. This agreement is included as an attachment.

The Civic Spark Fellow will perform the following duties in the Community Development Department for the 2022-2023 fiscal year:
1) Project Specific Scope of Work
i. In support of Arvin’s Housing Opportunity Accelerator Position, the fellow will support the Planning, and Community Development Department with the implementation of programs related to housing programs and Arvin’s new ADU program, support the City Planner in the upcoming Housing Element update, and new state legislation impacting zoning and housing in Arvin. ii. Coordinate the Housing Element update process alongside the consultant team and staff to include but not limited to tasks associated with outreach and preparation of materials for the planning commission, sub-groups, stakeholders, and residents iii. Research SB1000 implementation and analyze the community health element of Arvin’s General Plan to recommend next steps and action plan for the City if not aligned
iv. Assist the planning department in tasks and research around but not limited to, affordable housing and infill development to support activities related to the Housing Element, AFFH, housing equity and access, housing affordability, and housing development
Support and implement community outreach to include developing education and promotion materials, developing networks and connections between residents, stakeholders, and the City to facilitate information and resource sharing, and direct engagement with the public utilizing community engagement best practices.

4.G.1
Attachment: Staff Report Approval of 2022-2023 Civic Spark Fellow (Approval of An Agreement with Civic Well for 2023 Civic Spark Fellow) The Civic Spark fellow is greatly needed in the planning department because our 2023 Housing Element is due to be updated, and the City is also rolling out multiple programs in 2022-2023 that support affordable housing, Accessory Dwelling Units (ADUs), and numerous programs to speed up the planning department permitting processing. The Civic Spark fellow will be supervised by the Grant Writer and report to the City Planner for day-to-day assignments.

STAFF RECOMMENDATION:

Staff recommends approval of the Agreement and to authorize the City Manager to execute the Agreement.

FINANCIAL IMPACT:

The City of Arvin’s 50% cost share is $ 29,000. Civic Well is paying for half of the costs for the 2022-2023 fiscal year. Additionally, it should be noted that Civic Well will provide all medical insurance and liability insurance for the Civic Spark Fellow during the period of performance.

This is a substantial benefit for the City of Arvin. The Grant Writer also intends to apply for the LEAP 2.0 program which may provide for a portion of the City’s cost for the fellow beginning in January 2023.

CivicWell further agrees that it shall be exclusively responsible for payment of compensation and benefits to any employee it retains and shall be liable for all taxes required to be reported and remitted to appropriate tax authorities.

Exhibit A
Contracted Performance Measures and Policies
CivicWell has contracted with AmeriCorps to implement CivicSpark as an AmeriCorps program. Fellows can only work on service outlined in performance measures approved by AmeriCorps and must abide by Federal guidelines for AmeriCorps program implementation. Performance measures define how CivicSpark will provide service to Partner by: conducting assessments; implementing planning, research or implementation projects; engaging volunteers; and transferring knowledge to Partner staff. The project scope in Exhibit B must align with the measures below:
1) Capacity Building for Local Public Organizations – Fellows’ direct service hours should be spent building capacity for local service recipients to address their relative needs with regard to specific issues (e.g., climate, water, housing etc.). Fellows will address these needs by assisting one or more local service recipients to develop or implement projects that they would otherwise not be able to complete. Capacity building will be delivered in 3 stages, including: (1) gap assessments; (2) research, planning, and implementation service projects; and (3) transition of knowledge. 2) Volunteer Engagement – All Fellows should have the opportunity to build further capacity by engaging, recruiting, and supporting volunteers. Volunteers may be engaged as either one-time volunteers (e.g., – volunteers to assist for a specific event such as Earth Day or service activities) or as on-going volunteers such as interns).
3) Training and Professional Development for Fellows – Fellows can spend up to 20% of their service year (340 of their 1700 total hours) on training. Training includes the one-week orientation at the start of the service year, mid-year gathering, continued monthly trainings, and professional development and networking opportunities. Training hours ensure that Fellows have the training and tools they need to succeed in their service work and to grow as professionals.

The majority of the work provided by CivicSpark to Partner via direct service only involves the first measure (Capacity Building). The second and third measure is predominantly met through training, service and professional development activities provided to the Fellows by CivicWell. Some activities that occur while working with local government beneficiaries or other project partners may be considered training and professional development, such as networking events and trainings conducted by or attended in partnership with Partner.

Prohibited Activities: Federal guidelines further restrict certain activities, which cannot be engaged in by CivicSpark Fellows or Supervisors while charging time to the AmeriCorps program, accumulating service or training hours, or otherwise performing activities supported by the CivicSpark program or AmeriCorps, this includes direct fundraising or grant writing which are not allowable activities in CivicSpark. In addition to only working on contracted performance measure service activities, the following activities are prohibited (see 45 CFR § 2520.65):
(1) Attempting to influence legislation;
(2) Organizing or engaging in protests, petitions, boycotts, or strikes; (3) Assisting, promoting, or deterring union organizing; (4) Impairing existing contracts for services or collective bargaining agreements; (5) Engaging in partisan political activities, or other activities designed to influence the outcome of an election to any public office;
(6) Participating in, or endorsing, events or activities that are likely to include advocacy for or against political parties, political platforms, political candidates, proposed legislation, or elected officials; (7) Engaging in religious instruction, conducting worship services, providing instruction as part of a program that includes mandatory religious instruction or worship, constructing or operating facilities

4.G.2

devoted to religious instruction or worship, maintaining facilities primarily or inherently devoted to religious instruction or worship, or engaging in any form of religious proselytization; (8) Providing a direct benefit to—
(i) A business organized for profit;
(ii) A labor union;
(iii) A partisan political organization;
(iv) A nonprofit organization that fails to comply with the restrictions contained in section 501(c)(3) of the Internal Revenue Code of 1986 except that nothing in these provisions shall be construed to prevent participants from engaging in advocacy activities undertaken at their own initiative; and
(v) An organization engaged in the religious activities described above, unless AmeriCorps assistance is not used to support those religious activities; (9) Conducting a voter registration drive or using AmeriCorps funds to conduct a voter registration drive;
(10) Providing abortion services or referrals for receipt of such services; and (11) Such other activities as AmeriCorps may prohibit.

Fellows, like other private citizens, may participate in the above listed activities on their own time, at their own expense, and on their own initiative. However, the AmeriCorps logo must not be worn while doing so.

Reasonable Accommodations: Per Federal Guidelines and CivicWell policies, the CivicSpark programs and activities must follow equal opportunity employment requirements and be accessible to persons with disabilities by providing reasonable accommodation. In support of this:
(1) CivicWell and Partner will comply with Equal Opportunity Employment guidelines. (2) CivicWell and Partner will endeavor to make reasonable accommodations to known physical or mental limitations of qualified AmeriCorps members with disabilities unless the accommodation would impose an undue hardship on the program operations.
(3) CivicWell and Partner will endeavor to accommodate the sincere religious beliefs of AmeriCorps Members to the extent such accommodation does not pose an undue hardship on the Organization's operations.
(4) CivicWell and Partner will not allow any form of retaliation against individuals who raise issues of equal employment opportunity or reasonable accommodation.

Non-Duplication and Non-Displacement: Federal guidelines further restrict engagement of CivicSpark Fellows to duplicate or displace staff (see 45 CFR § 2540.100(e)-(f) (1) Nonduplication. AmeriCorps assistance may not be used to duplicate an activity that is already available in the locality of a program. And, unless the requirements of paragraph (f) of this section are met, AmeriCorps assistance will not be provided to a private nonprofit entity to conduct activities that are the same or substantially equivalent to activities provided by a State or local government agency in which such entity resides.
(2) Nondisplacement.
(i) An employer may not displace an employee or position, including partial displacement such as reduction in hours, wages, or employment benefits, as a result of the use by such employer of a participant in a program receiving AmeriCorps assistance. (ii) An organization may not displace a volunteer by using a participant in a program receiving AmeriCorps assistance.
(iii) A service opportunity will not be created under this chapter that will infringe in any manner on the promotional opportunity of an employed individual.

RE: DESIGNATION OF VOTING DELEGATES AND ALTERNATES
League of California Cities Annual Conference & Expo – September 7-9, 2022 Cal Cities 2022 Annual Conference & Expo is scheduled for September 7-9, 2022 in Long Beach. An important part of the Annual Conference is the Annual Business Meeting (during General Assembly) on Friday, September 9. At this meeting, Cal Cities membership considers and acts on resolutions that establish Cal Cities policy.

In order to vote at the Annual Business Meeting, your city council must designate a voting delegate. Your city may also appoint up to two alternate voting delegates, one of whom may vote if the designated voting delegate is unable to serve in that capacity.

Please complete the attached Voting Delegate form and return it to Cal Cities office no later than Friday, September 2. This will allow us time to establish voting delegate/alternate records prior to the conference.

Please view Cal Cities’ event and meeting policy in advance of the conference. • Action by Council Required. Consistent with Cal Cities bylaws, a city’s voting delegate and up to two alternates must be designated by the city council.

When completing the attached Voting Delegate form, please attach either a copy of the council resolution that reflects the council action taken, or have your city clerk or mayor sign the form affirming that the names provided are those selected by the city council. Please note that designating the voting delegate and alternates must be done by city council action and cannot be accomplished by individual action of the mayor or city manager alone. • Conference Registration Required. The voting delegate and alternates must be registered to attend the conference. They need not register for the entire conference; they may register for Friday only. Conference registration will open by June 1 on the Cal Cities website. In order to cast a vote, at least one voter must be present at the Business Meeting and in possession of the voting delegate card. Voting delegates and alternates need to pick up their conference badges before signing in and picking up the voting delegate card at the Voting Delegate Desk. This will enable them to receive the special sticker on their name badges that will admit them into the voting area during the Business Meeting.

Dear Sirs,
Re: Letter of Intent (LOI) for Solar Power Purchase Agreement (PPA) In response to your proposal to have Prosun Solar inc, (“Prosun”) and Lahav Green Energy Ltd. ("Lahav") develop a 200 MW solar plant in the vicinity of Arvin, CA (the “Project”) The City of Arvin, CA (the “Purchaser”) intends to sign a long-term power purchase agreement (“PPA”) with Prosun and Lahav to purchase all the electricity to be produced by the Project once the terms and conditions noted below are met.

The following shall be the basis for a more detailed PPA:
- Project size: ~200 MW. It is clear to us that the final capacity of the Project may vary and will be subject to final engineering and obtaining proper grid connection. - Price per kWh: Estimated at 0.13 cents or below
- PPA structure: take or pay.
- PPA term: 25 years.
- Price escalation: 1% per year.
- Environmental Attributes: shall be owned solely by Lahav. - Construction of the Project shall commence upon achieving all of following:
- (i) Abinding detailed PPA has been signed between the Purchaser and Lahav - (ii) All the permits required for the Project have been obtained - (iii) Lahav has secured the financing for the Project.

7.A.1
Attachment: Arvin Letter of Intent - Addressed to Prosun Solar and Lahav_ (Discusion re LOI from Prosun Solar) (iv) The successful creation of a Municipal Utility District as provided by California State Statutes.

Upon execution below, the City of Arvin as Purchaser agrees to enter into a mutually exclusive agreement with Prosun and Lahav regarding the Project for a period of one (2) year from the date of execution of this LOI (the “Exclusivity Period”). During the Exclusivity Period, Prosun and Lahav will conduct significant Project analysis and due diligence at its own expense and thus Purchaser agrees to not solicit or negotiate or permit its agents or employees to solicit or negotiate or furnish information to any other solar power entity concerning the construction and development of the Project. The Exclusivity Period may be extended for an additional 180 days by either Prosun and Lahav providing written notice to Purchaser or by mutual agreement by the Purchaser, Prosun and Lahav.

We look forward to learning about the next steps and working with Prosun and Lahav to support the process necessary to design and build a major renewable energy project that will bring long-term benefits to the citizens of our community.

Respectfully,
