Attachment: Presentation - Veolia CPM Projects - 072225 7 Arvin WWTP Improvements in 2025
In March of each year, Veolia
prepares a Capital
Improvement Plan (CIP) for
the Arvin Wastewater
Treatment Plant. This plan
outlines the needs of the
plant for the upcoming 3 year
period. This presentation is a
brief overview of the 4 -
projects outlined for 2025.
4.A.1
Attachment: Presentation - Veolia CPM Projects - 072225 8 Irrigation Pump #1 Replacement
Project
Background:The irrigation pump #1 replacement, being the original equipment (25 years old), requires planned replacement due to wear and deterioration, primarily associated with age and time in service.
Scope: installation of pump, flanges, flow meter, air release valve and painting the new pump to match existing infrastructure.
Basis of Recommendation: Current condition / age (nearing end of expected useful life) risk of continually increasing maintenance and refurbishment costs.
Benefits: Replacing this pump will provide expected improvement in reliability and reduction in unplanned downtime and associated corrective maintenance and repair costs.
Project Cost:$150,352

Attachment: Presentation - Veolia CPM Projects - 072225 10 Emergency Influent Wet Well
Repairs
Background: The existing wet well, equipped with two influent pumps, supports the split of the influent flow between the Oxidation Ditch and the Orbal and helps manage the collection system's level. Records show that this infrastructure and equipment has been inside the wet well for approximately 25 years, since the WWTP upgrade project in 2000.
Scope: Replacement of deteriorated piping and railings, replacement of two pumps, concrete repairs and coating.
Basis of Recommendation: There is currently only one influent pump that works, and if that one fails, there is no redundancy. A second pump is needed for operational reliability.
Benefits: Improved reliability, reduced risk of system failures and emergency shutdowns, enhanced system longevity, better energy efficiency with modern pump technology, improved flow management capabilities, better handling of peak flows, improved system capacity, more precise flow control, modern materials resistant to corrosion, extended service life of the system, etc.
Project Cost: $359,110

Attachment: Presentation - Veolia CPM Projects - 072225 11 Photos of existing conditions
4.A.1
Attachment: Presentation - Veolia CPM Projects - 072225 12 New Lift Station Generator
Background: The plant location is subject to rolling blackouts and power outages, especially in periods of extreme weather. During these times, if the lift station loses power, there are only 3 hours of well and sewer line storage, before the lift station will overflow. In addition to the lift station overflowing, numerous Sanitary Sewer Overflow (SSOs) may occur around the City, which will be a violation of the Sewer System Management Plan (SSMP).
Scope: Purchase a portable generator which is sized to power both lift station pumps running simultaneously to meet peak flows when required.
Basis of Recommendation: Address current operational and environmental risks. The generator will be sized to power both lift station pumps running simultaneously to meet peak flows.
Benefits: Continuous operation during power outages, prevention of sewage backups and overflows, public health protection by preventing raw sewage spills into streets and properties, and environmental protection.
Project Cost: $117,122
4.A.1
Attachment: Presentation - Veolia CPM Projects - 072225 13 Trailer Mounted Generator - for the Lift Station but can be moved to WWTP in the event it is needed there.
4.A.1
Attachment: Presentation - Veolia CPM Projects - 072225 14 Digester Blower Replacement
Background: There are three digester blowers at the plant that were originally installed in 1985, one blower was
replaced due to failure in 2022 and the second was replaced in 2023. Recently, the third blower failed so a replacement is needed at this time.
Scope: Replacement of blower (in kind replacement)
Basis of Recommendation:The Capital Improvement Plan
listed this third blower to be replaced in 2024, but was not replaced due to funding limitations.
Benefits: Expected improvement in reliability and reduction in unplanned downtime associated corrective maintenance and repair costs.
Project Cost: $35,340
4.A.1
Attachment: Presentation - Veolia CPM Projects - 072225 15 Digester blowers are critical pieces of
equipment in the treatment process,
as they provide air to the digester
tanks to increase oxygen levels,
stimulating the growth and activity of
bacteria that break down organic
matter.
In addition to ensuring optimal
microbial activity that accelerates
organic matter decomposition and
therefore reducing sludge volume,
digester blowers reduce hydrogen
sulfide formation, minimizing
anaerobic conditions and thus
decreasing nuisance odors.

Staff Report re: Zero Emission Rollout Plan
CITY OF ARVIN
Staff Report
Meeting Date: July 22, 2025
TO: Arvin City Council
FROM: Christine Viterelli, Grants Manager
Jeff Jones, City Manager / Finance Director
SUBJECT: A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF ARVIN
APPROVING THE ARVIN TRANSIT ZERO EMISSIONS ROLLOUT
PLAN
BACKGROUND:
The California Air Resources Board’s (CARB) Innovative Clean Transit regulation (ICT) became effective October 1, 2019. The ICT requires that public transit agencies transition bus fleets to zero-emission technologies by 2040. The ICT applies to all transit agencies that own, operate, or lease buses with a gross vehicle weight rating (GVWR) greater than 14,000 pounds. It includes standard, articulated, over-the-road, double-decker, and cutaway buses. The ICT requires a percentage of new bus purchases to be Zero Emission Buses (ZEB). The ZEB percentage increases gradually with time.
Given that the City operates its transit system, it must develop a ZEB Rollout Plan that identifies how it will transition its bus fleet to 100 percent ZEB by 2040. The ZEB stipulates that small transit agencies, defined as an agency that operates fewer than 100 buses, are required to comply beginning in 2025. These requirements are phased in as follows:
• Effective January 1, 2026, 25 percent of the total number of new bus purchases in each calendar year must be zero-emission buses; and
• Effective January 1, 2029, all new bus purchases must be zero-emission buses with a goal of complete transition to ZEBs by 2040.
The ZEB Rollout Plan must be submitted to CARB by July 30, 2025, to be compliant with the California Air Resources Board (CARB) regulations. The city of Arvin will also be eligible for HVIP application vouchers for its recent bus procurements, resulting in a cost savings of approximately $180,000. These vouchers also serve as a source of required match funding for the FTA Bus and Bus Facilities grant.
The City of Arvin has been recognized throughout the State of California as a leader in transitioning to zero-emission technology. Arvin Transit has exceeded the requirements of the Innovative Clean Transit regulation (ICT) by adopting the technology early on and has achieved a 90% transition by 2025.

The City’s current fleet consists of five zero-emission buses and two conventionally fueled vehicles, both of which have surpassed their Useful Life Benchmark (ULB) and are eligible for replacement.
As such, there is no risk of retiring a conventionally fueled vehicle early in order to transition to zeroemission.
A copy of the Arvin city council Resolution adopting the Zero-Emission Bus Rollout Plan is provided below.
Contact information for the City’s program administrator is provided in Section A. The Zero-Emission Bus Rollout Plan was prepared by Moore & Associates, Inc., a transit-focused consulting firm.

4 Section C | Technology Portfolio
The City has selected the battery-electric path with respect to its public transit program. This section includes a discussion of the City’s current electric vehicle charging infrastructure.
Arvin Electric Vehicle Charging Stations
Electric vehicle charging stations are currently located at Arvin City Hall and the Arvin Park and Ride. This includes a mixture of Level 2 and Level 3/direct current (DC) fast chargers. In total, the City has 17 Level 2 chargers and four DC fast chargers. The City plans to install one additional DC fast charger in July 2025, with an expected operational date in Fall 2025.
Arvin receives its power from Pacific Gas & Electric (PG&E), which maintains the transmission lines and other infrastructure.
City of Arvin Microgrid
The City of Arvin is currently developing a solar-powered microgrid project. The microgrid is an especially high priority project for the City. In the summer of 2021, Arvin experienced several brown-outs when Pacific Gas and Electric (PG&E) shut down power transmission due to high usage. Such shutoffs may also occur during periods of extreme wildfire danger. The proposed microgrid would enable the City to retain electric power via battery storage – including keeping battery-electric transit vehicles operational. A renewable resource, the microgrid would allow City Hall, Arvin Transit, and the Police Department to be fully operational for three days using only its backup battery storage. While the City would still be linked to the PG&E grid, it would not be completely dependent on them. It is expected the microgrid will also provide valuable resources in the event of an emergency or natural disaster requiring City response.
Completion of the microgrid project is expected to be in January 2027, with it becoming operational by March 2027.

5 Section D | Current Bus Fleet Composition and Future Bus Purchases
The purpose of this section is to analyze the range and vehicle requirements of a zero-emission fleet. It looks at both replacement of the existing fleet as well as the number and type of additional vehicles needed to accommodate the range and fueling/charging requirements of zero-emission vehicles.
Current Bus Fleet Composition
Arvin Transit’s current fleet is comprised of three Proterra Catalyst EV buses, one Phoenix ZX5 EV bus, one Turtle Top Terra Paratransit EV bus, one Glaval cutaway, and one Glaval Freightliner bus. The three Proterra buses, Phoenix bus, and Turtle Top are battery-electric and the two Glaval vehicles are gas- and diesel-powered.

Future Bus Purchases
This section examines future bus purchases with respect to transitioning the entire City of Arvin fleet to zero-emission vehicles.
The useful life of these vehicles ranges from 5 years to 10 years, according to the City’s Transit Asset Management Plan. At present, two vehicles (model year 2010 and 2013) are currently past their useful life based on age and mileage. The remaining vehicles (model years 2019 and 2025) will reach the end of their useful lives in 2029 and 2035, respectively, and are currently well below the mileage threshold.
With the EV charging infrastructure in place, and an additional DC fast charger being installed in July 2025, the gas- and diesel-powered vehicles are expected to be replaced by battery-electric vehicles in FY 2026, well after the end of their useful lives.
This replacement schedule will have the fleet entirely converted to battery-electric no later than FY 2027, even if delivery of any of the vehicles purchased in 2026 is delayed. This also gives the City the option to retain one or both of its conventionally powered vehicles as spares if it wishes. In addition, it ensures no conventionally fueled vehicles will be replace prior to the end of their useful life.

8 Section E | Facilities and Infrastructure Modifications Existing Facilities and Necessary Upgrades
At present, Arvin Transit’s operations facility is a gated lot at 200 Campus Drive, Arvin with additional parking spaces located at 165 Plumtree Drive. The lot is sufficient to store the proposed eight-vehicle fleet. With the transition to an all battery-electric fleet, it will need to provide additional charging capability. Currently, the City Hall parking lot has three DC fast chargers with an additional fast charger in the Arvin Transit Park and Ride lot adjacent to the Administration building. A fifth DC fast charger is expected to be installed in July 2025 and should be operational by Fall 2025. Cutaway buses may also be charged using a Level 2 charger.
There may also be a need to store additional vehicles, if either of the gas- or diesel-powered buses are retained as spares. However, these vehicles would not have need access to the charging infrastructure.

9 Section F | Providing Service in Disadvantaged Communities The purpose of this section is to detail how zero-emission vehicles will be deployed in disadvantaged communities (DACs). The Office of Environmental Health Hazard Assessment, on behalf of the California Environmental Protection Agency, developed the CalEnviroScreen tool (most recently updated in October 2021) to help identify disadvantaged communities in California. In this context, a disadvantaged community is one that is disproportionately burdened by multiple sources of pollution and with population characteristics that make them more sensitive to pollution. CalEnviroScreen identifies the highest 25 percent of overall scores for census tracts throughout California.
Deploying zero-emission vehicles in DACs helps to reduce pollution levels in these areas, thereby lowering the impact of pollution on more sensitive populations.
As shown in Exhibit F.1.1, Arvin is located within an area identified as 70%-79% disadvantaged. As a result, all service provided by Arvin Transit serves a DAC.

10 Section G | Workforce Training
The purpose of this section is to review the current workforce, determine what skill gaps may exist with respect to the deployment of zero-emission vehicles (ZEVs), and identify training needs and opportunities available for workforce development.
Description of Current Workforce
The City’s transit service is currently operated in-house. All staff are City employees. Preventive maintenance is provided on-site by a single mechanic using a service truck. Any work requiring a maintenance shop is outsourced. The City currently operates three battery-electric buses, and all drivers are trained to operate them.
Skill Gaps and Training/Training Needs
As noted, all current drivers are trained to operate the Proterra electric buses. As new electric buses are received, there may be additional OEM training specific to those vehicles needed. This will primarily include familiarization with the bus itself, including any features that may not be present on the existing fleet. For the mechanic, additional training specific to battery-electric buses will likely be needed, especially if the City builds its own maintenance facility and begins providing more of the maintenance work in-house.

11 Section H | Potential Funding Sources
This section details the various grant and funding programs currently available for funding transition to zero-emission vehicles. It includes federal, state, and private programs that may be used for vehicle purchase and/or infrastructure development.
Exhibit H.1 describes how the identified potential funding sources could support the City in executing the Rollout Plan as currently designed by describing how each fund is planned to be used over time (e.g., to purchase a zero-emission bus, maintain a zero-emission bus, upgrade the charging/fueling infrastructure, construct or upgrade a maintenance facility). Summaries of each funding source are provided below.
Formula Grants for Rural Areas – 5311
Funding is apportioned to states under Section 5311 for distribution to subrecipients. Caltrans issues an annual call for projects, and transit agencies submit applications through BlackCat detailing how they will use their funds. Capital projects – including vehicles, equipment, facilities, and maintenance – are eligible expenses under Section 5311. Under Caltrans, the funding split for capital projects is 88.53 percent federal and 11.47 percent local funds, though CMAQ projects may be approved for up to 100 percent federal funding.
Grants for Buses and Bus Facilities Formula Program – 5339 (a) FTA Section 5339 is a grant program that provides funding for bus and bus facilities. Section 5339 (a) is a formula grant provided by the Federal Transit Administration (FTA). The grant provides funding to states and transit agencies through a statutory formula to replace, rehabilitate and purchase buses and related equipment and to construct bus-related facilities. In addition to the formula allocation, the Grants for Buses and Bus Facilities program (49 U.S.C. 5339) includes two discretionary components: the Bus and Bus Facilities Discretionary Program (5339(b)) and the Low or No Emissions Bus Discretionary Program (5339(c)).
Eligible recipients designated by the FTA include designated recipients that operate fixed-route bus service or that allocate funding to fixed-route bus operators; and State or local governmental entities that operate fixed-route bus service that are eligible to receive direct grants under 5307 and 5311.
Funding can be used for capital projects to replace, rehabilitate, and purchase buses, vans, and related equipment. Additionally, funds may be used for constructing bus-related facilities, including technological changes or innovations to modify low- or no-emission vehicles or facilities.
Grants for Buses and Bus Facilities Formula Program (discretionary) – 5339 (b) Section 5339 (b) is a discretionary grant provided by the Federal Transit Administration (FTA). Eligible recipients designated by the FTA include designated recipients that operate fixed-route bus service or that allocate funding to fixed-route bus operators; and State or local governmental entities that operate fixedroute bus service that are eligible to receive direct grants under 5307 and 5311.

Staff Report – Approving Sale or Disposal of PW Vehicle (Ford-F150) Unit 324 declared as surplus.
CITY OF ARVIN
Staff Report
Meeting Date: July 22, 2025
TO: Arvin City Council
FROM: Pedro Barraza, Public Works Supervisor
Jeff Jones, City Manager / Finance Director
SUBJECT: Approval of A Resolution of the City Council of the City of Arvin Approving the Sale or Disposal of a Public Works Vehicle (Ford F-150) Declared as Surplus.
BACKGROUND:
Arvin Municipal Code section 3.08.110 specifies that current department heads of the City shall submit reports showing surplus stock, materials, and equipment. When the City Council finds that such materials owned by the City are not needed for use by any City department, the Council may declare such materials as surplus and authorize the sale or disposal thereof. Proceeds from any such sale shall be deposited into the City treasury.
Sedgwick Claims Management Services, Inc. “Sedgwick”, the City of Arvin’s public insurance claims management company, has provided an estimate and deemed the Public Works vehicle listed below a total loss and informed the City that it is free to dispose the totaled vehicle to the highest bid from salvors the City works with or use the Sedgwick Appraisal’s supplied salvage bid for $800 (eight hundred dollars) as prepared by A Auto Salvage:
If the City Council determines that this vehicle is surplus and authorizes its sale and/or disposal, the City Manager’s Department and Finance Department intend to dispose the totaled vehicle to the highest bid from salvors the City works with or use the Sedgwick Appraisal’s supplied salvage bid for $800 (eight hundred dollars) as prepared by A Auto Salvage.
The cost to repair the vehicle exceeds the actual cash value of the vehicle and because of this, Sedgwick will replace the totaled vehicle with a new comparable replacement vehicle that is one of like kind and quality, made by the same manufacturer (if possible), of the same model type (class), of a similar body type, and with the options similar to the totaled vehicle. Sedgwick will pay the cost to remove the old upfitting equipment and reinstall the same equipment into the new vehicle if that equipment is salvageable. Coverage also applies to the cost of towing, any damaged ancillary equipment, or damages to applied decals, or custom paint. The City of Arvin will be responsible for the property deductible of $5,000 (five thousand dollars).

Staff Report 2nd Amendment to Agreement - RGS
CITY OF ARVIN
Staff Report
Meeting Date: July 22, 2025
TO: Honorable Mayor, Mayor Pro Tem and Members of City Council FROM: Jeff Jones, City Manager / Finance Director
SUBJECT: SECOND AMENDMENT TO AGREEMENT DATED JANUARY 28, 2025,
BETWEEN THE CITY OF ARVIN AND REGIONAL GOVERNMENT
SERVICES AUTHORITY FOR CONSULTANT AND ADMINISTRATIVE
SERVICES
RECOMMENDATION
City Council authorize the City Manager to execute a second amendment to Agreement dated January 28, 2025, allowing RGS to finalize pending disability and leave management cases.
BACKGROUND
Beginning January 2025, Regional Government Services Authority (RGS) has been providing human resource services on personnel matters. Since the vacancy of the Human Resources Manager position, staff relied on consulting support from RGS as an alternative to specialized permanent staffing. These professional services were being provided pursuant to Arvin Municipal Code Section 3.08.080.
ANALYSIS
Since RGS has been assisting the City with personnel matters, staff recommends amending the current Agreement for Professional Services, attached hereto, by increasing the compensation by $60,000 for a new not to exceed amount of $90,000. This will allow RGS to finalize the City’s five (5) current cases of disability/leave management. Their expertise will prevent the risk of litigation or other penalties associated with poor disability and leave management.
Risks of Poor Disability/Leave Management
• City may be subject to requirements staff is unaware of. Disability and leave laws are always complex, change rapidly, and are often enacted without any notification to employers. RGS provides the City with this information as needed. • Leave rules may overlap and conflict. RGS has the expertise to determine how various benefits interact and provide recommendations to staff on compliance. • FMLA. The list of responsibilities involved in successfully managing FMLA is daunting as there are more than 450 FMLA related regulations, including federal and state versions of the same law. RGS can manage this and assist in preventing costly litigation. The

average cost to defend an FMLA lawsuit is $80,000. The average cost of a single mismanaged case involving ADA noncompliance is $500,000.
RGS Qualifications
RGS provides comprehensive disability and leave management support. Their areas of expertise include:
• Case analysis
• Interactive process facilitation
• Pregnancy and baby bonding leave
• Pregnant Workers Fairness Act compliance
• Family care leaves
• Temporary and long-term accommodations
• Compliance and documentation
• Separating accommodation from performance issues
• Advising on employment outcomes
• Work modifications and transitional duties
• Work-related injury resolutions
• Disability retirement
• Maximizing effective accommodation programs
• Implementing complex customized accommodation solutions Human Resource Manager Recruitment
The amendment with RGS is necessary while the City conducts recruitment for a permanent Human Resources Manager. On July 14, the City Manager began recruitment efforts by adding a job posting to the City’s current job openings. This posting will be open for about 30 days.
FISCAL IMPACT
This is a cost that is included in the line item for Human Resources services within the City’s general fund budget for Fiscal Year 2025-2026.

RGS hereby agrees to deliver those documents to Agency upon termination of the Agreement, if requested. It is understood and agreed that the documents and other materials, including but not limited to those described above, prepared pursuant to this Agreement are prepared specifically for Agency and are not necessarily suitable for any future or other use.
8.2 Confidential Information. RGS shall hold any confidential information received from Agency in the course of performing this Agreement in trust and confidence and will not reveal such confidential information to any person or entity, either during the term of the Agreement or at any time thereafter. Upon expiration of this Agreement, or termination as provided herein, RGS shall return materials which contain any confidential information to Agency. For purposes of this paragraph, confidential information is defined as all information disclosed to RGS which relates to Agency past, present, and future activities, as well as activities under this Agreement, which information is not otherwise of public record under California law. Agency shall notify RGS what information and documents are confidential and thus subject to this section 8.2.

8.4 Inspection and Audit of Records. Any records or documents that Section

Section 9. Non-assignment. This Agreement is not assignable either in whole or in part without the written consent of the other party.
Section 10. Amendments. This Agreement may only be amended or modified by written Amendment signed by both Parties.
Section 11. Validity. The invalidity, in whole or in part, of any provisions of this Agreement shall not void or affect the validity of any other provisions of this Agreement.
Section 12. Disputes. Should any dispute arise out of this Agreement, Agency agrees that it shall only file a legal action against RGS, and shall not file any legal action against any of the public entities that are members of RGS.
Section 13. Venue/Attorneys’ Fees. Any suit or action initiated by either party shall be brought in Alameda County, California. Neither Party shall be permitted to file legal action without first meeting in mediation and making a good faith attempt to reach a mediated resolution. The costs of the mediator, if any, shall be paid equally by the Parties. If a mediated settlement is reached, neither Party shall be deemed the prevailing party for purposes of the settlement and each Party shall bear its own legal costs.
Section 15. Employment Offers to RGS Staff. Should Agency desire to offer permanent or temporary employment to an RGS employee who is either currently providing RGS services to Agency or has provided RGS services to Agency within the previous six months, said Agency will be charged a fee equal to the full-time cost of the RGS employee for one month, using the most recent RGS bill rate for the RGS employee’s services to Agency. Entire Agreement. This Agreement, including the Exhibits, comprises the entire Agreement.
Section 17. Indemnification.
17.1 RGS’ indemnity obligations.
RGS shall indemnify, defend, and hold harmless Agency and its legislative body, boards and commissions, officers, and employees (“Indemnitees”) from and against all claims, demands, and causes of action by third parties, including but not limited to reasonable attorneys’ fees, arising out of RGS’ performance of this Agreement, to the extent caused by RGS’ negligent act, error, or omission.
Nothing herein shall be interpreted as obligating RGS to indemnify Agency against its own negligence or willful misconduct.
Training disclaimer
Agency understands and acknowledges that RGS advisors may, as part of the scope of services under this Agreement, provide training on various matters including human resources, accounting, or management practices. The advice and guidance included in such training does not, and is not intended to, constitute legal advice; instead, all information, content, and materials provided are based on industry best practices, but may not be applicable in all situations. Agency staff should not act or refrain from acting on the basis of the information provided as part of a training without first seeking legal advice from counsel in its relevant jurisdiction and/or appropriate Agency approval. RGS’ obligation to indemnify, defend, and hold harmless indemnities pursuant to this section 17.1 for professional errors and omissions shall not exceed $500,000.
17.2 Agency’s indemnity obligations. Agency shall indemnify, defend and hold harmless RGS and its officers, directors, employees and agents from any and all claims and lawsuits where such persons are named in the lawsuit solely because of a duty any of them performs in accordance with the services outlined in Exhibit B.
It is the intent of the parties here to define indemnity obligations that are related to or arise out of Agency’s actions as a governmental entity. Thus, Agency shall be required to indemnify and defend only under circumstances where a cause of action is stated against RGS, its employees or agents:
a. which is unrelated to the skill they have used in the performance of the duties delegated to them under this Agreement;
b. when the allegations in such cause of action do not suggest the active fraud or other misconduct of RGS, its employees, or agents; or
c. where an Agency employee, if he had been acting in a like capacity, otherwise would be acting within the scope of that employment.
Whenever Agency owes a duty hereunder to indemnify RGS, its employees or agents, Agency further agrees to pay RGS a reasonable fee for all time spent by any RGS employee, or spent by any person who has performed work pursuant to this Agreement, for the purpose of preparing for or testifying in any suit, action, Docusign Envelope ID: 4574EA10-7296-47EE-9BC1-7EB477EE62BD

17.3 Obligations and indemnity related to defined benefit retirement plan participation.
a. RGS and Agency acknowledge and agree that, if Agency participates in a defined benefit plan (such as CalPERS, a pension plan, or Social Security) (“Retirement Program”), it is possible that the Retirement Program may find that RGS employees providing services pursuant to this Agreement are employees of Agency and should be registered with the Retirement Program as employees of Agency, which possibility is the same as if Agency were contracting with a private consulting firm. Pursuant to Section 5.1 of this Agreement, Agency has an obligation to treat all persons working for or under the direction of RGS as agents and employees of RGS, and not as agents or employees of Agency. Agency agrees not to ask RGS employees for personally identifying information.
b. In the event that the Agency’s Retirement Program initiates an inquiry that includes examination of whether individuals providing services under this Agreement to Agency are Agency’s employees, Agency shall inform RGS within five business days and share all communications and documents from the Retirement Program that it may legally share. In the event that either RGS or Agency files an appeal or court challenge, RGS and Agency each agree to cooperate with each other in responding to the inquiry and any subsequent administrative appeal or court challenge of an adverse determination. Notwithstanding Section 17.1 of this Agreement, RGS and Agency shall each bear their own costs in responding to an inquiry by a Retirement Program, including but not limited to costs of an administrative appeal or court challenge.
c. In the event that any RGS employee or subconsultant providing services under this Agreement is determined by a court of competent jurisdiction or the Agency’s Retirement Program to be eligible for enrollment in the Retirement Program as an employee of the Agency, to the fullest extent of the law, Agency shall indemnify, defend, and hold harmless RGS for any Retirement Program contribution payment that Agency is required as a result to make to the Retirement Program as well as for the payment of any penalties and interest on such payments, if any.

Compensation.
1. Fees. Agency agrees to pay to RGS the hourly rates set forth in the tables below for each RGS employee providing services to Agency, which are based in part on RGS’ full cost of compensation and support for the RGS employee(s) providing the services herein described.
RGS and Agency acknowledge and agree that compensation paid by Agency to RGS under this Agreement is based upon RGS’ costs of providing the services required hereunder. The Parties further agree adjustments to the hourly bill rate shown below for “RGS Staff” will be made on July 1 of each year, when RGS’ hourly bill rates will be adjusted by the percentage change in the Consumer Price Index (Bureau of Labor Statistics, CPI for urban wage earners and clerical workers in the San Francisco-Oakland-San Jose area) (“CPI”) for the twelve months through the end of December of the prior year. Irrespective of the movement of the CPI, RGS will not adjust its hourly rates downward; nor will RGS adjust its hourly rates upward in excess of a five percentage (5%) change, excepting instances where there was no increase in the prior year’s hourly rates. In that event, RGS will adjust its hourly rates by the full percentage change in the CPI for the twelve months through the end of December of the prior year.
2. Reimbursement of RGS’ Direct Costs. Agency shall reimburse RGS for direct external costs. Direct external costs, including such expenses as travel or other costs incurred for the exclusive benefit of the Agency are not included in the hourly bill rate and, will be invoiced to Agency when received and without mark-up. These external costs will be due upon receipt.
3. Terms of Payment. RGS shall submit invoices monthly for the prior month’s services.
Invoices shall be sent approximately 10 days after the end of the month for which services were performed and are due and shall be delinquent if not paid within 30 days of receipt.
Delinquent payments will be subject to a late payment carrying charge computed at a periodic rate of one-half of one percent per month, which is an annual percentage rate of six percent, which will be applied to any unpaid balance owed commencing 7 days after the payment due date. Additionally, in the event the Agency fails to pay any undisputed amounts due to RGS within 15 days after payment due date, then Agency agrees that RGS shall have the right to consider said default a total breach of this Agreement and the duties of RGS under this Agreement may be terminated by RGS upon 5 working days’ advance written notice.
Payment Process/Address. RGS prefers invoices be paid electronically.
RGS will reach out to your invoicing contact to establish and provide electronic payment instructions.
However, should you have questions or need other payment options, please contact:

TO: Honorable Mayor, Mayor Pro Tem and Members of City Council FROM: Stephanie Gutierrez, City Attorney
SUBJECT: ORDINANCE TO CODIFY PROTOCOLS FOR THE INSTALLATION OF
AND ADMINISTRATION OF OATHS TO PUBLIC OFFICERS AFTER THE
CERTIFICATION OF ELECTION RESULTS OR APPOINTMENT TO

RECOMMENDATION
City Council introduce and waiver further reading of an ordinance entitled:
AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF ARVIN, CALIFORNIA ADDING CHAPTER 2.01 (ELECTION CERTIFICATION AND OATH ADMINISTRATION) TO ARVIN MUNICIPAL CODE TITLE 2 (ADMINISTRATION AND PERSONNEL) TO
CODIFY PROTOCOLS FOR THE INSTALLATION OF AND ADMINISTRATION OF
OATHS TO PUBLIC OFFICERS AFTER THE CERTIFICATION OF ELECTION RESULTS
OR APPOINTMENT TO OFFICE
BACKGROUND
On February 10, 2025, the 2024-25 Kern County Grand Jury (the “Grand Jury”) issued its report, “City of Arvin: A City with Growing Pains,” (the “Report”) which—per Penal Code § 933.5— documented its investigation into the City’s operations following certain expressed concerns.
The Report recommended the City consider codification of agenda protocols for administration of oaths to certain public officers. Specifically, the Report stated:
“R9.… the City Council should codify an agenda format to be followed at the first Council meeting following certification of an election, special election, or appointment. This format should place the swearing in of new members (including the Mayor) first on the agenda followed by Public Comments. (Finding #12)”
From the Grand Jury’s perspective, the codification of such protocols would assist the City in becoming more responsive and transparent to its residents.

Staff Report – Ordinance to codify protocols for Election Certification and Admin. of Oath of Office.
ANALYSIS
As a result of Recommendation No. R9 of the Report, staff has prepared the attached ordinance memorializing procedures for the installation of and administration of oaths of office to elected public officers pursuant to state law.
California Constitution and Government Code
The California Constitution requires that all public officers take and subscribe to an oath of office before assuming office. (Gov. Code § 1360 et seq.) City Councilmembers, before commencing any term, each must take and subscribe to the oath of office specified in the California Constitution. (Cal. Const., art. XX, § 3; Gov. Code, §§ 1360, 36507.) Proposed Agenda Protocols
The proposed ordinance, attached hereto, provides that immediately following the City Council’s declaration of election results, the oath of office must be administered to all elected officials assuming office thereunder. Additionally, if the City Council appoints an individual to fill a vacant elective office, the oath must be administered to the appointee immediately following appointment. The ordinance further requires that this be placed on a City Council agenda and considered by the sitting City Council prior to any substantive city business. Substantive city business includes the consent calendar, public hearings, new city business, and any other matters, as determined by the city manager or designee, in consultation with the city attorney.
FISCAL IMPACT
There is no anticipated fiscal impact as a result of the adoption of agenda protocols for the administration of the oath of office.

AND OATH ADMINISTRATION) TO ARVIN MUNICIPAL CODE TITLE 2 (ADMINISTRATION AND PERSONNEL) TO CODIFY PROTOCOLS FOR
THE INSTALLATION OF AND ADMINISTRATION OF OATHS TO
PUBLIC OFFICERS AFTER THE CERTIFICATION OF ELECTION
RESULTS OR APPOINTMENT TO OFFICE
The City Council of the City of Arvin does ordain as follows:
SECTION 1. Findings. The City Council finds, determines and declares as follows:
A. On February 10, 2025, the 2024-25 Kern County Grand Jury (the “Grand Jury”) issued its report, “City of Arvin: A City with Growing Pains,” (the “Report”) which—per Penal Code § 933.5—documented its investigation into the City’s operations following certain expressed concerns. The City has made the Report publicly available—in both English and Spanish—on its website, at: https://www.arvin.org/207/City-Council.
B. In the Report, the Grand Jury made specific recommendations designed to “assist the City in becoming more responsive and transparent to its citizens.”
C. Recommendation No. R9 of the Report, the Grand Jury suggested the City codify agenda protocols for the administration of oaths to certain public officers in response to Report Finding No. F12, which found that having the outgoing City Council consider new agenda matters before the certification of election results and installation of new Council Members “preempted the new council’s opportunity to vote on matters that otherwise would have been before them [via the customary agenda format].”
D. Public “officers,” including the Arvin City Manager, City Attorney, City Clerk, City Treasurer, Police Chief and Fire Chief, must take and subscribe to the oath of office specified in the California Constitution. (Cal. Const., art. XX, §

Through this Ordinance, the City Council seeks to memorialize procedures for the installation of and administration of oaths to elected public officers consistent with the Grand Jury’s recommendation as described in Section 2(C), above, including the timing of such actions on the relevant City Council agenda.

SECTION 3: Environmental Assessment. This Ordinance is exempt from review under the California Environmental Quality Act (Cal. Pub. Res. Code §§ 21000, et seq.; “CEQA”) and CEQA Guidelines (14 Cal. Code Regs. §§ 15000, et seq.) because the actions contemplated will merely fix protocols for the City’s compliance with state law requirements for election certification and oath administration and can be seen, with certainty, that there is no possibility that the actions in question will result in a significant effect on the environment. This Ordinance, therefore, is categorically exempt from further CEQA review under CEQA Guidelines § 15061(b)(3).

SECTION 6: Summaries of Information. All summaries of information in the findings herein are based on the substantial evidence in the record. The absence of any particular fact from any such summary is not an indication that a particular finding is not based in part on that fact.
SECTION 7: Severability. If any part of this Ordinance or its application is deemed invalid by a court of competent jurisdiction, the City Council intends that such invalidity will not affect the effectiveness of the remaining provisions or applications and, to this end, this Ordinance’s provisions are severable.
SECTION 8: Recordation. The City Clerk, or designee, is directed to certify the passage and adoption of this Ordinance; case it to be entered into the City of Arvin’s book of original ordinances; make a note of the passage and adoption of this Ordinance, and cause it to be published or posted in accordance with California law.
