Second Amendment to Temporary Effluent Water Agreement with Zam Farming, LLC
CITY OF ARVIN
Staff Report
Meeting Date: September 22, 2026
TO: Honorable Mayor, Mayor Pro Tem and Members of City Council FROM: Stephanie Gutierrez, City Attorney
Jeff Jones, City Manager
SUBJECT: Second Amendment to Temporary Effluent Water Agreement with Zam Farming, LLC
BACKGROUND / DISCUSSION:
The City of Arvin is the owner of a Wastewater Treatment Plant that currently produces between
1.2 to 4 million gallons of effluent water per day. In order to discharge this water, the City must apply the water to land in compliance with Waste Discharge Requirements Order No. 5-00-093 (WDRs), adopted by the California Regional Water Quality Control Board, Central Valley Region on April 28, 2000.
Following the termination of its agricultural lease with Apothio, LLC/Quantum Farms, the City entered into an Effluent Agreement with Zam Farming, LLC effective August 5, 2025, to provide for the continued receipt, management, and land application of the City's effluent water.
Zam Farming, LLC is a qualified agricultural operator that controls and farms property located near the City's Wastewater Treatment Plant and is capable of utilizing the effluent water in compliance with applicable regulatory requirements.
On November 17, 2025, the City Council approved a First Amendment to the Agreement extending the term through September 30, 2026. Since that time, the City has continued evaluating long-term options for effluent management and disposal to ensure ongoing compliance with the WDRs and other applicable legal and operational requirements. Additional time is needed to complete that evaluation and implement a long-term solution. Accordingly, the City and Zam Farming, LLC desire to enter into a Second Amendment to extend the term of the Agreement through December 31, 2026.
Approval of the Second Amendment will ensure uninterrupted management and application of the City's effluent water while the City continues its review of long-term alternatives and maintains compliance with applicable regulatory requirements. The extension will also allow Zam Farming, LLC to continue farming operations and harvest crops currently planted on the property.
FISCAL IMPACT:
There is no additional financial impact associated with the Second Amendment. The amendment

Attachment: 2025-14 Effluent Agreement with Zam Farming LLC_080525 (Second Amendment to Temporary Effluent Water Agreement with NOW, THEREFORE, incorporating the foregoing recitals herein, the City and the Water Manager mutually agree as follows:
1)
2)
3)
TERM. The Term of this Agreement shall commence on the Effective Date and shall terminate in six (6) months (“Term”). Following expiration of this Agreement, City shall allow Water Manager to harvest any crops planted by Water Manager that may exist on the Property.
City and Water Manager shall cooperate in good faith to ensure appropriate crops are harvested and removed from the Property in a reasonably timely manner.
CONSIDERATION. In consideration of the Water Manager services managing the City’s Effluent, the City shall lease the Property to the Water Manager for the Term of this Agreement and the Water Manager shall pay to the City as rental for the use of the Property and receipt of the Effluent for its crops, One dollar ($1.00) per farmable acre (approx. 208 acres). Rent for the Term is payable in advance of Commencement Date and is delinquent on the next day. Commencement Date will be the Effective Date. The City agrees to use the rental proceeds for improvements to the Property.
RIGHT AND DUTY.
a. The City agrees that such Effluent shall be treated to a level of quality no less than is required to permit, under applicable governmental requirements, the growing of fiber, fodder and seed crops on the Property. Should governmental regulations for the growing of such crops or discharge requirements be revised after the effective date of this Agreement to require a higher degree of treatment of Effluent for irrigation of such crops, the City agrees to upgrade its Plant to treat Effluent or otherwise produce higher-treated Effluent in compliance with newly promulgated or amended governmental requirements. In the event that it becomes unfeasible or materially uneconomic to upgrade the Plant to comply with newly promulgated or amended governmental requirements, as determined by the City in its sole discretion, the City may serve a Notice of Termination of this Agreement to the Water Manager no less than 60 days prior to the effective date for any newly promulgated or amended governmental requirements. In the event the City fails to serve a Notice of Termination, the Water Manager, in its sole discretion, may serve a Notice of Termination to become effective upon the effective date of any newly promulgated or amended governmental requirements which could place the Water Manager’s practices of spreading Effluent out of compliance.
b. The City shall be responsible for obtaining any and all amendments to the Waste Discharge Requirements or other governmental rules or regulations to allow the Water Manager to be able to utilize Effluent disposal and manage the disposal of Effluent in accordance with the terms of this Agreement. In the event that the City fails to maintain continuous approval from any and all applicable governmental entities to apply Effluent to land during the Term, the Water Manager may terminate this Agreement on 60 days’ notice. c. The City shall be responsible for repair of all Effluent delivery and irrigation facilities, including but not limited to pipelines, valves, standpipes required to transmit the Effluent to the Delivery Location (including the County right-of-way). The City shall be responsible for delivering the Property in a condition suitable for farming or, alternatively, reimbursing the 4903-6896-7509 v2 Page 2 of 10

Attachment: 2025-14 Effluent Agreement with Zam Farming LLC_080525 (Second Amendment to Temporary Effluent Water Agreement with Water Manager for the costs to restore the land to a farmable state as determined by applicable California Regional Water Quality Control Board regulations. The Water Manager may submit reimbursement requests to the City for any repairs or replacements of the irrigation equipment, with payment due within 60 days of receipt.
d. The City shall be responsible for the cost of the electrical power necessary to operate the irrigation pump and other mechanisms to transmit the Effluent from the Plant to the Delivery Location.
e. The Water Manager may farm the Property with an approved crop at all times during the Term of this Agreement to allow for the land application up to the Max Gallons of Effluent. The Water Manager shall be solely responsible for all costs arising from or related to the farming activities and shall retain all the proceeds from the Property. f. The Water Manager may apply to the California Department of Public Health for exceptions allowing for the irrigation of food crops which must undergo processing sufficient to destroy pathogenic agents within the Effluent before such crops are suitable for human consumption, or a determination that such food crops are permitted to be grown with secondarily treated Effluent; provided, however, that should the Water Manager proceed to grow such crops on the Property pursuant to an exception, it shall do so at its own risk and shall have no vested right under this Agreement to continue to grow such crops should subsequently a higher degree of treatment of the Effluent be required for such crops. It is the intent and understanding of the parties that the City shall not be required to provide a higher level of treatment to allow the Water Manager to continue production of a crop initially permitted by exception. g. The Water Manager acknowledges that it shall have the right as provided herein to take up to Max Gallons of Effluent from the Plant for and during the term of this Agreement. The Water Manager shall obtain the written consent from the City to dispose of Effluent in a manner other than as herein provided. Nothing in this Agreement shall restrict the City from utilizing treated Effluent within the Plant prior to ultimate disposal of the Plant Effluent as herein provided.
The delivery of Effluent to the Water Manager properties shall be directly communicated and solely managed through the Water Manager.
4) REGULATORY AGENCY REQUIREMENTS. The City shall ensure that the use of Effluent complies with all laws and regulations including Waste Discharge Requirements issued by the California Regional Water Quality Control Board and any other governmental entity and all other regulatory requirements. The Water Manager shall obtain written approval, as needed, from relevant governmental entities of cropping plans for any and all portions of the property to be irrigated with treated Effluent. The Water Manager shall be responsible for lawfully utilizing and disposing of all treated Effluent received, within the boundaries of the property unless otherwise previously agreed to by the City in writing. The Water Manager shall comply with all applicable requirements of the California Regional Water Quality Control Board for wastewater reclamation in its use of the Property. The Water Manager shall provide a setback as specified in the discharge requirements from any traffic lane of a dedicated public road or highway for any Effluent storage reservoirs which are, or may be, constructed within the Property.

a. Neither party shall be liable to the other party for any loss, damage, liability, claim or cause of action for damage to or destruction of property or for injury to or death of persons arising solely from any act or omission of the other party's officers, agents or employees. However, the City shall defend, indemnify and hold the Water Manager harmless for any claims, demands, liabilities, losses or causes of action, fees, penalties, charges, attorney’s fees, costs or expenses resulting from the City’s management of applicable contracts with third parties, or failure to maintain compliance with the Waste Discharge Requirements and any and all regulatory or governmental requirements or approvals to permit the spreading of Effluent on the Property. b. The Water Manager and the City agree to indemnify and hold each other harmless from any and all claims, contracts, demands, liabilities, losses or causes of action which arise by virtue of its own grossly negligent or willful acts or omissions (either directly or through or by its agents, officers or employees) to such extent and in such part as the respective parties are found by reason of law to have proximately caused the injury or damage. c. The party against whom any claim arising from any subject matter of this Agreement is filed shall give prompt notice of the filing of the claim to the other party. 6) EMINENT DOMAIN. If the whole or substantial portion of the Water Manager property should be taken by any public or quasi-public authority under the power or threat of eminent domain during the Term, so as to materially impair the delivery of the Effluent contemplated by the City, and thereby frustrate the City’s purpose in entering into this Agreement, then, in either of such events, this Agreement shall terminate at the time such taking is reported in writing.
7) NONWAIVER. If any action or proceeding related to this Agreement is instituted or if any other steps are taken by the Water Manager or the City, and a compromise, partial payment or settlement thereof shall be made, either before or after judgment, the same shall not constitute or operate as a waiver by the Water Manager or the City of any, covenant or condition of this Agreement or of any subsequent breach thereof. No waiver of any default under this Agreement shall constitute or operate as a waiver of any subsequent default hereunder, and no delay, failure or omission in exercising or enforcing any right, privilege, or option under this Agreement shall constitute a waiver, abandonment or relinquishment thereof or prohibit or prevent any election under or enforcement or exercise of any right, privilege, or option hereunder. No waiver of any provision hereof by the Water Manager or the City shall be deemed to have been made unless and until such waiver shall have been reduced to writing and signed by the Water Manager or the City, as the case may be. The receipt by the Water Manager of rent with knowledge of any default under this Agreement shall not constitute or operate as a waiver of such default. Payment by the City or receipt by the Water Manager of a lesser amount than the stipulated rent or other sums due the Water Manager shall operate only as a payment on account of such rent or other sums. No endorsement or statement on any check or other remittance or in any communication accompanying or relating to such payment shall operate as a compromise or accord and satisfaction unless the same is approved in writing by the Water Manager, and the Water Manager may accept

CITY OF ARVIN
Staff Report
Meeting Date: September 22, 2026
TO: Arvin City Council
FROM: Jeff Jones, City Manager
SUBJECT: Establishment and Implementation of an Independent Measure H Citizens Oversight Committee
RECOMMENDED ACTION
Staff recommends that the City Council:
1. Receive this staff report and public comment regarding the proposed Measure H Citizens Oversight Committee;
2. Adopt the Resolution establishing an independent seven-member Measure H Citizens Oversight Committee, contingent upon voter approval of Measure H at the November 3, 2026 General Municipal Election;
3. Direct the City Clerk to immediately begin a public application and community outreach process for prospective Committee members;
4. Direct staff to prepare the administrative procedures, financial reporting system, public information webpage, training program, and other materials necessary for the Committee to begin its work promptly following certification of the election, should Measure H be approved; and
5. Direct staff to return to the City Council following certification of the November 3, 2026 election results for appointment of Committee members and final implementation, if Measure H is approved.
BACKGROUND
The City Council has placed Measure H before Arvin voters at the November 3, 2026 General Municipal Election.
Measure H proposes a one-cent transactions and use tax to support local municipal services, including public safety, police and fire services, 911 emergency response, streets and roads, parks, youth and senior services, and other City services. The ballot language further provides that Measure H revenues would remain local and be subject to accountability provisions including independent audits and public disclosure.
3.D.1
Attachment: Staff Report Measure H Independent Citizens Oversight Committee_092226 (Establishing Independent Citizens Oversight 4915-0446-9201 v1 Page 2 of 8
The City’s FY 2026–27 budget demonstrates the financial conditions that led the Council to place Measure H before voters. The adopted budget includes approximately $9.04 million in General Fund revenues and an equal amount in General Fund expenditures following significant reductions in personnel and operating costs.
The FY 2026–27 budget includes 10.5 unfunded positions compared with the prior fiscal year, representing approximately an 18 percent reduction in City staffing. Those reductions include six police positions, 2.5 public works positions, one animal control position and one finance position. The City also reduced training and eliminated or deferred other nonessential expenditures.
At the same time, several essential City costs continue to increase. The City's contract for Kern County fire protection increased from approximately $700,000 in FY 2021–22 to an anticipated $1.15 million in FY 2025–26 and approximately $1.4 million in FY 2027–28.
These financial circumstances reinforce the importance of strong public accountability for any additional locally generated revenue.
Staff therefore recommends that the City Council establish the Measure H Citizens Oversight Committee before the election, with its operation expressly contingent on voter approval of Measure H.
DISCUSSION
Purpose of the Citizens Oversight Committee
The purpose of the proposed Citizens Oversight Committee is to create an additional, independent layer of public review over Measure H revenues and expenditures.
Under the proposed resolution, the Committee would review:
• Measure H revenues received by the City;
• Measure H expenditures;
• Annual financial reports;
• Independent audits concerning Measure H;
• Accounting procedures used to identify and track Measure H funds; • Whether expenditures are consistent with Measure H and applicable law; and • Any concerns or discrepancies identified through its review.
The Committee would also receive public comments (as required by the Brown Act) and prepare an annual written report to the City Council and Arvin residents describing its findings and recommendations.
The intent is simple:
Arvin residents should be able to see where Measure H money comes from, where it goes, and how it is used.
3.D.1
Attachment: Staff Report Measure H Independent Citizens Oversight Committee_092226 (Establishing Independent Citizens Oversight 4915-0446-9201 v1 Page 3 of 8
INDEPENDENCE OF THE COMMITTEE
Staff recommends establishing the Committee as an independent advisory body rather than an extension of any City department.
No City Councilmember would serve as a voting member.
The Committee would not have authority to appropriate funds, approve expenditures, direct employees, enter into contracts, or otherwise exercise authority legally assigned to the City Council or City administration. Its responsibility would be independent review, transparency and reporting. In short, it is a purely advisory body of the City.
This structure provides meaningful citizen oversight while preserving the City Council and City Manager's legal responsibilities.
COMMITTEE COMPOSITION
Staff recommends a seven-member Citizens Oversight Committee, with all members appointed by the City Council at a publicly noticed meeting.
The Resolution states that Council must endeavor to appoint a Committee that reflects Arvin's geographic, economic, professional, cultural and community diversity.
Where practical, the Resolution provides that the Committee should include residents with experience or demonstrated interest in areas such as:
• Finance or accounting;
• Auditing and financial controls;
• Public budgeting;
• Business and economic development;
• Public safety;
• Streets, infrastructure, parks or public works;
• Community service and nonprofit organizations; and
• General civic involvement.
However, professional financial experience is not a requirement. The Committee should also include residents with strong community involvement, sound judgment and a demonstrated interest in responsible stewardship of taxpayer dollars.
The purpose is not to create a committee of accountants.
The purpose is to create a committee of Arvin residents who will ask questions, review the numbers and report publicly to their neighbors.
MEMBER ELIGIBILITY AND CONFLICT-OF-INTEREST REQUIREMENTS Committee members should be at least 18 years old and residents of the City of Arvin. Members would be required to comply with applicable ethics, transparency and conflict-of-interest requirements.
3.D.1
Attachment: Staff Report Measure H Independent Citizens Oversight Committee_092226 (Establishing Independent Citizens Oversight 4915-0446-9201 v1 Page 4 of 8
The proposed resolution also contains safeguards intended to ensure the Committee's independence. Current Councilmembers, City employees under circumstances inconsistent with Committee independence, certain City contractors or vendors, and individuals with disqualifying financial interests would not be eligible to serve.
However, a resident would not be disqualified merely because he or she voted for or against Measure H or publicly expressed an opinion about the measure.
That is an important distinction. The Committee should be independent, but it should also be representative of the community.
APPLICATION AND RECRUITMENT PROCESS
Upon adoption of the resolution, the City Clerk would immediately open an application period for interested residents.
The proposed resolution calls for applications to remain open through 5:00 p.m. on November 1, 2026, unless an earlier administrative deadline is established with appropriate public notice.
Staff recommends a broad community recruitment effort using:
• The City's website;
• City social media;
• Public notices;
• Community organizations;
• Neighborhood groups;
• Local schools and educational institutions;
• Business organizations;
• Community events; and
• Other appropriate public outreach channels.
The City should actively seek applicants from throughout Arvin rather than relying solely upon individuals who regularly participate in City government.
PRE-ELECTION VERSUS POST-ELECTION ACTIVITY
Establishing the oversight framework before November 3 should not be interpreted as assuming Measure H will pass.
The proposed resolution specifically provides that the Committee becomes operative only if Measure H is approved by voters, the City is authorized to collect and begins collecting the revenue, and Council has appointed all the members of the Committee. If Measure H is not approved, the Committee is automatically dissolved upon the Resolution automatically being repealed.
Prior to the election, City activity would therefore be limited to administrative preparation, public recruitment and establishment of the oversight structure.
The Committee itself would not campaign for or against Measure H, and City resources could not be used for campaign advocacy.

First Committee Meeting Election of Chair/Vice Chair; adoption of meeting calendar and procedures
Quarterly thereafter Review of revenues, expenditures, financial information and implementation

TERMS OF OFFICE
To provide continuity while preventing the entire Committee from turning over simultaneously, the initial terms would be staggered:
• Two members — three-year terms;
• Two members — two-year terms; and
• Three members — one-year terms.
Future appointments would generally be for three-year terms, with a two-consecutive-term limitation unless the Council determines that an exception is needed for continuity or expertise.
MEETINGS AND PUBLIC ACCESS
The Committee would meet at least quarterly.
Meetings would be publicly noticed and conducted in accordance with applicable open-meeting requirements. Agendas, minutes, reports and recommendations would be made publicly available.
3.D.1
Attachment: Staff Report Measure H Independent Citizens Oversight Committee_092226 (Establishing Independent Citizens Oversight 4915-0446-9201 v1 Page 6 of 8
Staff further recommends maintaining a dedicated Measure H Accountability page on the City website.
That page should eventually contain:
• Measure H ballot and ordinance documents;
• Revenue received;
• Expenditures;
• Annual financial reports;
• Independent audits;
• Committee agendas;
• Committee minutes;
• Annual Committee reports;
• Committee recommendations;
• City responses; and
• Other significant Measure H financial information.
The proposed resolution expressly contemplates this level of ongoing public access.
ANNUAL INDEPENDENT AUDIT
Measure H's accountability structure includes independent financial review.
The ordinance enacting Measure H requires revenues and expenditures to be included in an annual independent financial audit.
The Citizens Oversight Committee would receive and review that audit and could submit questions or recommendations to the City Council.
This creates multiple layers of accountability:
City financial controls → independent financial audit → citizen review → public report → City Council review.
ANNUAL CITIZENS OVERSIGHT REPORT
The Committee's most important public responsibility would be issuance of an annual written report.
At a minimum, that report should identify:
• Measure H revenue collected;
• Measure H funds spent;
• Programs, services or projects supported;
• Comparison of actual spending with the City's budget; • Status of Measure H-funded activities;
• Audit findings;
• Committee findings and recommendations;
• Any unresolved concerns; and
• The City's response to those concerns, where available.
3.D.1
Attachment: Staff Report Measure H Independent Citizens Oversight Committee_092226 (Establishing Independent Citizens Oversight 4915-0446-9201 v1 Page 7 of 8
The report would then be presented publicly to the City Council and made available to the community.
STAFF SUPPORT
The City Clerk or City Manager's designee would provide reasonable administrative support to the Committee, including preparation and posting of agendas, meeting notices, minutes, records and logistical assistance.
City financial staff would provide the Committee reasonable access to budgets, financial reports, expenditure information, contracts, invoices, audits and other documents necessary to perform its oversight role, subject to applicable confidentiality and legal restrictions.
Members would serve without compensation, although authorized and reasonable expenses could be reimbursed consistent with City policy.
FISCAL IMPACT
Adoption of the proposed resolution would result in relatively limited administrative costs associated with recruitment, meeting preparation, staff support, training, financial reporting and maintenance of the Measure H public information webpage.
The independent financial audit would also involve professional audit costs, although portions of this work may be incorporated into the City's existing annual financial auditing process.
These administrative costs would support the City's broader goal of ensuring transparent management and public accountability for Measure H revenue.
The FY 2026–27 City budget already demonstrates the importance of financial discipline. The City adopted a balanced General Fund budget of approximately $9.04 million following significant reductions in staffing and operating expenditures.
PUBLIC ACCOUNTABILITY
The creation of the Citizens Oversight Committee provides an opportunity to establish the City's accountability structure before any Measure H revenue could ever be collected.
That is significant.
Residents should not have to wait until after revenue is received to ask:
Who is watching the money?
The City can answer that question now.
If voters approve Measure H, the City's accountability structure would include:
Independent audits.
Public financial disclosure.
Open budget hearings.
Citizen oversight.
Quarterly public meetings.
An annual public report.
And direct accountability to Arvin residents.
3.D.1
Attachment: Staff Report Measure H Independent Citizens Oversight Committee_092226 (Establishing Independent Citizens Oversight 4915-0446-9201 v1 Page 8 of 8
The City's existing Measure H materials emphasize that accountability should accompany any discussion of new revenue and that residents should be able to review how local funds are budgeted and spent.
CONCLUSION
Measure H is ultimately a decision for Arvin voters.
The City's responsibility is to provide residents with accurate information and, if the measure is approved, to demonstrate that every dollar is handled transparently and responsibly.
Establishing the Citizens Oversight Committee before the election accomplishes two important goals.
First, it tells residents exactly what oversight will mean rather than simply promising accountability in general terms.
Second, it allows the City to begin recruiting qualified residents now so the Committee can begin its work promptly if Measure H is approved.
For these reasons, staff recommends that the City Council adopt the Resolution establishing the Measure H Citizens Oversight Committee, authorize immediate recruitment of prospective members, and direct staff to complete the administrative preparations necessary for implementation following voter approval.
ALTERNATIVES
The City Council may:
1. Adopt the resolution as presented;
2. Adopt the resolution with modifications;
3. Provide additional direction regarding Committee membership, recruitment, terms, duties or implementation;
4. Direct staff to return with additional information; or
5. Take no action.
ENVIRONMENTAL REVIEW
The proposed action consists of governmental organizational and administrative activities and does not constitute a project having the potential to result in a direct or reasonably foreseeable indirect physical change in the environment.

The event is intended to provide a safe, family-friendly environment for children and families to celebrate the Halloween season while promoting positive interaction between the community, the Police Department, other City departments, local businesses, and community organizations. The event will provide an opportunity for participating organizations and community partners to decorate vehicles, distribute candy and other appropriate items, and engage with residents in a positive community setting.
