Problem Statements and Goals
Transform El Camino Real into a
complete street that works for all
users.

Create a new framework for
change aligning vision, process, and
funding.

El Camino Real has an unusually
high rate of fatal or serious injury
crashes, particularly for people
walking and biking.

El Camino Real’s highway-like
design discourages walking, biking,
and transit use.

It’s too challenging to develop,
implement, and fund transportation
projects on El Camino Real.

SAFETY
Adopt a safety-first mindset to
eliminate fatal and serious injury
crashes.

Item No. 2
Town of Atherton
CITY COUNCIL STAFF REPORT – REGULAR AGENDA
TO: HONORABLE MAYOR AND CITY COUNCIL

GEORGE RODERICKS, CITY MANAGER
FROM: ANTHONY SUBER, DEPUTY CITY MANAGER/ CITY CLERK
DATE: OCTOBER 1, 2025
SUBJECT: INTERVIEW CITY COUNCIL VACANCY APPLICANTS; AND, IF

APPROPRIATE APPOINT A CANDIDATE TO FILL THE
VACANT SEAT FOR A TERM EXPIRING NOVEMBER 2026

RECOMMENDATION
It is recommended that the Council:
• Conduct interviews of applicants and consider appointment to the current City Council vacancy, with a term expiring November 2026, in accordance with Atherton Municipal Code Section 2.32.030;
• Adopt the attached Resolution appointing a candidate to serve in the seat until a special election on November 3, 2026;
• Determine whether to administer the Oath of Office immediately following the appointment at the October 1, 2025, Study Session or schedule a formal swearing-in at the October 15, 2025 meeting.

BACKGROUND | ANALYSIS
Council Member Diana Hawkins-Manuelian submitted a letter of resignation from Council effective September 1, 2025. Council Member Hawkins-Manuelian was appointed to serve a fouryear term in August 2024 by Resolution No. 24-15. Her term expires in November 2028. At the September 3 Study Session Council expressed its intent to conduct a process for soliciting candidates for appointment to select a replacement Councilmember at either the October 1 Study Session or October 15 Regular Meeting to serve until the November 2026 General Municipal election. Notices were distributed across the Town’s various platforms, including the Town website, published in the Almanac and Daily Post print and online versions. Staff released these notices with a deadline of Friday, September 26, 2025, 11:000 AM for submission. We received the following candidates, application materials are included as attachment 4:
• Flaherty, Carol
• Riviello, Regina

• Lane, Eric
• David, Christine
• Leugers, Jerome
• Dixon, Betsy
• Sikes, Lindsey
Each applicant will be offered an opportunity to speak to their interest in serving the Town of Atherton as a Council Member and Council may choose to ask questions. Staff recommends following the order of the candidates’ names as they appear above, which mirrors the order in which applications were received. Among other criteria, the Council can choose to consider using the following criteria as a basis for their evaluation.

Key Criteria for Evaluations
• Experience in Town affairs; engagement in Town committees or activities • Knowledge of issues that the Town is facing (finances, pensions, housing, transportation, etc.) • Overall approach to decision-making
• Awareness of Town goals and objectives
• Awareness of the role of policy makers
• Knowledge of the Brown Act
The Council can independently rank the candidates based on what they perceive as the most important criteria or strength of the candidates and then follow one of the following processes for appointment provided below.

Option No. 1: Open Nomination Process
The Mayor can open nominations for any candidate from the floor after interviews. If a nomination receives a second, then a roll call vote will be taken by the City Clerk. If that candidate is successful and wins a majority, voting ceases and the Council has made its selection. If that candidate fails to get a second or does not win a majority, that candidate is removed from the list and the floor is open again for nominations. The Council continues this process until a candidate successfully wins a majority vote of the Council and is appointed by selection.

Option No. 2: Narrow the Field Process
With 7 candidates, the Council can choose to narrow the field. For example, we have 7 candidates; each member of the Council provides the City Clerk with their top 6 candidates. The candidate with the least number of votes is removed from the list. Then, each member of the Council provides the City Clerk with their top 5 candidates. The candidate with the least number of votes is removed from the list. Then, each member of the Council provides the City Clerk with their top 4 candidates.

The candidate with the least number of votes is removed from the list. Then, each member of the Council provides the City Clerk with their top 3 candidates. The candidate with the least number of votes is removed from the list. Then, each member of the Council provides the City Clerk with their top 2 candidates. The candidate with the least number of votes is removed from the list. At 2

candidates, the Council opens the floor for nominations. The candidate that obtains a second and wins a majority vote of the Council is appointed as the selection of the Council.

If No Candidate is Selected
If, after either process, the Council is unable to come to consensus for a majority candidate, the Council can extend the filing period and seek additional candidates, nominate, and appoint any interested individual (whether they are an applicant or not), or direct staff to process what is necessary to call the Special Election to fill the seat.

If the Council would like more time to consider any of the current applicants, the Council could also continue the selection process to a date certain, such as the October 15, 2025, Regular City Council meeting. The deadline to appoint a candidate or call a special election to fill the vacancy (Gov. Code § 36512(b)(1).) is October 29, 2025.

Following appointment, the Council may choose one of the following:
• Immediately swear-in newly appointed candidate. Staff will administer the Oath of Office at the October 1 meeting, allowing the appointee to participate immediately. • Ceremonial Swearing-In of newly appointed Council Member. The Council may opt to hold a formal searing-in at the October 15, 2025, meeting to allow family and friends to attend.

FISCAL IMPACT
There is no fiscal impact associated with the appointment. The General Municipal Election is estimated to cost between $23,000 and $28,000, which will be included in the FY26-27 budget.

GOAL ALIGNMENT
This Report and its contents are in alignment with the following Council Policy Goals:
• Goal D - Be Forward Thinking
• Goal F - Build Community & Promote Civic Engagement

I have not served on Atherton committees, although I have been active in the Atherton Builders Roundtable since its inception (years ago). As you know, I recently participated in the Atherton Housing Coalition which, I believe, did try to assist the Council in navigating through very complex multifamily issues. Candidly, the time spent in that activity was more time consuming than some town committees, and it centered on one of our most pressing ongoing issues: balancing multifamily housing requirements with the least disruptive changes to the bucolic nature of our town.

In my opinion, the Council has one overriding responsibility: to set a long-term strategic direction for Atherton and regularly guide the town towards that end, whether the task be the eightyear housing element, public improvements, financial welfare, city services, REACH codes, etc. Council members must also participate in town and county committees. This means being prepared, actively participating and supporting committee members. It is also a Council member's responsibility to be well versed in what is being reviewed at each meeting, which means understanding the materials, whether they be 50 pages or 300 pages. And, finally, Council members should engage with Atherton staff, residents and organizations ( our schools and community groups), one-on-one, in terms of important town matters. I am pleased to say that our current Council has always been willing to meet with residents and groups, and I will continue in that vein. As for personal experience that relates to these responsibilities, my husband and I have lived in Atherton for 40 years. Our children attended St. Josephs/Sacred Heart ATTACHMENT 4

Page 31 of 57 ends

and the Menlo School. Our granddaughter just started at Sacred Heart. I have a long "depository" of knowledge as to Atherton's history and issues, primarily over the last two decades. In terms of a professional career, I spent 14+ years in corporate finance, rising to a position of division controller with a major company. I have also managed our family business for 45 years. There's nothing like running your own business to truly understand finance and pragmatic day-to-day problem solving. Later in my 35+ year corporate career, I was in sales, project management and general management, culminating as the head of a business unit for a public company that also owned 11 other companies. I sat on the Boards of Directors of two of those start-up companies, one that eventually went public and one that failed. I learned more from the one that failed. To be honest, however, I think that the best experience that I can bring to the Council is from our family business: real estate development and
construction. We have built single family homes, fourplexes and, with partners, larger residential developments. We have owned commercial properties, as well. I personally manage our projects and understand what it takes to build and maintain structures whether they be a house, an apartment or an office building. I understand the bidding process, contract negotiation, codes and regulations, permitting, as well as construction and maintenance costs. All of this is important to strong financial and management experience, which Council applicants should bring to "the job".

And, I have spent considerable time on Atherton's Housing Element the past two years --- first, in trying to understand HCD's requirements and, later, in trying to work with Council and staff on multifamily zoning changes that would meet state
requirements yet best preserve our town's bucolic character.

Atherton still has housing challenges: new regulations and continued execution of the commitments in our Housing Element. 2025-2026 is important in that regard. The second half of 2025 will also focus on a decision as to whether Atherton can benefit by changing its municipal status to that of a charter city. I did a considerable amount of research regarding this matter before being one of several residents that asked the Council to consider the change. I am aware of the pros and cons, primarily stronger home rule, greater contract flexibility for town services, and tax options. Lastly, there are the infrastructure issues which I have kept abreast of, although to a lesser degree: bike lanes, drainage, park and playground improvements, a children's area at the Town Center, the Atherton Ave. roundabout, etc. The key point is the following: if this appointee is only going to serve one year, then it is best to have someone who has a basic familiarity with what the Council will deliberate. The strongest candidate in this regard --- familiarity with what the Council must address in the next 14 months --- should be appointed, whether that is me or someone else.

Describe why you want My desire to serve on the Council is quite simple: to give back to

Page 32 of 57 ends

to serve on the City
Council and what you
hope to accomplish as
a member?
the town that has given my family so much. For most of the past four decades, I simply did not have the time to serve on the Council or a town committee. I am in a position to do so now and to devote whatever effort it takes to productively work with my fellow Council members, town staff, residents, and city and county committees for the betterment of our community. Being a Council member is a full-time job, and I am highly respectful of the years of strong guidance that current Council members have given to Atherton. I would only hope that I could provide the same, albeit for a brief period. I do not have a personal agenda, and I do not seek to use this appointment as a stepping stone to a four-year term. I am not interested in the latter. My only goal is to serve Atherton's residents in ways that best fulfill our strategic direction, insure financial strength, provide direction and support to city staff, and thoughtfully listen to input from those who take the time to write to Council members, come to meetings, complete surveys, and otherwise ask for "their voice" to be considered. It's not easy to be a Council member. There are times when the Council is "the bad guy" to a particular constituency. Still, the Council must do what it believes is in the best interest of the Town and its residents, whether that is popular or not. I believe that you have done so. If I only accomplish one thing, it will be to serve respectfully and fully.

Additional Information
you would like to add?
One final comment: Atherton has never been better. We've never had more activities to bring residents together. The new Town Center is terrific. Our city manager and town staff have done a marvelous job of communication through newsletters and
mailings. I also like the surveys that the town has been posting.

It's a wonderful opportunity for resident input. Kudos to the Council and city staff for each of these efforts. They matter.

Dear Mayor Lewis and Council Members DeGolia, Widmer and Holland:

As you are aware, I have indicated an interest in serving our wonderful town by potentially being appointed to fill Council Member Hawkins-Manuelian’s upcoming vacancy for one year. By way of this letter, I wish to reiterate my interest prior to your upcoming September 3 Study Session.

I am aware that Atherton does not have a formal application for such appointment, and I have already shared with you some details about my background and my motivation in applying for the appointment. Let me address motivation first. My husband and I have been very fortunate to have lived in Atherton for 40 years. Our two sons attended Sacred Heart and the Menlo School, and our granddaughter just started pre-school at Sacred Heart this past week. After enjoying the town’s benefits for four decades, I feel that it is time to give back. Giving back does not come without personal sacrifice though, and I am acutely aware that being on the City Council is a full time “job”. I have tremendous respect for the time, energy and dedication that each of you has devoted to Council responsibilities --- for years. I expect to do no less and commit that I will thoroughly study municipal matters; be fully prepared for Council, committee and county meetings; and represent the wishes of the majority of residents and not my own personal desires.

In terms of formal education, I have a BA in economics and an MBA with a concentration in finance. I went to law school for one year, which was long enough to determine that I did not want to be a lawyer. Instead, I pursued a corporate career.

After college, I spent almost 20 years in telecom, working for AT&T, MCI Worldcom and GTE/Verizon. That portion of my career was focused in Finance, including financial reporting, budgeting, operations and culminated in being the controller of a subsidiary of Verizon (part of GTE at that time).

Following my Finance stint, I went into general management, heading international sales and project management for several companies, primarily focused in telecom.

For two years, I even had oversight of a manufacturing plant in India.

The last eight years of my 30-plus year corporate career were spent heading the Entertainment Division of Macrovision Corp (now known as Tivo). My division was responsible for digital rights management (i.e., software security) for major content owners, including filmmakers, pc games companies and record labels: over 2,500 in total. Macrovision’s technology was in every personal computer, DVD player and other video device. We had over 900 worldwide patents to enforce and an audit program to insure royalty payments from more than 100 manufacturing companies that incorporated our technology. Besides heading the business unit, I personally handled all contract negotiations with the MPAA studios (Disney, Warner, Sony, Fox, Paramount, etc.).

Following my corporate career, I spent two years as VP of Development for the Tech

Page 34 of 57 ends

Museum and four years as VP of Development, Finance and Operations for the Silicon Valley Education Foundation (SVEF). At the Tech Museum, I worked with major corporations including Intel, Adobe and Nvidia to fund and create three new galleries. At SVEF and its partner organization, ALearn, I worked with others to raise funds to provide summer and after-school math and science programs to help lowerincome students who needed academic support. SVEF partnered with thirty-some public school districts in San Mateo and Santa Clara Counties. We also hired over 300 public school teachers each summer.

At the same time that I had a corporate and non-profit career, my husband and I had a real estate development company. We have built single family homes in the Bay Area and southern California, as well as residential development projects elsewhere.

We have also owned commercial properties in several states. While I have not participated in a town committee in Atherton per se, I have been an active participant in the Builders Roundtable since it was started several years ago by the Atherton Building Department.

What skills has my professional life taught me that are transferrable to being a part of the Atherton City Council? Having our own family business, in particular, involved personnel matters, payroll, contracting for services and materials, finance and tax, construction management and regulation awareness (building and city codes). This knowledge aided me recently as I pondered the changes that multifamily housing would bring to our town, and as I tried to find a balance between state requirements and property owner protection. I, of course, was also a part of the Atherton Housing Coalition which sought to find a “middle ground” to the housing issues.

What did I actually learn in this long career? I learned that integrity matters, that it’s best to “play it straight”, to listen to the “other side” and to compromise. I don’t think I ever got all that I wanted in any negotiation. I did, however, get what was truly important, and I let go of the things that didn’t really matter. I would hope that this is how I would face town issues: focus on what actually matters and compromise for the betterment of all.

Lastly, let me remark on why it might make sense to appoint me to the Town Council.

Besides being a long-time Atherton resident and wanting to see our city thrive, I am very much aware that we have vital matters that are unfinished: implementation of our latest Housing Element, potential SB79 impact, drainage, transportation (possible lane changes to El Camino, bike lanes on certain city streets, and speed bumps), public works projects such as playground and infrastructure retrofits in Holbrook Palmer Park and at the town center (outside expansion plans for children), the reach goals, charter city consideration, and so on. If an applicant is only going to serve for one year, then it might be best to appoint someone with a basic familiarity of what is likely to be our focus in the upcoming months. I also know many of the town staff that support the Council and manage town activities. I have the highest regard for the knowledge and hard work that George Rodericks, Britany Bendix, M Group, Interwest and all of our city personnel contribute to our town welfare.

As I mentioned to each of you, if there is a Council candidate that has greater knowledge than I or that you feel would work better with you, our City Manager or our town staff, then they should be appointed. If not, then I remain interested in being considered and potentially working with each of you for the betterment of Atherton.

Respectfully,

40-year Atherton resident
Starting building homes in Atherton in 1985. Have built 22 in Atherton and Menlo Park. 38-year corporate career:
• Senior Vice President and GM of the Entertainment Division of Macrovision Corp., now known as Tivo. The Entertainment Division provided content protection to over 2,000 video rights owners, record labels and pc games companies. I worked directly with the major MPAA studios for 8 years. Macrovision also owned 11 other companies; I sat on the BODs of two of them (start-ups).
• Prior to Macrovision, I was a VP Sales at several wireless companies in the Bay Area.

None of those companies still exist; all were bought by larger entities. The focus was international telecom infrastructure.
• Prior to my wireless positions, I was the financial controller of the satellite division of GTE, which bought Verizon and changed its name to Verizon. • Prior to GTE, I was the Director of Financial Reporting for MCI Worldcom • Prior to MCI Worldcom, I worked in Corporate Research at C&P Telephone (then part of AT&T) preparing rate cases for C&P Telephone with operations in Maryland, Virginia and West Virginia. I also worked at Southern New England Telephone (also then part of AT&T) for two years in the IT intern program.

After my corporate career, I was VP of Development for The Tech Museum in San Jose for 2 years, as we raised money and brought in technical expertise from Valley corporations to rebuild exhibits and implement an education program for local school children.

After The Tech Museum, I served as VP of Operations for the Silicon Valley Education Foundation (SVEF) and ALearn, a partner non-profit company, for 6 years. SVEF and ALearn ran summer and after-school math and science programs for underserved children in middle and high school. The goal was to get them to state-mandated proficiency levels. Each year, we hired over 300 teachers from San Mateo and Santa Clara school districts and served several thousand students. ALearn even ran a few summer classes at Menlo-Atherton high School.

I have managed our family real estate development business for almost 45 years. We have owned residential and commercial properties in 8 states, have built over 150 homes, and have dealt with federal government (GSA) requirements which are similar to California’s. There’s nothing like running your own business to understand business.

BA in Economics, MBA in Financial Management; went to law school for one year. University of Virginia and George Mason University (law school).

guides the operation of the town. It sets town priorities through adoption of the annual budget and direction to the town manager. It also represents the voices of resident concerns and requests. Lastly, it carries the responsibility of appointing members to its advisory committees and commision.

Describe why you want to
serve on the City Council
and what you hope to
accomplish as a member?
My family and I have lived in Atherton since 1999. The town has become my favorite subject and has captured my love for its history, its amazing and diverse resident base, its need for community, its need for safety and its need for a voice. Council members have long understood and honored this and, I feel, want much the same as I do. To try to do the best for everyone who calls this amazing town home. If I can possibly help in any way to further its secure future, I would be honored to do so.

Additionally, I feel my experience for 13 months would further enable to do a good job with our amazing library. Our town is a gem, our staff is stellar, as are the residents who live within it. If I can be of further service to them, it would be my honor to do so.

Additional Information you
would like to add?
I would like to add that I feel it is incredibly important to have the right mix of talents on our town council. No doubt other applicants have incredible gifts and talents to share. The right fit is the town council's to select for the betterment of the town.

Additionally, I feel it is imperative that any appointed town councilmember agree not to run for town council in the
following election as that would give that councilmember the unfair advantage of a true incumbent. Appointments are an honor to those who serve, but becoming a truly elected official, by the people of this town, is far more important to the future of this town.

I understand that the Council is responsible for setting the policy for the Town, and drafting the ordinances and regulations to enact that policy. My training as a lawyer would enable me to understand and contribute to that process. Councilmembers must represent their consituents. I have much experience in volunteer groups (e.g. President of the Menlo School "PTA") in which I have held leadership roles that require my interaction with stakeholders.

Dear Mr. Suber,
My name is Betsy (Elizabeth) Dixon and I reside at 62 Linda Vista Avenue, Atherton. I would like to apply for appointment to the vacant council seat.

I have been a resident of Atherton for 30 years. My husband, Donald, and I raised our four children here. I am 71 years old.

Here below is a brief resume of my educational, professional and volunteer experience:

Raised in Palo Alto
Stanford University, BA in Bilingual Bicultural Education awarded 1975 Taught Escuela Americana in San Salvador, El Salvador
New York University School of Law, JD awarded in 1979
Winthrop, Stimson in NYC, Associate
Cooley, Godward in SF, Associate
Menlo School, 6th grade Spanish teacher
Volunteer work:

San Francisco Symphony
Legal aid to survivors of domestic violence
Riekes Center (Board of Trustees)
Menlo School (Board of Trustees, President of “PTA”)
program through San Mateo County to help applicants pass the test to become a naturalized citizen translation work through the Lawyers’ Committee for Civil Rights of San Francisco Given my legal training, I believe that I would be a good candidate to understand the complicated issues facing our town council. Given my long tenure as a resident of Atherton, I believe that I would be a good candidate to understand the character of our town and the needs of our residents. And, given that I have lived here for 30 years, I believe it is my turn to give back to this wonderful town and that my service as a town council member would be a good way in which to satisfy that objective.

I will be out of the country on October 1, so that may foreclose any opportunity for the council to consider my application.

I will return October 8. If the decision to appoint a council member is still pending at that time, and I could interview for the position, I would be happy to set up one-on-one interviews with members if that option could be available.

Thank you for your consideration of this email.

Very truly yours,
Betsy Dixon
