SUBJECT: Approving Memorandum of Understanding with the County of Merced Office of Emergency Services for the State Homeland Security Grant Programs Funding for Equipment, Planning, Administration, Training and Exercises (CAL FIRE Battalion Chief Ayuso)
RECOMMENDED COUNCIL ACTION
Approval of the Memorandum of Understanding, in a form approved by the City Attorney, with the County of Merced Office of Emergency Services for the State Homeland Security Grant Programs Funding for Equipment, Planning, Administration, Training and Exercises; and authorizes and directs the City Manager, or designee, to execute any and all documents related to the Memorandum of Understanding on behalf of the City.
I. BACKGROUND/ANALYSIS:
Staff is requesting approval of the Memorandum of Understanding (MOU) with the County of Merced Office of Emergency Services (OES) for State Homeland Security Grant Programs Funding (HSGP) for Equipment, Planning, Administration, Training and Exercises. Approval will allow the City of Atwater to formally receive Homeland Security Grant funding for the FY 23. If the City intends on requesting funds through HSGP or obtaining reimbursement, attachment "A" the City Manager needs to read and initial each page with the attached MOU.
These documents need to be processed and approved by all local City Council and a copy needs to be submitted to Merced County OES for their records. Even if the City doesn't plan on obtaining funds through HSGP, it's highly suggested to process all MOUs should any funds be available in the future.
II. FISCAL IMPACTS:
There are currently no fiscal impacts with the approval of this MOU however, should HSGP funding be available in the future this would allow the City to apply for those funds, and in turn, relieve some fiscal burden on the City.

NOW, THEREFORE, based on the foregoing recitals, which the parties agree to be true and correct, it is mutually agreed between both parties:
I. This AGREEMENT applies to the State Homeland Security Grant Program, funded through the County to the Sub-Recipient.
II. Amendments or modifications to the terms of this AGREEMENT must be made in writing, and approved by all parties hereto, in order to maintain compliance with changes pursuant to federal or state laws, regulations, or policies affecting pertinent regulations or funding.
III. The FY 2023 GRANT ASSURANCES for the SHSGP, promulgated by the California Office of Emergency Services, is made part of this AGREEMENT and included as ATTACHMENT A.
Sub-Recipient certifies that:
1) Sub-Recipient will comply with the FY 2023 GRANT ASSURANCES; 2) Sub-Recipient’s signatory to this agreement will separately sign the FY 2023 GRANT ASSURANCES included as ATTACHMENT A;
3) Sub-Recipient’s signatory has obtained the required written authorization from signatory’s applicable governing body, as set forth in the attached FY 2023 GRANT ASSURANCES, that signatory is authorized to sign this AGREEMENT.
IV. TERMINATION:
A. Without Cause: County will have the right to terminate this AGREEMENT without cause by giving thirty (30) days prior written notice of intention to terminate pursuant to this provision, specifying the date of termination. County will pay to the Sub-Recipient the compensation earned for pre-approved work performed and not previously paid for during the period of this AGREEMENT to the date of termination. County will not pay lost anticipated profits or other economic loss.
2 The payment of such compensation is subject to the restrictions on payment of compensation otherwise provided in this AGREEMENT, and is conditioned upon receipt from Sub-Recipient of any and all plans, specifications and estimates, and other documents prepared by Sub-Recipient in accordance with this AGREEMENT. No sanctions will be imposed.
B. With Cause: This AGREEMENT may be terminated by either party should the other party:
1. be adjudged as bankrupt, or
2. become insolvent or have a receiver appointed, or
3. make a general assignment for the benefit of creditors, or
4. suffer any judgment which remains unsatisfied for 30 days, and which would substantively impair the ability of the judgment debtor to perform under this AGREEMENT, or
5. materially breach this AGREEMENT.
For any of the occurrences except item (5), termination may be effected upon written notice by the terminating party specifying the date of the termination. Upon a material breach, the AGREEMENT may be terminated following the failure of the defaulting party to remedy the breach to the satisfaction of the non-defaulting party within five (5) days of written notice specifying the breach. If the breach is not remedied within that five (5) day period, the non-defaulting party may terminate the AGREEMENT on further written notice specifying the date of termination. If the nature of the breach is such that it cannot be cured within a five (5) day period, the defaulting party may, submit a written proposal within that period which sets forth a specific means to resolve the default. If the non-defaulting party consents to that proposal in writing, which consent shall not be unreasonably withheld, the defaulting party shall immediately embark on its plan to cure. County will pay to the Sub-Recipient the compensation earned for work performed and not previously paid for to the date of termination. County will not pay lost anticipated profits or other economic loss, nor will the County pay compensation or make reimbursement to cure a breach arising out of or resulting from such termination. If the expense of finishing the Sub-Recipient scope of work exceeds the unpaid balance of the AGREEMENT, the Sub-Recipient must pay the difference to the County. The payment of such compensation is subject to the restrictions on payment of compensation otherwise provided in this AGREEMENT, and is conditioned upon receipt from Sub-Recipient of any and all plans, specifications and estimates, and other documents prepared by Sub-Recipient by the date of termination in accordance with this AGREEMENT.
Sanctions taken will be possible rejection of future proposals based on specific causes of non-performance.
C. Effects of Termination: Expiration or termination of this AGREEMENT shall not terminate any obligations to indemnify, to maintain and make available any records pertaining to the AGREEMENT, to cooperate with any audit, to be subject to offset, or to make any reports of pre-termination contract activities. Where SubRecipient’s services have been terminated by the County, said termination will not affect any rights of the County to recover damages against the Sub-Recipient or to require the forfeiture of equipment acquired or obtained through grant funds as provided in section III, paragraph 44, subparagraph (c).
3 D. Suspension of Performance: Independent of any right to terminate this AGREEMENT, the authorized representative of County for which Sub-Recipient’s services are to be performed, may immediately suspend performance by SubRecipient, in whole or in part, in response to health, safety or financial emergency, or a failure or refusal by Sub-Recipient to comply with the provisions of this AGREEMENT, until such time as the cause for suspension is resolved, or a notice of termination becomes effective.
V. TERM: This AGREEMENT shall commence on the date of County signature and continue until terminated under the provisions of paragraph IV. The performance period for the FY 2023 SHSGP is 09/01/2023 to 05/31/2026.
VI. INDEMNIFICATION:
A. County shall defend, indemnify and hold Sub-Recipient and its respective officers, board members, employees and agents, harmless from and against any and all liability, loss, expense, reasonable attorneys' fees, or claims for injury or damages arising out of the performance of this AGREEMENT but only in proportion to and to the extent such liability, loss, expense, reasonable attorneys' fees, or claims for injury or damages are caused by or result from the negligent acts or omissions, or willful misconduct of County, its officers, agents, or employees.
B. Sub-Recipient shall defend, indemnify and hold County, its officers, board members, employees and agents, harmless from and against any and all liability, loss, expense, reasonable attorneys' fees, or claims for injury or damage arising out of the performance of this AGREEMENT but only in proportion to and to the extent such liability, loss, expense, attorneys' fees, or claims for injury or damages are caused by or result from the negligent acts or omissions, or willful misconduct of Sub-Recipient and its officers, agents, or employees.
VII. INSURANCE: Sub-Recipient certifies it is insured or self-insured for general liability exposures with limits of no less than $1 million per occurrence. Sub-Recipient certifies it is insured or self-insured for workers’ compensation and maintains statutory limits. SubRecipient agrees that coverage limits specified within the agreement will not be used to reduce limits of coverage from Sub-Recipient full policy limits. Insurance Policies will not be used to limit liability or to limit the indemnification provisions and requirements of this agreement or act in any way to reduce available coverage and limits from the insurer.
Failure to maintain or renew coverage may be a material breach of this AGREEMENT.
VIII. ENTIRE AGREEMENT REPRESENTED: This AGREEMENT represents the entire agreement between Sub-Recipient and County as to its subject matter and no prior oral or written understanding shall be of any force or effect. No part of this AGREEMENT may be modified without the written consent of both parties.

AGENDA REPORT
MEETING
DATE:

TO: Mayor and City Council
FROM: Justin Vinson, Public Works Director
PREPARED
BY:
Justin Vinson, Public Works Director
SUBJECT: Awarding Purchase to Tesco Controls, Inc of Sacramento, California for a Control Panel for the Future Storm Pond/Basin for Lower Shaffer Drainage Project(Public Works Director Vinson)
RECOMMENDED COUNCIL ACTION
Award a purchase to Tesco Controls, Inc of Sacramento, California for a control panel for the future storm pond/basin for the future Lower Shaffer Drainage Project, in an amount not to exceed $215,000.00; and authorize and direct the Interim City Manager, or designee, to execute the Purchase Order on behalf of the City.
I. BACKGROUND/ANALYSIS:
The City of Atwater currently uses Tesco Controls software and services to provide the City with its supervisory control and data acquisition (SCADA) system that allows the City to remotely control its water, sewer, and storm stations. The City’s SCADA system allows the Public Works Department to receive alarms, adjust levels or pressures at sites, change the status of a station, run detailed reports on stations, and etc.
To ensure that the pump controls and alarms for the future storm pond/basin can integrate with he city's existing system, the city will purchase the control panel from Tesco, which provides the control panel for every existing water, sewer, and storm station in the City. Staff is recommending moving forward with the purchase now instead of when bidding for the project due to the lead times in electrical equipment and to prevent delays in the project due to not having the control panel in time of the completion of the project. The city's designer (GHD) has been involved with the details of the control panel and has included the control panel in the drawings to ensure the pumps will be functional with the control panel.
Sole Source
AMC 3.04.110(C) lists sole source purchases as an exemption to the formal, centralized purchasing procedures. One of the qualifications for a sole source purchase is that the product “has been proven to be the only product that is acceptable.”

Agenda Report - Awarding Purchase to Tesco Controls, Inc of Sacramento, California for a Control Panel for the Future Storm Pond/Basin for Lower Shaffer Drainage Project(Public Works Director Vinson) Page 2
Further, the City of Atwater Purchasing System Manual, Section 9, Procurement Methods, “Sole Source Purchases (page 17),” states that the City’s bidding procedures may be dispensed when it qualifies as a sole source due to the fact when any of the following apply:
1. The brand or trade name article, goods, or product or proprietary service is the only one which will properly meet the needs of the City; or
2. The item or service is unique and available only from a sole source; or
3. The item or service is designed to match others already in use or necessary to be compatible with others already in use.
Here, due to the need to integrate one SCADA system city-wide, and the efficiencies and economies of scale captured by such integration, this purchase represents the only acceptable choice for the City and comports with the City's purchasing requirements for sole source purchases.
II. FISCAL IMPACTS:
There is sufficient funding available in the Fiscal Year 2023-24 Budget Sewer Enterprise Fund, Capital Projects, Lower Shaffer Storm Drainage Improvements Account No. 6010.1080. W009.

Re: City of Atwater
Lower Shaffer Road Drainage Improvements – Control Panel Dear Justin:
Thank you for your continued interest in TESCO products, services, and solutions. We are pleased to quote the following scope of work pertaining to the above-referenced project.
Project Background
The City of Atwater is currently in design for improvements to their drainage system at Lower Shaffer Road. This design will be similar to Fruitland Ave Storm Lift Station (Tesco Job T-52366) however, Lower Shaffer will be rated for 400 amps and have larger pumps with a smaller low-flow pump. This panel will be purchased before the rest of the job goes out to bid in order to begin the design and manufacturing of the panel. If the design changes apart from what is listed out in the Scope of Work and Scope of Supply below, it will be quoted on a change order.
Scope of Work
Tesco Controls will design and manufacture a control panel similar to Fruitland Ave Storm Lift Station. This will be a three or four section metered control panel that will house a Tesco L3000 PLC and controls for two main 75HP pumps and one low-flow 3HP pump. The enclosure will be designed with sunshields to help with heat mitigation within the panel.
A Tesco Project Engineer will design this custom panel and create drawings with a bill of material for the equipment. This design will be submitted to the City for approval. Upon approval Tesco will begin manufacturing the panel.
A Tesco L3000 PLC will automate the site. It is understood that there will be two modes for this site. Wet season and dry season modes. Wet season will mainly utilize the large 75 HP pumps and dry season will mainly utilize the 3 HP pump.
Tesco will provide a Reactive Air System (RAS) for level instrumentation. The RAS will be mounted inside of the control panel. Paraflex tubing and a RAS PVC bell will be provided and installed by others. Two float switches will be provided for backup instrumentation.
In order to be able to bring this site onto SCADA, Tesco will perform a radio study. This radio study will include a preliminary path profiling of the site to get theoretical radio links from this site to an access point. Then Networking & Telemetry Engineers will perform an onsite survey to test the feasibility and needs criteria for this radio link. Please note that the link may require a tower which is not provided within this quotation. Tesco will be providing a radio, antenna, and antenna cabling for this project, any additional needs above what is quoted in the scope of supply below will be quoted separately on a change order. The antenna and antenna cable will be installed by others.
A Tesco SCADA Programming Engineer will perform the SCADA modifications required to bring this site onto SCADA. The Engineer will follow the City’s current standards and create a new screen to match the look and feel of the rest of the application. The Engineer will utilize existing storm water pump stations and match the required data provided on those existing screens.

Once the control panel is designed, manufactured, programmed, and factory tested, it will be shipped to the City for installation by others. It is understood that this will be a bid project and this control panel is pre purchased.
The winning electrical contractor will install this panel per the plans and specs of the project. Once the panel is installed, a Tesco Field Service Engineer will perform onsite startup of the panel.

Re: City of Atwater
SCADA Control & Telemetry System
Exclusivity Letter
Dear Mr. Justin Vinson,
Tesco Controls (TESCO) is the system supplier and equipment manufacturer for the City of Atwater’s control system installed at various water, wastewater, and storm station sites, including: Remote Telemetry Units (RTUs) / Programmable Logic Controllers (PLCs), communication systems, hardware, software (including SCADA software drivers), and programming. These systems are comprised of TESCO-brand products, which are interconnected to orchestrate system controls and SCADA data monitoring, and incorporate custom, site-specific software and programming specifically developed by TESCO for the City’s systems and automation/control needs. The technology deployed incorporates the integration of hardware, software, and communication protocols with aspects of these systems being proprietary in nature.
The products installed at the numerous sites and facilities within the City of Atwater’s system communicate between one another via radio telemetry and use specialty protocol drivers to facilitate efficient and effective SCADA data monitoring and control data messaging. In order to leverage lighter “over-the-air” payloads and enhanced communications management, the system is deployed using a proprietary data telemetry protocol to orchestrate controls and automation. Such protocols are specific to RTU/PLC equipment, which are TESCO-brand products specifically manufactured and sourced solely by Tesco Controls.
TESCO remains committed to provide products, service, integration, and support services to the City of Atwater and its control system. We actively maintain the City’s control strategy documentation and programming code for these systems. TESCO possesses the experience, intimate knowledge, and understanding of the City’s automation equipment to service and support the City’s systems and City’s needs. This makes TESCO the most cost-effective and ideal solution provider for continued support, services and product builds, while also preserving uniformity throughout the City’s system relating to standards, maintenance, operations, training, and spare parts.
We hope this information helps identify the importance of maintaining the City’s pre-established standards, which will manage costs, downtime, consistency, training, and support for the City’s infrastructure. If you have any questions, comments, or need additional information, please feel free to contact us.
Best regards,
TESCO CONTROLS

RECOMMENDED COUNCIL ACTION
Accepts qualified bid, authorizes and approves a Purchase Agreement (Purchase Order) with Cooks Communications of Fresno, California, for the lease purchase of Fifty (50) new portable radios in an amount not to exceed $176,009.17; and authorizes and directs the Interim City Manager, or designee, to execute the purchase on behalf of the City.
I. BACKGROUND/ANALYSIS:
At the regular City Council meeting on March 11, 2024, the City Council approved the issuance of Bid Call 727-24 for the purchase of fifty (50) portable radios for the Police Department. This bid call was transmitted to potential bidders pursuant to the city's purchasing manual. On April 11th, 2024, a public bid opening was held for Bid Call 727-24 and the City received two responsive bids. Cooks Communications of Fresno, CA and Motorola Solutions.
After analysis of the submitted packages, Quote #14869, submitted by Cooks Communications out of Fresno, provides a comprehensive cost-effective solution to replace the Department's aging portable radios. As part of the bid package, the bidders were required to submit lease purchase options for the equipment. After an analysis of the lease terms, staff recommended a 5-year lease with a 10% down payment as the most cost-effective solution to acquire the equipment.
Staff requests the City Council accept the bid and authorize the execution of a lease purchase agreement with Cooks Communications of Fresno Ca., Community Leasing Partners of Kansas for the 5-year lease purchase of fifty (50) Kenwood Portable Radios that match the specification in Bid Call 727-24, for an amount not to exceed $176,007.17.

SUBJECT: Approving Equipment/Software Lease-Purchase Agreement with Axon Taser for the Lease-Purchase of a Body Camera, In-Car Video, Conductive Energy Weapon, and Video Evidence
Management System (Police Chief Salvador)
RECOMMENDED COUNCIL ACTION
Approval of retiring the current Five-Year Lease-Purchase Agreement and execution of a New 10-year agreement, in a form approved by the City Attorney, with Axon Taser of Arizona, in the amount not to exceed $122,000 per year, over a 10-year period, for the Police Department's Current Body Camera System, Video evidence management system, In-car Video System, conductive energy weapons system; and authorizes and directs the Interim City Manager or designee to execute the Agreement on behalf of the City.
I. BACKGROUND/ANALYSIS:
The Police Department currently equips its officers with the Taser Body Camera system via a five-year lease. The growth of the department and increases in department activity has exposed a need for the system to be expanded. The Department received a proposal from Taser to expand the system to accommodate the growth in the department and activity. This package supplies not only the camera equipment but the technology upgrades needed to keep the department current. The Department has made appropriate plans by sourcing a lease option to fill its needs versus a large capital outlay. The department has also taken into consideration leasing enough equipment to accommodate department expansion. This critical equipment replacement fulfills a critical officer safety and procecutorial need.

made appropriate plans by sourcing a lease option to fill its needs versus a large capital outlay. The department has also taken into consideration leasing enough equipment to accommodate department expansion. This critical equipment replacement fulfills a critical officer safety need.
The Police Department is in need of equipping its parol fleet with a Taser in-car camera system. This system will provide the department with a third video feed to complement the body camera system. The proposed package supplies not only the camera equipment but the necessary technology upgrades needed to keep the department current. The Department has made appropriate plans by sourcing a lease option to fill its needs versus a large capital outlay. The department has also taken into consideration leasing enough equipment to accommodate department expansion. This critical equipment fulfills a critical officer safety and prosecutorial need.
The final piece of this system is the integration of the Department's drone program. In the current fiscal year, the Department purchased a drone compatible with the Taser systems above. This agreement would provide licensing for four pilots and integrate the drone with the Evidence.com system.
These systems are tied together with Taser's cloud based Evidence.com digital storage solution. This solution was first procured when the Department received its body camera system and has grown with the Department's needs in the four years since implementation. This system provides a comprehensive video evidence management system that stores video from all the Department's digital evidence gathering equipment.
To simplify budgeting and to provide greater transparency, this proposal would consolidate the four current contracts with an additional in-car video solution. The Department would receive a single bill for all four systems. Lease and replacement terms would also be consolidated into one contract. Damage replacement and technology upgrades are a part of the Agreement and scheduled throughout the term.
The Department would then have a fixed cost for this vital equipment for the next ten years.
Purchasing Policy
Generally, the Atwater Municipal Code (AMC) requires all purchases which exceed $25,000 in price to be competitively bid through the City’s centralized purchasing requirements. However, AMC section 3.04.110 expressly provides that the centralized purchasing requirements may be dispensed with for (i) sole source purchases or (ii) when approved by City Council to take advantage of unique cost-saving opportunities.
As detailed below, both exceptions apply to this purchase, allowing the Council to waive the formal, centralized purchasing requirements.
Agenda Report - Approving Equipment/Software Lease-Purchase Agreement with Axon Taser for the Lease-Purchase of a Body Camera, In-Car Video, Conductive Energy Weapon, and Video Evidence Management System (Police Chief Salvador) Page 3
Sole Source
AMC 3.04.110(C) lists sole source purchases as an exemption to the formal, centralized purchasing procedures. One of the qualifications for a sole source purchase is that the product “has been proven to be the only product that is acceptable.” Further, the City of Atwater Purchasing System Manual, Section 9, Procurement Methods, “Sole Source Purchases (page 17),” states that the City’s bidding procedures may be dispensed when it qualifies as a sole source due to the fact when any of the following apply:
1. The brand or trade name article, goods, or product or proprietary service is the only one which will properly meet the needs of the City; or
2. The item or service is unique and available only from a sole source; or
3. The item or service is designed to match others already in use or necessary to be compatible with others already in use.
The proposed package includes a complete multi-disciplinary technology solution. This system includes weapons, cameras, chargers, training equipment, mounting equipment, cloud storage, management software, and “Evidence.com” software. The software to utilize Evidence.com will provide the City with the ability to integrate/interface directly with other Merced County law enforcement agencies, including the District Attorney’s Office, Merced Police Department, and Merced County Sheriff’s Office. The following benefits are achieved with Axon Taser:
Axon Taser is a fully integrated system (one database). Additionally, Sun Ridge Systems has a module to allow Axon’s Evidence.com to integrate and catalog videos to the case number it was drawn from.
Axon Taser provides an “evergreen” yearly support plan, which ensures the system always updates to its most recent version, without additional costs. This reduces the workload impact on the City of Atwater Information Technology and Police personnel as it offers not only a fully supported body camera software and hardware package, but also engineering team support from Axon Taser to assist with the updated system versions, equipment replacement, and upgrades.
• No other commercial hardware and software package will provide the department with the represented features, interoperability potential, and cost savings potential.
• These features will ultimately allow for the Atwater Police Department to better serve our community. This item executes a goal of the 2019 Police Department Strategic Plan by deploying modern law enforcement tools to enhance service delivery, transparency, and professionalism.
•
Unique Cost Savings Opportunity
Agenda Report - Approving Equipment/Software Lease-Purchase Agreement with Axon Taser for the Lease-Purchase of a Body Camera, In-Car Video, Conductive Energy Weapon, and Video Evidence Management System (Police Chief Salvador) Page 4
In addition to this product being a sole source within the meaning AMC 3.04.110(C), centralized bidding procedures may also be waived here because it represents the only viable opportunity for the City to “take advantage of unique cost-saving opportunities.” The lease purchase of the Axon Taser integrated system is the best and only acceptable alternative that will yield the deployment of an integrated system in a costeffective manner.
For all the reasons set forth above, including those applicable to the sole source of justification, this is also a purchase that represents a unique cost-savings opportunity for the City. Therefore, staff is recommending approval to enter into a lease-purchase agreement with Axon Taser to acquire an integrated system.
II. FISCAL IMPACTS:
The total cost of the unified solution is approximately $1,197,957. An initial payment of $105,122.76 is due in FY 2024-25. The initial payment will cover the cost of the lease equipment and maintenance for year one. The balance of the lease cost of $1,092,834.38 will be financed over nine years with annual payments of $121,426.07.
The Agreement is for the term of ten years and the payment amounts will be incorporated into future budgets until paid in full. There are no interest payments. At the conclusion of the term, the department would need to renegotiate the agreement.
This Agreement has been budgeted in the FY 24-25 budget submitted by the Police Department.
This item has been reviewed by the Finance Department.
III. LEGAL REVIEW:
This item has been reviewed by the City Attorney’s Office.
IV. EXISTING POLICY:
This item is consistent with and is a step to complete the Police Department’s strategic plan presented on April 8th, 2019.
