TO: HONORABLE MAYOR AND CITY COUNCIL
FROM: RACHEL RICHMAN, CITY ATTORNEY
VIA: TALIKA M. JOHNSON, DIRECTOR OF ADMINISTRATIVE SERVICES DATE: JULY 20, 2026
SUBJECT: CONSIDERATION OF ADOPTION OF A RESOLUTION APPROVING THE

SIXTH AMENDMENT TO THE CITY MANAGER EMPLOYMENT
AGREEMENT (SERGIO GONZALEZ) AND UPDATING THE CITY’S SALARY

SCHEDULE
BACKGROUND:

On April 1, 2018, the City entered into an Employment Agreement with Sergio Gonzalez to serve as City Manager for the City of Azusa. Since that time, the City Council has approved five amendments to the Employment Agreement reflecting changes to compensation, benefits, deferred compensation, severance, and contract term resulting from annual performance evaluations:
• September 16, 2019 - First Amendment, providing a one-time, 3% bonus and increase to the monthly Flexible Benefit Plan contribution from $1,200 to $1,400. • July 19, 2021 - Second Amendment, increasing: annual salary from $214,000 to $240,000; monthly Flexible Benefit Contribution from $1,400 to $1,500; the contribution to the Health Reimbursement Account from $1,000 per year to an amount based on years of service (consistent with other non-represented employees); and severance payment term, effective January 1, 2022, from nine (9) months to twelve (12) months. • October 3, 2022 – Third Amendment, increasing: annual salary from $240,000 to $265,000; monthly Vehicle Allowance from $500 to $600; and severance payment term, from twelve (12) months to thirteen (13) months.
• September 18, 2023 – Fourth Amendment, increasing: annual salary from $265,000 to $280,000 and severance payment term, from thirteen (13) months to fourteen (14) months. • November 4, 2024 – Fifth Amendment, amending: the term of the employment agreement 6 th Amendment to City Manager Employment Agreement

with an expiration date of June 30, 2028 and the severance payment term (for termination without cause) from fourteen (14) months to add an additional month for every year of service to the maximum permitted by state law eighteen (18) months, and increasing: annual salary from $280,000 to $300,000 with scheduled cost of living adjustments of 3% effective July 1, 2025, 4% effective July 1, 2026, and 4% effective July 1, 2027.

Consistent with the Employment Agreement, the City Council conducted a comprehensive performance evaluation of the City Manager during a series of closed session meetings held throughout the spring of 2026. The evaluation included discussion of organizational performance, implementation of City Council priorities, financial management, infrastructure investment, labor relations, economic development, community services, and executive leadership.

Following completion of the evaluation, the City Council directed the City Attorney to negotiate amendments to the Employment Agreement reflecting the Council's determination that extending the Agreement through June 30, 2031, would provide continuity in executive leadership during a period of continued investment in infrastructure, economic development, utilities, and organizational initiatives. The attached Sixth Amendment is the result of those negotiations.

Government Code section 54953(c)(3) requires the City Council to orally report a summary of recommendations regarding compensation and fringe benefits for a local agency executive during the open meeting in which final action is taken. This staff report summarizes the basis for the recommended amendments.

Additionally, the City is also amending its published salary schedule to reflect the City Manager’s new salary to ensure compliance with California Public Employees Retirement System regulations.

RECOMMENDATION:

Staff recommends the City Council take the following action:
1) Adopt Resolution No. 2026-C45 of the City Council of the City of Azusa, California, approving a Sixth Amendment to the City Manager Employment Agreement (Sergio Gonzalez) and updating the City’s publicly available salary schedule.

ANALYSIS:

Consistent with the terms of the Employment Agreement, the City Council conducted a comprehensive performance evaluation of the City Manager during a series of closed session meetings held throughout the spring of 2026. In addition to evaluating the City Manager's overall performance, the Council reviewed the City's progress in implementing strategic priorities established during the past eight years.

Among the accomplishments reviewed by the City Council during the performance evaluation were the following:
• Passage of Measures Z and ZZ, preserving millions of dollars in locally controlled revenue for essential City services and infrastructure.

• Refinancing approximately $80 million in Pension Obligation Bonds, generating an estimated $54 million in long-term savings, and establishing Section 115 Pension and OPEB Trusts to reduce long-term retirement liabilities.
• Securing more than $25 million in competitive grant funding to leverage state, federal, and regional investment in City priorities.
• Investment of more than $30 million in extraordinary capital improvement projects supporting parks, community facilities, public infrastructure, and neighborhood amenities. • Completion of two major downtown mixed-use catalyst developments, redevelopment of the Edgewood Shopping Center through the opening of Vallarta Supermarkets, and establishment of the Azusa Resource Center (ARC).
• Strengthening the City's fiscal position through significant General Fund reserve growth, improved credit ratings that reduced borrowing costs, and restructuring franchise agreements that increased ongoing revenues.
• Continued investment in municipally owned electric and water utilities, implementation of major sustainability initiatives, and advancement of environmental stewardship. • Strengthening public safety through enhanced emergency preparedness, achievement of full sworn police staffing, and continued investment in public safety operations. • Organizational transformation through strategic departmental restructuring, technology modernization, and successful completion of two full rounds of labor negotiations covering all eight employee bargaining groups.
• State and national recognition for excellence in financial management, economic development, innovation, and community services, including multiple Government Finance Officers Association (GFOA) Awards, the Helen Putnam Award for Excellence, and EDDY Award recognition.

The Council also considered the following accomplishments in greater detail.

Fiscal Sustainability
Since 2018, the City has implemented numerous long-term financial initiatives designed to strengthen its fiscal position and reduce future financial obligations. During this period, the City secured voter approval of Measures Z and ZZ, preserving millions of dollars in locally controlled revenue for essential municipal services and infrastructure improvements. The City refinanced approximately $80 million in Pension Obligation Bonds, generating an estimated $54 million in long-term savings, established Section 115 Pension and OPEB Trusts, and began making significant annual contributions toward reducing unfunded retirement liabilities.

Additional accomplishments during this period included significant growth in General Fund reserves, strengthening the City's financial profile through improved credit ratings that reduced borrowing costs and generated long-term savings for taxpayers, restructuring franchise agreements resulting in increased ongoing revenues, and earning consecutive Government Finance Officers Association Distinguished Budget Presentation Awards and Certificates of Achievement for Excellence in Financial Reporting.

Strategic Partnerships and External Investment
Throughout the City Manager's tenure, the City secured more than $25 million in competitive grant funding to support transportation improvements, water infrastructure, parks, libraries, homelessness initiatives, public safety, historic preservation, recreation programming, and numerous capital improvement projects.

The City's proactive pursuit of state, federal, and regional funding opportunities enabled implementation of key Council priorities while leveraging outside investment to reduce reliance on local funding sources. These partnerships expanded the City's capacity to deliver critical infrastructure, enhance community amenities, and improve public services while maximizing the value of taxpayer resources.

Economic Development and Community Revitalization
The City continued implementing long-term economic development initiatives that resulted in substantial public and private investment throughout the community. Two major mixed-use catalyst developments were completed in Downtown Azusa, increasing housing opportunities, expanding commercial activity, strengthening the City's tax base, and advancing decades of downtown planning efforts.

The City facilitated redevelopment of the long-vacant Edgewood Shopping Center through the opening of Vallarta Supermarkets. The approximately 39,000-square-foot grocery store created approximately 120 jobs, generated new sales tax revenue, and stimulated additional reinvestment within the shopping center.

Downtown revitalization efforts extended beyond physical development through the creation of the 609 N. Azusa Avenue Community Space, which has become a gathering place for residents and visitors through a growing number of outdoor community events, seasonal celebrations, and cultural activities. These events have helped activate the downtown, increase pedestrian activity, support local businesses, and foster greater community engagement, with additional programming planned to continue building downtown as a vibrant destination.

Historic preservation efforts also continued with the relocation and restoration of the Old Schoolhouse, establishing the centerpiece of Historic Row while preserving an important part of Azusa's heritage. The City also celebrated its history through completion of Route 66 Centennial Monument and Mural, commemorating Azusa's historic connection to the "Mother Road." The Project was the first official Route 66 Centennial monument installed by a California city and generated regional media attention while promoting tourism, supporting local businesses, and strengthening community identity.

The City also expanded its response to homelessness through establishment of the Azusa Resource Center (ARC), the City's first interim housing facility providing temporary shelter, case management, supportive services, and pathways to permanent housing. The facility represents a significant investment in addressing homelessness through coordinated services while improving community health and safety.

Capital Improvements
Building upon the City's strengthened financial position, the City Manager worked with the City Council to implement a significant reinvestment in the City's parks, community facilities, civic buildings, and public infrastructure through the Capital Improvement Program. Over the past several years, the City has committed more than $30 million toward extraordinary capital improvement projects focused on modernizing aging public assets, expanding recreational opportunities, improving community gathering spaces, and enhancing the quality of life for residents throughout Azusa.

Among the most significant accomplishments during this period was completion of the Great Park, fulfilling a long-planned community amenity within the Rosedale development and expanding recreational opportunities for residents. Additional projects completed, initiated, or substantially advanced included construction of the City's first Dog Park; development of the Northside Park Recreation Hub (Scout House); Library Modernization and the Library Outdoor Learning Space; the 609 N. Azusa Avenue Community Space; restoration of the Old Schoolhouse and Historic Row; improvements to the Senior Center, Woman's Club, Memorial Park, Downtown, and the Civic Center; together with continued investment in street rehabilitation, sidewalks, utility infrastructure, and other critical public improvements. Collectively, these projects reflect implementation of the City Council's long-term vision for reinvesting in community facilities, public infrastructure, and neighborhood amenities.

These investments were advanced while maintaining the City's strong financial position and longterm fiscal sustainability, reflecting a disciplined approach to capital planning and financial management.

Utilities, Sustainability, and Environmental Stewardship The City continued managing one of California's few municipally owned electric and water utility systems while overseeing solid waste, recycling, and environmental compliance programs that provide essential services to residents and businesses.

During this period, the City advanced significant investments in utility infrastructure, including the Aspan Well Rehabilitation Project and other water system improvements designed to strengthen long-term water supply reliability and modernize critical infrastructure. The City also continued investing in electric system reliability while maintaining compliance with California's increasingly ambitious renewable energy requirements. Through Azusa Light & Water, the City continued exceeding the State's Renewable Portfolio Standard goals, demonstrating the City's ongoing commitment to environmental stewardship, sustainability, and reliable utility service.

The City implemented California's evolving recycling and organic waste mandates, expanded waste diversion and environmental programs, and negotiated enhanced service levels with its solid waste provider, including additional street sweeping services and community beautification efforts that contribute to cleaner neighborhoods and an improved quality of life for residents.

The City also advanced sustainability initiatives through the phased electrification of its municipal fleet where operationally feasible, including the addition of electric vehicles for City operations and 6 th Amendment to City Manager Employment Agreement

expansion of electric vehicle charging infrastructure at City facilities. These investments support cleaner transportation, reduce operational emissions, and reinforce the City's long-term commitment to sustainable municipal operations and environmental responsibility.

Public Safety and Emergency Management
Throughout the City Manager's tenure, the City strengthened its emergency preparedness capabilities while successfully navigating numerous emergency events and maintaining continuity of essential municipal services. The City elevated its emergency management program by converting the Emergency Services Coordinator position into a management-level Emergency Services Manager position, strengthening the City's capacity for emergency planning, disaster preparedness, regional coordination, and grant administration.

The City coordinated its response to the COVID-19 pandemic by establishing testing and vaccination sites, implementing emergency utility assistance and small business grant programs, delivering meals and essential services to vulnerable residents, and maintaining uninterrupted municipal operations during an unprecedented public health emergency. The City also coordinated responses to several significant wildfire and windstorm events while maintaining continuity of government operations and enhancing the City's emergency preparedness capabilities.

During this period, the Police Department achieved full staffing of all budgeted sworn police officer positions, an accomplishment not realized in many years, through continued investment in recruitment, retention, and employee wellness initiatives. Achieving full staffing strengthened the City's ability to provide proactive policing, improve emergency response capabilities, enhance neighborhood visibility, reduce reliance on overtime, and ensure the continued delivery of highquality public safety services for the Azusa community.

The City also strengthened public safety operations through creation of the Special Services Officer classification, enhancing detention operations, expanding non-sworn public safety support at community events and City facilities, and allowing sworn police officers to focus on core law enforcement responsibilities while improving overall operational effectiveness.

Organizational Transformation
The City reorganized and expanded the City Manager's Office to strengthen executive leadership and organizational capacity. The Administrative Services Department was established by consolidating the City's Finance and Human Resources functions, strengthening coordination of key administrative support services.

The Community Resources Department was created to expand the City's traditional recreation model into a comprehensive department responsible for recreation, family services, senior services, transit, and community engagement. Concurrently, park maintenance responsibilities were transferred to the Public Works Department, creating a unified department responsible for the planning, construction, maintenance, and operation of the City's infrastructure and public assets.

These organizational changes significantly expanded recreation programming, family activities, senior services, health and wellness initiatives, community events, and resident engagement 6 th Amendment to City Manager Employment Agreement

opportunities. New programs, including the City's youth boxing program, together with an expanded calendar of community events and activities, have enhanced services and programming for residents of all ages while fostering greater community engagement.

Over the past eight years, the City also successfully completed two full rounds of labor negotiations covering all eight employee bargaining groups, resulting in approximately eight years of labor stability while maintaining fiscal responsibility and uninterrupted municipal services.

The City modernized its technology infrastructure through migration from the legacy GroupWise email platform to Microsoft, enhanced cybersecurity protections, expanded digital services, and improved emergency communication capabilities, strengthening organizational resilience, operational efficiency, and customer service.

Recognition and Awards
During the City Manager's tenure, the City's accomplishments have been recognized through numerous state and national awards reflecting excellence in financial management, municipal governance, economic development, and community services. These recognitions include multiple Government Finance Officers Association (GFOA) Distinguished Budget Presentation Awards, multiple GFOA Certificates of Achievement for Excellence in Financial Reporting, the 2023 Helen Putnam Award for Excellence recognizing the City's "All In for Azusa" initiative for its innovative community services and economic development efforts, the 2018 Los Angeles County Economic Development Corporation EDDY Award recognizing Azusa as the Most Business-Friendly City in the population under 50,000 category, selection as a 2025 EDDY Award finalist in the same category, statewide recognition for Community Resources programming, and numerous competitive grant awards supporting infrastructure, community development, and public service initiatives.

Collectively, these accomplishments reflect implementation of the City Council's strategic priorities and provide the basis for the proposed amendments negotiated pursuant to the City Council's direction during the performance evaluation process.

Proposed Amendments
Based upon the performance evaluation conducted by the City Council, the proposed Sixth Amendment reflects the Council's direction to extend the Employment Agreement and revise compensation and benefits in recognition of the City's progress implementing long-term strategic priorities during the City Manager's tenure.

To provide continuity in executive leadership during implementation of ongoing strategic initiatives and future capital investments, the City Council directed the City Attorney to negotiate the attached Sixth Amendment to the Employment Agreement.

The proposed amendment extends the Employment Agreement through June 30, 2031, adjusts annual base salary and deferred compensation, modifies retiree medical provisions, establishes a framework for future salary and vehicle allowance cost-of-living considerations, and incorporates other mutually agreed upon revisions consistent with the City Council's direction. 6 th Amendment to City Manager Employment Agreement

Upon Employee’s death, the City will cease contributions under paragraphs 3.5.1.1 or 3.5.1.2 and instead provide his surviving spouse, provided that he and his spouse were married at the time of his retirement from City employment, with contribution equal to the highest Region 3 Los Angeles/PERS HMO rate for individual CalPERS HMO plan. Benefit under this paragraph will be provided for five years or until the spouse attains Medicare eligibility age, whichever occurs first.

3.5.1.4. HRA Contributions Made Before July 1, 2026. Prior to making additional contributions to the Employee’s HRA, as provided in this section 3.5.1, the City will use HRA contributions made to Employee’s HRA before July 1, 2026 towards reimbursement for retiree health insurance premiums.

3.5.2. Employee Separates from City Before June 30, 2029. If Employee separates from City employment, whether by termination or resignation, before June 30, 2029, City contributions to Employee’s HRA before July 1, 2026 will be deemed property of the City Manager, and his eligible dependents, if any, upon his death, to be used exclusively for the reimbursement of eligible medical expenses. The Parties agree that if Employee retires as provided in subsection 3.5.1 above, the amounts credited towards the Employee’s HRA before July 1, 2026 will be used to provide the Retiree Medical benefit as provided therein.
