SUBJECT: Agreement with Granicus, LLC (not to exceed $172,082.38) for the subscription of a civic engagement SaaS platform called CitySourced
RECOMMENDATION:
Staff recommends approval of this agreement
BACKGROUND:
For a decade, the City of Bakersfield has utilized the Bakersfield Mobile app CitySourced for constituent services and civic engagement. This tool allows our citizens to report potholes, encampments, illegal dumping, and more from their computers, tablets, or smartphones.
On December 14, 2022, the City entered into an agreement with RockSolid Technology for a CitySourced subscription. RockSolid has since been acquired by Granicus, LLC. The City would like to enter into this new agreement with Granicus, LLC to renew the CitySourced Enterprise Plus and SMS Text Messaging Module subscription for three (3) years.
Key components of this agreement include:
Limiting Granicus , LLC's indemnity obligation to only that for third-party claims, as well as copyright/Intellectual Property claims
Extends the standard 10-day termination time to 90 days Limits liability to $500,000 and prohibits both parties from filing an action more than 2 years after cause of action has arisen.
These deviations have been reviewed and noted by the City Attorney’s Office.

Funds for the purchase of this subscription or budgeted for and covered in the Equipment Fund
