AMENDMENT NO. [3] TO
AGREEMENT NO. 2023-042(B)
This AMENDMENT NO. 3 TO AGREEMENT NO. 2023-042(B) is made and entered into on ______________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as “CITY”), and CLARITI CLOUD, INC a Canadian Corporation authorized to do business in California (referred to herein as “CLARITI”).
R E C I T A L S
WHEREAS, on February 8, 2023, the CITY and CLARITI entered into an agreement for software services in the amount not to exceed One Million Seven Hundred Fifty-Three Thousand Five Hundred and Eighty -Five Dollars ($1,753,585) that was a sub -agreement between the CITY and Speridian Technologies, LLC and referenced as Exhibit B in Agreement No. 2023-042; and
WHEREAS, the CITY has provided Agreement No. 2023 -042(B) as the Agreement number to the sub agreement between CITY and CLARITI; and
WHEREAS, on September 27, 2023, the CITY and CLARITI agreed to implement change orders including associated costs to provide 93 added user licenses with associated sandbox environment and standard CLARITI software support and increase the compensation under the agreement in an amount not to exceed Seven Hundred Eighty -Seven Tho usand Three Hundred and Ninety - Eight Dollars ($787,398) for a total not to exceed the amount of Two Million Five Hundred Forty Thousand Nine Hundred and Eighty-Three dollars ($2,540,983); and
WHEREAS, on November 6, 2024 the CITY and CLARITI agreed to implement change orders and associated costs to provide an additional 10 gigabytes of data storage and 10 additional user licenses and increase the compensation under the agreement in an amount not to exceed Ninety -Eight Thousand Eight Hundred and Fifty -Three Dollars ($98,853) for a total not to exceed the amount Two Million Six Hundred Thirty -Nine Thousand Eight Hundred and Thirty -Six Dollars ($2,639,836).
WHEREAS, the CITY and CLARITI now desire to amend Agreement No. 2023- 042(B) a third time to implemen t change orders and increase compensation by Fifty Thousand Dollars ($50,000) for a total not to exceed the amount Two Million Six Hundred Ninety Thousand dollars ($2,690,000), associated with CLARITI’s new integrated module software known as “Guide Software -as-a-Service” which will Docusign Envelope ID: B51EF75B-4D09-4AF3-A404-D57509A23F1F

increase CITY staff efficiency and assist the public in processing permits for various CITY divisions including the Public Works Department, Planni ng, Building and Fire Prevention.
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CLARITI mutually agree as follows:
1. CITY and CLARITI agree to the terms of Attachment 3: Software as a Service (SaaS) quote for Guide in an amount not to exceed FIFTY THOUSAND DOLLARS ($50,000)
2. Except as amended herein, all provisions of Agreement No. 2023- 042(B) shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 3 to Agreement No. 2023-042(B) to be executed the day and year first above written.
