AMENDMENT NO. [3] TO
AGREEMENT NO. 2023-078
This AMENDMENT NO. 3 TO AGREEMENT NO. 2023-078 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal corporation (“CITY”), and TEL-TEC SECURITY SYSTEMS, INC a corporation authorized to do business in California (“CONTRACTOR”).
R E C I T A L S
WHEREAS, CITY and CONTRACTOR entered into Agreement No. 2023- 078 on April 12, 2023 in the amount of One Hundred and Twenty Thousand and Zero Cents $120,000 with a term ending on December 30, 2024 to perform installation, maintenance, repair and monitoring of supervised burglary alarm systems, fire alarm systems, access control systems, electronic door and gate hardware, and intercom systems on an " as -needed" basis; and
WHEREAS, CITY and CONTRACTOR entered into Agreement No. 2023 -078 (1) on June 12, 2024 to extend the term to De cember 30, 2025, and to increase total compensation to Two Hundred and Fifty Thousand Dollars and Zero Cents $250,000; and
WHEREAS, CITY and CONTRACTOR entered into Agreement No. 2023 -078 (2) on January 22, 2025 to increase total compensation to Four Hundred Thousand Dollars and Zero Cents $400,000.00; and
WHEREAS, the parties desire to enter into Amendment No. 3 to Agreement No. 2023-078 to extend the term to December 30, 2026 and to increase compensation by an additional Three Hundred Thousand Dollars and Zero Cents $300,000 for a total compensation amount not to exceed Seven Hundred Thousand Dollars and Zero Cents $700,000 to allow for additional work on ongoing projects subject to the pricing and exhibits set forth in the Agreement; and
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows:
1. Section 2 of Agreement No. 2023- 078 entitled
“COMPENSATION/PAYMENT PROCEDURE” is hereby amended to read as follows:

conditions of this section, CITY will pay CONTRACTOR as follows for performing the Scope of Work (“Compensation”):
On a tim e and materials basis in accordance with the
monitoring and installation rates set forth in Exhibit A, attached hereto and incorporated by reference
herein, and all other materials and supplies as priced at time of request, provided that such work is not to be
performed until authorized CITY.
CITY will pay CONTRACTOR within 30 days after CONTRACTOR submits an itemized invoice for the portions of the Scope of Work completed and that invoice is approved by CITY. The
Compensation will be the total amount paid to CONTRACTOR for performing the Scope of Work and includes, but is not limited to, all out-of-pocket costs and taxes. CITY will pay no other compensation to CONTRACTOR. In no case will CITY compensate CONTRACTOR more than SEVEN HUNDRED THOUSAND DOLLARS AND ZERO CENTS ($700,000.00) for performing the Scope of Work.
2. Section 3 of Agreement No. 2023 -078 entitled “TERM” is hereby amended to read as follows:
3. TERM. Unless terminated sooner, as set forth herein, this Agreement shall terminate on December 30, 2026.
3. Except as amended herein, all provisions of Agreement No. 2023-078 shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 3 to Agreement No. 2023-078 to be executed the day and year first above written.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, City of Bakersfield (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.

Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.

We will bill you for any fees at that time, if any.
To withdraw your consent with City of Bakersfield
To inform us that you no longer wish to receive future notices and disclosures in electronic format you may:
i. decline to sign a document from within your signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may; ii. send us an email to [email protected] and in the body of such request you must state your email, full name, mailing address, and telephone number. We do not need any other information from you to withdraw consent.. The consequences of your withdrawing consent for online documents will be that transactions may take a longer time to process..
