AMENDMENT NO. [1] TO
AGREEMENT NO. 2024-254
This AMENDMENT NO. 1 TO AGREEMENT NO. 2024-254 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as “CITY”), and MAGNET FORENSICS, LLC a limited liability company authorized to do business in California (referred to herein as “PROVIDER”).
R E C I T A L S
WHEREAS, CITY and PROVIDER entered into Agreement No. 2024-254 on October 23, 2024 in the amount of Fifty -four Thousand, Three Hundred Ninety Dollars ($54,390) with a term ending on November 1, 2025 to provide a forensic tool used by the Bakersfield City Police Department to assist with data extraction from Apple products in active investigations; and
WHEREAS, the parties desire to amend Agreement No. 2024-254 to extend Graykey License – Premier Bundle subscription for an additional twelve (12) month term and to increase total compensation by Fifty-Seven Thousand, One Hundred Ten Dollars ($57,110) pursuant to Exhibit C attached; and
WHEREAS, CITY and PROVIDER have agreed to extend Graykey License subscription for an additional twelve (12) month term and to increase total compensation amount not to exceed One Hundred Eleven Thousand, Five Hundred Dollars ($111,500),
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows:
1. Section 2 of Agreement No. 2024-254 entitled “ COMPENSATION” is hereby amended to read as follows:
2. COMPENSATION. Subject to the conditions of this section, CITY will pay PROVIDER as follows for performing the Scope of Work (“Compensation”): a total payment not to exceed One Hundred Eleven Thousand, Five Hundred Dollars ($111,500) in accordance with the costs and fees set forth in Exhibit A and C

and that invoice is approved by CITY. The Compensation will be the total amount paid to PROVIDER for performing the Scope of Work and includes, but is not limited to, all out -of-pocket costs and taxes. CITY will pay no other compensation to PROVIDER. In no case will CITY compensate PROVIDER more than One Hundred Eleven Thousand , Five Hundred Dollars ($ 111,500) for performing the Scope of Work.
2. Section 3 of Agreement No. 2024-254 entitled “ TERM” is hereby amended to read as follows:
3. TERM. Notwithstanding any contrary terms set forth in Exhibits A, B and C, this Agreement shall terminate on November 1 , 2026, unless terminated sooner.
3. Except as amended herein, all provisions of Agreement No. 2024- 254 shall remain in full force and effect.
