Subject: Scope of Work for Zoning Code Consistency Update Dear Mr. Burns:

The City of Bakersfield is undertaking a comprehensive Zoning Code update to ensure consistency with the General Plan Update and to better respond to evolving community needs. As the City’s current consultant for the General Plan Update, Rincon is well -positioned to ensure that the Zoning Code is aligned with the updated General Plan policies. Our team brings a deep understanding of Bakersfield’s planning context, through our current work on the City’s General Plan Update, Housing Element and previously completed residential zoning updates and extensive conversations with local r esidents, developers, and Council members regarding land use and zoning matters. This is further strengthened by our team’s prior experience working as City staff, which gives us practical insight into how the Zoning Code functions day-to-day. We understand the importance of clarity, usability and process efficiency and will bring that perspective to every stage of the update. Rincon Consultants, Inc. (Rincon) understands that the Zoning Code Update must address the following:
• Alignment with the General Plan Update. The zoning regulations must be updated for consistency with the General Plan land use policies and community priorities. We will update the Zoning Code to reflect General Plan policies , such as clarifying standards for the MX -1 and MX -2 zones, facilitating a Research, Development, and Innovation district in the CSUB area, and aligning with the visioning for Downtown and Old Town Kern.
• Outdated Zoning Code Ordinances. Ensure outdated and unclear standards and procedures are updated. Staff, residents, developers, and business owners have expressed difficulty in understanding and implementing development standards and procedures. We will identify sections that may be unclear, outdated, or difficult to administer. This includes evaluating the Use Schedule, Sign Code, and Landscape Code for potential improvements. • Compliance with Recent Legislation . The Zoning Code must be updated to reflect changes in state and local laws enacted since the last comprehensive update. These legislative changes may affect land use regulations, housing requirements, environmental standards, and procedural mandates, necessitating revisions to ensure legal compliance and effective implementation. • Alignment with Concurrent Planning Efforts. The City is advancing several planning initiatives, including the Old Town Kern Vision Plan and the Southeast Vision Plan. These efforts may introduce new land use concepts or development standards that will need to be integrated into the Zoning Code. We will coordinate with all teams to ensure consistency and avoid duplication of efforts, particularly with consultants working on related planning projects.

We also understand the importance of public engagement in this process. Rincon will work with City staff to design an outreach strategy that informs stakeholders and provides opportunities for meaningful input from the community, Planning Commission, and City Council. This will be designed Exhibit D

2 to build on the success of our engagement efforts for the General Plan Update, and we will work closely with staff to design an engagement strategy that best meets the needs of the project.

To support the City’s decision -making and ensure clarity around project costs, Rincon is pleased to provide the attached budget and scope materials. The attached budget outlines anticipated costs and includes key assumptions to support transparency and alignment with City expectations. In addition to presenting a detailed cost breakdown, Rincon is providing options for the City to consider regarding the approach to CEQA compliance. These options are intended to support informed decision -making and ensure the selected path aligns with the City’s goals and priorities. Rincon is committed to working closely with City staff to refine the scope and approach as needed throughout the project and the final contract amendment will reflect the City’s chosen CEQA strategy.

We appreciate the opportunity to continue supporting the City of Bakersfield and look forward to discussing next steps.

Scope of Work
Task 1 Project Management and Coordination
Task 1.1 Project Kickoff
Following the notice to proceed, key members of the project team will attend one in-person kickoff meeting with City staff. We will prepare a meeting agenda and key questions for City staff to review at least one week before the meeting. The kickoff meeting will include a collaborative working session to highlight the challenges and opportunities for the Zoning Code Update , as well as desired outcomes of the updated Zoning Code. Topics to be addressed at the meeting include the following:
• Review and clarify the City’s expectations and needs for the Zoning Code Update • Refine the project scope, budget, and schedule, as necessary • Establish communication protocols and expectations
• Discuss data needs
• Identify documents relevant to the Zoning Code Update Project • Discuss Zoning Map changes needed for alignment with General Plan Update designations Assumptions
• Up to three Rincon team members will attend the kickoff meeting in person. • City will invite any cross-departmental staff.

3 Task 1.2 Project Meetings and Coordination
To effectively manage the multiple deliverables of the project, the Project Manager and Assistant Project Manager will host regular, bi-weekly conference calls up to 30 minutes in length to update the City on upcoming deliverables and discuss any potential issues that may impact the scope of work.

Other team members may be added to the meeting, as necessary. Rincon will draft agendas at least one working day in advance of these calls and deliver via SharePoint to the City. The agendas will identify action i tems and the responsible party to implement said action item. Additional project coordination time to support administrative activities, internal coordination and consultations to answer questions and support ongoing communication is also included in this task as well as time for Rincon to be available for additional, as-needed check-ins, discussions for the duration of the project up to the budgeted amount.

Assumptions
• Virtual meeting attended by staff members from Rincon and staff members from City of Bakersfield.
• This task scope and budget assumes up to two virtual check-in meetings per month, approximately 30 minutes each.

Deliverables
• Bi-weekly Meeting Agenda
• Bi-weekly Meeting Minutes
• Monthly Invoices
Task 2 Community Outreach and Engagement
Task 2.1 Community Outreach and Engagement Strategy
Rincon will collaborate with City staff to raise awareness of and gather input on the Zoning Code Update through strategic community outreach and engagement efforts, as further detailed in Task 2.2.

The Community Outreach and Engagement Strategy will guide the project’s engagement efforts using our Engagement Ecosystem methodology. The plan will include the following components:
• Community Profile. We have collaborated with the City on the General Plan for the past five years, giving us a strong foundation in understanding the community’s values and priorities. We also recognize that the Zoning Code Update has a different target audience than the General Pla n Update, with distinct needs and expectations. While community needs continue to evolve, this effort will build upon our existing knowledge and help identify any significant shifts or emerging preferences. We will a udit our unde rstanding of the community’s needs and preferences for engagement using available data sources such as the U.S. Census, previous outreach efforts, and a comprehensive interested parties mapping process to identify groups and individuals with varying interest levels along with the best way to engage with them. • Measuring Reach. Define metrics to evaluate the success of engagement efforts and ensure accountability throughout the process. This component helps us keep track of how many people we engage with, the depth of feedback received, and how the individuals and organizations that participate in outreach and engagement represent the larger population of Bakersfield. Preparing for this information early allows us to answer decision -maker and community inquiries on the broader reach of the outreach and engagement, and pivot strategies when necessary.

Scope of Work for Zoning Code Consistency Update
4 • Mutual Learning and Awareness, Participatory Methods . Set learning objectives for each engagement activity, outline key tasks, and incorporate participatory approaches. The plan will also identify potential barriers to participation—such as technical language or complex concepts— and propose strategies to address them through intentional activity design. • Participatory Methods . Provide a timeline for engagement tasks and events that aligns with community availability, accessibility needs, and the major milestones of the Zoning Code Update so that feedback is incorporated in a timely manner.
• Reciprocal Community Partnerships. Clarify the roles and responsibilities of City staff, the Rincon team, and any additional partners. The strategy will also identify promotional tactics that resonate with the community, leverage existing networks, and ensure broad outreach.

Rincon will utilize our in-house graphics team and collaborate closely with the City to develop a clear and transparent Community Outreach and Engagement Strategy for the Zoning Code Update. Rincon will provide the draft Outreach and Engagement Strategy to the City in a Microsoft (MS) Word document. We anticipate up to two rounds of consolidated review will be needed to adequately address City staff comments before finalizing the document.

Assumptions
The city will provide consolidated feedback within two rounds of review for the draft strategy in track change comments in MS Word
Deliverables
• The Community Outreach and Engagement Strategy Draft provided as a MS Word Document • The Community Outreach and Engagement Strategy Final provided as a MS Word Document and PDF
Task 2.2 Outreach and Engagement
The Rincon team recognizes that updating the Zoning Code is a highly technical and nuanced process, with deep implications for a range of stakeholders. Rather than focusing solely on broad outreach, as done with the General Plan Update, our outreach and engagement for the Zoning Code Update will strike a balance between in-depth, informed conversations with key users of the ordinance and simple, accessible touchpoints for broader community education and feedback.

We will prioritize focused engagement with City of Bakersfield staff, developers, land use professionals, and community-based organizations and environmental justice groups, each of whom bring valuable perspectives, expertise, and lived experience as users of the Zoning Code. At the same time, we will provide easy, low-barrier opportunities such as visual explainers and online tools to help demystify zoning and invite input from the broader community. The following e ngagement strategies will be designed to gather early community input on the Zoning Code Update, while generating feedback loops for more invested individuals.

Zoning 101 Virtual Workshop
The Zoning 101 Virtual Workshop will provide business owners and property owners with a high-level overview of zoning concepts and how zoning regulations influence land use and development within their community . This workshop is intended to build awareness around the project, provide foundational knowledge among participants, and increase transparency around the Zoning Code Update process.

Docusign Envelope ID: A5D8FACF-87E1-4529-8CB8-10B4B49DAD1A City of Bakersfield
Proposal for Bakersfield Zoning Code Update Adoption
5 To reinforce learning and encourage hands -on interaction with the Zoning Code, the workshop will include a Zoning Code Scavenger Hunt , which will include a guided activity where participants use sample sections of the Zoning Code to answer a series of prompts (e.g., identifying definitions, finding allowable land uses, or interpreting height limits). This activity will help demystify the code’s structure and language while collecting participant feedback on clarity, usability, and relevance. The scavenger hunt will be available in both digital and printable formats and shared after the workshop to encourage continued exploration.

The workshop will be recorded and available online. Rincon will prepare promotional materials in preparation of the workshop such as flyers and social media graphics in English, Spanish and Punjabi, and will coordinate with the City to distribute the materials through appropriate community channels.

We assume Propio will prepare translation of materials and assist with live translation through the existing contract with the City.

Key Interested Parties Focus Groups
Given the technical nature of zoning and its direct impact on multiple user groups, Rincon will facilitate a series of focus groups to gather in-depth feedback from key interested parties who regularly interact with the Zoning Code. These one - to two-hour virtual sessions will be topic -specific and designed to generate candid dialogue about current challenges, opportunities, and community priorities.

Rincon will collaborate with the City of Bakersfield to identify and convene participants for up to 9 focus groups throughout the update process. These sessions will not only inform technical content but also help foster strong working relationships that benefit project success. Rincon anticipates that up to two staff members will attend each focus group. Planned focus groups include:
• Developers. Three virtual sessions (kick off, mid-point, and near final draft), focused on real-world application, barriers, and opportunities within the development process. • Community-Based Organizations (e.g., Downtown Business Association, etc.). Three virtual sessions, designed to explore zoning implications for environmental justice and neighborhood priorities.
• City Staff (e.g., Planning, Building, Public Works, Counter Staff). Three virtual sessions to gather input from internal users of the code, focusing on administrative implementation, consistency, and process improvements.

Study Sessions
Rincon will provide materials and present in three in -person study sessions with the Planning Commission, and provide materials and present in three in-person study sessions with City Council.

Rincon will also provide materials for city staff to present at one Planning and Development Committee meeting. These sessions will be used to present engagement findings and gather feedback to inform the development of the Zoning Code Update. Rincon assumes in-person attendance for the Planning Commission and City Council Study Sessions and will provide draft and final PowerPoint presentations for each session.

Community Awareness and Feedback Tools
Rather than relying solely on traditional workshops, which have historically shown limited effectiveness in Bakersfield, and recognizing the technical complexity of zoning, Rincon will implement an alternative approach to community -facing outreach on this project effort that will prioritize accessibility and visibility over large in-person events. Our strategy will focus on low-barrier, self-paced tools that inform Docusign Envelope ID: A5D8FACF-87E1-4529-8CB8-10B4B49DAD1A City of Bakersfield
Scope of Work for Zoning Code Consistency Update
6 the community about the Zoning Code Update process while offering opportunities for simple, optional feedback. To accomplish this, we propose:
• Zoning Community Guide . Building off the virtual workshop, Rincon will create a brief, plain - language Zoning Code guide to help residents and businesses understand the Zoning Code update. The guide will also include a mini scavenger hunt activity via a QR code that encourages readers to explore the Zoning Code and share feedback on its clarity and usefulness. Materials will be developed in multiple formats including a tri -fold or 2 -sided printable handout, mobile friendly PDF or web content, or a social media explainer series with 3-4 social media posts. • Zoning Displays . Because attendance at large gatherings has been low in 2025, Rincon can create a small, stand-alone engagement board or display kit that can be left at trusted community locations such as libraries, community centers, food pantries, school lobbies, and fa ith-based institutions. Each kit will include one poster with the Zoning Community Guide QR code, and optional comment cards with a drop box. Rincon will coordinate printing of each kit, and City staff will pick up and distribute to preferred locations.

Engagement Results Summary
Rincon will prepare an Engagement Results Summary to accompany the final project documents and to be shared with stakeholders and decision-makers. This summary will include metrics and insights from both targeted and broad engagement activities, such as the number of focus groups, participation in the Zoning 101 workshop, reach of the visual explainer materials, and key feedback received through engagement touchpoints . The summary will be delivered as either a memorandum or PowerPoint slide deck, based on t he City’s preference. Rincon will respond to one round of consolidated comments on the draft summary.

Assumptions
• City will provide list of developers and community groups that will actively collaborate in focus groups.
• Any live interpretation will be provided by the City through their Propio contract. • Rincon will respond to one set of consolidated comments on the Community Awareness and Feedback Tools materials.
• Rincon will respond to one set of consolidated comments on the Engagement Results Summary. • Rincon will respond to one set of consolidated comments on meeting materials. • Up to two Rincon staff will attend nine virtual focus group meetings. • Rincon will provide PPT presentation for city staff to present at the Planning and Development Committee study session. Rincon will not attend this study session. • Up to two Rincon staff will attend six study sessions in-person.

Task 3.1 Literature Review Summary Audit
The Literature Review Summary Audit is a high-level analysis that identifies needed zoning changes, explains the rationale, and sets the strategic direction for the update. This document will also be the foundation for Task 3.2 by outlining the list of changes to the Zoning Code . The Literature Review Summary Audit will summarize key findings and provide clear, actionable recommendations for incorporation into the Zoning Code Update, addressing areas where revisions are needed, where informal policies may be codified, and where development standar ds should be aligned with the General Plan and State law. This will be done in a matrix format and will focus on evaluating and updating the City’s commercial, industrial, and other non -residential zoning districts. The Literature Review and Summary Audit will include a review of the following:
• General Plan -Zoning Code Consistency Review . The project team will begin by conducting a comprehensive review of the Zoning Code to identify areas of needed consistency with the recently updated goals, policies, and implementation measures of the General Plan . This includes identifying any conflicts or inconsistencies related to land use designations, intensities, and densities, and recommending appropriate zone changes, consolidation of existing zones, application of base zones, or the creation of new zones. • Legislative and Policy Alignment. In parallel, the team will review recent State legislation that affects zoning and propose necessary updates to maintain compliance including but not limited to AB 2904- Notices, AB 2632- Land Uses, AB 2085- Land Uses, AB 2097- Parking Requirements. • Vision Plan Coordination. Coordination will also take place with the Economic Development Department and Kimley Horn to align zoning recommendations with the Old Town Kern Vision Plan, which is currently underway. Additionally, the team will participate in a joint working session with City staff to review land use concepts in the Southeast Vision Plan Area and docum ent any consistency findings and potential zoning implications. • Zoning Use Schedule and Procedure Review. The current Zoning Use Schedule will be assessed to identify outdated or missing uses and recommendations will be made for updates and consolidation. Planning review procedures, including the Conditional Use Permit (CUP) process, will be evaluated and revised to reflect the dissolution of the Board of Zoning Adjustment. Scope of Work for Zoning Code Consistency Update
8 initial focus groups and study sessions will also inform any improvements needed for procedural reviews to help streamline development and ease the review process for both developers and city staff. Where appropriate, the team will also recommend new overlays or rezoning strategies, such as for the Downtown, CSUB area, and MLK Boulevard.
• Sign and Landscape Ordinance Review. As part of this task, the City’s sign and landscape ordinances will be reviewed, and best practice recommendations will be provided, including updates to standards for items such as metal storage containers.

Throughout the process, meetings with City staff will be held to discuss additional updates and gather input. Upon completion of all reviews and research activities, the team will prepare a Literature Review Summary Audit.

Assumptions
• The memo will be prepared following initial discussion with City Staff to gather input on Zoning Ordinance updates.

Deliverables
• Literature Review and Summary Audit Memo
Task 3.2 Zoning Code Update Tracker
The Zoning Code Update Tracker is a detailed, running log of every specific zoning amendment, its location, and its justification. Based on input from meetings with staff and building off the Literature Review Summary Audit, Rincon will prepare the Zoning Code Tracker to outline the changes to be made as a part of the Zoning Code Update. This tracker will serve as the master checklist of Zoning Code changes for the remainder of the project. The tracker will be a table that lists the existing section, proposed amendment, and reason for the am endment. The tracker will identify the sections of the code that will be amended as well as identify how and why it will be amended. This will be created as a shared document to allow the City and Rincon to track where existing code sections have been moved and revised. If desired, this tool can also be shared with focus groups and committees to help facilitate their understanding of the amendments by providing a comprehensive list that summarizes the proposed amendments.

Assumptions
• City Staff will review and provide comments on the tracker within three weeks of receiving tracker.

Deliverables
• Zoning Code Update Tracker Draft
• Zoning Code Update Tracker Final
Task 3.3 Zoning Code Update
The Zoning Code Update will be conducted in the following stages:

9 Style Sheet
Following City staff’s review and comments of the Zoning Code Matrix, Rincon will prepare a draft style sheet with a list of common terms to use and not to use, and sample chapter format to illustrate the recommended format and style of the Zoning Code.

Administrative Draft
After the framework has been discussed and established, Rincon will prepare the Administrative Draft of the Zoning Code for City review. In addition to meeting the applicable legal and technical requirements, the Administrative Draft will include text, images, and graphics to clearly illustrate any provisions needing additional clarification so the Code can be easily understood by elected officials, land developers, residents, and business owners. It is anticipated that additional exhibits will be necessary to assist with some descriptions. It is our experience that flexible, but adequately defined development standards can allow for market -driven innovations in urban design and spur creativity from architects and designers.

Rincon will prepare five separate Administrative Drafts – each corresponding to a specific section of the Zoning Code Update – to facilitate a more manageable and focused review process for City staff.

It will include the following:
• Use regulations
• Development standards
• Administration and procedures
• Enforcement
• Definitions
We will then revise the Administrative Drafts based on comments received from the City. Revisions will be depicted in strike-through format on a MS Word document. It is anticipated that City staff will require three weeks for review and comment on each draft. City staff will provide consolidated comments in track-change comments on MS Word,
Screen Check Draft
Once Rincon receives comments on the Administrative Drafts, we will prepare and submit the Screen Check Draft of the Zoning Code for City review. Rincon will revise the Screen Check Draft based on comments received from the City. Revisions will be depicted in strike -through and in both MS Word and PDF format. It is anticipated that City staff will require three weeks for review and comment on this draft.

Public Review Draft
Once Rincon receives comments on the Screen Check Draft, we will prepare and submit the Public Review Draft of the Zoning Code for public review as part of the outreach and engagement activities.

Rincon will revise the Public Review Draft based on comments received from the City. Revisions will be depicted in strike-through and in both MS Word and PDF format. It is anticipated that City staff will require three weeks for review and comment on this draft.

Public Hearing Draft
After the outreach and engagement activities have concluded, Rincon will work with the City to identify, prepare and submit the Public Hearing Draft of the Zoning Code. This draft will be provided to the Docusign Envelope ID: A5D8FACF-87E1-4529-8CB8-10B4B49DAD1A City of Bakersfield

11 • Complete Final Zoning Code in (MS Word and PDF format) Task 3.4 Zoning Map Update
The Zoning Map will be updated to align with the General Plan update in addition to any clean -up of zone changes that have occurred since the last map update. Rincon will work with City staff to identify areas that will require map changes and prepare an Administrative Draft City Zoning Map. Rincon will create a GIS portal that will allow the city to review the map updates and provide comments directly through the portal. Following City staff review of the Administrative Draft , we will prepare a Public Review Draft of the Zoning Map. Following public review, Rincon will make any necessary changes in GIS to prepare the final map for Council adoption.

Assumptions
• This task assumes one round of revision to the Zoning Map Update Deliverables
• Zoning Map (PDF)
• GIS spatial and attribute data of the zone classifications compatible with ESRI ArcGIS Task 4 CEQA
The environmental review for the Zoning Code Update may either be done under the General Plan Update EIR or separately through a tiering approach. Each approach differs in project timing, cost, and implementation. Option 1 assumes a combined analysis which offers a unified and streamlined review process, but requires a longer timeline for adoption of the updated General Plan , while Option 2 proposes a tiered CEQA approach that allows for faster adoption of the General Plan and greater flexibility for the Zoning Code update. Below are summaries of each option, with the same assumptions applied to both.

Option 1 Combined Analysis with General Plan Update EIR Rincon will incorporate the Zoning Code update into the General Plan Update Environmental Impact Report (EIR), analyzing both efforts as a single, comprehensive project under CEQA. This approach will require extending the EIR timeline to allow for the comp letion of the Zoning Code update by approximately two years, ensuring that the environmental analysis reflects the full scope of proposed land use and regulatory changes. Rincon will evaluate the Zoning Code update alongside the General Plan Update’s policy and land use modifications, providing a unified environmental document for City Council consideration. By consolidating both efforts into a single CEQA document, this approach simplifies the environmental review process and facilitates streamlined decision -making. However, because the EIR must address a broader range of potential impacts at a programmatic l evel, this option does not result in significant overall cost savings and will require a longer timeline to accommodate the additional analysis and coordination needed prior to adoption.

Rincon will work with the City to incorporate the Zoning Code update project details into the General Plan Update EIR and analyze them consistent with the tasks outlined in Phase 7: Programmatic Environmental Impact Report of the General Plan Agreement. Th is will include coordination with City staff to refine the project description, identify potential environmental impacts, and ensure that the Zoning Code update is fully integrated into the broader EIR analysis. Rincon will prepare all necessary sections o f the EIR to reflect the combined scope and will support the City through document preparation, review cycles, and finalization.

Scope of Work for Zoning Code Consistency Update
12 Option 2 Separate Future Analysis with Tiering Approach Rincon will analyze the Zoning Code update independently of the General Plan Update , allowing for the General Plan to proceed with adoption on its existing project timeline. The Zoning Code update would be analyzed in a subsequent CEQA document, which may tier from the certified General Plan Update EIR using a streamlined approach such as an Addendum or Consistency Checklist, as permitted under CEQA Guidelines Section 15152. This phased strategy allows the City to move forward with the General Plan while preserving flexibility to implement the Zoning Code update at a later date.

By leveraging the existing EIR, this approach can reduce duplication of environmental analysis and regulatory review. Additionally, this approach would allow the Zoning Code update to benefit from the foundational analysis already completed for the General Plan. While the overall cost of this approach would be slightly higher than Option 1 due to the need for a separate CEQA document for the Zoning Code update, it offers the advantage of completing the General Plan Update EIR sooner, which may result in cost savings on that front and allow the City to begin implementation of General Plan policies without delay.

This option scope assumes that the Zoning Code update would tier from the General Plan Update EIR using an Addendum or Consistency Checklist. However, if the scope or potential impacts of the Zoning Code update indicate that a more detailed review is necessary, then Rincon will work with the City to prepare a separate environmental document, such as an Initial Study. This scope includes a kickoff meeting with the City, preparation of and submittal of the Notice of Determination (NOD) to the State Clearinghouse, development of a detailed project description, and preparation of an administrative draft document for City review, followed by a screen check draft and final document in both MS Word and PDF formats.

Assumptions
• Attendance of two Rincon staff members at a virtual kickoff meeting with City staff • Rincon will prepare and submit the NOD with the State Clearinghouse, the City will file the NOD with the County Clerk and conduct any other noticing requirements • Up to two rounds of City review of the Project Description • Up to three cumulative rounds of City review for the Administrative Draft and Screen check Draft document
• No hard copies will be provided
• No attendance by Rincon staff should be required at public meetings. If attendance should be required, it can be added for an additional fee.

Deliverables
• Notice of Determination
• Draft Project Description (MS Word version)
• Final Project Description (MS Word version)
• Administrative Draft Addendum or Consistency Checklist (MS Word version) • Screen check Draft Addendum or Consistency Checklist (MS Word version) • Final Addendum or Consistency Checklist (MS Word and PDF) Docusign Envelope ID: A5D8FACF-87E1-4529-8CB8-10B4B49DAD1A City of Bakersfield
