AGREEMENT NO. 16-255
This AMENDMENT NO. 4 TO AGREEMENT NO.16-255 is made and entered into on ____________________, by and between the CITY OF BAKERSFIELD, a charter city and a municipal corporation (referred to herein as “CITY ”) and STANTEC CONSULTING SERVICES, INC. , a New York corporation licensed to do business in California (referred to herein as “PLANNING CONSULTANT”).
R E C I T A L S
WHEREAS, on November 16, 2016, CITY and PLANNING CONSULTANT entered into Agreement No. 16-255, wherein PLANNING CONSULTANT would prepare the grant application to secure and implement United States Environmental Protection Agency (EPA) and other Federal or State grants for the assessment, cleanup, or redevelopment of brownfield properties; and
WHEREAS, in 2016 , CITY was a grant recipient of the U.S. E PA Brownfield Community-wide Assessment Grant and entered into a Cooperative Agreement for a three-year grant of $300,000; and
WHEREAS, on November 1, 2017, CITY amended Agreement No. 16-255 to incorporate all terms and conditions and applicable EPA regulatory and statutory provisions within the Cooperative Agreement and the Scope of Work to reflect the Work Plan attached to the Cooperative Agreement; and
WHEREAS, on September 9, 2020, CITY again amended Agreement No. 16- 255 to extend the Term and amend the Scope of Work for PLANNING CONSULTANT to continue to assist CITY with grant application s and implementation of grant awards to complete environmental assessment and redevelopment planning services; and
WHEREAS, on November 1, 2022, CITY was awarded a second Brownfields Assessment Grant in the amount of $500,000 from the U.S. EPA and entered into a three-year Cooperative Agreement; and
WHEREAS, on December 14, 2022, CITY again amended Agreement No. 16- 255 to add the Scope of Work for the second grant award , add compensation from th e second grant , extend the agreement term, revise key personnel to reflect staffing changes , and incorporate all applicable EPA regulatory and statutory provisions; and

WHEREAS, on June 27, 2025, the EPA extended the grant project Term to October 31, 2026; and
WHEREAS, the parties now des ire to amend Agreement No. 16-255 with PLANNING CONSULTANT to extend the Term to complete grant deliverables, final reporting and revise the Primary Contacts and Key Personnel to reflect staffing changes.
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and PLANNING CONSULTANT mutually agree as follows:
1. Section 5 of Agreement No. 16 -255 entitled “TERM” is hereby a mended to read as follows:
5. TERM. Unless terminated sooner as set forth herein, this Agreement will terminate on December 31, 2026.
2. Section 7 of Agreement No. 16-255 entitled “PRIMARY CONTACTS” is hereby amended to read as follows:

8. KEY PERSONNEL . At CITY’s request, PLANNING CONSULTANT must name all key personnel to be assigned to perform the Scope of Work.
PLANNING CONSULTANT must make every reasonable effort to maintain Graeme Taylor, Project Manager, as the Project Manager.
All key personnel must be properly licensed and experienced for the work to be performed under this Agreement. PLANNING
CONSULTANT must provide background for each of the key
personnel including, without limitation, resumes and work experience in the type of w ork called for herein. CITY reserves the right to approve key personnel. Once the key personnel are approved, PLANNING CONSULTANT may not change such personnel without CITY’s written approval.
4. Except as amended, all other provisions of Agreement No. 16-255 shall remain in full force and effect.
