AMENDMENT NO. [4] TO
AGREEMENT NO. 2023-042 and 2023-042(B)
This AMENDMENT NO. 4 TO AGREEMENT NO. 2023-042 and 2023 -042(B) is made and entered into on ______________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as “CITY”), and SPERIDIAN TECHNOLOGIES, LLC, a New Mexico limited liability company (referred to herein as “ SPERIDIAN”) and CLARITI CLOUD, INC , a Canadian Corporation authorized to do business in California (referred to herein as “CLARITI”).
R E C I T A L S
WHEREAS, on February 8, 2023, CITY and SPERIDIAN entered into Agreement No. 2023-042 for software (provided by CLARITI) implementation services; and
WHEREAS, Exhibit B of Agreement No. 2023-042 is a software sub agreement between CITY and CLARITI CLOUD (“CLARITI”) and was assigned Agreement No. 2023-042(B); and
WHEREAS, on September 27, 2023, CITY and CLARITI entered into Amendment No. 1 to Agreement No. 2023 -042(B) to implement a change order related to associated costs to increase the available user count by 93 licenses ; and
WHEREAS, on May 8, 2024, CITY and SPERIDIAN entered into Amendment No. 1 to Agreement No. 2023 -042 to implement a change order related to associated costs provid ing additional functionality within the Clariti system not originally included; and
WHEREAS, on November 6, 2024, CITY and CLARITI entered into Amendment No. 2 to Agreement No. 2023 -042(B) to implement a change order related to associated costs provid ing an additional 10 user licenses and increased data storage; and
WHEREAS, on December 18, 2024, CITY and SPERIDIAN entered into Amendment No. 2 to Agreement No. 2023 -042 to implement a change order related to associated costs providing an additional system integration and ongoing managed services for the Clariti Permitting system; and

WHEREAS, on May 28, 2025, CITY and CLARITI entered into Amendment No. 3 to Agreement No. 2023 -042(B) to implement a change order related to associated costs to add Clariti’s permitting self-help system “Guide Software-as- a-Service” subscription; and
WHEREAS, on September 24, 2025, CITY and SPERIDIAN entered into Amendment No. 3 to Agreement No. 2023 -042 to implement a change order related to associated costs to complete configuration, testing and launch of the Clariti Permitting system’s Licensing Module; and
WHEREAS, CLARITI has recently expanded its available scope of services to include management and maintenance of its software which means that CITY does not necessarily require the services of a third party; and
WHEREAS, CITY and SPERIDIAN now desire to amend Agreement No. 2023 - 042 a fourth time to increase compensation to SPERIDIAN and to clarify that SPERIDIAN will continue its managed services through February 28, 2026, at which time, said Agreement and all amendments related to SPERIDIAN will be terminated; and
WHEREAS, CITY and CLARITI also desire to amend Agreement No. 2023 - 042(B) a fourth time to expand the scope of CLARITI’s services to include ongoing managed service and support beginning February 1, 2026, and to provide CLARITI additional compensation effective February 1, 2026 for said services.
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and SPERIDIAN mutually agree as follows:
1. EXHIBIT A of Agreement No. 2023 -042 is hereby amended to add EXHIBIT A-4, entitled “Managed Support Services”, attached hereto and incorporated by reference herein which increases SPERIDIAN’s compensation for continued Managed Services through February 28, 2026 in an amount not to exceed Fifty -Six Thousand Four Hundred and Seventeen dollars ($56,417) for a total amount not to exceed One Million Two Hundred Eighty -Seven Thousand Six Hundred Seventy dollars ($1,287,670).
2. Agreement No. 2023-042(B) is hereby amended to add Attachment 4 which adds Clariti Premium Software support services from February 1, 2026 through February 2027 to its existing software-as-a-service and increases compensation effective February 1, 2026 in an amount not to exceed One Hundred Ten Thousand dollars ($110,000) for a total amount not to exceed One Million One Hundred Sixty-Eight Thousand Five Hundred Fifty-One dollars ($1,168,551).

3. Except as amended herein, all provisions of Agreement No. 2023-042 and Agreement No. 2023-042 (B) remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 4 to Agreement Nos. 2023-042 and 2023-042(B)to be executed the day and year first above written.
