________________________________________________ Amendment No. 2 to Agreement 2023.-294 Updated November 2025 Page 1 AGREEMENT NO. 2023-294 (2) AMENDMENT NO. 2 TOAGREEMENT NO. 2023-294 This AMENDMENT NO. 2 TO AGREEMENT NO. 2023-294 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred THE OPEN DOOR NETWORK, a Corporation authorized to do business in California R E C I T A L S WHEREAS, on October 10, 2023, CITY posted a Request for Proposals (RFP) for recycling WHEREAS, CONTRACTOR submitted a response to the RFP representing CONTRACTOR is experienced, well qualified and a specialist in the field of providing a manual labor force to sort through materials and remove litter and contamination; and WHEREAS, on December 13, 2023, CITY and CONTRACTOR entered into Agreement No. 2023-294 not to exceed Three Hundred Thousand Dollars ($300,00) for a one-year term with the option for four (4) one- Vernon Green Waste Facility; and WHEREAS, on January 8, 2025, CITY and CONTRACTOR amended Agreement No. 2023-294 to increase compensation by Three Hundred Five Thousand Seven Hundred Sixty Dollars ($305,760) for a total compensation amount not to exceed Six Hundred Five Thousand Seven Hundred Sixty Dollars ($605,760) and to extend the term of the Agreement to December 13, Facility; and WHEREAS, CITY and CONTRACTOR desire to amend Agreement No. 2023-294 to increase compensation by Three Hundred Five Thousand Seven Hundred Sixty Dollars ($305,760) for a total compensation amount not to exceed Nine Hundred Eleven Thousand Five Hundred Twenty Dollars ($911,520) and to extend the term of the Agreement to December 13, 2026 to NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows: 1. Section 2 of Agreement No. 2023-294 COMPENSATION/PAYMENT PROCEDURE 2. COMPENSATION/PAYMENT PROCEDURE. Subject to the conditions of this section, CITY will pay CONTRACTOR as follows for performing the Scope of Work On an hourly basis in accordance with the hourly rates as shown on Exhibit A. In the event that the applicable minimum wage rate under ________________________________________________ Amendment No. 2 to Agreement 2023.-294 Updated November 2025 Page 2 federal, state, or local law increases during the term of this Agreement, the invoicing rate shall automatically increase by an amount equal to the dollar amount of the minimum wage increase. CITY will pay CONTRACTOR within thirty (30) days after CONTRACTOR submits an itemized invoice for the portions of the Scope of Work completed and that invoice is approved by CITY. The Compensation will be the total amount paid to CONTRACTOR for performing the Scope of Work and includes, but is not limited to, all out-of-pocket costs and taxes. CITY will pay no other compensation to CONTRACTOR. In no case will CITY compensate CONTRACTOR more than NINE HUNDRED FITFTY THOUSAND DOLLARS for performing the Scope of Work. 2. Section 3 of Agreement No. 2023-294 TERMas follows: 3. TERM Unless terminated sooner as set forth herein, this Agreement shall terminate on December 13, 2026, and shall be renewable annually thereafter for two (2) consecutive one-year extensions. 3. Except as amended herein, all provisions of Agreement No. 2023-294 shall remain in full force and effect.
