_____________________________________________________Amendment No. 1 to Agreement No. 2022-002 Updated February 2026 Page 1 AGREEMENT NO. 2022-002 (1) AMENDMENT NO. 1 TO AGREEMENT NO. 2022-002 This AMENDMENT NO. 1 TO AGREEMENT NO. 2022-002 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal U.S. PEROXIDE, LLC dba USP TECHNOLOGIES a corporation authorized to do business in California (referred to R E C I T A L S WHEREAS, On January 5, 2022, CITY and CONTRACTOR entered into Agreement No. 2022-002, wherein CONTRACTOR would supply non-hazardous chemical, provide storage and containment of the chemical at multiple sewer system to mitigate atmospheric odors and reduce corrosion within the system; and WHEREAS, CITY and CONTRACTOR agreed to a fee proposal for a five-year term to supply storage, containment, and chemicals with a term expiring on November 30, 2026; and WHEREAS, CITY has exhausted all compensation due to addition of more City lift stations and an increased need for chemicals; and WHEREAS, the parties now desire to amend Agreement No. 2022-002 to increase the compensation by Eight Hundred Ninety Thousand Dollars ($890,000) for a new not to exceed amount of Four Million Dollars ($4,000,000), extend the term for one additional year until November 30, 2027, and allow CONTRACTOR to increase rates for the final year of the term; and WHEREAS, CONTRACTOR has submitted an updated rate sheet, attached hereto as Exhibit B, and incorporated by reference herein. NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows: 1. Section 2 of Agreement No. 2022-021 entitled Compensation/Payment Procedure 2. COMPENSATION/PAYMENT PROCEDURE. Subject to the conditions of this section, CITY will pay CONTRACTOR as follows for basis in accordance with the 5-year chemical rates as shown on Exhibit A. Effective December 1, 2026, such rates shall be increased as shown on Exhibit B. _____________________________________________________Amendment No. 1 to Agreement No. 2022-002Updated February 2026 Page 2 CITY will pay CONTRACTOR within 30 days after CONTRACTOR submits an itemized invoice for the portions of the Scope of Work completed and that invoice is approved by CITY. The compensation will be the total amount paid to CONTRACTOR for performing the Scope of Work and includes, but not limited to, all out-of-pocket costs and taxes. In no case will CITY compensate CONTRACTOR more than FOUR MILLION DOLLARS ($4,000,000) for performing the Scope of Work.2.Section 3 of Agreement No. 2022-002Termamended to read as follows:3.
