B. Customer Operating Costs. The Customer's monthly program operating costs are estimated to be $250.00 per active Approach ("Customer Operating Co sts"). The gross cash receipts received by the Customer each month from the Kem County Superior Court through the collection of red light Citations shall first be applied to the Customer Op erating Costs. In order to ensure cost neutrality to the Customer, the Customer will only be obligate d to pay Verra Mobility from the gross cash receipts received from the Kem County Superior Cour t after first deducting the Customer Operating Costs. In the event that a balance remains unpaid due to a deficit in gross cash received by the Customer compared to the invoiced amount, Customer will provide to Verra Mobility with each monthly payment, an accounting of such gross receipts supporting the amount withheld.

C. Cost Neutrality:

1. The Customer shall have the option to make payments to Verra Mobility in accordance with this Cost Neutrality payment option. Under this opt ion, the Customer may defer payment of that portion of the monthly service fee in excess o f the amount collected during that month until the Customer has collected sufficient funds pursuant to this Agreement to pay that portion of the monthly service fee ("Deferred Monthly Service Fee"). A Deferred Monthly Service Fee shall be paid from the funds collected in the follo wing month pursuant to this Agreement provided that sufficient funds are collected during that month to pay the Deferred Monthly Service Fee. Specifically, the funds collected each month, less the Customer Operating Costs, shall be applied first to any unpaid Deferred Month ly Service Fees and then to that month's Fixed Monthly Fee; provided, however, that the Customer shall never be required to pay in any month an amount in excess of the funds collected that month.

2. Verra Mobility shall maintain an accounting of the net balance of the Fixed Monthly Fees and Deferred Monthly Service Fees owed to Verra Mobilit y. In any event, the Customer will not be obligated to pay the full amount of an invoice for any given month unless there is sufficient revenue collected in that month to pay all of the amounts of the prior invoices that were deferred as well as the full amount of the current month's invoice.

3. Cost Neutrality will be reconciled at the end of th e term of the Agreement. In the event the Agreement ends or is terminated and an invoice bala nce is still owed Verra Mobility , all subsequent receipts from paid Citations from the Ca mera Systems for a period of 12 months from the date of termination will be applied to such balance and paid to Verra Mobility.
