This AMENDMENT NO. 3 TO AGREEMENT NO. 2023-024 is made and entered into on , by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as "CITY"), and AECOM TECHNCIAL SERVICES, INC. a Corporation authorized to do business in California (referred to herein as "CONTRACTOR").

WHEREAS, on January 25, 2023, CITY and DESIGN CONSULTANT entered into Agreement No. 2023-024 to develop the Wastewater Treatment Plant No. 3 Booster Blower Replacement Project (the "Project"); and WHEREAS, on February 28, 2024 CITY and DESIGN CONSULTANT entered into Amendment No. 1to Agreement No. 2023-024 to increase compensation by NINETEEN THOUSAND DOLLARS ($19,000) for a total compensation of ONE HUNDRED SEVENTY-ONETHOUSAND DOLLARS($171,000): and
WHEREAS, on May 28, 2025 CITY and DESIGN CONSULTANT entered into Amendment No. 2 to Agreement No. 2023-024 to increase compensation by TWENTY THOUSAND DOLLARS ($20,000) for a total compensation of ONE HUNDRED NINETY-ONE THOUSAND DOLLARS($191,000) and extend the term by eighteen (18) months to December 31, 2026, in accordance with the original terms of the agreement; and
WHEREAS, the DESIGN CONSULTANT has submitted additional work that is essential for the completion of the Project, as detailed in Exhibit E attached hereto and incorporated by reference herein; and
WHEREAS, the parties desire to enter into Amendment No. 3 to Agreement 2023-024 to increase compensation by FORTY-SEVEN THOUSAND THREE HUNDRED DOLLARS ($47,300) and extend the term by eight (8) months in accordance with the original terms of the agreement.
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and DESIGN CONSULTANTmutually agree asfollows:

1. Section 1of Agreement No. 2023-024 entitled "SCOPEOFWORK" is hereby amended to read asfollows:
1. SCOPE OF WORK. In exchange for the Compensation
(defined below), DESIGN CONSULTANT must competently and thoroughly design and engineer the Project as more specifically described in the Proposal, and in DESIGN CONSULTANT's scope of work, attached hereto as Exhibit A, Exhibit C, Exhibit D, and Exhibit E incorporated herein by reference (collectively, the project description in the Request and DESIGN CONSULTANT'S scope of work are referred to as "Scope of Work"). DESIGN CONSULTANT'S services shall include all the procedures necessary to properly complete the Scope of Work, whether specifically included in the Scope of Work or not.
2. Section 2 of Agreement No. 2023-024 entitled
"COMPENSATION/PAYMENT PROCEDURE" is hereby amended to
read asfollows:
2. COMPENSATION/PAYMENT PROCEDURE. In exchange for
performing the Scope of Work and subject to the terms of this section, CITY will pay DESIGN CONSULTANT as follows
("Compensation"):
CITY will reimburse DESIGN CONSULTANT'S actual costs (including labor costs, employee benefits, overhead, and other direct costs) in an amount not to exceed TWO HUNDRED THIRTY-EIGHT THOUSAND THREE HUNDRED DOLLARS ($238,300) exclusive of any fixed fee.
Actual costs shall not exceed the estimated wage rates and other costs set forth in DESIGN CONSULTANT's Uniform Rate Schedule established by Resolution No. 157-2022 attached as Exhibit B and incorporated herein by reference.
CITY will pay DESIGN CONSULTANT within 30 days after DESIGN CONSULTANT submits an itemized invoice for the portions of the Scope of Work completed and that invoice is approved by CITY.
The Compensation will be the total amount paid to DESIGN CONSULTANTfor performing the Scope of Work and includes, but is not limited to, all out-of-pocket costs and taxes. CITY will pay no other compensation to DESIGN CONSULTANT. In no case will CITY compensate DESIGN CONSULTANT more than TWO HUNDRED
THIRTY-EIGHT THOUSAND THREE HUNDRED DOLLARS ($238,300) for performing the Scope of Work.

3. Section 3 of Agreement No. 2023-024 entitled "TERM" is hereby amended to read asfollows:
3. TERM. Unless terminated sooner as set forth herein, this Agreement shall terminate August 31, 2027.
4. Except as amended herein, all provisions of Agreement No. 2023- 024 shall remain in full force and effect.
