AMENDMENT NO. [1] TO
AGREEMENT NO. 2023-118

This AMENDMENT NO. 1 TO AGREEMENT NO. 2023-118 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as “CITY”), and POWER SOLUTIONS GROUP, LLC a limited liability company authorized to do business in California (referred to herein as “CONTRACTOR”).

R E C I T A L S

WHEREAS, CITY and TITAN QUALITY POWER SERVICES LLC entered into Agreement No. 2023- 118 on May 24, 2023 (the “Agreement”) , to provide On - Call Wastewater Equipment Maintenance for the Wastewater Division; and

WHEREAS, On January 01, 2026 TITAN QUALITY POWER SERVICES LLC was acquired by CONTRACTOR, and CONTRACTOR assumed all rights and obligations of TITAN QUALITY POWER SERVICES LLC; and

WHEREAS, CITY and CONTRCATOR, as part ies to the Agreement, and in accord with Section 29 of the Agreement, mutually consent to the assignment of all rights and obligations of TITAN QUALITY POWER SERVICES LLC to CONTRACTOR; and

WHEREAS, CITY and CONTRACTOR’s waiver of Section 19 of the Agreement occurred solely in recognition of the above- described merger, does not represent the abrogation of Section 19, and remains in effect subsequent to this Amendment Number 1 to the Agreement; and

WHEREAS, the parties desire to amend Agreement No. 2023- 118 to extend the T erm of this Agreement by one (1) year in accordance with the original terms of the Agreement; and

NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows:

1. Section 3 of Agreement No. 2023- 118 entitled
“COMPENSATION/PAYMENT PROCEDURE” is hereby amended to
read as follows:

2. COMPENSATION/PAYMENT PROCEDURE. Subject to the
conditions of this section, CITY will pay CONTRACTOR as follows for performing the Scope of Work (“Compensation”): on an hourly basis in accordance with the hourly rates specified in the updated rate sheet dated May 11, 2026, attached hereto as Exhibit B and incorporated by reference herein.

CITY will pay CONTRACTOR within 30 days after CONTRACTOR submits an itemized invoice for the portions of the Scope of Work completed and that invoice is approved by CITY. The
Compensation will be the total amount paid to CONTRACTOR for performing the Scope of Work and includes, but is not limited to, all out-of-pocket costs and taxes. CITY will pay no other compensation to CONTRACTOR. In no case will CITY compensate CONTRACTOR more than ONE HUNDRED FIFTY THOUSAND DOLLARS ($150,000) for performing the Scope of Work.

2. Section 3 of Agreement No. 2023- 118 entitled “TERM” is hereby amended to read as follows:

3. TERM. Unless terminated sooner, as set forth herein, this Agreement shall terminate on May 31, 2027. The contract is renewable annually for one (1) consecutive one-year period at the CITY’S option and upon mutually agreeable terms.

3. Section 34 of Agreement No. 2023- 118 entitled “TAX NUMBERS” is hereby amended to read as follows:
