AMENDMENT NO. 1 TO
AGREEMENT NO. 2025-101
This AMENDMENT NO. 1 TO AGREEMENT NO. 2025-101 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as “CITY”), and K & I SERVICES, INC. , a corporation authorized to do business in California (referred to herein as “CONTRACTOR”).
R E C I T A L S
WHEREAS, On June 25, 2025, CITY and CONTRACTOR entered into Agreement No. 2025-101 in the amount of Six Hundred Fifty Thousand Dollars ($650,000) to provide organic and recyclable materials transportation services within the Mount Vernon Organics Recycling & Composting Facility and the City’s Materials Recovery Facility ; and
WHEREAS, the parties desire to amend Agreement No. 2025-101 to extend the term to June 25, 2027, and to increase compensation by SIX HUNDRED SEVENTY-FIVE THOUSAND DOLLARS ($675,000) for a total compensation not to exceed ONE MILLION THREE HUNDRED TWENTY-FIVE THOUSAND DOLLARS ($1,325,000) to continue the hauling services within the Mount Vernon Organics Recycling & Composting Facility and the City’s Materials Recovery Facility.
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows:
1. Section 2 of Agreement No. 2025-101 entitled “COMPENSATION/PAYMENT PROCEDURE” is hereby amended to read as follows:
2. COMPENSATION/PAYMENT PROCEDURE . Subject to the conditions of this section, CITY will pay CONTRACTOR as follows for performing the Scope of Work (“Compensation”):
Compensation for all work, services, or products called for under this Agreement shall consist of a total payment not to exceed One Million Three Hundred Twenty-Five Thousand Dollars ($1,325,000) which shall be paid as set forth in Exhibit “A” attached hereto and incorporated by reference herein.

completed and that invoice is approved by CITY. The Compensation will be the total amount paid to CONTRACTOR for performing the Scope of Work and includes, but is not limited to, all out-of-pocket costs and taxes.
CITY will pay no other compensation to CONTRACTOR. In no case will CITY compensate CONTRACTOR more than ONE MILLION THREE HUNDRED TWENTY-FIVE THOUSAND DOLLARS ($1,325,000) for performing the Scope of Work.
2. Section 3 of Agreement No. 2025-101 entitled “TERM” is hereby amended to read as follows:
3. TERM. Unless terminated sooner, as set forth herein, this Agreement shall terminate on June 25, 2027, and shall be renewable annually thereafter for three (3) consecutive one-year periods.
3. Except as amended herein, all provisions of Agreement No. 2025-101 shall remain in full force and effect.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, City of Bakersfield (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.
Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system.
Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.

We will bill you for any fees at that time, if any.
To withdraw your consent with City of Bakersfield
To inform us that you no longer wish to receive future notices and disclosures in electronic format you may:
i. decline to sign a document from within your signing session, and on the subsequent page, select the check-box indicating you wish to withdraw your consent, or you may; ii. send us an email to [email protected] and in the body of such request you must state your email, full name, mailing address, and telephone number. We do not need any other information from you to withdraw consent.. The consequences of your withdrawing consent for online documents will be that transactions may take a longer time to process..
