AMENDMENT NO. (2) TO
AGREEMENT NO. 2024-299

This AMENDMENT NO. (2) TO AGREEMENT NO. 2024-299 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as “CITY”), and AXON ENTERPRISE, INC. a corporation authorized to do busine ss in California (referred to herein as “CONTRACTOR”).

R E C I T A L S

WHEREAS, on November 6, 2024, CITY and CONTRACTOR entered into Agreement No. 2024-299 in the amount of $4,128,036.81 and a term date of December 31, 2029, for bodycam devices and services for the Bakersfield Police Department; and

WHEREAS, on June 11, 2025, the parties entered into Amendment 1 to Agreement No. 2024-299 for a total co mpensation of $4,326,375.63 to add additional services including but not limi ted to additional storage, licenses and interview room services the parties additionally agreed to append the “Axon Channel Services Appendix” to the existing terms and conditions incorporated in the Agreement as Exhibit A; and

WHEREAS, CITY and CONTRACTOR now desire to amend Agreement No. 2024-299 for a second time to decrease body worn camera counts, add in redaction and fleet services; and

WHEREAS, the reduction in cameras will result in a decrease of total compensation by $672,678.28 resulting in a new not to exceed amount of $3,653,697.35.

NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows:

1. Section 2 of Agreement No. 2024-299 entitled
“COMPENSATION/PAYMENT PROCEDURE” is hereby amended to read as follows:

“C”, and Exhibit “D” attached hereto and incorporated herein by reference, for a new not to ex ceed amount of $3,190,397.85 to decrease body worn camera counts and add in redaction and fleet services as outlined below:

1. Year (1) sum of $826,270.54 due and payable on
September 2024

2. Year (2) sum of $870,312.74 due and payable on
September 2025

3. Year (3) sum of $495,927.42 due and payable on
September 2026

4. Year (4) sum of $730,597.07 due and payable on
September 2027

5. Year (5) sum of $730,589.58 due and payable on
September 2028

CITY will pay CONTRACTOR with in 30 days after CONTRACTOR submits an itemized invoice for t he portions of the Scope of Work completed and that invoice is approved by CITY. The
Compensation will be the total amount paid to CONTRACTOR for performing the Scope of Work and includes, but is not limited to, all out-of-pocket costs and taxes. CITY will pay no other compensation to CONTRACTOR. In no case will CITY compensate CONTRACTOR more than Three Million One Hundred Nighty Thousand Three Hundred Ninety-Seven Dollars and two cents ($3,653,697.35) for performing the Scope of Work.

2. The Parties hereby agree to add and incorporate the “Axon Channel Services Appendix,” attached hereto, to Exhibit A “Master Terms and Conditions” attached to Agreement No. 2024-299.

3. Except as amended herein, all provisions of Agreement No. 2024- 299 shall remain in full force and effect.

Axon Channel Services Appendix
This Appendix applies if Customer purchases Axon Channel Service, as set forth on the Quote.

1. Definitions.

1.1. "Axon Digital Evidence Management System" means Axon Evidence or Axon Evidence Local, as specified in the attached Channel Services Statement of Work.

1.2. "Active Channel " means a third -party system that is continuously communicating with an Axon Digital Evidence Management System.

1.3. "Inactive Channel" means a third -party system that will have a one -time communication to an Axon Digital Evidence Management System.

2. Scope. Customer currently has a third-party system or data repository from which Customer desires to share data with Axon Digital Evidence Management. Axon will facilitate the transfer of Customer’s third-party data into an Axon Digital Evidence Management System or the transfer of Customer data out of an Axon Digital Evidence Management System as defined in the Channel Services Statement of Work (" Channel Services SOW"). Channel Services will not delete any Customer Content. Customer is responsible for verifying all necessary data is migrated correctly and retained per Customer policy.

3. Changes. Axon is only responsible to perform the Services described in this Appendix and Channel Services SOW.

Any additional services are out of scope. The Parties must document scope changes in a written and signed change order. Changes may require an equitable adjustment in the charges or schedule.

4. Purpose and Use . Customer is responsible for verifying Customer has the right to share data from and provide access to third-party system as it relates to the Services described in this Appendix and the Channel Services SOW.

For Active Channels, Customer is responsible for any changes to a third-party system that may affect the functionality of the channel service. Any additional work required for the continuation of the Service may require additional fees.

An Axon Field Engineer may require access to Customer’s network and systems to perform the Services described in the Channel Services SOW. Customer is responsible for facilitating this access per all laws and policies applicable to Customer.

5. Project Management. Axon will assign a Project Manager to work closely with Customer’s project manager and project team members and will be responsible for completing the tasks required to meet all contract deliverables on time and budget.

6. Warranty. Axon warrants that it will perform the Channel Services in a good and workmanlike manner.

7. Monitoring. Axon may monitor Customer’s use of Channel Services to ensure quality, improve Axon devices and services, prepare invoices based on the total amount of data migrated, and verify compliance with this Agreement.

Customer agrees not to interfere with such monitoring or obscure from Axon Customer’s use of channel services.

8. Customer’s Responsibilities. Axon’s successful performance of the Channel Services requires Customer:

8.1. Make available its relevant systems for assessment by Axon (including making these systems available to Axon via remote access);

8.2. Provide access to the building facilities and where Axon is to perform the Channel Services, subject to safety and security restrictions imposed by the Customer (including providing security passes or other necessary documentation to Axon representatives performing the Channel Services permitting them to enter and exit Customer premises with laptop personal computers and any other materials needed to perform the Channel Services);

8.3. Provide all necessary infrastructure and software information (TCP/IP addresses, node names, and network configuration) for Axon to provide the Channel Services;

8.4. Ensure all appropriate data backups are performed;

8.5. Provide Axon with remote access to the Customer’s network and third-party systems when required for Axon to perform the Channel Services;

8.6. Notify Axon of any network or machine maintenance that may impact the performance of the Channel Services; and

8.7. Ensure the reasonable availability by phone or email of knowledgeable staff, personnel, system administrators, Docusign Envelope ID: B9698262-6FDC-80A5-8100-C906EECE5AFB and operators to provide timely, accurate, complete, and up -to-date documentation and information to Axon (these contacts are to provide background information and clarification of information required to perform the Channel Services).

Agency is terminating those contracts effective 7/15/2026. Any changes in this date will result in modification of the program value which may result in additional fees or credits due to or from Axon.

The parties agree that Axon is applying a Transfer Balance of $5,751.30. 100% discounted body-worn camera and docking station hardware contained in this quote reflects a TAP replacement for hardware purchased under existing quotes aforementioned above. All TAP obligations from this contract will be considered fulfilled upon execution of this quote.

Rewrite Estimates
Estimated Amounts and Contract Terminations. Any amounts stated as due under existing or terminated contracts — including contract transfer balances carried forward to new or pending contracts — are estimates based on payments received as of the calculation date. These estimates may be adjusted if new contracts are not executed on the anticipated dates or if expected payments are not made.

Refresh Shipment Timing
Technology Assurance Plan (TAP) Refresh Prior to Renewal. For Customers with expiring agreements that include TAP refresh rights, Axon may, in its discretion, ship refresh hardware under the existing contract while renewal or replacement agreements are in progress. Any such shipments will be deemed made under the terms of the existing contract until the new contract is fully executed, after which any applicable updates, fees, or adjustments will apply.

Shipment Timing
Shipment Variance. Estimated shipment dates are provided for planning purposes only and are not guarantees. Axon may ship hardware before or after the estimated shipment date, and failure to meet an estimated shipment date will not, by itself, constitute a breach, provided Axon uses commercially reasonable efforts to meet estimated shipment dates.

ELECTRONIC RECORD AND SIGNATURE DISCLOSURE
From time to time, City of Bakersfield (we, us or Company) may be required by law to provide to you certain written notices or disclosures. Described below are the terms and conditions for providing to you such notices and disclosures electronically through the DocuSign system.

Please read the information below carefully and thoroughly, and if you can access this information electronically to your satisfaction and agree to this Electronic Record and Signature Disclosure (ERSD), please confirm your agreement by selecting the check-box next to ‘I agree to use electronic records and signatures’ before clicking ‘CONTINUE’ within the DocuSign system.

Getting paper copies
At any time, you may request from us a paper copy of any record provided or made available electronically to you by us. You will have the ability to download and print documents we send to you through the DocuSign system during and immediately after the signing session and, if you elect to create a DocuSign account, you may access the documents for a limited period of time (usually 30 days) after such documents are first sent to you. After such time, if you wish for us to send you paper copies of any such documents from our office to you, you will be charged a $0.00 per-page fee. Withdrawing your consent
If you decide to receive notices and disclosures from us electronically, you may at any time change your mind and tell us that thereafter you want to receive required notices and disclosures only in paper format. Consequences of changing your mind
If you elect to receive required notices and disclosures only in paper format, it will slow the speed at which we can complete certain steps in transactions with you and delivering services to you because we will need first to send the required notices or disclosures to you in paper format, and then wait until we receive back from you your acknowledgment of your receipt of such paper notices or disclosures. Further, you will no longer be able to use the DocuSign system to receive required notices and consents electronically from us or to sign electronically documents from us.
