AMENDMENT NO. (1) TO
AGREEMENT NO. CM25-055
This AMENDMENT NO. 1 TO AGREEMENT NO. CM25 -055 is made and entered into on ________________, by and between the CITY OF BAKERSFIELD, a municipal corporation (referred to herein as “CITY”), and HELM HOLDINGS LLC a limited liability corporation authorized to do business in California and doing business as NAME ROLE VALUE (referred to herein as “CONTRACTOR”).
R E C I T A L S
WHEREAS, on November 13, 2025, CITY and CONTRACTOR (previously doing business as Sellable and now doing business as Name Role Value) entered into Agreement No. CM25 -055 to review and support the CITY' s website and public facing content to ensure the Web Content Accessibility Guidelines (WCAG) were being met, as delineated in Exhibit A attached to said agreement , in exchange for $100,000.00; and
WHEREAS, the parties now desire to amend Agreement No. CM25-055 to expand the scope of work to meet Americans with Disabilities Act (ADA) compliance and WCAG requirements t hat have a deadline of April 26, 2027, as set forth in Exhibit B attached hereto; and
WHEREAS additional compensation of $190,000.00 will be provided cover the increased supporting role of CONTRACTOR.
NOW, THEREFORE, incorporating the foregoing recitals herein, CITY and CONTRACTOR mutually agree as follows:
1. Section 1 of Agreement No. CM25 -055 entitled “ SCOPE OF WORK” is hereby amended to read as follows:
1. SCOPE OF WORK . In addition to completing the scope of work delineated in Ex. A to Agreement No. CM25-055, CONTRACTOR shall perform the following: conduct review and support of the CITY' s website and public facing content used by the CITY to ensure WCAG are met as delineated in Exhibit B attached hereto and incorporated by reference herein. Also, CONTRACTOR will act as consultant for the CITY' s WCAG Committee to - support CITY departments and provide training to address WCAG compliance (" Scope of Work").
The Scope of Work shall include all items and procedures necessary to properly complete the tas k CONTRACTOR has been hired to perform, whether specifically included in the Scope of Work or not.
2. Section 2 of Agreement No. CM25- 055 entitled
“COMPENSATION/PAYMENT PROCEDURE” is hereby amended to read as follows:

2. COMPENSATION/ PAYMENT PROCEDURE . CITY will pay
CONTRACTOR within thirty (30) days after CONTRACTOR submits an itemized invoice for the portions of the Scope of Work completed and that invoice is approved by CITY. The Compensation will be the total amount paid to CONTRACTOR for performing the Scope of Work and includes, but is not limited to, all out -of-pocket costs and taxes. CITY will pay no other compensation to CONTRACTOR. IN NO CASE WILL
CITY COMPENSATE CONTRACTOR MORE THAN TWO HUNDRED
NINETY THOUSAND DOLLARS ($290, 000).
3. Section 3 of Agreement No. CM25-055 entitled “TERM” is hereby amended to read as follows:
3. TERM. Unless terminated sooner, as set forth herein, this Agreement shall terminate on June 30, 2027.
3. Except as amended herein, all provisions of Agreement No. CM25 -055 shall remain in full force and effect.
