EXPOSURE TO LITIGATION
Pursuant to Government Code Section 54956.9(d)(2) and/or (3). Two potential cases.
3.2 CONFERENCE WITH REAL PROPERTY NEGOTIATORS
Pursuant to Government Code Section 54956.8.
Property: Banning Municipal Airport consisting of approximately 232.41 acres comprised of APNs 541- 240 -009; 541-250 -009; 541-140-003; 532-150-002; 532-150-003; 532-150- 004; 532- 130 -012; 532- 130-018; 532-130-011; 532-180- 034.
Agency Negotiator: City Manager Elizabeth Gibbs or her designee.
Negotiating Parties: City of Banning as potential Lessor and Industrial Enterprises, LLC as potential Lessee.
Under Negotiations: Price and Terms of proposed ground lease.
3.3 CONFERENCE WITH LEGAL COUNSEL REGARDING EXISTING LITIGATION Pursuant to Government Code Section 54956.9(d)(1):

2 Agency Negotiator: Elizabeth Gibbs, City Manager or Designee Negotiating Parties: City of Banning and Banning Stagecoach Days Association Under Negotiation: Price and Terms of Payment
Assistant City Attorney Norton stated her office would be recused from Item 3.1. due to a conflict of intertest.
Council Member Wallace stated she would also be recused from Item 3.1. due to a conflict of financial interest regarding income and expenses.
Council Member Flynn stated she would also be recused from Item 3.1. due to a conflict of financial interest regarding a pending request for reimbursement of legal fees.
Council Members recessed to Closed Session at 3:13 p.m. to discuss the items listed.
4. OPEN SESSION AGENDA
4.1 Amendment No. 1 to Professional Services Agreement by Independent Contractor by and Between City of Banning and Sloan, Sakai, Yeung & Wong, LLP Recommendation:
Approve Amendment No. 1 to Professional Services Agreement by Independent Contractor by and Between City of Banning and Sloan, Sakai, Yeung & Wong, LLP RECESS
The City Council reconvened at 5:07 to the regular meeting agenda, leaving the Closed Session recess open. The City Council reconvened to the Closed Session agenda at 10:47 p.m.
The City Council asked clarifying questions.
City Manager Gibbs stated this agreement amendment was necessary to work on a specific project and was justified by the number of vacant staff positions at the City at the time.
MOTION
Mayor Pro Tem Barrington moved to approve the amendment for an additional six months, seconded by Council Member Wallace.
The question was called and the motion carried unanimously.
5. ADJOURNMENT
Council Member Wallace motioned to adjourn, seconded by Council Member Miller.
The question was called by roll call vote and the motion carried unanimously.
The meeting adjourned at 10:53 p.m.
